(2)of the Companies Act, 1990 (No. 33 of 1990), (as adapted by the Enterprise and Employment (Alteration of Name of Department and Title of Minister) Order, 1997 ( S.I. No. 305 of 1997 ), and the Enterprise, Trade and Employment (Delegation of Ministerial Functions) Order, 1998 ( S.I. No. 265 of 1998 )), hereby make the following regulations: 1.
(1)These Regulations may be cited as the Companies Act, 1963 (Ninth Schedule) Regulations, 1999.
(2)These Regulations shall be construed as one with the Companies Act, 1963 (No. 33 of 1963). 2. These Regulations shall come into operation on the 1st day of April, 1999. 3. The list of provisions of the Companies Acts specified in the Ninth Schedule to the Principal Act is hereby altered as follows: (
  1. a)under the heading “Principal Act”, by the insertion— (
  2. i)in the column relating to subject matter, after “Prospectuses and allotments.” of the following: “Validation of invalid issue, redemption or purchase of shares.” (
  3. ii)in the column relating to provisions applied, opposite the matter inserted by subparagraph (
  4. i)of this paragraph of “Section 89.”, 1983”, by the insertion in the column relating to provisions applied, after “Sections 43,” of “43A,”, (
  5. c)under the heading “ Companies Act, 1990 ”, by the insertion after “Parts VII, IX, X” of “, XI”, (
  6. d)at the end of the Schedule by the insertion of: “EUROPEAN COMMUNITIES (PUBLIC LIMITED COMPANIES SUBSIDIARIES) REGULATIONS, 1997 ( S.I. No. 67 OF 1997 ) Provisions applied ______________________ All of the Regulations. _____________________”. GIVEN under my hand, this 5th day of March, 1999. NOEL TREACY, Minister of State at the Department of Enterprise, Trade and Employment. EXPLANATORY NOTE. (This note is not part of the Instrument and does not purport to be a legal interpretation.) The purpose of these Regulations is essentially to apply Part XI of the Companies Act 1990 , which deals with the acquisition of own shares and shares in holding company; the European Communities (Public Limited Companies Subsidiaries) Regulations 1997, and related provisions to unregistered companies.
