No. 466/2001 - Companies (Forms) Order, 2001 AmendmentsLeasuithe I, Noel Treacy, Minister of State at the Department of Enterprise, Trade and Employment, in exercise of the powers conferred on me by section 396 of the Companies Act, 1963 (No. 33 of 1963), as adapted by the Enterprise and Employment (Alteration of Name of Department and Title of Minister Order, 1997 ( S.I. No. 305 of 1997 )) and the Enterprise, Trade and Employment (Delegation of Ministerial Functions) Order, 1998 ( S.I. No. 265 of 1998 ), hereby order as follows: 1.
(1)This Order may be cited as the Companies (Forms) Order, 2001.
(2)The Companies (Forms) Orders, 1964 to 1994, and this Order may be cited together as the Companies (Forms) Orders, 1964 to 2001. 2. This Order shall come into operation on 23 October, 2001. 3. The Companies (Forms) Order, 1964 ( S.I. No. 45 of 1964 ), is hereby amended in the Schedule by the substitution for Form 47 of Form C1 set out in the Schedule to this Order. SCHEDULE “FORM C1 NOTES ON COMPLETION OF FORM C1 These notes should be read in conjunction with the relevant legislation. General This form must be completed in full and in accordance with the following notes. Where “not applicable”, “nil” or “none” is appropriate, please state. Where €/£/__ appear please delete as appropriate. note one Place an X in the relevant box(
- es)in respect of the following charges: (
- a)a charge for the purpose of securing any issue of debentures; (
- b)a charge on uncalled share capital of the company; (
- c)a charge created or evidenced by an instrument which, if executed by an individual, would require registration as a bill of sale; (
- d)a charge on land, wherever situate, or any interest therein, but not including a charge for any rent or other periodical sum issuing out of land; (
- e)a charge on book debts of the company; (
- f)a floating charge on the undertaking or property of the company; (
- g)a charge on calls made but not paid; (
- h)a charge on a ship or aircraft or any share in a ship or aircraft; (
- i)a charge on goodwill on a patent or a licence under a patent, on a trade mark or on a copyright or a licence under copyright. note two Place an X in one box only to describe the amount secured by the charge. note three Only to be completed where the charge comprises property situate outside the State. Please place an X in the appropriate box(es). If it is necessary to register the charge in another country and that has not yet been done it will be necessary to complete a Form 47C. note four Insert the name and address of each person entitled to the charge. note five Maximum 250 words. Please print within the box provided. note six Please place an X in the box if further particulars are annexed. note seven Where the signature is on behalf of the company, the position held must be one of the following:
