Clause 1. THE WORKS

Clause 2. TIME

Clause 3. PRICE AND PAYMENT

Clause 4. MATERIALS AND PERFORMANCE
Unless otherwise agreed, the Contractor shall provide the materials, tools and labour needed and shall perform the Works with reasonable care and skill and in a proper and workmanlike manner.
Clause 5. ACCEPTANCE
On completion the Contractor shall notify the Customer, who shall inspect and either accept the Works or notify defects in writing within [___] days. Acceptance shall not be unreasonably withheld where the Works conform to the contract.
Clause 6. DEFECTS AND LIABILITY
The Contractor shall remedy at its own cost defects in the Works notified within [___] and attributable to defective performance. Liability of the parties for breach is governed by the Contract Law, Cap. 149.

Matters not regulated here are governed by the Contract Law, Cap. 149. Any variation shall be in writing. This agreement is executed in two identical counterparts.

What is the difference between a contract for works and a contract of employment?
Under a contract for works the contractor is engaged to deliver a defined result and is generally independent as to how the work is done, bearing responsibility for the outcome. A contract of employment creates an ongoing relationship of subordination, with the employee working under the employer's direction and enjoying statutory employment protection.
When is the price payable?
Payment terms are as the parties agree - the template allows payment on acceptance, in stages against milestones, or on another agreed basis. In the absence of agreement, payment generally falls due on completion and acceptance of the works.
Who bears the cost of remedying defects?
Defects arising from the contractor's defective performance and notified within the agreed period are remedied at the contractor's cost. Remedies for breach are governed by the general principles of the Contract Law, Cap. 149.
