- Τον ν. 5037/2023 «Μετονομασία της Ρυθμιστικής Αρχής Ενέργειας σε Ρυθμιστική Αρχή Αποβλήτων, Ενέργειας και Υδάτων και διεύρυνση του αντικειμένου της με αρμοδιότητες επί των υπηρεσιών ύδατος και της διαχείρισης αστικών αποβλήτων, ενίσχυση της υδατικής πολιτικής - Εκσυγχρονισμός της νομοθεσίας για τη χρήση και παραγωγή ηλεκτρικής ενέργειας από ανανεώσιμες πηγές μέσω της ενσωμάτωσης των Οδηγιών ΕΕ 2018/2001 και 2019/944 Ειδικότερες διατάξεις για τις ανανεώσιμες πηγές ενέργειες και την προστασία του περιβάλλοντος» (Α’ 78), όπως ισχύει, και ιδίως τα άρθρα 1-
- Τον ν. 4001/2011 «Για τη λειτουργία Ενεργειακών Αγορών Ηλεκτρισμού και Φυσικού Αερίου, για Έρευνα, Παραγωγή και δίκτυα μεταφοράς Υδρογονανθράκων και άλλες ρυθμίσεις» (Α΄ 179, εφεξής ο «Νόμος»), όπως ισχύει, και ιδίως τα άρθρα 16, 18-21, 61, 62 και 74-79 αυτού.
- Τον ν. 4217/2013 (Α΄ 267) «Κύρωση Συμφωνίας Φιλοξενούσας Χώρας μεταξύ της Ελληνικής Δημοκρατίας και της TRANS ADRIATIC PIPELINE AG», όπως ισχύει.
- Την Οδηγία (ΕΕ) 2024/1788 του Ευρωπαϊκού Κοινοβουλίου και του Συμβουλίου της 13ης Ιουνίου 2024 «Σχετικά με κοινούς κανόνες για τις εσωτερικές αγορές ανανεώσιμων αερίων, φυσικού αερίου και υδρογόνου, και με την τροποποίηση της οδηγίας (ΕΕ) 2023/1791 και την κατάργηση της οδηγίας 2009/73/ΕΚ», όπως ισχύει. ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ
- Την Οδηγία 2009/73/ΕΚ του Ευρωπαϊκού Κοινοβουλίου και του Συμβουλίου της 13ης Ιουλίου 2009 σχετικά με τους κοινούς κανόνες για την εσωτερική αγορά φυσικού αερίου και την κατάργηση της οδηγίας 2003/55/ΕΚ, και ιδίως τα άρθρα 9, 32,36 και 41 αυτής.
- Τον Κανονισμό (ΕΚ) 715/2009 του Ευρωπαϊκού Κοινοβουλίου και του Συμβουλίου της 13ης Ιουλίου 2009 σχετικά με τους όρους πρόσβασης στα δίκτυα μεταφοράς φυσικού αερίου και για την κατάργηση του κανονισμού (ΕΚ) αριθμ. 1775/2005 (EE L 211/14.8.2009).
- Τον Κανονισμό (ΕΕ) 459/2017 της Επιτροπής της 16ης Μαρτίου 2017 για τη θέσπιση κώδικα δικτύου σχετικά με μηχανισμούς κατανομής δυναμικότητας στα συστήματα μεταφοράς αερίου και για την κατάργηση του κανονισμού (ΕΕ) αριθμ. 984/2013 (ΕΕ L 72/17.03.2017, εφεξής, «Κανονισμός CAM»), και ιδίως το Κεφάλαιο V (άρθρα 22-31) αυτού.
- Τον Κανονισμό (ΕΕ) 2022/2576 του Συμβουλίου της 19ης Δεκεμβρίου 2022 για την ενίσχυση της αλληλεγγύης μέσω καλύτερου συντονισμού των αγορών αερίου, αξιόπιστων δεικτών αναφοράς για τις τιμές και διασυνοριακών ανταλλαγών αερίου.

(10)της Οδηγίας 2009/73/ΕΚ και τροποποίηση της υπ. αριθμ. 111/2013 απόφασης της ΡΑΕ» (Β’ 1833) με την οποία εγκρίθηκε το κείμενο με τίτλο «Final Joint Opinion of the Energy Regulators on TAP AG's Exemption Application: Autorita per l'energia elettrica e il gas (Italy), Enti Rregullator I Energjise (Albania), Ρυθμιστική Αρχή Ενέργειας (Greece)», καθώς και τις από 6 Ιουνίου 2013 υπ’ αριθμ. 249/2013/R/gas Απόφαση της Ιταλικής Ρυθμιστικής Αρχής (AEEG), την από 13 Ιουνίου 2013 υπ’ αριθμ. 64 Απόφαση της Αλβανικής Ρυθμιστικής Αρχής Ενέργειας (ERE) και την από 25 Ιουνίου απόφαση του Ιταλικού Υπουργείου Οικονομικής Ανάπτυξης (Ministero dello Sviluppo Economico), με τις οποίες επίσης εγκρίθηκε το ως άνω κείμενο (εφεξής η «Κοινή Απόφαση Εξαίρεσης» ή «Final Joint Opinion» ή «FJO»).
- Την αριθμ. 531/2013 απόφαση της ΡΑΕ (Β΄ 3003) με θέμα «Έγκριση του Κανονισμού Τιμολόγησης της εταιρείας “TAP A.G.” για τον αγωγό TAP», καθώς και τις αποφάσεις AEEG Deliberation 495/2013/R/gas, dated 6/11/2013, και ERE Decision n. 127-07.11.2013 των Ρυθμιστικών Αρχών της Ιταλίας και της Αλβανίας, αντίστοιχα, με τις οποίες εγκρίθηκε ο Κανονισμός Τιμολόγησης για τον αγωγό TAP, καθώς και τις υπ΄αριθμ. 708/2018 Απόφαση ΡΑΕ (Β’ 3661), απόφαση AEEGSI 382/2018/R/GAS - 12.07.2018 και απόφαση ERE n. 16819.07.2018, με τις οποίες εγκρίθηκε η πρώτη τροποποίηση του Κανονισμού Τιμολόγησης της εταιρείας TAP AG καθώς και τις αποφάσεις Ε-242/2024 (Β’ 6867) του Κλάδου Ενέργειας της ΡΑΑΕΥ, 455/2024/R/gas-5.11.2024 της ARERA και No. 237/5.11.2024 της ERE με τις οποίες εγκρίθηκε η δεύτερη τροποποίηση του Κανονισμού (εφεξής «Κανονισμός Τιμολόγησης»).
- Την υπ’ αριθμ. 431/2014 Απόφαση της ΡΑΕ περί χορήγησης Άδειας Ανεξάρτητου Συστήματος Φυσικού Αερίου (εφεξής «ΑΣΦΑ») στην εταιρεία με την επωνυμία «Trans Adriatic Pipeline AG» (TAP AG), όπως αυτή τροποποιήθηκε με τις υπ’ αριθμ. 393/2015, 470/2019 και Ε-35/2024 Αποφάσεις της Αρχής.
- Την υπ’ αριθμ. 131/2015 Απόφαση της ΡΑΕ (Β’ 856) «Συμμόρφωση της ΡΑΕ κατά την παράγραφο 9 του άρθρου 36 της Οδηγίας 2009/73/ΕC με την από 17.03.2015 Απόφαση της -2- ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ Ευρωπαϊκής Επιτροπής υπ’ αριθμ. C

(2015)1852 final of 17 March 2015 and having taken note of the Opinion 1/2015 of the Energy Community Secretariat of 17 March 2015», καθώς και τις αντίστοιχες Αποφάσεις 159/R/gas/9.4.2015 της ARERA και 52/17.4.2015 της ERE (εφεξής «η Κοινή Απόφαση Εξαίρεσης, όπως ισχύει»).
- Την υπ’ αριθμ. 752/2020 Απόφαση της ΡΑΕ με την οποία χορηγήθηκε στην εταιρεία TAP AG Άδεια Διαχείρισης Ανεξάρτητου Συστήματος Φυσικού Αερίου (ΑΣΦΑ) για το τμήμα του αγωγού TAP που διέρχεται από την Ελλάδα, όπως τροποποιήθηκε με την υπ΄αριθμ. Ε35/2024 Απόφαση της ΡΑΑΕΥ.
- Την υπ’ αριθμ. 1036/2020 Απόφαση της ΡΑΕ με θέμα «Έγκριση του Κώδικα Διαχείρισης του αγωγού Trans Adriatic Pipeline (TAP) σύμφωνα με την κοινή Απόφαση των Ρυθμιστικών Αρχών της Ελλάδας, Ιταλίας και Αλβανίας», όπως τροποποιήθηκε με τις Αποφάσεις 265/2022 (B’ 1768), 199/2023 (Β’ 2438) και E-242/2024 (B’ 6867) και Ε-164/2025 του Κλάδου Ενέργειας της Αρχής, και τις αντίστοιχες αποφάσεις της ARERA και της ERE (εφεξής «Κώδικας Διαχείρισης»).
- Την υπ‘ αρ. 651/2019 Απόφαση της ΡΑΕ καθώς και τις αποφάσεις ARERA Deliberation 267/2019/R/gas, dated 25/06/2019 και ERE Decision n. 95 dated 17/6/2019 των Ρυθμιστικών Αρχών της Ιταλίας και της Αλβανίας, αντίστοιχα, με τις οποίες εγκρίθηκαν οι Κατευθυντήριες Γραμμές για την Πρόσκληση Εκδήλωσης Ενδιαφέροντος της Δοκιμής Αγοράς του έτους 2019 για την επαύξηση δυναμικότητας του αγωγού Trans-Adriatic Pipeline (TAP).
- Tην υπ΄αρ. 426/2021 Απόφαση της ΡΑΕ1 καθώς και τις σχετικές αποφάσεις της ARERA και της ERE με τις οποίες εγκρίθηκε η Πρόταση Έργου Επαυξημένης ∆υναμικότητας των ∆ιαχειριστών ΤΑΡ, SNAM και ∆ΕΣΦΑ στο πλαίσιο της Δοκιμής Αγοράς του Έτους
- Την υπ‘ αρ. 517/2021 Απόφαση της ΡΑΕ2 καθώς και τις αποφάσεις ARERA 273/2021/R/gas, dated 28/06/2021 και ERE n. 151 dated 29/06/2021 των Ρυθμιστικών Αρχών της Ιταλίας και της Αλβανίας, αντίστοιχα, με τις οποίες εγκρίθηκαν οι Κατευθυντήριες Γραμμές για την Πρόσκληση Εκδήλωσης Ενδιαφέροντος της Δοκιμής Αγοράς του Έτους 2021 για την επαύξηση δυναμικότητας του αγωγού Trans-Adriatic Pipeline (TAP).
- Την υπ‘ αρ. 818/2022 Απόφαση της ΡΑΕ καθώς και τις αποφάσεις ARERA 548/2022/R/gas, - 02/11/2022 και ERE no. 270 - 2/11/2022 των Ρυθμιστικών Αρχών της Ιταλίας και της Αλβανίας, αντίστοιχα, με τις οποίες εγκρίθηκε η Πρόταση Έργου Επαυξημένης Δυναμικότητας των Διαχειριστών TAP, SNAM και ΔΕΣΦΑ για τον αγωγό TAP στο πλαίσιο της Δοκιμής Αγοράς του Έτους
- Την υπ΄αρ. Ε-162/2023 Απόφαση του Κλάδου Ενέργειας της ΡΑΑΕΥ καθώς και τις αποφάσεις της ARERA (438/2023/R/gas, 3 Οκτωβρίου 2023) και της ERE, αντίστοιχα, με 1 https://diavgeia.gov.gr/doc/ΩΙ3ΥΙΔΞ-Υ5Θ 2 https://www.rae.gr/wp-content/uploads/2022/04/01.07.21.pdf -3- ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ τις οποίες εγκρίθηκε η Πρόταση έργου Επαυξημένης Δυναμικότητας των Διαχειριστών ΤΑΡ, SNAM και ΔΕΣΦΑ για τη δεύτερη δεσμευτική φάση της Δοκιμής Αγοράς του Έτους
- Την υπ‘ αρ. E-63/2023 Απόφαση του Κλάδου Ενέργειας της ΡΑΑΕΥ καθώς και τις αποφάσεις της ARERA (287/2023/R/gas-27.06.2023) και της ERE (No. 212/27.06.2023), αντίστοιχα, με τις οποίες εγκρίθηκαν οι Κατευθυντήριες Γραμμές για την Πρόσκληση Εκδήλωσης Ενδιαφέροντος της Δοκιμής Αγοράς του Έτους 2023 για την επαύξηση δυναμικότητας του αγωγού Trans-Adriatic Pipeline (TAP).
- Η από 10 Απριλίου 2024 έκθεση εκτίμησης ζήτησης της αγοράς, η οποία διαμορφώθηκε από κοινού από τους Διαχειριστές TAP, SRG και ΔΕΣΦΑ και αναρτήθηκε στις ιστοσελίδες τους στο πλαίσιο της Διαδικασίας Επαύξησης Δυναμικότητας/Δοκιμής Αγοράς του Έτους
- Το γεγονός ότι οι Διαχειριστές TAP, Snam Rete Gas & ΔΕΣΦΑ έθεσαν σε Δημόσια Διαβούλευση από τις 17 Ιουνίου 2024 έως τις 15 Αυγούστου 2024 το σχέδιο Πρότασης Έργου που διαμόρφωσαν από κοινού στο πλαίσιο της Διαδικασίας Επαύξησης Δυναμικότητας/Δοκιμής Αγοράς 2023, σύμφωνα με τις διατάξεις του άρθρου 27 του Ευρωπαϊκού Κανονισμού ΕΕ 2017/
- Τις τηλεδιασκέψεις και την εν γένει συνεργασία που έλαβαν χώρα μεταξύ των στελεχών των Ρυθμιστικών Αρχών Ελλάδας, Αλβανίας και Ιταλίας και των διαχειριστών TAP AG, SRG S.p.A και ΔΕΣΦΑ Α.Ε., κατά τη διάρκεια του έτους 2025 αναφορικά με την Πρόταση Έργου των Διαχειριστών στο πλαίσιο της Διαδικασίας Επαυξημένης Δυναμικότητας/Δοκιμής Αγοράς του Έτους
- Την υπ‘ αρ. E-163/2025 Απόφαση του Κλάδου Ενέργειας της ΡΑΑΕΥ καθώς και τις αποφάσεις της ARERA (316/2025/R/gas-08.07.2025) και της ERE (Nr. 146/08.07.2025), αντίστοιχα, με τις οποίες εγκρίθηκαν οι Κατευθυντήριες Γραμμές για τη Δοκιμή Αγοράς του Έτους 2025 για την επαύξηση δυναμικότητας του αγωγού TAP.
- Το από 28.07.2025 ηλεκτρονικό έγγραφο της TAP AG με θέμα « Submission of Project Proposal for Binding Phase of the 2023 Market Test for approval of the NRAs» (ΡAΑΕY Ι399695/28.07.2025).
- Το γεγονός ότι οι διατάξεις της παρούσας δεν αφορούν σε διοικητική διαδικασία για την οποία υπάρχει υποχρέωση καταχώρισης στο ΕΜΔΔ -ΜΙΤΟΣ.
- Το γεγονός ότι από την παρούσα απόφαση δεν προκαλείται επιβάρυνση στον κρατικό προϋπολογισμό. 3 https://www.tap-ag.com/shippers/market-tests-7/market-tests-8 https://www.desfa.gr/%ce%bf%ce%b9%cf%85%cf%80%ce%b7%cf%81%ce%b5%cf%83%ce%af%ce%b5%cf%82%ce%bc%ce%b1%cf%82/%ce%b4%ce%bf%ce%ba%ce%b9%ce%bc%ce%ae%ce%b1%ce%b3%ce%bf%cf%81%ce%ac%cf%82/%ce%b5%ce%bd%ce%b5%cf%81%ce%b3 %ce%ac/%ce%b4%ce%b9%ce%b1%ce%b4%ce%b9%ce%ba%ce%b1%cf%83%ce%af%ce%b 1-%ce%b5%cf%80%ce%b1%cf%8d%ce%be%ce%b7%cf%83%ce%b7%cf%82%ce%b4%cf%85%ce%bd%ce%b1%ce%bc%ce%b9%ce%ba%ce%bf%cf%84%ce%b7%cf%84 %ce%b1%cf%82-2023/ -4- ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ Σκέφτηκε ως εξής: Επειδή, με το σχετικό 9, όπως τροποποιήθηκε και ισχύει με το σχετικό 12 χορηγήθηκε στην εταιρεία ΤΑΡ AG (εφεξής, η «Εταιρεία»), σύμφωνα με τις διατάξεις του άρθρου 36 της Οδηγίας 2009/73/ΕΚ, Κοινή Απόφαση Εξαίρεσης από την εφαρμογή των διατάξεων των άρθρων 9, 32 και 41

(10)της εν λόγω Οδηγίας για τον αγωγό Trans Adriatic Pipeline (TAP) και για χρονικό διάστημα είκοσι πέντε
(25)ετών από την έναρξη εμπορικής λειτουργίας του αγωγού. Συγκεκριμένα, χορηγήθηκε εξαίρεση από α) τις διατάξεις του άρθρου 9 περί ιδιοκτησιακού διαχωρισμού, β) τις διατάξεις του άρθρου 32 περί πρόσβασης τρίτων μόνο για την αρχική δυναμικότητα του αγωγού TAP (Initial Capacity) ύψους 10 δις m3/έτος (bcma) και μόνο για την κατεύθυνση φυσικής ροής, και γ) τις διατάξεις του άρθρου 41 παρ.

(10)περί ρύθμισης τιμολογίων για το σύνολο της δυναμικότητας του αγωγού. Με την Απόφαση Εξαίρεσης οι αρμόδιες Ρυθμιστικές Αρχές Ενέργειας της Ελλάδας (ΡΑΕ, νυν ΡΑΑΕΥ), Αλβανίας (ERE) και Ιταλίας (ARERA), έθεσαν στην εταιρεία TAP AG την υποχρέωση επαύξησης της μεταφορικής ικανότητας του αγωγού έως τα 20 δισεκατομμύρια κυβικά μέτρα/έτος ή και περισσότερο, μέσω μηχανισμών αγοράς και σύμφωνα με τις βέλτιστες πρακτικές της Ευρωπαϊκής Ένωσης εφόσον υπάρχει ζήτηση και η επέκταση κριθεί οικονομικά αποδοτική. Στο σημείο 7 της παραγράφου 4.1 της Απόφασης Εξαίρεσης προβλέπεται ότι: «
- Obligation to perform subsequent market tests - TAP AG is obliged to perform other Market Tests on a regular basis starting from no later than the Commercial Operations Date and, subsequently, at least every two years. TAP AG will perform the Market Tests, under guidelines to be approved by the Authorities, with the view to offer to all interested parties additional available capacity up to the Total Capacity.» Επειδή, κατά τα ανωτέρω η ΤΑΡ ΑG έχει διεξάγει Δοκιμές Αγοράς (Market Tests) κάθε δύο έτη, εκκινώντας ήδη πριν την έναρξη της εμπορικής λειτουργίας του αγωγού, ήτοι τo έτος 2019, καθώς και μετά την έναρξη της εμπορικής λειτουργίας του αγωγού, ήτοι τα έτη 2021, 2023 και 2025 για επαύξηση της δυναμικότητας του αγωγού, σύμφωνα με τα οριζόμενα στην Κοινή Απόφαση Εξαίρεσης. Προς το παρόν έχουν ολοκληρωθεί οι Δοκιμές Αγοράς των Ετών 2019 και 2021 και βρίσκονται σε εξέλιξη οι Δοκιμές Αγοράς των Ετών 2023 και
- Επισημαίνεται ότι σύμφωνα με την Απόφαση Εξαίρεσης, εξαίρεση από τις διατάξεις του άρθρου 32 της Οδηγίας περί πρόσβασης τρίτων έχει χορηγηθεί μόνο για την αρχική δυναμικότητα, ενώ πιθανή αύξηση δυναμικότητας θα είναι ρυθμιζόμενη όσον αφορά την πρόσβαση τρίτων. Περαιτέρω, σύμφωνα με την Απόφαση εξαίρεσης εφαρμόζεται και ο Κανονισμός (ΕΚ) 715/2009, στο βαθμό που δεν έρχεται σε αντίθεση με την Απόφαση. Ομοίως, τυγχάνει εφαρμογής και ο Κανονισμός (ΕΕ) 459/2017 με τον οποίο θεσπίζεται κώδικας δικτύου σχετικά με μηχανισμούς κατανομής δυναμικότητας στα συστήματα μεταφοράς αερίου (εφεξής, «Κανονισμός CAM»), δεδομένου ότι ο εν λόγω Κανονισμός εκδόθηκε κατ’ εξουσιοδότηση του Κανονισμού (ΕΚ) 715/
- Επειδή, ο Κανονισμός CAM περιγράφει συγκεκριμένη διαδικασία με την οποία πραγματοποιείται επαύξηση δυναμικότητας σε σημεία διασύνδεσης (Interconnection Points). Επιγραμματικά και επί της αρχής, η διαδικασία (Incremental Capacity Procedure) είναι η ακόλουθη: αρχικά προσδιορίζεται συγκεκριμένο χρονικό περιθώριο κατά το οποίο όποιος -5- ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ ενδιαφέρεται να μεταφέρει φυσικό αέριο εντός της Ευρωπαϊκής Ένωσης υποβάλλει μη δεσμευτικό αίτημα (Demand Indication) στους αρμόδιους διαχειριστές. Ακολούθως, οι διαχειριστές εκπονούν κοινή έκθεση εκτίμησης ζήτησης (Demand Assessment Report) αξιολογώντας τα αιτήματα. Βάσει των αποτελεσμάτων, οι διαχειριστές αποφασίζουν αν θα προχωρήσουν σε αναλυτικό σχεδιασμό των αιτηθέντων έργων. Στην περίπτωση αυτή υποβάλλουν πρόταση προς έγκριση στους αρμόδιους ρυθμιστές για δύο τουλάχιστον εναλλακτικά επίπεδα σχεδιασμού. Εάν η πρόταση εγκριθεί, η προς ανάπτυξη δυναμικότητα τίθεται υπό δημοπράτηση. Οι ενδιαφερόμενοι καταθέτουν δεσμευτικές προσφορές. Βάσει των προσφορών, διενεργείται οικονομική δοκιμή για το κατά πόσον το έργο κρίνεται οικονομικά αποδοτικό. Εάν το αποτέλεσμα είναι θετικό, οι διαχειριστές υποχρεούνται να υλοποιήσουν το έργο επαύξησης της δυναμικότητας. Η βέλτιστη πρακτική για τη διεξαγωγή Δοκιμής Αγοράς (Market Test) περιλαμβάνει δύο στάδια προσφορών, ένα μη δεσμευτικό και ένα δεσμευτικό, και στη συνέχεια λαμβάνεται η τελική επενδυτική απόφαση (Final Investment Decision, FID) για το έργο επαύξησης δυναμικότητας βάσει της εκτιμώμενης οικονομικής αποδοτικότητας του έργου. Οι Ρυθμιστικές Αρχές Ενέργειας της Ελλάδας, της Ιταλίας και της Αλβανίας συνεργάζονται εκτενώς για την έγκριση των Κατευθυντήριων Γραμμών για τη διεξαγωγή των Δοκιμών Αγοράς κατά τρόπο ώστε να εφαρμοστεί κατά το δυνατόν ο Κανονισμός CAM, στο βαθμό που δεν αντιβαίνει στην Απόφαση Εξαίρεσης. Η επαύξηση, δηλαδή, της δυναμικότητας του αγωγού TAP όπως προβλέπεται από την Απόφαση Εξαίρεσης, να συνδυαστεί κατάλληλα με την επαύξηση δυναμικότητας σε Σημεία Διασύνδεσης από κοινού με τους γειτονικούς διαχειριστές όπως περιγράφεται στον Κανονισμό CAM. Επειδή, με τις σχετικές 20 αποφάσεις εγκρίθηκαν οι Κατευθυντήριες Γραμμές για την Πρόσκληση Εκδήλωσης Ενδιαφέροντος της Δοκιμής Αγοράς του Έτους 2023 για την επαύξηση δυναμικότητας του αγωγού Trans-Adriatic Pipeline (TAP). Σύμφωνα με τις εγκεκριμένες Κατευθυντήριες Γραμμές για τη Δοκιμή Αγοράς του Έτους 2023, προβλέπονται, ιδίως, τα ακόλουθα:
- H διαδικασία επαυξημένης δυναμικότητας χωρίζεται σε δύο φάσεις, μια μη δεσμευτική φάση (η οποία περιλαμβάνει την αξιολόγηση της ζήτησης και τον σχεδιασμό της επέκτασης) και μια δεσμευτική φάση (η οποία περιλαμβάνει μια περίοδο ενημέρωσης και μια δεσμευτική φάση υποβολής προσφορών).
- Οι προαναφερθείσες φάσεις περιλαμβάνουν όλα τα βήματα που περιγράφονται στον Κανονισμό CAM, ώστε να επιτρέπεται στους συμμετέχοντες να υποβάλουν δεσμευτικές προσφορές για την κατανομή δυναμικότητας.
- Η διαδικασία είναι ανοιχτή σε όλα τα Ενδιαφερόμενα Μέρη, δηλαδή σε οποιοδήποτε νομικό πρόσωπο που ενδιαφέρεται να υποβάλει μη δεσμευτικές και δεσμευτικές ενδείξεις ζήτησης δυναμικότητας στην TAP AG και να συμμετάσχει στην Δοκιμή Αγοράς της TAP AG με διαφανή και αμερόληπτο τρόπο.
- Κατά τη διάρκεια της Δοκιμής Αγοράς, όλα τα Ενδιαφερόμενα Μέρη μπορούν να ζητήσουν επέκταση της χωρητικότητας εισόδου ή/και εξόδου στο Σύστημα Μεταφοράς του TAP, καθώς και την κατασκευή νέων σημείων εισόδου ή/και εξόδου κατά μήκος του συστήματος μεταφοράς του TAP.
- Τα Ενδιαφερόμενα Μέρη πρέπει να υποβάλουν στις Αρχές δήλωση για να διασφαλίσουν ότι η μη δεσμευτική ένδειξη ζήτησης συμμορφώνεται με τυχόν ισχύοντα Όρια Δυναμικότητας (Capacity Caps). Πρέπει επίσης να επιβεβαιώσουν στην TAP AG, τουλάχιστον δύο -6- ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ εβδομάδες πριν από το τέλος της Φάσης Αξιολόγησης, ότι οι Αρχές έχουν κρίνει το αίτημα συμβατό με τα Όρια Δυναμικότητας.
- Η δεσμευτική φάση σκιαγραφείται στις εγκεκριμένες Κατευθυντήριες Γραμμές, επειδή οι λεπτομερείς κανόνες της θα εξαρτηθούν από τα αιτήματα ζήτησης που θα ληφθούν κατά τη διάρκεια της μη δεσμευτικής φάσης και θα υπόκεινται σε περαιτέρω έγκριση από τις Αρχές. Επειδή, στις 3 Ιουλίου 2023, η TAP AG ξεκίνησε τη μη δεσμευτική φάση της Διαδικασίας Επαυξημένης Δυναμικότητας (Incremental Capacity Process) στον Διαδριατικό Αγωγό Φυσικού Αερίου (Trans Adriatic Pipeline), σε συντονισμό με την Snam Rete Gas (SRG) και τον ΔΕΣΦΑ. Οι τρεις ΔΣΜ έλαβαν μη δεσμευτικές ενδείξεις ζήτησης και συνέταξαν μια κοινή Έκθεση Εκτίμησης Ζήτησης (DAR), η οποία δημοσιεύθηκε στις 10 Απριλίου 2024 (σχετικό 21), καταλήγοντας στο συμπέρασμα ότι υπήρχε επαρκής ενδεικτική ζήτηση για την έναρξη ενός Έργου Επαυξημένης Δυναμικότητας. Στις 17 Ιουνίου 2024, η SRG, ο ΔΕΣΦΑ και η TAP AG, σύμφωνα με τις διατάξεις του άρθρου 27
(3)του Κανονισμού CAM, ξεκίνησαν από κοινού δημόσια διαβούλευση σχετικά με το προσδιορισμένο προσχέδιο Πρότασης Έργου που συντάχθηκε με σκοπό την ικανοποίηση, στο μέτρο του δυνατού, των ενδεικτικών μη δεσμευτικών αιτημάτων ζήτησης που ελήφθησαν (σχετικό 22). Στο πλαίσιο της διαβούλευσης υπήρξε μια συμμετοχή. Επειδή, με το σχετικό 25 η εταιρεία TAP AG, από κοινού με τους διαχειριστές SRG S.p.A. και ΔΕΣΦΑ Α.Ε. υπέβαλε την πρότασή τους για το έργο επαύξησης δυναμικότητας του αγωγού TAP όπως απορρέει από τα μέχρι τώρα δεδομένα που έχουν προκύψει από τις εργασίες της Δοκιμής Αγοράς του Έτους 2023. Επειδή, σύμφωνα με την πρόταση, το Έργο Επαυξημένης Δυναμικότητας από την πλευρά του Συστήματος Μεταφοράς του TAP μπορεί να επιτευχθεί με την εγκατάσταση πρόσθετων μονάδων συμπιεστών και δεν απαιτούνται τροποποιήσεις στον αγωγό. Η πρόταση περιλαμβάνει τρία σενάρια επέκτασης, που αντιστοιχούν σε 3 επίπεδα προσφοράς με αναφορά στην είσοδο Κήποι, όπως αποτυπώνονται στον Πίνακα που ακολουθεί: Σενάρια προσφοράς Επαύξηση δυναμικότητας Ημερομηνία διάθεσης Εκτιμώμενο κόστος MSm3/Ημέρα GWh/Ημέρα Περιορισμένη επέκταση 6,4 62,5 30-Νοε-30 636 Μερική επέκταση 11,9 115,1 31-Μαρ-31 1156 Πλήρης επέκταση 24,2 235,1 31-Ιουλ-31 2245 -7- Εκατ. € ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ Επειδή, όπως αποτυπώνεται στην πρόταση έργου το Εθνικό Σύστημα Μεταφοράς Φυσικού Αερίου (ΕΣΜΦΑ) της Ελλάδας είναι διασυνδεδεμένο με τον αγωγό TAP στο ΣΔ της Νέας Μεσημβρίας. Ένας σταθμός συμπίεσης (ΣΜ) λειτουργεί επί του παρόντος στη Νέα Μεσημβρία. Ένας νέος σταθμός συμπίεσης βρίσκεται υπό κατασκευή στην Αμπελιά, ενώ ένας σταθμός συμπίεσης που θα επιτρέπει φυσικές ροές από το σύστημα του ΔΕΣΦΑ προς τον TAP βρίσκεται επίσης υπό κατασκευή. Ο ΔΕΣΦΑ έχει πραγματοποιήσει προκαταρκτικές τεχνικές μελέτες προκειμένου να προσδιορίσει τις επενδύσεις που απαιτούνται για να διατεθεί η επαυξημένη δυναμικότητα στο ΣΔ της Νέας Μεσημβρίας. Η επίδραση των επαυξημένων ροών από το σύστημα μεταφοράς φυσικού αερίου του ΔΕΣΦΑ προς τον TAP και αντίστροφα έχει εξεταστεί μέσω υδραυλικών προσομοιώσεων. Το επίπεδο της επαυξημένης δυναμικότητας που προσφέρει ο ΔΕΣΦΑ στο πλαίσιο αυτής της Πρότασης Έργου και τα σχετικά έργα επέκτασης που προτείνει ο ΔΕΣΦΑ έχουν υπολογιστεί λαμβάνοντας υπόψη τις υπάρχουσες τεχνικές δυναμικότητες των σημείων εισόδου/εξόδου του ΕΣΜΦΑ, καθώς και τα έργα που περιλαμβάνονται άνευ όρων στο Δεκαετές Πρόγραμμα Ανάπτυξης 2024-2033 του ΕΣΦΑ. Η επαυξημένη δυναμικότητα που προσφέρεται περιγράφεται παρακάτω: A. Δυναμικότητα εισόδου (από τον TAP προς τον ΔΕΣΦΑ) στη Νέα Μεσημβρία - Επίπεδο 1: επαυξημένη δυναμικότητα 35 GWh/ημέρα Για το Επίπεδο Προσφοράς 1, απαιτείται ένας νέος αγωγός διαμέτρου 30” και μήκους περίπου 130 χλμ., που θα αντιγράφει μέρος του κύριου αγωγού (Νέα Μεσημβρία - Πάτημα). Αυτός ο νέος αγωγός θα τοποθετηθεί παράλληλα με τον υπάρχοντα, όπου είναι δυνατόν, για την ελαχιστοποίηση του κόστους του έργου, των περιβαλλοντικών επιπτώσεων και του χρόνου που απαιτείται για την κατασκευή του έργου. Το κόστος του σχετικού έργου εκτιμάται σε 190 εκατομμύρια ευρώ. Αυτό το επίπεδο επαυξημένης δυναμικότητας μπορεί να προσφερθεί μόνο μετά την ολοκλήρωση του Συμπιεστή στην Αμπελιά που έχει συμπεριληφθεί στο Δεκαετές Πρόγραμμα Ανάπτυξης 2024-2033 του ΕΣΦΑ. Η προαναφερθείσα επένδυση είναι η μέγιστη απαραίτητη επένδυση για την παροχή επαυξημένης δυναμικότητας 35 GWh/ημέρα στο ΣΔ της Νέας Μεσημβρίας, προς την κατεύθυνση από τον TAP προς τον ΔΕΣΦΑ. Σύμφωνα με τα αναγραφόμενα στην Πρόταση Έργου μπορεί τελικά να μειωθεί λαμβάνοντας υπόψη τη διαθεσιμότητα απεριόριστης σταθερής δυναμικότητας στη Νέα Μεσημβρία κατά την έναρξη της διαδικασίας επαυξημένης δυναμικότητας. Ο ΔΕΣΦΑ θα ανακοινώσει πριν από την έναρξη της φάσης δέσμευσης στον ιστότοπό του την ακριβή ποσότητα διαθέσιμης σταθερής δυναμικότητας στο ΣΔ Νέας Μεσημβρίας. Σε περίπτωση που, πριν από την έναρξη της Φάσης Δεσμευτικής Υποβολής Προσφορών, εξακολουθεί να υπάρχει σταθερή δυναμικότητα διαθέσιμη προς την κατεύθυνση από τον TAP προς το σύστημα του ΔΕΣΦΑ, η προαναφερθείσα επένδυση ενδέχεται να μειωθεί σε έκταση ή να μην είναι απαραίτητη καθόλου. B. Δυναμικότητα εξόδου (από τον ΔΕΣΦΑ προς τον TAP) στη Νέα Μεσημβρία - Επίπεδο 1: επαυξημένη δυναμικότητα 37 GWh/ημέρα Ο ΔΕΣΦΑ έχει συμπεριλάβει στο ήδη εγκεκριμένο από τον Κλάδο Ενέργειας της ΡΑΑΕΥ Δεκαετές Πρόγραμμα Ανάπτυξης ΕΣΦΑ 2024-2033, έναν νέο συμπιεστή ενίσχυσης στη Νέα Μεσημβρία, προκειμένου να διευκολύνει τις ροές από το σύστημα φυσικού αερίου του ΔΕΣΦΑ -8- ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ προς τον TAP. Αυτός ο συμπιεστής ενίσχυσης θα επιτρέψει στον ΔΕΣΦΑ να προσφέρει προϊόντα σταθερής δυναμικότητας στο σημείο εξόδου Νέα Μεσημβρία. Ο συμπιεστής αναμένεται να τεθεί σε λειτουργία πριν από το πρώτο έτος φυσικού αερίου για το οποίο προσφέρεται επαυξημένη δυναμικότητα μέσω αυτής της διαδικασίας. Προϋπόθεση για την προσφορά του προαναφερθέντος επιπέδου επαυξημένης δυναμικότητας είναι η ολοκλήρωση του νέου ενισχυτικού συμπιεστή και η ολοκλήρωση των υπόλοιπων έργων που περιλαμβάνονται άνευ όρων στο Δεκαετές Πρόγραμμα Ανάπτυξης ΕΣΦΑ 2024-2033 (Συμπιεστής στην Αμπελιά και ενισχυτικός Συμπιεστής στη Νέα Μεσημβρία). Επειδή, με βάση τα ως άνω, στην πρόταση των Διαχειριστών TAP, SRG και ΔΕΣΦΑ, το έργο επαυξημένης δυναμικότητας της δεσμευτικής φάσης για τη Δοκιμή Αγοράς του 2023 αφορά 4 (τέσσερα) Σημεία Διασύνδεσης (ΣΔ) κατά μήκος της διαδρομής του TAP: Κήποι (ΤουρκίαΕλλάδα), Νέα Μεσημβρία (Ελλάδα), Kurca (Αλβανία) και Melendugno (Ιταλία). Συγκεκριμένα, το Έργο Επαυξημένης Δυναμικότητας περιλαμβάνει τα ακόλουθα, όπως αποτυπώνονται σε Επίπεδα Προσφοράς στους Πίνακες που ακολουθούν: α) Επαυξημένη δυναμικότητα που προσφέρεται από τον TAP στο ΣΔ Κήποι ως αδεσμοποίητη δυναμικότητα εισόδου. β) Επαυξημένη δυναμικότητα που προσφέρεται από κοινού από τον TAP και τον ΔΕΣΦΑ στο ΣΔ της Νέας Μεσημβρίας ως δεσμοποιημένο προϊόν δυναμικότητας, έξοδος ΔΕΣΦΑ και είσοδος TAP. γ) Επαυξημένη δυναμικότητα που προσφέρεται από κοινού από τον TAP και τον ΔΕΣΦΑ στο ΣΔ της Νέας Μεσημβρίας ως συνδυασμένο προϊόν δυναμικότητας, έξοδος TAP και είσοδος ΔΕΣΦΑ. και ε) Επαυξημένη δυναμικότητα που προσφέρεται από τον TAP ως αδεσμοποίητη δυναμικότητα εξόδου στο πιθανό σχετικό σημείο εξόδου της Kurca. στ) Επαυξημένη δυναμικότητα που προσφέρεται από κοινού από τον TAP και την SRG ως δεσμοποιημένο προϊόν δυναμικότητας στο ΣΔ του Melendugno, έξοδος TAP και είσοδος SRG. Επειδή, για να αυξηθεί η πιθανότητα θετικής έκβασης των οικονομικών δοκιμών που θα εφαρμοστούν στις δύο πλευρές κάθε Σημείου Διασύνδεσης για το Έργο Επαυξημένης Δυναμικότητας σύμφωνα με τις διατάξεις του άρθρου 30
(1)του Κανονισμού CAM και λαμβάνοντας υπόψη το συγκεκριμένο κανονιστικό πλαίσιο του TAP, καθώς και τα ευρήματα των μη δεσμευτικών ενδείξεων ζήτησης, οι Διαχειριστές TAP, ΔΕΣΦΑ και SRG προτείνουν μια σειρά μέτρων: α) Την εφαρμογή ενός Εναλλακτικού Μηχανισμού Κατανομής («AAM») με εκτεταμένο ορίζοντα δέσμευσης δυναμικότητας 20 ετών μετά την έναρξη της επιχειρησιακής χρήσης, καθώς πληρούνται όλες οι προϋποθέσεις που ορίζονται στο Άρθρο 30
(2)του Κανονισμού CAM. β) Την απαίτηση δέσμευσης δυναμικότητας από τους συμμετέχοντες για διάρκεια τουλάχιστον 3 συνεχόμενων ετών, όπως τεκμηριώνεται στις Αρχές από την TAP AG, την SRG και τον ΔΕΣΦΑ. γ) Την απαίτηση υποβολής εγγύησης προσφοράς από τους συμμετέχοντες (κατά τη φάση υποβολής προσφορών) και «Εγγύησης Μετά την Προσφορά» (μόλις η δυναμικότητα - 10 - ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ πρόκειται να εκχωρηθεί), για να διασφαλιστεί η κάλυψη των επενδύσεων που πραγματοποιούνται από την TAP AG πριν από την Ημερομηνία COD (Commercial Operation Date). δ) Τη δυνατότητα της TAP AG να προτείνει στον χρήστη τη διάθεση μέρους της δυναμικότητας πριν από την ημερομηνία που περιλαμβάνεται στην προσφορά του. Κατά αυτόν τον τρόπο επιταχύνεται η χρήση της επαυξημένης δυναμικότητας και επομένως η παράδοση ποσοτήτων φυσικού αερίου χωρίς να είναι απαραίτητη η ολοκλήρωση όλων των επενδύσεων που απαιτούνται για την κάλυψη του συνόλου της ζήτησης που θα προκύψει από την δεσμευτική φάση. ε) Τη δυνατότητα για όλους τους χρήστες να παρατείνουν την ημερομηνία δέσμευσης δυναμικότητας, εφόσον ειδοποιήσουν έγκαιρα τον Διαχειριστή TAP, πριν από την ημερομηνία έναρξης της δέσμευσης. Η δυνατότητα παράτασης προσφέρεται μόνο από τον Διαχειριστή του TAP, και όχι από τους άλλους δύο διαχειριστές (SRG και ΔΕΣΦΑ). Συνεπώς ο Συμμετέχων οφείλει να δεσμεύσει την αντίστοιχη δυναμικότητα στην άλλη πλευρά της Διασύνδεσης. στ) Την ολοκλήρωση της διαδικασίας Επαυξημένης Δυναμικότητας που εκκίνησε το 2023 (Δοκιμή Αγοράς του έτους 2023) πριν από την έναρξη της δεσμευτικής φάσης της νέας Διαδικασίας Επαυξημένης Δυναμικότητας/Δοκιμής Αγοράς που ξεκίνησε τον Ιούνιο του 2025 με την έγκριση από τις Ρυθμιστικές Αρχές της Ελλάδας, της Ιταλίας και της Αλβανίας των αντίστοιχων Κατευθυντήριων Γραμμών (σχετικό 24). Επειδή, λαμβάνοντας υπόψιν το ρυθμιστικό πλαίσιο του αγωγού TAP και τα ιδιαίτερα υψηλά κόστη των απαιτούμενων επενδύσεων, προκειμένου να αυξηθεί η πιθανότητα θετικής έκβασης των οικονομικών δοκιμών που θα εφαρμοστούν στις δύο πλευρές κάθε σημείου διασύνδεσης, κρίνεται εύλογη η πρόταση των Διαχειριστών για την εφαρμογή Εναλλακτικού Μηχανισμού Κατανομής δυναμικότητας, σύμφωνα με το άρθρο 30 του Κανονισμού CAM, για προϊόντα δυναμικότητας έως 20 ετών. Επειδή, σύμφωνα με την Πρόταση Έργου, οι δεσμευτικές προσφορές των συμμετεχόντων θα συνδέουν δεσμεύσεις σε ένα Σημείο Διασύνδεσης με δεσμεύσεις σε άλλα Σημεία Διασύνδεσης και δεσμεύσεις σε πλήθος διαφορετικών ετησίων τυποποιημένων προϊόντων δυναμικότητας, σύμφωνα με την παράγραφο 3 του άρθρου 30 του Κανονισμού CAM. Επομένως, προκειμένου να αυξηθεί η πιθανότητα υλοποίησης του έργου επαύξησης, κρίνεται σκόπιμη η παροχή προτεραιότητας σε δεσμεύσεις δυναμικότητας διάρκειας κατ’ ελάχιστον τριών συνεχόμενων ετών και η σύνδεση δεσμεύσεων σε περισσότερα του ενός σημεία διασύνδεσης, σύμφωνα με την παράγραφο 4 του άρθρου 30 του Κανονισμού CAM. Επειδή, στην ενότητα D.1 της υποβληθείσας Πρότασης Έργου περιλαμβάνεται ενδεικτικό χρονοδιάγραμμα για τη διεξαγωγή της δεσμευτικής φάσης, η οποία περιλαμβάνει μια περίοδο ενημέρωσης των ενδιαφερόμενων συμμετεχόντων και μια δεσμευτική φάση υποβολής προσφορών. Η περίοδος ενημέρωσης προβλέπεται να διαρκέσει δύο μήνες, από την 2α Οκτωβρίου 2025 έως την 1η Δεκεμβρίου 2025, ενώ η δεσμευτική φάση (υποβολή δεσμευτικών προσφορών, κατανομή δυναμικότητας και υπογραφή συμβάσεων μεταφοράς φυσικού αερίου) από τις 2 Δεκεμβρίου 2025 έως την 15η Ιανουαρίου
- Σημειώνεται ότι η δεσμευτική φάση της Δοκιμής Αγοράς του 2023 αναβλήθηκε για το τέλος του 2025 λόγω αβεβαιοτήτων που σχετίζονται με το Άρθρο 2 του νόμου 28/2022 της Περιφέρειας Απούλιας, το οποίο ενδέχεται να - 11 - ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ έχει αρνητικό αντίκτυπο στη δοκιμή οικονομικής βιωσιμότητας του έργου, η οποία προβλέπεται στο Άρθρο 22 του Κανονισμού CAM. Επειδή, στην πρόταση των Διαχειριστών περιλαμβάνονται οι κανόνες και οι όροι για τη συμμετοχή στη δεσμευτική φάση της διαδικασίας επαύξησης δυναμικότητας και επιπλέον οι εγγυήσεις που απαιτούνται για τη συμμετοχή, η διαδικασία επιστροφής τους σε περίπτωση αρνητικής οικονομικής δοκιμής ή μη κατανομής δυναμικότητας, η διαδικασία που θα ακολουθηθεί σε περίπτωση θετικής οικονομικής δοκιμής (υπογραφή σύμβασης μεταφοράς και πρόσθετες εγγυήσεις), καθώς και η περίπτωση που δεν τεθεί σε ισχύ κάποια σύμβαση μεταφοράς. Το ύψος των εγγυήσεων που προτείνεται από τον ΔΕΣΦΑ για τη συμμετοχή στη δεσμευτική φάση είναι ίσο με το 20% της χρέωσης που προκύπτει για τη μέγιστη αιτηθείσα ετήσια δυναμικότητα κάθε συμμετέχοντα με βάση την εκτίμηση του Διαχειριστή για τα τιμολόγια χρήσης του ΕΣΦΑ, όπως ισχύει και για τις περιπτώσεις προϊόντων δυναμικότητας ετήσιας διάρκειας στα Σημεία Εισόδου του ΕΣΦΑ (Κώδικας Διαχείρισης ΕΣΦΑ άρθρα 21Η παρ. 2Α και 21Ι παρ. 3Α).Αντίστοιχα, οι εγγυητικές επιστολές που αφορούν στη διαδικασία της επαύξησης δυναμικότητας (συμμετοχή στη δεσμευτική φάση της διαδικασίας και εγγυήσεις σύμβασης μεταφοράς) θα πρέπει να εκδίδονται από ελληνικό χρηματοπιστωτικό ίδρυμα εποπτευόμενο από την Ευρωπαϊκή Κεντρική Τράπεζα (συστημικές τράπεζες) ή οποιοδήποτε ελληνικό υποκατάστημα διεθνούς φήμης τράπεζας – ή οποιασδήποτε διεθνούς φήμης τράπεζας – με ελάχιστη αξιολόγηση πιστοληπτικής ικανότητας BBB από την Standard and Poor’s, BBB από την Fitch ή Βaa3 από την Moody’s, το οποίο έχει εγκριθεί εκ των προτέρων από τον ΔΕΣΦΑ. Επειδή, το έργο επαυξημένης δυναμικότητας που αφορά στο Εθνικό Σύστημα Φυσικού Αερίου, αναμένεται να λειτουργήσει θετικά για το σύστημα καθώς θα προσφέρει μεγαλύτερη ευελιξία στη λειτουργία του συστήματος (διαχείριση πιέσεων και αύξηση αποθεμάτων αγωγού) και θα ευνοήσει την είσοδο φυσικού αερίου από την Ιταλία γεγονός που θα προσφέρει περαιτέρω διαφοροποίηση των πηγών προμήθειας και αναμένεται να οδηγήσει σε συμπίεση των τιμών προμήθειας φυσικού αερίου. Με βάση τα παραπάνω το έργο επαύξησης δυναμικότητας αναμένεται να αποφέρει σημαντικά οφέλη στην αγορά φυσικού αερίου και στο σύστημα μεταφοράς, επομένως η Αρχή κρίνει εύλογο όπως ο παράγοντας f, κατά το άρθρο 23 του Κανονισμού CAM, λάβει την τιμή 0,75, σε ότι αφορά το έργο επαύξησης δυναμικότητας από τον TAP προς ΔΕΣΦΑ στο Σημείο Διασύνδεσης της Νέας Μεσημβρίας. Επειδή, εν κατακλείδι, η πρόταση των Διαχειριστών περιλαμβάνει το σύνολο των προβλεπόμενων στην παράγραφο 3 του άρθρου 27 και στην παράγραφο 1 του άρθρου 28 του Κανονισμού CAM, ήτοι τα ακόλουθα: α) Περιγραφή του έργου επαυξημένης δυναμικότητας συμπεριλαμβανομένης εκτίμησης του κόστους του έργου που απαιτείται, β) Επίπεδα προσφοράς για τα προϊόντα δεσμοποιημένης δυναμικότητας στα Σημεία Διασύνδεσης, γ) Αιτιολόγηση για την επιλογή εναλλακτικού μηχανισμού κατανομής των διαχειριστών συστημάτων μεταφοράς, δ) Προσωρινά χρονοδιαγράμματα του έργου επαυξημένης δυναμικότητας, ε) Γενικούς κανόνες και όρους για τη συμμετοχή στο δεσμευτικό στάδιο κατανομής δυναμικότητας (binding phase), συμπεριλαμβανομένων εγγυήσεων, διαδικασίας αντιμετώπισης ενδεχομένων καθυστερήσεων στην παροχή της δυναμικότητας και προβλέψεις για την περίπτωση διακοπής του έργου, στ) Παράγοντα f για συγκεκριμένο επίπεδο προσφοράς σύμφωνα με το άρθρο 23 του Κανονισμού. Επειδή, κάθε έγκριση ή εν γένει πράξη που απορρέει από την Κοινή Απόφαση Εξαίρεσης αποτελεί κοινή απόφαση των τριών Ρυθμιστικών Αρχών Ιταλίας, Αλβανίας και Ελλάδας, - 12 - ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ σύμφωνα με την παράγραφο 4.8.1 της Απόφασης Εξαίρεσης: «Where the present opinion foresees an action by the Authorities, for the purpose of the implementation of such an action, the Authorities shall endeavor all efforts to act jointly.». Ωστόσο, εν προκειμένω, κάθε Ρυθμιστής εγκρίνει το κείμενο κατά το μέρος που τον αφορά, δηλαδή η ΡΑΑΕΥ για τα θέματα που αφορούν στους TAP και ΔΕΣΦΑ. Επίσης, σύμφωνα με τον Κανονισμό CAM (Άρθρο 28.2), οι Ρυθμιστικές Αρχές θα πρέπει να δημοσιεύουν συντονισμένες αποφάσεις σχετικά με την πρόταση έργου, λαμβάνοντας υπόψη τις απόψεις των άλλων εμπλεκόμενων εθνικών ρυθμιστικών αρχών. Επομένως, η παρούσα κοινή απόφαση λαμβάνεται με την επιφύλαξη των εμπλεκόμενων Ρυθμιστικών Αρχών να τη συμπληρώσουν με περαιτέρω αποφάσεις που εμπίπτουν στην αρμοδιότητά τους, δηλαδή όλες τις πτυχές που σχετίζονται με τη σύνδεση του TAP με τα αντίστοιχα εθνικά τους συστήματα. Επειδή, οι Ρυθμιστικές Αρχές Ελλάδας. Ιταλίας και Αλβανίας συνεργάστηκαν για την εξέταση της Πρότασης Έργου επαυξημένης δυναμικότητας των τριών Διαχειριστών TAP, SRG και ΔΕΣΦΑ με βάση τα αποτελέσματα της μη δεσμευτικής φάσης της Δοκιμής Αγοράς 2023 με σκοπό την έναρξη, διενέργεια και ολοκλήρωση της δεσμευτικής φάσης της Δοκιμής Αγοράς. Στο Παράρτημα της παρούσας απόφασης το οποίο αναφέρεται ως «ΑΝΝΕΧ Α» αποτυπώνεται η Κοινή Απόφαση των τριών Αρχών επί του αιτήματος των διαχειριστών TAP A.G., SRG S.p.A. και ΔΕΣΦΑ Α.Ε. για την έγκριση της Πρότασης Έργου Επαυξημένης Δυναμικότητας στο πλαίσιο της Διαδικασίας Επαύξησης Δυναμικότητας/Δοκιμής Αγοράς του 2023, η οποία (Πρόταση Έργου) προσαρτάται στην Κοινή Απόφαση ως «Annex B». Για τους παραπάνω λόγους Αποφασίζει
- Την έγκριση του κειμένου με τίτλο «Project Proposal of TAP, SRG and DESFA for the 2023 Incremental Capacity Process» σύμφωνα με την κοινή Απόφαση των Ρυθμιστικών Αρχών της Ελλάδος, Ιταλίας και Αλβανίας με τίτλο «Approval of “Project Proposal of TAP, SRG and DESFA for the 2023 Incremental Capacity Process – Binding Phase” jointly proposed by TAP AG, SRG S.p.A. and DESFA SA on the 28th of July 2025», η οποία προσαρτάται στην παρούσα Απόφαση ως «Παράρτημα Α» και αποτελεί αναπόσπαστο τμήμα αυτής. On September 1st 2011, TAP AG submitted to the Energy Regulatory Entity (ERE) of Albania an “Exemption Application for Trans Adriatic Pipeline”, in accordance with Article 22 of the Gas Directive 2003/55/EC. In June 2013 the Italian Ministry, RAE and ERE took the decision on the exemption, adopting the Final Joint Opinion (hereafter: “the FJO”), a document jointly written by ARERA, ERE and RAE (hereafter: “the Authorities”) and amended to comply with the Commission Decision [C
(2013)2949 final] dated 16th of May 2013 and to take note of the Opinion 1/2013 of the Energy Community Secretariat dated 14th of May
- In November of the same year, the Authorities approved TAP’s Tariff Code
- In the FJO an exemption from the provisions of Articles 9 (Unbundling), 32 (TPA) for the Initial Capacity of 10bcm/y, and 41.6, 41.8, 41.10 (Regulated Tariffs) of the Gas Directive has been granted to TAP AG for a period of 25 years starting from the beginning of the Commercial Operation Date, under several conditions. Among others, according to Article 4.1.7 of the FJO, TAP AG is obliged to perform Market Tests on a regular basis starting no later than the Commercial Operation Date and, subsequently, at least every two years. TAP AG shall perform Market Tests under guidelines approved by the Authorities, with the view to offer to all Interested Parties additional available capacity up to the Total Capacity of 20 bcm/y
- Following Article 4.1.7, TAP AG is obliged to fulfil the binding capacity requests resulting from each market test taking into account the provisions of points 3, 6 and 9 of §4.7 of the FJO. The expansion takes place if it is economically viable, namely if the incremental revenues from capacity resulting from each market test are equal or larger than the efficient incremental costs, quantified according to the TAP AG methodology as laid down in the TAP Tariff Code. Additional terms to safeguard full compliance to the criteria of Article 36.1 of the Gas Directive were also imposed, among others, the obligation to build additional entry and exit points in Greece and Albania upon request of a third party, as a result of any market test, as long as such construction is technically feasible. The burden of proof to demonstrate that the construction of such additional entry and exit point is not technically feasible rests with TAP AG. If requested by the Authorities, TAP AG is to provide an opinion from an independent third party. All costs related to the construction and operation of such entry and exit points will be borne by the third party who made the request, according to the national legislation in place at the time of the request. Costs related to such entry and exit points will not include the investments required for additional capacity of TAP, resulting from §4.1 of the FJO, which will be remunerated through TAP Tariffs. On March 16th 2017, the EU Regulation 459/2017 “establishing a network code on capacity allocation mechanisms in gas transmission systems and repealing Regulation (EU) No 984/2013” was adopted. The EU Regulation 2017/459 (hereafter: CAM NC) establishes a Network Code setting up capacity allocation mechanisms in gas transmission systems for both existing and incremental capacity. 5 Hereafter the definitions of the Final Joint Opinion and of EU Regulation 2017/459 apply. 6 TAP’s Tariff Code was amended in
- Following Article 4.1.9, the possibility to further expand capacity beyond the Total Capacity, (i.e. beyond 20 bcm/year), shall be investigated by TAP AG and if economically and technically feasible, it will be undertaken, with a view to fulfil all requests for long-term capacity (long-term means here a duration of more than 15 years). 7 - 15 - ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ On June 14th 2019, TAP AG submitted to the Authorities the “Guidelines for the 2019 Market Test” seeking to align the related provisions of the Final Joint Opinion with EU Regulation 2017/459, in particular by coordinating the expected timeline/deadlines and by strengthening the cooperation with adjacent TSOs. Following the approval of the Authorities, TAP AG launched, in coordination with adjacent TSOs, the first Market Test for expansion (incremental) capacity on July 5th
- During the binding phase, shippers did not submit any binding bids. On June 11th 2021, TAP AG submitted to the Authorities the “Guidelines for the 2021 Market Test of Trans Adriatic Pipeline Guidelines”. Following the approval of the Authorities, TAP AG launched, in coordination with adjacent TSOs, the second Market Test for expansion (incremental) capacity on July 2021 (hereafter: 2021 Μarket Τest). At the stage of the Project Proposal approval by the Authorities, the three TSOs (SRG S.p.A., TAP AG and DESFA SA), considering the gas market developments, suggested that the 2021 Market Test could be performed in two rounds of binding phases: a first one in January 2023 and a second one, if needed on the basis of the results of the first binding phase, during
- The first binding phase was concluded in February 2023 with the allocation of capacity and the signature of GTAs. As a result of the first binding phase, the Level 1 of capacity was assigned: • Entry capacity to TAP at Kipoi IP of 32,829,131 kWh/day from 1 January 2026 until 31 December 2028; • Exit capacity from DESFA and Entry capacity to TAP at Nea Mesimvria IP of 5,000,000 kWh/day from 1 October 2026 until 30 September 2033; • Exit capacity from TAP at the exit point of Roskovec of 5,000,000 kWh/day from 1 October 2026 until 30 September 2033: • Exit capacity from TAP and entry capacity to SRG at Melendugno IP of 32,829,131 kWh/day from 1 January 2026 until 31 December
- The second binding phase was concluded on the 31 January 2024 with no further allocation of capacity. On June 16th 2023 TAP AG submitted to the Authorities the “Guidelines for the 2023 Market Test, On June 27th 2023, (ARERA Deliberation 287/2023/R/gas), on June 27th 2023 (ERE’s Decision No.212), on June 29th 2023 (RAAEY’s Decision E-63/2023), respectively, ARERA, ERE and RAAEY approved the Guidelines (hereafter: 2023 Guidelines). The main points of the 2023 Guidelines relevant for the present decision are:
- the incremental capacity process is split into two phases, a non-binding phase (that includes the demand assessment and the design of expansion) and a binding phase (that includes an information period and a binding bidding phase);
- the above-mentioned phases shall include all steps described in CAM NC to allow participants to submit binding bids for capacity allocation;
- the procedure is open to all Interested Parties, namely any legal person who is interested in submitting non-binding and binding capacity demand indications to TAP AG and to participate in TAP’s Market Test in a transparent and nondiscriminatory manner; - 16 - ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ
- during the Market Test, all Interested Parties can request expansion of the entry and/or of the exit capacity on the TAP Transportation System, as well the construction of new entry and/or exit points along TAP’s transportation system;
- Interested Parties must submit to the Authorities a declaration to ensure that their non-binding demand indication complies with any applicable Capacity Caps; they have also to confirm to TAP AG, at least two weeks prior to the end of Assessment Phase that the Authorities have deemed the request compliant with capacity caps.
- the binding phase is sketched in the proposed Guidelines because its detailed rules will depend on the demand requests received during the non-binding phase and will be subject to further approval by the Authorities. The binding phase of the 2023 Market Test was delayed to the end of 2025 due to uncertainties related to Article 2 of Apulia Region n. 28/2022 that is likely to have negative impact on the economic viability test of the project, foreseen at Article 22 of the CAM NC. On 3rd July 2023, TAP AG, launched the non-binding phase of the Incremental Capacity Process on the Trans Adriatic Pipeline, in coordination with Snam Rete Gas (SRG) and DESFA. The three TSOs received non-binding demand indications and produced a joint Demand Assessment Report (DAR), published on the 10th of April 2024, concluding that there was sufficient indicative demand to initiate an Incremental Capacity Project. On 17th June 2024, SRG, DESFA and TAP AG in accordance with the provisions set out in article 27
(3)of CAM NC, jointly launched a public consultation on the identified draft Project Proposal written with the purpose of meeting, to the extent possible, the received indicative non-binding demand requests. After the consultation, which received one reply, the Project Proposal, was finally submitted for approval to the Authorities on the 28th of July
- According to CAM (Article 28.2), the NRAs should publish coordinated decisions on the project proposal, considering the views of the other national regulatory authorities involved. Therefore, the present joint decision is taken without prejudice for the NRAs involved to supplement it with further decisions falling within their competence, namely all aspects related to TAP connection with their respective national systems. Whereas: The incremental capacity project of the binding phase for the 2023 Market Test concerns 4 (four) Interconnection Points (IPs) along the route of the TAP: Kipoi (TR-GR), Nea Mesimvria (GR) , Korca (AL), and Melendugno (IT). In particular, the Incremental Capacity Project comprises the following: a. Incremental capacity offered jointly by TAP and SRG as a bundled capacity product at the IP of Melendugno exit TAP and entry SRG; b. Incremental capacity offered jointly by TAP and DESFA at the IP of Nea Mesimvria as a bundled capacity product exit DESFA and entry TAP; c. Incremental capacity offered jointly by TAP and DESFA at the IP of Nea Mesimvria as a bundled capacity product exit TAP and entry DESFA; d. Incremental capacity offered by TAP at the IP Kipoi as unbundled entry capacity; e. Incremental capacity offered by TAP as unbundled exit capacity at the prospective relevant Exit point of Korca. On the TAP section, the Incremental Capacity Project: - 17 - ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ
- can be achieved by installing additional compressor units, no modifications are required to the pipeline;
- foresees 3 possible steps of the expansion, corresponding to 3 offer levels, namely, with reference to entry Kipoi: a. “limited expansion”: upgrade of existing metering station to become a compressor station, with addition of 3 electrical compressor units (35 MW each) + other facilities (metering and pressure reduction stations). Incremental capacity offer level of 6.4 MSm3/d (62.5 GWh/day), available from 30th November 2030; b. “partial expansion”: upgrade of existing compression stations with addition of 7 electric compression units. Incremental capacity offer level of 11.9 MSm3/d (115.1 GWh/day), available from 31st March 2031; c. “full expansion”: upgrade of existing stations + addition of 10 electric compression units (35 MW each). Incremental capacity offer level of 24.2 MSm3/d (235.1 GWh/day) , available from 31st July 2031;
- sets capacity at the TAP IPs, consistent with the expansion levels at entry Kipoi and the already available capacity, on SRG side and expansion projects of DESFA;
- the above mentioned offer levels at all entry and exit points take into account: a. a GCV value of 9,71 kWh/Sm3 and b. the need to set aside 10% of the expansion capacity for short term bookings. To increase the possibility that the economics for the Incremental Capacity Project are passed in accordance with the provisions of art. 30
(1)of CAM NC and considering TAP’s specific regulatory framework as well as the findings of the non-binding demand indications, SRG, TAP AG and DESFA propose a number of measures: 1. the application of an Alternative Allocation Mechanism (“AAM”) with an extended capacity booking horizon of 20 years after the start of the operational use, as all conditions set in Article 30
(2)of CAM are met;
- the requirement of a minimum commitment for duration of at least 3 consecutive years, as documented to the Authorities by TAP AG, SRG and DESFA;
- the requirement for participants to submit a bid bond (during the bidding phase) and a “Post-Bid Guarantee” (once the capacity is going to be assigned), to secure the coverage of investments made by TAP AG before the COD;
- the possibility for TAP AG to propose to the user that part of the capacity be made available in advance of the date contained in the offer. This measure avoids that the first delivery of gas takes place only once the entire demand for capacity has been met;
- the option for all users to extend the date of capacity booking to be notified one month before the start date of the booking; this only applies to the capacity booked on TAP’s side;
- the conclusion of the process before the starting of the binding phase of the new Incremental Capacity Process initiated in June
- - 18 - ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ In accordance with the provisions of article 30
(3)of the CAM NC, TAP AG, DESFA and SRG intend to allow interested parties to submit binding bids on the following basis as all conditions for AAM are met: • commitment at one IP linking commitments at other IP(s); • commitments across a number of different standard yearly capacity products; • commitments conditional on the allocation of a minimum amount of capacity. In the light of the characteristics of the Incremental Capacity Project, the proposed AAM intends to prioritize bids depending on their booking durations, in accordance with article 30
(4)of the CAM NC. The TSOs propose the following timeline: • 2nd October 2025 – 1st December 2025: information phase • 2nd December 2025 – 15th January 2026: binding bidding phase, including capacity allocation and Execution of GTAs. The first gas through the expansion capacity is expected to be delivered in the time period from December 2030 to March 2031, depending on the reached offer level and the delivery point. The economic test is carried out separately by each TSO at their side of the relevant IP and incremental capacity project shall be initiated if the economic test has a positive outcome on both sides of TAP interconnection points for at least one offer level. Market test and ranking criteria are specified in the Project Proposal separately for each TSO. With reference to the above-mentioned Apulia law: - TAP and SNAM reserve the right to include in the EVT calculation any compensation and/or other amount that TAP may be required to pay under the Apulia Law - TAP and SNAM reserves the right (at its sole discretion) to reject bookings at Melendugno if the amount of any compensation and/or other costs under the Apulia Law cannot be determined or reasonably estimated (in TAP’s sole judgement) before the time of the EVT calculation - If the EVT is positive and TAP enters into a GTA with the successful Participant or in case TAP enters into a GTA for capacity allocated only using existing available capacity in accordance with section 3.2 of TAP’s Tariff Code, the relevant GTA will include provisions regarding passing through of any residual, new or amended Apulia Law costs/amounts (which have not been included or otherwise could not be included within an EVT calculation) to the shippers booking capacity pursuant to this Project Proposal Whereas: • the project proposal is in line with the principles stated in the Final Joint Opinion, the approved Guidelines, the CAM NC and does not introduce undue barriers to the foreseen process for building incremental capacity; • the project has been developed in cooperation with adjacent TSOs, with the aim of ensuring a coordinated development of the network; • all the information listed in Article 28 of CAM NC is included in the project proposal; - 19 - ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ • • • the conditions set out in Article 30

Page 4 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ Introduction Commission Regulation (EU) 2017/459 of 16 March 2017 establishing a network code on Capacity Allocation mechanisms in gas transmission systems (CAM NC) establishes a harmonised European Union wide process for the offer of incremental capacity between Member States. CAM NC became applicable in Albania as a contracting party to the Energy Community Treaty from 28 February 2020. The rules for the allocation of capacity for this Incremental Capacity Project as set out in this document consider the specific regulatory framework of TAP according to the Final Joint Opinion issued by the National Regulatory Authorities of Italy (ARERA), Greece (RAEWW) and Albania (ERE), collectively referred to here as the Authorities dated 6 June 2013 (FJO). TAP is exempted from certain provisions on third party access, regulated tariffs and ownership unbundling of Directive 2009/73/EC, subject to terms and conditions set by the FJO. Such exemption continues to apply, as also set out in recital 102 of Regulation (EU) 2024/1789 of the European Parliament and of the Council of 13 June 2024 on the internal markets for renewable gas, natural gas and hydrogen, amending Regulations (EU) No 1227/2011, (EU) 2017/1938, (EU) 2019/942 and (EU) 2022/869 and Decision (EU) 2017/684 and repealing Regulation (EC) No 715/2009 (recast). The exemption from certain tariff provisions and ownership unbundling also applies to TAP’s Expansion Capacity (being capacity made available in the TAP Transportation System in addition to the Initial Capacity, up to 10 BCMA). Expansion Capacity is offered in compliance with the thirdparty access principles. Thus, the Expansion Capacity of TAP will be offered following the Capacity Allocation rules as set by the CAM NC to the extent they do not conflict with the FJO (as per paragraph 4.6 of the FJO) and consequent tailor-made regulatory framework as summarised in Annex I of this Project Proposal. Trans Adriatic Pipeline (TAP), Snam Rete Gas (SRG) and DESFA launched the Demand Assessment Phase of the Incremental Capacity Process in July 2023, in line with the provisions of Article 26 of CAM NC. The Interested Parties were given the opportunity to revise the already submitted Non-Binding Demand Indications (sent to the above TSOs between July-August 2023) or to submit new NonBinding Demand Indications within 2 weeks from the publication of the outcome of the second Binding Phase of the 2021 Market Test on 18 January 2024 (Revision Window). During the Revision Window, launched on 19 January 2024 and lasting until 2nd February 2024 TAP, SRG and DESFA, gave the opportunity to all Interested Parties to revise their Non-Binding Demand Indications and/or submit new ones. The Non-Binding Demand Indications that were received by the TSOs until 2nd February, conclude that there was sufficient non-binding indicative demand to initiate an Incremental Capacity Project. The results of the Demand Assessment Phase have been published in a joint Demand Assessment Report. 1 As per Article 27
(3)of the CAM NC, no later than 12 weeks after the start of the design phase, the involved transmission system operators shall conduct a joint Public Consultation on the draft Project Proposal in one or more official languages of the Member State and to the extent possible in English for a minimum of 1 month. Therefore, this document has been jointly prepared by SRG, DESFA and TAP in accordance with the provisions set in article 27
(3)of CAM NC to conduct a consultation on the identified technical scenarios, to the extent possible, to meet the received nonbinding demand requests. This joint draft Project Proposal of TAP, SRG and DESFA, describes an Incremental Capacity 1 2023 Market test › Trans Adriatic Pipeline (TAP) (tap-ag.com) Page 5 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ Project involving the following Interconnection Points (IPs) on the TAP pipeline: • Incremental capacity offered jointly by TAP and SRG at the IP of Melendugno as a bundled capacity product exit TAP and entry SRG. • Incremental capacity offered jointly by TAP and DESFA at the IP of Nea Mesimvria as a bundled capacity product exit DESFA and entry TAP and as a bundled capacity product exit TAP and entry DESFA. • Incremental capacity offered by TAP at the IP Kipoi as unbundled entry capacity. • Incremental capacity offered by TAP at the prospective Korca exit point as unbundled exit capacity.2 This Incremental Capacity Project is primarily driven by potential increases of the technical capacity at IPs along the TAP pipeline route. If infrastructure upgrades necessary for the Incremental Capacity Project are realised by the interconnected TSOs, then additional natural gas flows from the Greek-Turkish border, Greece or Albania will potentially reach downstream markets. Hence, this Incremental Capacity Project is conducted in close coordination by TAP, SRG and DESFA, to enable the offering of capacities at the IPs shared by the TSOs concerned. Notwithstanding such co-ordination, each TSO will be responsible for its own infrastructure upgrades and the other TSOs shall not have any liability to any party for the undertaking, or fail to undertake, such infrastructure upgrades. Note that volumetric capacity of technical solutions will be quoted in Sm3 or Nm3, while incremental capacity to be offered for booking in each Binding Phase will be quoted in kWh/day. Indicatively, a convention of a minimum Gross Calorific Value (“GCV”) of 9.713 kWh/Sm3 (10.23 kWh/Nm3) can be applied for conversion between capacity in volume and in energy. 2 It is the responsibility of the Participant to initiate any procedures that may be necessary for capacity to be made available downstream of TAP. TAP makes no representation as to the availability of such capacity or to the existence of required facilities outside of TAP. 3 For Melendugno IP the offer levels were calculated considering the existing contracted capacity converted with a GCV equal to 11.07 kWh/Sm3 and the expansion capacity converted with a GCV equal to 9,71 kWh/Sm3. Description of the incremental capacity project and cost estimates A.1 Market demand for incremental capacity Non-binding demand indications by IP are described in detail in the DAR published by TAP, SRG and DESFA on 10th of April 2024. The following summarises high-level conclusions from the DAR relating to the non-binding demand indications for Forward Firm capacity: - At Kipoi IP, TAP has received non-binding requests from Q4-2027 to Q3-2038. They peak at 338,192,364 kWh/day in calendar year 2029 and then gradually reduce to 158,851,000 kWh/day for gas year 2037/38. - At Melendugno IP, TAP has received non-binding requests from Q4-2024 to Q3-2041. They peak at 385,192,364 kWh/day in Q4-2029 and then gradually reduce to 12,000,000 kWh/day for gas year 2040/41. - At Komotini exit point, TAP has received non-binding requests equal to 14,520,548 kWh/d from 2025/26 until 2042/43, except for the period from 2026/27 to 2028/29 where the nonbinding request is equal to 29,520,548 kWh/d. - At Nea Mesimvria IP, TAP and DESFA have received non-binding requests, for exit from the DESFA system and – entry into the TAP pipeline, from gas year 2025/26 to 2039/40. They peak at 52,000,000 kWh/day in the period 2026/27 – 2028/29 and then gradually reduced to 37,000,000 kWh/day for the period 2029/30 – 2034/35 and to 15,000,000 kWh/day for the period 2035/36 – 2039/40. For exit from the TAP pipeline and entry in DESFA system, instead, the non-binding requests are 14,520,548 kWh/d for gas year 2025/26 and for the period from 2040/41 to 2042/43 and 34,520,548 kWh/d for the period from 2026/27 to 2039/40. - At Kucove entry point, TAP has received non-binding requests equal to 3,000,000 kWh/d for gas year 2028/29, 15,000,000 kWh/d from 2029/30 until 2039/40 and 12,000,000 kWh/d for gas year 2040/41. - At Fier entry point, TAP has received non-binding requests equal to 29,041,096 kWh/d from gas year 2025/26 until gas year 2042/43. Connection Requests received for TAP In addition to non-binding capacity requests, TAP has received the following non-binding connection requests for:
- a)an entry point at Fier, Albania, with a technical capacity of 29,041,096 kWh/d. This connection request has not been progressed further and TAP will therefore not provide an Offer Level for such an entry point in this Binding Phase.
- b)an entry point at Kucove, Albania, with a technical capacity of 1.5 MMscm/d. This connection request has not been progressed further and TAP will therefore not provide an Offer Level for such an entry point in this Binding Phase.
- c)an exit point at Korca, Albania, with a potential technical capacity to be defined by the start of the Information Phase. 7 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ The DAR with SRG and DESFA, published on 10th of April 20244 concluded that the demand indications received by TAP, SRG and DESFA were enough to initiate the design phase of an Incremental Capacity Project in accordance with paragraph 2 of Article 26 of NC CAM. During the Non-Binding Phase of the 2023 Market Test, TAP has also received non-binding demand indications for the IP Komotini with ICGB. TAP and ICGB have published a common DAR on 10th of April 2024. The conclusions of the DAR between TAP and ICGB are that the non-binding demand indications received during the Demand Assessment Phase by both TSOs can be accommodated within the existing initial design of the IP. For this reason, TAP and ICGB will not proceed to the next phase of the 2023 Incremental Capacity process and will not open the Coordinated Design Phase for the definition of technical studies specifically applied to IP Komotini.5 Capacity Allocation under the first Binding Phase of the 2021 Market Test The following aggregate capacity has been allocated as part of the first Binding Phase of the 2021 Market Test: - Entry capacity to TAP at Kipoi IP of 32,829,131 kWh/day from 1 January 2026 until 31 December 2028. Exit capacity from DESFA and Entry capacity to TAP at Nea Mesimvria IP of 5,000,000 kWh/day from 1 October 2026 until 30 September 2033. Exit capacity from TAP at the exit point of Roskovec of 5,000,000 kWh/day from 1 October 2026 until 30 September 2033. Exit capacity from TAP and entry capacity to SRG at Melendugno IP of 32,829,131 kWh/day from 1 January 2026 until 31 December 2028. The holders of this allocated capacity have an option to extend the duration of bookings in the TAP pipeline until 14 November 2045, subject to conditions as set out in the Project Proposal published on 14 November 2022 governing the first Binding Phase of the 2021 Market Test.6 The capacity allocated as part of such first Binding Phase of the 2021 Market Test (including capacity booked in the TAP pipeline in respect of which Participants may exercise the extension option described above) has been set aside and accounted for to calculate the Offer Levels for this Binding Phase of the 2023 Market Test. As set out in Section E of the Project Proposal published on 14 November 2022 in respect of the first Binding Phase of the 2021 Market Test (and in Section E of this Project Proposal below), if TAP would be prevented from allocating capacity as a result of such option to extend, TAP may notify the relevant Participant that the latest end date for the extension is curtailed to an earlier date. Please note that the deadline for exercising extension options falls inside the Information Phase. Page 8 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ Provisions addressing the possibility to allocate such capacity in the Binding Bidding Phase are therefore included in section E below. A.2 Description of the Incremental Capacity Project Based on the capacity requests received in the non-binding demand indication phase (as well as the capacity allocated as part of the first Binding Phase of the 2021 Market Test), TAP, SRG and DESFA have started analysing potential infrastructure developments in their respective transmission systems to fulfil interested parties’ requests. The next paragraphs provide further information on the alternatives and associated costs for each of the TSOs. We note that investment costs provided in the descriptions below are in line with established regulatory practices, as individually applicable to each TSO. TAP TAP has identified the following alternative Expansion Projects:7 a. Level 1: TAP limited expansion – to an actually built total capacity entry Kipoi of 47 MSm3 per day (456 GWh/day) (Limited Expansion Project) b. Level 2: TAP partial expansion – to an actually built total capacity entry Kipoi of 53 MSm3 per day (515 GWh/day) (Partial Expansion Project) c. Level 3: TAP full expansion – to an actually built total capacity entry Kipoi of 66.7 MSm3 per day (648 GWh/day) (Full Expansion Project) The TAP pipeline expansion can be achieved by installing additional compressor units at the compressor stations GCS00 (Kipoi) and ACS03 (Fier) and/or by the construction of the additional compressor stations GCS01 (Serres) and ACS02 (Bilisht). No major modifications are expected to be required to pipeline sections between compressor stations. The extent of the expansion depends on the firm demand for the Expansion Capacity. The expansion projects described in this document (including the estimated technical capacities) may be subject, in TAP’s sole discretion, to adjustment during their development, which may include optimisation based on the Binding Bids received by TAP. The different indicative infrastructural development configurations, with preliminary cost estimates according to cost risk analysis based on pre-Market Test studies, are described in the following paragraphs: Level 1: TAP Limited Expansion Project The required works for expansion to allow transportation of up to 47 MSm3/day (456 GWh/day) 7 Volumetric capacities noted in this TAP section for entry Kipoi are the outcome of hydraulic simulations assuming gas with a minimum GCV in accordance with the TAP Network Code (9.71 kWh/Sm3), with the corresponding energy content shown in brackets. Page 9 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ from 30 November 2030 are: ▪ ▪ ACS02: Upgrade of the existing metering station to become a compressor station with the addition of 3 electrically driven compressor units (35 MW each), including relevant facilities, process and utility upgrade as well as required electrical infrastructure, such as grid connection and electric substation; IPR01: Upgrade of the metering and pressure reduction station. The cost of this project is estimated to be approximately 636 M€8. The cost estimate may be amended and notified through the publication of the TAP section of the Joint Notice, depending on the availability of further technical information at such time. Level 1 is directly compatible with the Partial Expansion Project and Full Expansion Project steps as defined below. Level 2: TAP Partial Expansion Project The required works for expansion to allow transportation of up to 53 MSm3/day (514 GWh/day) from 31 March 2031 are: ▪ GCS00: Upgrade of the existing compressor station with the addition of 2 electrically driven compressor units (35 MW each), including relevant facilities, process and utility upgrade as well as required electrical infrastructure, such as grid connection and electric substation; ▪ ACS02: Upgrade of the existing metering station to become a compressor station with the addition of 3 electrically driven compressor units (35 MW each), including relevant facilities, process and utility upgrade as well as required electrical infrastructure, such as grid connection and electric substation; ▪ IPR01: Upgrade of the metering and pressure reduction station. The cost for this project is estimated to be approximately 1156 M€.9 The cost estimate may be amended and notified through the publication of the TAP section of the Joint Notice, depending on the availability of further technical information at such time. Please note that the cost and schedule assumptions given here are based on an integrated project with one E-COD. If capacity is allocated in stages, with one E-COD reflecting works related to Level 1 above and another ECOD for the full capacity under this Level 2, more complex project development may be required with an impact on cost and/or schedule. Level 2 is directly compatible with the Full Expansion Project step as defined below. Level 3: TAP Full Expansion Project The required works for expansion to allow transportation of up to 66.7 MSm3/day (648 GWh/day) from 31 July 2031 are: 8 Class 4 estimate, in accordance with AACE® International Recommended Practice Cost Estimate Classification System-as applied in Engineering Procurement and Construction for the Process Industries No. 18R-97. Page 10 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ ▪ ▪ ▪ ▪ ▪ GCS00: Upgrade of the existing compressor station with the addition of 2 electrically driven compressor units (35 MW each), including relevant facilities, process and utility upgrade as well as required electrical infrastructure, such as grid connection and electric substation; GCS01: Upgrade of the existing scraper facility to become a compressor station with the installation of 3 electrically driven compressor units (35 MW each), including relevant facilities, process and utility upgrade as well as required electrical infrastructure, such as grid connection and electric substation; ACS02: Upgrade of the existing metering station to become a compressor station with the addition of 3 electrically driven compressor units (35 MW each), including relevant facilities, process and utility upgrade as well as required electrical infrastructure, such as grid connection and electric substation; ACS03: Upgrade of the existing compressor station with the addition of 2 electrically driven compressor units (35 MW each), including relevant facilities, process and utility upgrade as well as required electrical infrastructure, such as grid connection and electric substation; IPR01: Upgrade of the metering and pressure reduction station; The cost for this project is estimated to be approximately 2245 M€.10 The cost estimate may be amended and notified through the publication of the TAP section of the Joint Notice, depending on the availability of further technical information at such time. Please note that the cost and schedule assumptions given here are based on an integrated project with one E-COD. If capacity is allocated in stages, e.g. with E-CODs reflecting works related to Level 1 and/or Level 2 above and a final E-COD for the full capacity under this Level 3, more complex project development may be required with an impact on cost and/or schedule. SRG Level 1 Limited Expansion (37,3 MSm3/day - 397 GWh/day11 ), Level 2 Partial expansion (43,3 MSm3/day – 455,6 GWh/day12) Entry Melendugno The already existing infrastructures are already sized to deliver these Offer Levels, and so no additional investments are needed on SRG’s side of the IP. Page 11 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ with the aim of regulating/limiting the flows from the station's delivery towards Brindisi/Melendugno; • Matagiola-Massafra pipeline (first 50 Km), increasing the maximum capacity at the entry point in Puglia: The project related to the first 50 Km of “Matagiola – Massafra” methane pipeline that is included in the list of projects included in the TYNDP 2022 with the identification code TRA-N-1195 represented in Snam National Ten Year Development Plan with code IT_SRG_RN_05. The project was included in the fifth PCI list published on 19 November 2021. An estimate of the overall total costs for all described interventions could amount up to around 370 M€. Costs have been estimated according to industry best practices and specific regulatory provisions (e.g., cost estimate methodology for CBA). The already existing infrastructures, complemented by the above-mentioned additional infrastructures, are required to deliver Offer Level 3. Capacity offered at Melendugno IP for all levels will be in competition on the SRG side with the other IPs of Mazara and Gela: the capacity allocation will be subject to a constraint reflecting the maximum simultaneous capacity transportable at these IPs as indicated in Paragraph E.4 SRG Section. The specific and detailed operating competing procedure for the allocation of capacity at the above-mentioned IPs in the SRG’s system, including a full description of participation requirements, the competing mechanism as well as the bid ranking functioning, is defined in paragraph E.4 of SRG’s section of this document. DESFA The Greek National Natural Gas Transmission System is interconnected with TAP pipeline at Nea Mesimvria IP. One compression station (CS) is currently operating in Nea Mesimvria. A new CS is under construction at Ampelia, while a booster CS that will allow physical flows from DESFA’s system towards TAP is also under construction. DESFA has performed preliminary technical studies in order to identify the investments needed to make incremental capacity available at the IP Nea Mesimvria. The impact of the incremental flows from DESFA’s gas transmission system towards TAP and vice versa, has been examined performing hydraulic simulations. The level of incremental capacity offered by DESFA in the context of this process and the relevant expansion projects proposed by DESFA have been calculated considering the existing technical capacities of DESFA’s gas transmission system entry/exit points, as well as the projects included unconditionally in DESFA’s TYNDP 2024-2033. The incremental capacity offered is described below: Entry capacity (from TAP to DESFA) at Nea Mesimvria - Level 1: incremental capacity of 35 GWh/day For Offer Level 1, a new pipeline of 30” diameter and approx. 130km long, duplicating part of the main pipeline (Nea Mesimvria - Patima), is needed. This new pipeline will be placed in parallel with the existing one, where possible, to minimize the cost of the project, the environmental impact and the time needed for the construction of the project. The cost of the relevant project is estimated at €190 million. This incremental capacity level can be offered only after the completion of the CS Page 12 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ at Ampelia that has been included in DESFA’s TYNDP 2024-2033. The above-mentioned duplication is the maximum necessary investment for the provision of incremental capacity of 35 GWh/day at Nea Mesimvria IP, in the direction from TAP towards DESFA. It may eventually be reduced considering the availability of unreserved firm capacity at Nea Mesimvria IP, at the time of the launch of the incremental capacity process. DESFA will announce before the launch of the binding phase in his website the exact amount of available firm capacity at Nea Mesimvria IP. In case that, before the launch of the Binding Bidding Phase, there is still firm capacity available in the direction from TAP towards DESFA system, the abovementioned duplication may be reduced in scope or not needed at all. Exit capacity (from DESFA to TAP) at Nea Mesimvria - Level 1: incremental capacity of 37 GWh/day DESFA has included in the already approved by RAEWW TYNDP 2024-2033, a new booster compressor at Nea Mesimvria, in order to facilitate flows from DESFA’s gas system towards TAP. This booster Compressor will enable DESFA to offer firm capacity products at the exit point Nea Mesimvria. The compressor is expected to be in operation before the first gas year for which incremental capacity is offered through this process. The prerequisite for the offering of the aforementioned incremental capacity level is the completion of the new booster CS and the completion of the rest of the projects that are included unconditionally in DESFA’s TYNDP 20242033 (CS at Ampelia, and the booster CS at Nea Mesimvria). Page 13 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ B. Offer Levels (Art. 27
(1)lit. a NC CAM) According to the different project configurations described above it will be possible to propose distinct Offer Levels for each IP. The Offer Levels may be combined in different ways, depending on the overall set of Binding Bids received. Please note that the capacities at the different TAP Entry and Exit Points are not cumulative. They may be in competition with each other. On the other hand, the capacities for the different technical solutions as set out in Section A.2.1 above, assume that all new bookings utilise the full pipeline length (i.e., the thresholds for TAP Entry Kipoi found below are based on hydraulic simulations assuming entry bookings are linked with the same amount of bookings for TAP Exit Melendugno). Readers should also note the terms of Section E.6 in connection with Annual Requests made in respect of TAP. The Offer Levels in the tables below – providing an overview of capacities jointly offered at all IPs - represent the capacity that could be allocated in this Binding Phase of this Incremental Capacity Project as long-term capacity, considering any available capacity net of the already booked capacity (and in the case of TAP, catering for the extension options in respect of capacity already allocated under the first Binding Phase of the 2021 Market Test, as described in section A.1 above – if these extension options are not exercised, each Offer Level at Kipoi and Melendugno may be increased by a corresponding amount of capacity on TAP side) and the capacity to be reserved for short term bookings. In order to guarantee firm transportation service, the levels are also calculated based on all gas to be transported through the TAP pipeline having a minimum GCV of 9.71 kWh/Sm3 (36.84 MJ/Nm3 or 10.23kWh/Nm3).14 Please note that the starting dates in the tables below assume that the capacity allocation process in this Binding Phase will take place in December 2025.15 Further, note that the assumption relating to the starting dates at Kipoi and Melendugno are based on all capacity becoming commercially available on the respective single starting date provided below (e.g. all capacity under Level 2 comes onstream on the starting date for Level 2). It may be possible to allocate capacity in stages (e.g. capacity up to the maximum for Level 1 from the starting date for Level 1, then further capacity up to the maximum for Level 2 from the starting date for Level 2, etc...), however, such allocation in stages is at TAP’s option, and may result in more complex project execution with changes to the cost and schedule assumptions underpinning the Offer Levels shown. 14 Reference conditions for normal cubic meters are 25°C for combustion and 0°C for volume at atmospheric pressure. For Melendugno IP, the offer levels were calculated considering the contracted capacity converted with a GCV equal to 11.07 kWh/Sm3 and the expansion capacity converted with a GCV equal to 9,71 kWh/Sm3. 15 Please see Section D for more details on the timing. With regards to TAP’s initial project, according to Section 4.1.10 of the FJO, TAP also has an obligation to set aside 5% of the Initial Capacity at Kipoi IP for short-term auctions. (3)lit. c, f NC CAM) To increase the possibility that the economics for the Incremental Capacity Project are passed in accordance with the provisions of art. 30
(1)of CAM NC and considering TAP’s specific regulatory framework as well as the findings of the non-binding demand indications, SRG, TAP and DESFA intend to apply an Alternative Allocation Mechanism (AAM) with an extended capacity booking horizon of up to 20 years after the start of the operational use, subject to the approval of the concerned Authorities. The criteria envisaged under Article 30
(2)of CAM NC for the potential application of an AAM are achieved by this Incremental Capacity Project, on the following basis23: • The Incremental Capacity Project involves at least three entry-exit systems in the EU (TAP, SRG, DESFA), Albania and potentially other entry-exit systems in the future. • Capacity is offered at a number of IPs, as set out in the tables in Section B. • Interest concerns capacity reservations of more than 1 year. • Participants have indicated interest for commitments linking more than one IP. In accordance with the provision of article 30
(3)of the CAM NC, TAP, DESFA and SRG intend to allow interested parties to submit Binding Bids on the following basis: • Commitment at one IP linking commitments at other IP(s); • Commitments across several different standard yearly capacity products; • Commitments conditional on the allocation of a minimum amount of capacity. In the light of the characteristics of the Incremental Capacity Project, the proposed AAM prioritizes bids depending on their booking durations, in accordance with article 30
(4)of the CAM NC. In particular, TAP, SRG and DESFA give priority to commitments for durations of at least 3 consecutive years starting from the relevant E-COD and linking more than one IP along the gas route as further specified in the following parts of this document. Binding Bids will be processed subject to the Participants meeting the requirements set out in Section E.1. In the event of congestion, in order to be consistent with TAP’s specific regulatory framework (in particular the TAP Tariff Code) and to ensure coherent allocation results for interconnected TSOs, a ranking will be performed on the basis of the net present value (NPV) of incremental revenues from each Binding Bid per unit of annual capacity requested as further specified in Section E.24 23 24 Please also refer to the evidence provided in the DAR. The TAP Tariff Code does not foresee an auction except for the exceptional situation of equal marginal bids. Page 17 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ D. Provisional Timeline of the incremental capacity project (Art. 27
(3)lit.d CAM NC) This chapter describes the timeline for the conclusion of the Incremental Capacity Project (Section D.1) and provides estimates of the possible time needed for the realization of the new incremental capacity (Section D.2). D.1 Timeline of the Binding Phase This Binding Phase will commence with the publication of the Joint Notice on the websites of TAP, SRG and DESFA, envisaged to take place on 2 October 2025.25 A Binding Phase is made up of an Information Phase and a Binding Bidding Phase. During the Information Phase, the parties interested in participating in this Binding Bidding Phase will, subject and in accordance with TSO-specific requirements set out in Section E.1 below, be requested to register with the TSOs Concerned as an Applicant in order to participate in this Binding Bidding Phase. At the beginning of such Information Phase, together with the Joint Notice, on their websites, TAP, SRG and DESFA will make available a Binding Phase Notice and a list of the relevant documentation that needs to be submitted by the Applicants for their registration and the respective deadline for submission of such documentation. In a Bid Submission Window commencing in December 2025, the parties interested in participating in this Binding Bidding Phase will be required to submit Binding Bids by no later than the end of the Bid Submission Window. Please see Section E.2 which sets out the content of the Binding Bids. Following the end of the Bid Submission Window, TAP, SRG and DESFA will proceed with bid evaluation, Preliminary Capacity Allocation and the Economic Viability Test (EVT), entering into Gas Transportation Agreements with the successful Participants. This Binding Phase will end either in case no Offer Level passes the EVT or with GTAs, as applicable for each TSO, becoming fully effective (see Section E.7 concerning Conditions Precedent to the GTAs). - d)TAP Tariff Code. TAP will also proceed to inform the Authorities of the negative EVT result. Depending on decisions of the Authorities, the preliminary capacity allocation period may (as an indicative, non-binding estimate) be extended by up to 4 months, as follows: according to Section 4.1.8 of the FJO, in case the EVT is negative, TAP is obliged to demonstrate this situation to the Authorities within one month following the closing date of the market test. If so, requested by the Authorities, TAP will provide an opinion by an independent third party. In case such an opinion is requested, the one-month timeline is extended by two months. The Authorities will then decide on the economic viability of the expansion within one month following receipt of TAP’s argumentation / from the receipt of the independent opinion. 27 The allocation of this capacity levels is subject to the application of the procedure described in Paragraph E.4 SRG Section “Competing Procedure in SRG’s system”. Page 19 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ TAP Following receipt of Binding Bids and a positive EVT for one of the Expansion Projects for entry capacity, TAP will continue to develop and further specify the technical elements, schedule, and costs of the chosen Expansion Project.28 In parallel to the development of the engineering, TAP will seek relevant key permits and third-party financing, if applicable. TAP and the Participants shall cooperate with one another in relation to any schedule updates and use reasonable endeavours to keep the other updated about developments, changes or delays which are likely to impact the timeline according to which the Expansion Project can be implemented (including, in relation to TAP, anticipated delays to the Start Date (as defined in Schedule 2 of the Transportation Confirmation) and in relation to each Participant, matters relating to upstream operations and the anticipated availability of gas to transport as part of the Expansion Project). SRG The capacity for Offer Level 1 2 is already available. The capacity for Offer Level 3 will be available starting from 31st July 2031 with the realization of Matagiola-Massafra pipeline and the other related infrastructure, as described in the Chapter A.2 SRG section. Capacity offered at Melendugno IP will be in competition on the SRG side with the other IPs of Mazara and Gela, so the capacity allocation will be subject to the capacity constraints, reflecting the maximum simultaneous capacity transportable at the IPs. For a detailed description of the competing procedure applicable to Melendugno, Mazara and Gela IPs and maximum simultaneous capacities, please refer to the Paragraph E.4 SRG Section of this document (“Competing Procedure in the SRG’s system”). SRG may waive Condition(
- s)Precedent under GTAs and proceed with project implementation (see Section E.7). DESFA Based on the preliminary technical studies, DESFA estimates that the necessary projects for the offer of the incremental capacity in the direction from DESFA towards TAP, as described in part A.2 DESFA, will be concluded before the Starting Date for the offer of the respective capacity mentioned in Section B. Offer Levels. On the opposite direction, (from TAP towards DESFA) the time required for the finalisation of the project described in Section A.2 DESFA, is estimated at 50 months from signing of GTAs, so DESFA will be able to offer firm entry capacity at Nea Mesimvria IP from Q2 2030. In any case, it must be noted that the above-mentioned timeframe, for the DESFA Offer Level will be further clarified during the technical studies phase. 28 At TAP option, engineering may also be commenced prior to the EVT. Page 20 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ E. General rules and conditions for Binding Phase (Art. 27
(3)lit. e NC CAM) This chapter describes the general rules and conditions which the TSOs Concerned will apply in relation to the participation of interested parties in this Binding Phase. This Binding Phase will be open to all interested parties, including those that have not submitted a non-binding demand indication during the non-binding phase of the 2023 Market Test. Access to the transportation service provided by each TSO’s systems is permitted impartially and on an equal basis, to all interested parties that meet the requirements set out in this document. Incremental capacity will be offered as bundled products (where possible) to Participants for a minimum duration of 3 consecutive years, with the earliest possible start date being the planned E-COD29 and the latest possible end date for capacity in the TAP pipeline being the expiry of TAP’s exemption (14 November 2045). Demand requests of shorter duration will also be evaluated in the allocation process, subject to the restrictions described below.30 TAP Capacity booked in the TAP pipeline must have an initial end date that is the same as the end date of the corresponding booking in the relevant adjacent TSO’s system, and such firm capacity booked in the TAP pipeline shall be bundled with capacity in the relevant adjacent TSO’s system. However, please note in relation to capacity allocated in the TAP pipeline only that each Participant shall have the right, in accordance with the TAP GTA, to notify an extended end date for its capacity booking. This extended end date must be nominated by no later than two months before the latest of the finally determined Start Dates (as determined in accordance with the GTA) and initially allows an extension to a date up until 14 November 2045. If a Participant exercises such right in relation to capacity booked in the TAP Pipeline, it will be the responsibility of the Participant to purchase matching capacity in the adjacent TSO’s system. For IPs where capacity is made available as bundled capacity, the Participant must confirm to TAP no later than one month after making any such nomination whether, and to what extent, it has purchased matching capacity in the adjacent TSO’s system: • any such capacity in TAP up to the extended end date for which the Participant has purchased matching capacity with the adjacent TSO will be bundled with that capacity in the adjacent TSO; and • any such capacity in TAP up to the extended end date for which the Participant has not purchased matching capacity within the one-month period specified above will not be retained by the Participant in order to avoid residual unbundled capacity bookings in TAP, as detailed further in the TAP GTA. Notwithstanding the option to notify an extended end date for capacity booked in the TAP pipeline, TAP will use only firm and bundled capacity bookings for the purpose of calculating and passing 29 Notwithstanding possible early allocation in cases of TAP residual long-term capacity (such as in the context of extension options under earlier TAP Expansion GTAs not being exercised), subject to any bundling requirements. 30 The three-year minimum duration for bids contributing to determine the extent of an expansion is set to avoid a short peak in demand leading to suboptimal investment requirements and value chain economics. Note that shorter requests may be included in an EVT if required for this to be passed (see E.6) Page 21 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ the EVT for any applicable Expansion Project. However, there may be circumstances where this option to notify an extended end date of bookings in the TAP pipeline will prevent TAP from allocating capacity (either in this Expansion Project or in a future Binding Phase) that, if it was allocated, would result in a positive Economic Viability Test and trigger a further expansion. This may occur if a participant requests capacity that is currently reserved under the extension option held by another Participant. If this happens, in order to prioritise further expansions, TAP can notify the relevant Participant that the latest end date for the extension is curtailed to an earlier date that allows TAP to allocate the requested capacity to the other participant. Further, note that capacity allocated by TAP may consist of residual long-term capacity, meaning capacity that is not created by new technical solutions. Such capacity may for instance be the result of an extension option from a previous market test not having been exercised, or it might be the result of hydraulic simulations performed to verify if specific bid combinations may be accommodated within the existing technical specifications of TAP, typically in the case of smaller bookings utilising (new) interim exit or entry points. Such capacity may be allocated as part of a positive EVT for a technical solution, or in accordance with section 3.2 of the TAP Tariff Code (“Subsequent booking phases without Expansion”). Such residual long-term capacity may be allocated prior to the start-up date of a TAP Expansion, however only to the extent that a bundling requirement at IPs with an adjacent TSO can be met. For the purpose of this Project Proposal, any capacity which is allocated in accordance with section 3.2 of the TAP Tariff Code (“Subsequent booking phases without Expansion”) will be deemed to have resulted in a positive EVT. Note also that in the event of a delay of connecting infrastructure or misalignment in the start date of capacity for an adjacent TSO, TAP has the right (but not obligation) to agree and implement ways of mitigating the consequences of such delay or misalignment, including by making adjustments to any bundled capacity allocation or, in relation to Linked Bids, to capacity allocated at both exit and entry points as may be agreed with the relevant Participant. Any such mitigation is expected to be neutral to TAP. SRG For the avoidance of doubt, the abovementioned right granted by TAP to the Participants to notify an updated end date for its capacity booking in the TAP pipeline, does not provide any right in relation to the bid on the SRG side. In relation to the allocation of bundled capacity, in the event of a delay or misalignment in the start date of capacity for an adjacent TSO, SRG has the right (but not obligation) to agree and implement ways of mitigating the consequences of such delay or misalignment, including by making adjustments to any bundled capacity allocation as may be agreed with the relevant Participant. Any such mitigation is expected to be neutral to SRG. DESFA For the avoidance of doubt, the abovementioned right granted by TAP to the Participants to notify an updated end date for its capacity booking, does not provide any right in relation to the bid on the DESFA side. In relation to the allocation of bundled capacity, in the event of a delay or misalignment in the start date of capacity for an adjacent TSO, DESFA has the right (but not obligation) to agree and Page 22 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ implement ways of mitigating the consequences of such delay or misalignment, including by making adjustments to any bundled capacity allocation as may be agreed with the relevant Participant. Any such mitigation is expected to be finally neutral to DESFA. E.1 Participation criteria and Registration The requirements referred to in this Section E.1 will apply to this Binding Phase carried out by the TSOs. Applicants will have to submit filled-in Binding Phase Registration Forms to TAP, SRG and DESFA, which will be provided together with the Joint Notice and each TSO’s own Binding Phase Notice. The information to be submitted by Applicants shall include (but not be limited
- to)the following information: a. Company Name and Address. b. Name and contact details of Company Representative. c. A list of the IPs/entry-exit point(
- s)where the Applicant intends to submit a binding commitment. The above registration requirements apply in addition and subject to each TSO’s further requirements in relation to registration and their applicable regulatory framework, in each case as indicated below. Applicants must submit (within the required deadlines) all the documents needed, as described in this Section E.1, each TSO’s own Binding Phase Notice and the Joint Notice, At the end of the Registration Period, TAP, SRG and DESFA will communicate to Applicants their eligibility to participate in the Binding Bidding Phase. By participating in a Binding Bidding Phase, each Participant will be required to accept that: ▪ the Capacity Allocation referred to in the Incremental Capacity Process is subject to the positive outcome of the EVT of the TSOs Concerned; ▪ in case of a negative outcome of the initial EVT carried out prior to Capacity Allocation, the TSOs Concerned shall, if applicable, return any Bank Guarantees submitted as part of the registration or with the Binding Bid and no transport capacity will be contractually allocated; ▪ in case of a positive outcome of the initial EVT carried out prior to Capacity Allocation, the successful Participant shall enter into a GTA and, if applicable, transmit to the TSOs respective Bank Guarantees as described below in Section E.7; ▪ in case a Participant is not allocated incremental capacity after a positive EVT, the Bank Guarantees shall be returned; and ▪ if the Participant is allocated capacity but the GTA between the TSO and the Participant is not executed between the relevant Parties or does not, for any reason, become fully effective, the Participant will be subject to TSO-specific rules as set out below. Page 23 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ TAP TAP accepts as Participants in the Binding Phase either (
- i)parties who are already registered with TAP under TAP’s Network Code rules (Registered Party/-ies)31, or (
- ii)parties that have duly commenced such registration process (by following the steps indicated on TAP’s webpage “How to become a Registered Party” and having correctly completed and submitted an Initial Onboarding Form).32 By the end of the Registration Period as indicated above at Section D: - Applicants must have submitted a duly signed Binding Phase Registration Form for the Binding Phase of the 2023 Market Test. Please note that along with the Binding Phase Registration Form, parties must submit a Confidentiality Agreement (as required under the Binding Phase Registration Form); and - any Applicants who are not yet Registered Parties with TAP must also have commenced the process to become a Registered Party under TAP Network Code rules by having correctly completed and submitted the Initial Onboarding Form. For the sake of clarity, these Applicants are also required to submit a Binding Phase Registration Form and Confidentiality Agreement, as mentioned above. In the Binding Phase Registration Form, amongst others matters, each Applicant must acknowledge: - that no sanctioned gas will be transported through the TAP pipeline. - their obligation to engage in the Capacity Caps assessment with the Authorities and submit any information required to perform such an assessment to the relevant Authorities (ARERA in Italy, RAEWW in Greece and ERE in Albania). Once the assessment has been done, the Applicant is required to inform TAP of any capacity caps that may be imposed following the dominance assessment. Upon confirmation by TAP that an Applicant is eligible to participate in the Binding Bidding Phase, such Applicant becomes a Participant. A Participant may submit a Binding Bid Form in accordance with the requirements of this Project Proposal, the Joint Notice, the Binding Phase Notice and the Binding Bid Form. It is noted that TAP can only enter into a GTA once the internal due diligence process has been finalised and the Participant has been approved by TAP. When a Participant submits a Binding Bid Form to TAP, the Participant will be required at the same time to deliver to TAP an on-demand Bank Guarantee (the Bid Guarantee) with an expiry date no earlier than 5 May 2026 from an internationally reputable bank with a minimum credit rating of BBB - at Standard and Poor’s or Baa3 at Moody's, or alternatively issued by any Greek financial institute supervised by the ECB (systemic banks, namely any of Alpha Bank, Eurobank, National Bank of Greece and Piraeus Bank), which has been approved in advance by TAP in its absolute discretion, cashable at first request of TAP and equal in value to the lower of: I. 15 % of the maximum annual capacity requested by the Participant at all IPs multiplied by 31 “Registered Party” means any Person that has satisfied the conditions to becoming a Registered Party specified in Section 3.1 of TAP Network Code and has received confirmation from the Transporter of its status as a Registered Party, in accordance with TAP Network Code. 32 https://www.tap-ag.com/shippers/applying-to-become-a-registered-party Page 24 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ the TAP tariff for Forward Firm Long-Term Capacity published for calendar year 2025; and II. 22 MEUR (the Bid Guarantee Cap). The Bid Guarantee is provided as security in respect of the Participant’s obligations and liabilities under and in connection with this Project Proposal. TAP shall be entitled to make a demand under the Bid Guarantee at any time up to the total aggregate amount available for demand under the Bid Guarantee if: i. at any time, the credit rating of the bank providing the Bid Guarantee no longer satisfies the requirements set out above (including in respect of minimum credit rating) or if the Bid Guarantee has an expiry date prior to 5 May 2026 and no renewed Bid Guarantee (substantially in the same form as the Bid Guarantee it is replacing and meeting the requirements set out above in relation to the provider) has been provided no less than fifteen
(15)days prior to expiry of the original Bid Guarantee; ii. the Participant fails to satisfy its obligations and liabilities arising as a result of and in connection with a withdrawal of its Bid or termination of a TAP GTA (see Section E.7 below); or iii. the Participant does not provide the Post-Bid Guarantee in accordance with section E.7 below. If the Bid Guarantee is called solely in connection with the circumstances set out in limbs (
- i)or (iii) above and if, in TAP’s sole discretion, such circumstances have been adequately remedied by the issue of a renewed or new Bid Guarantee or provision of the Post-Bid Guarantee in accordance with Section E.7 (as applicable) or by the implementation of other arrangements satisfactory to TAP, TAP will repay to the Participant those amounts, if any, received by TAP on the calling of the Bid Guarantee on account of the circumstances set out in limbs (
- i)or (iii) to the extent such sums have not been utilised by TAP in accordance with this Project Proposal. The Bid Guarantee provided to TAP by each Participant will be returned by TAP to such Participant once: o TAP confirms that the Participant will not be allocated capacity in the Expansion Project; o The EVT is finally determined to be negative (in accordance with the provisions of Section E6 of this Project Proposal); or o If the Participant is allocated incremental capacity as part of the Expansion Project, upon provision to TAP of a Post-Bid Guarantee in accordance with Section E.7 below. By submitting a Binding Bid Form to TAP, the Participant accepts: o that submission of a Binding Bid will constitute an irrevocable commitment to enter in a GTA with TAP, subject only to the successful outcome of the EVT; and o the consequences of the TAP GTA being terminated, as set out in Section E.7 below. Notwithstanding the above, TAP may at its sole discretion (and to the extent agreed in advance with TAP) accept an alternative form of credit support acceptable to it in place of a Bank Page 25 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ Guarantee. If such alternative credit support is provided, it must be provided such that it can be called on by TAP in the circumstance in which TAP would be permitted to call on the Bank Guarantee. All of TAP’s rights, remedies and entitlements in connection with the Bank Guarantees (as set out this Project Proposal) shall apply equally to such alternative form of credit support. SRG Applicants will be required to state the possession of relevant requirements defined in paragraph 1.1 – Chapter 5 and comply with the conditions referred to in paragraphs 1.4 and 9.1 of Chapter 5 of Snam Rete Gas Network Code. Any statement of possession of requirements (requests, commitments, declarations or acceptances), as well as any request/communication or expression of will, made by the Applicant, including via the relevant functionality of SRG’s website or a potentially jointly identified capacity booking platform, constitutes a formal obligation and commitment on the part of the Participant, which accepts – even in respect of third parties – any and all liability arising from any breaches/errors or omissions. Participants shall be required to present to SRG within the end of the Information Phase: - The Transportation Contract (“GTA”) signed by a person in possession of power of attorney. - The “First Guarantee” : a Bank Guarantee , cashable at first request, issued by an Italian financial institute or Italian insurance company or Italian branch of a foreign bank or foreign insurance company with a minimum credit rating of BBB- at Standard and Poor’s or Fitch Ratings, Baa3 at Moody’s or BBB low at DBRS or a non-interest-bearing security deposit, respectively equal in value to 20% of the maximum annual capacity charge (based on the indicative tariff made available by SRG) of the incremental capacity they intend to request and with an expiry date no earlier than 01/08/2026. SRG will publish on its own web site the estimated value of the annual capacity charge referred to in the Incremental Capacity Project. Binding Bids by Participants will be accepted only within the limits of the First Guarantees which will have been presented to SRG according to the provisions above. The First Guarantee provided to SRG by each Participant will be returned by SRG to such Participant once: o SRG confirms that the Participant will not be allocated capacity in the Expansion Project; o The EVT is finally determined to be negative (in accordance with the provisions of section E6 of this Project Proposal); or o If the Participant is allocated incremental capacity as part of the Expansion Project, upon provision to SRG of the Contracts Guarantees in accordance with section E.7 below. By submitting a Binding Bid Form to SRG, the Participant accepts: Page 26 of 65 ΑΔΑ: 9ΑΝΘΙΔΞ-1ΞΡ ▪ that submission of a Binding Bid will constitute an irrevocable commitment to enter in a GTA with SRG, subject only to the successful outcome of the EVT; and the consequences of the GTA being terminated, as set out in section E.7 below. DESFA Applicants will be required to state the possession of relevant requirements defined in DESFA Network Code, Annex I of the NNGS
