Translation from Lithuanian Translation from Lithuanian GOVERNMENT OF THE REPUBLIC OF LITHUANIA R E S O L U T I O N No. 223 On Registration of Representation Offices of Foreign Enterprises and Banks in the Republic of Lithuania Vilnius, 31 May 1991 Seeking to develop the international commercial and economic cooperation of the Republic of Lithuania, the Government of the Republic of Lithuania r e s o l v e s: To establish that: 1.

1. Foreign enterprises and banks (hereinafter referred to as foreign enterprises) may open their representation offices in the Republic of Lithuania after registering them in the Ministry of Economy of the Republic of Lithuania according to the procedure established by the Law on Enterprise Register. Registration certificate of the representation office specifies whether the representation office accredited in Lithuania has the right to open its subsidiaries in other parts of the Republic of Lithuania. Several foreign enterprises may open a joint representation office. 1.
2. A foreign enterprise willing to open its representation office in the Republic of Lithuania, submits to the Ministry of Economy the following: 1.2.
3. an application stating the objectives of opening the representation office, the address of the headquarters of the enterprise that opens the representation office, names and positions of the seniour officials, the name of a representative, profile of enterprise activities, a type of relations with the partners in the Republic of Lithuania. 1.2.
4. an extract from the enterprise statute spelling out its commercial-economic activities; 1.2.
5. a copy of registration certificate of the accredited enterprises (banks submit an extract from a bank register or a document testifying to the right to engage in banking). Documents specified in paragraphs 1.2.
6. and 1.2.
7. have to be endorsed by the notary office of the issuing country; 1.
8. A foreign enterprise's authorised representative who applied on behalf of the foreign enterprise for opening the representation office submits to the Ministry of Economy a document testifying to his\her mandate; 1.
9. The representation office of a foreign enterprise is considered to be opened in the Republic of Lithuania from the date of issuance of the registration certificate. The certificate becomes null and void if a foreign enterprise does not use it within six months form the date of its issuance; 1.
10. The Ministry of Economy informs the Government of the Republic of Lithuania, with which the adoption of a final decision is vested, on the denial to issue an accreditation permit to the representation office of a foreign enterprise. 1.
11. The Ministry of Economy carries out accreditation of the staff of the representation office of a foreign enterprise. 1.
12. The representation offices of foreign enterprises and their subsidiaries in Lithuania have no status of legal persons and cannot independently practice commercial-economic activities. 1.
13. The activities of the representation office of a foreign enterprise is terminated if: 1.8.
14. a foreign enterprise having its representation office in Lithuania is liquidated; 1.8.
15. the Ministry of Economy adopts decision on the termination of the activities of the representation office after the representation office of a foreign enterprise violates legislation of the Republic of Lithuania; 1.8.
16. a foreign enterprise that opened its representation office in Lithuania adopts a decision to terminate the activities of the representation office; 1.
17. The Ministry of Economy or a foreign enterprise informs the party concerned on its decision in the cases specified in paragraph 1.
19. To instruct the Ministry of Health Care, the Ministry of Foreign Affairs and the Ministry of the Interior to draft by 30 June 1991 regulations on accreditation, accommodation, provision of social and medical services to foreign citizens employed in the representation offices of foreign enterprises.
