Translation from Lithuanian Translation from Lithuanian GOVERNMENT OF THE REPUBLIC OF LITHUANIA R E S O L U T I O N No. 1220 On Documents Certifying the Origin of Foreign Capital Vilnius, 14 September 1995 Enacting the Law on Foreign Capital Investment in the Republic of Lithuania, the Government of the Republic of Lithuania r e s o l v e s:
- To establish that: 1.
- a foreign investor willing to establish an enterprise with foreign capital in the Republic of Lithuania shall provide the supervisor of the enterprise register with the following documentation: 1.1.
- a copy of registry certificate of the foreign enterprise or a document equivalent to it which testifies that the enterprise has been legally registered in the state where it was founded and is approved by the notary office, and legalized according to the established procedure provided the investing entity is an enterprise of a foreign state; 1.1.
- the latest business year's statement checked by the enterprise's audit; 1.1.
- income declaration or another legal document approving the financial situation of the investing entity or feasibility of its assets, if the investing entity is a foreign citizen or a person permanently residing abroad without citizenship and whose capital is of foreign origin at the moment of investment; 1.1.
- a document issued by the foreign enterprise administration which approves the decision on investment and a copy of a foreign enterprise statute; 1.1.
- a certificate of a banking institution registered in the Republic of Lithuania that the foreign investor from its own bank account transferred primary deposits to the accumulated account of the established enterprise; 1.1.
- a certificate from the enterprise of financial brokers of the Republic of Lithuania that the investing person (legal or natural person) purchased shares of a Lithuanian enterprise, if investment was made by obtaining shares of Lithuanian enterprises; 1.
- the enterprise, wherein the foreign capital has been invested with the view to get the right for tax concessions laid down in the first part of Article No. 13 of Law on Foreign Capital Investment in the Republic of Lithuania, shall submit the following documentation to the Tax Inspectorate: 1.2.
- a certificate of a banking institution registered in the Republic of Lithuania, where an enterprise with the capital of foreign origin has opened its account, confirming that the investing entity has transferred from its own account to the enterprise's bank account funds indicated in the foundation contract and designated for the formation of authorized capital; 1.2.
- import declaration of material property or other legal documents certifying the ownership right to the material property, if the investing entity brings in the capital in the form of material property; 1.2.
- a certificate confirmed by an audit company that shareholders of stock which is a part of the invested authorized capital are not natural or legal persons of the Republic of Lithuania, if a foreign country enterprise invests a part of its authorized capital in the Republic of Lithuania; 1.
- In exclusive cases the Tax Inspectorate of the Republic of Lithuania or the supervisor of the enterprise register could request information from institutions of the Republic of Lithuania representing the Republic of Lithuania in foreign countries about the investing entity which has invested or is investing capital of foreign origin in the Republic of Lithuania (the origin of foreign capital).
