MINUTES Official translation GOVERNMENT OF THE REPUBLIC OF LITHUANIA RESOLUTION No. 102 of 2 February, 1999 Vilnius ON THE MANAGEMENT OF THE SHARES OF THE PUBLIC COMPANY “ŠIAULIŲ AVIACIJA” AND OPERATION OF THE AIRFIELD OF THE PRIVATE COMPANY “ŠIAULIŲ AEROUOSTAS” In order to develop the infrastructure of the base of the Lithuanian Army military air forces and to operate the private company “Šiaulių aerouostas” more efficiently, the Government of the Republic of Lithuania resolves:

1. To establish that the airfield of the UAB “Šiaulių aerouostas” is a state civil-military airfield.
2. To authorise a representative of the Ministry of Communications, which represents the state interests, to vote in the general meetings of shareholders for the amendments of the Articles of Association of the UAB“Šiaulių aerouostas”, concerning paragraph 1 hereof.
3. To obligate the Ministry of National Defence and Ministry of Communications to approve the procedure for, and the terms and conditions of, the operation of the facilities and equipment of the Šiauliai civil-military state airfield for the civil and military purposes.
4. To designate the Ministry of National Defence to act as a holder of the shares owned by the State in the AB “Šiaulių aviacija”.
5. To obligate the Ministry of Communications to transfer to the Ministry of National Defence all 1397337 shares of the AB “Šiaulių aviacija” owned by the state, the nominal value of one share of which is LTL
7. To instruct the Ministry of National Defence to carry out the following tasks, when restructurising a part of the AB “Šiaulių aviacija” into an air force base: 6.
8. by 1 March, 1999 to submit to the Ministry of Economy, Šiauliai City Municipality and Šiauliai Free Economic Zone management company a draft plan of the boundaries of the territory needed for the functioning of the air force base; 6.
9. by 15 March, 1999, invoking Resolution No. 726 “On the Implementation of the Provisions of Articles 10 and 45 of the Company Law of the Republic of Lithuania”, adopted by the Government of the Republic of Lithuania on 16 June 1998 (Official Gazette, 1998, No. 57-1595), to prepare a draft Resolution of the Government of the Republic of Lithuania concerning the reduction of the authorised capital of the AB “Šiaulių aviacija” by such equity interest, which is to be transferred to the state ownership for the establishment of an air force base; 6.
10. by 31 March, 1999, to submit to the Government of the Republic of Lithuania proposals concerning further ownership of the remaining equity interest in the AB “Šiaulių aviacija”. Minister of Finance Acting Prime Minister Algirdas Šemeta Minister of National Defence Česlovas Stankevičius
