  2. La présente circulaire modifie la circulaire CSSF 11/509 en y incorporant les modifications techniques liées à la directive (UE) 2019/1160 du 20 juin 2019 modifiant la directive OPCVM.

Cette annexe présente les changements apportés par la présente à la circulaire CSSF 11/509 en version « suivi des modifications » afin de faciliter la lecture et la compréhension. Cette procédure de notification qui a pour objet de faciliter la distribution des OPCVM dans l’Union européenne se fait en principe directement entre les autorités de surveillance des États membres sur base d’un dossier que l’OPCVM doit remettre à l’autorité de surveillance de l’État membre d’origine. Les dispositions afférentes de la directive 2009/65/CE précitée ont été transposées par les chapitres 6 et 7 de la loi du 17 décembre 2010 concernant les organismes de placement de collectif (ci-après « Loi 2010 »). La directive OPCVM a été modifiée par la directive 2019/1160 du Parlement européen et du Conseil du 20 juin

Elle élargit entre autres la procédure de notification dans la mesure où elle tient compte des retraits de notification de compartiments et de types de parts d’OPCVM qui sont également réalisés directement entre les autorités de surveillance des États membres sur base d’un dossier que l’OPCVM doit remettre à l’autorité de surveillance de l’État membre d’origine. La présente circulaire a pour objet de préciser les modalités pratiques et techniques que les OPCVM doivent suivre en vue de la commercialisation transfrontalière. CIRCULAIRE CSSF 21/778 3/42

Les OPCVM de droit luxembourgeois commercialisant leurs parts dans un autre État membre Conformément à l’article 54 de la Loi 2010, l’OPCVM doit transmettre au préalable une lettre de notification à la CSSF qui contient des informations sur les modalités de commercialisation dans l’État membre d’accueil ainsi que la dernière version en date d’une série de documents spécifiés plus en détail sous le point 1.3 de la présente circulaire. La CSSF s’assure que la documentation remise par l’OPCVM conformément aux paragraphes

(1)et
(2)de l’article 54 est complète avant de transmettre l’ensemble de la documentation aux autorités compétentes de l’État membre d’accueil. Cette transmission d’autorité à autorité est notifiée sans délai par la CSSF à l’OPCVM qui peut avoir accès au marché de l'État membre d’accueil concerné à compter de cette date (cf. pour détail technique Annexe 1 point 3)). Il est à noter que conformément à l'article 54
(4)de la Loi 2010, l'OPCVM avise lui-même les autorités compétentes de l'État membre d'accueil en cas de modification des informations sur les modalités de commercialisation antérieurement communiquées. 1.1 La procédure de notification Il y a lieu de distinguer deux trois procédures de notification, à savoir celle où le dépôt d’un dossier se fait à la CSSF, celle dans le cas du retrait de notification de l’OPCVM à la CSSF et celle où un avis de modification est à transmettre directement par l’OPCVM à l’autorité compétente de l’État membre d’accueil.
  1. a)Le dépôt d’un dossier de notification à la CSSF est applicable dans tous les cas où un OPCVM se propose de commercialiser ses parts dans un autre État membre de l’Union européenne, notamment : • en cas de notification auprès de l’autorité compétente d’un État membre d’accueil d’un OPCVM se proposant de commercialiser tout ou partie de ses parts dans cet État; • en cas de notification auprès de l’autorité compétente d’un État membre d’accueil d’un OPCVM à compartiments multiples se proposant de commercialiser tout ou partie des parts d’un ou plusieurs de ses compartiments dans cet État; et • en cas de notification auprès de l’autorité compétente d’un État membre d’accueil d’un OPCVM à compartiments multiples se proposant de commercialiser tout ou partie des parts d’un ou plusieurs compartiments CIRCULAIRE CSSF 21/778 4/42 additionnels (alors que la commercialisation des parts d’autres compartiments a déjà fait l’objet d’une notification dans cet État). A noter que tout nouveau type de part doit passer par une notification dite initiale.
  2. b)En cas de retrait de notification, l’OPCVM se doit de faire une notification de mise à jour à la CSSF et ce par compartiment et/ou par type de part.
  3. bc)Un avis de modification écrit est à adresser directement à l’autorité compétente de l’État membre d’accueil en cas de modification des informations relatives aux modalités prévues pour la commercialisation communiquées dans la lettre de notification ou de modification des catégories de parts (« share classes ») destinées à être commercialisées. Cet envoi de l’avis est à faire avant de mettre en œuvre ladite modification. Il n'est pas nécessaire de remettre une copie de cet avis à la CSSF. La CSSF reste cependant toujours compétente pour l’agrément de toute modification apportée au prospectus ainsi qu’aux documents constitutifs de l’OPCVM et cet agrément doit être obtenu préalablement à l'envoi de l'avis de modification pré-décrit à l'autorité compétente de l'État membre d'accueil. 1.2 Le dépôt du dossier de notification à la CSSF La CSSF exige que le dépôt du dossier de notification se fasse par voie électronique en utilisant un des modes suivants : • systèmes reposant sur les canaux acceptés par la CSSF selon les dispositions de la circulaire CSSF 08/334 ; • dépôt direct des documents requis sur le site internet de la CSSF (sujet à conditions préalables spécifiées sur le site internet de la CSSF). Dans le cadre de la procédure de notification sous forme électronique, les OPCVM doivent soumettre un dossier de notification contenant les documents décrits au point 1.3 de la présente circulaire. Il est également nécessaire de veiller à préparer et à transmettre à la CSSF un dossier complet de notification pour chaque État membre d’accueil dans lequel l’OPCVM se propose de commercialiser ses parts. D’un point de vue technique, tous les documents constituant un dossier de notification destiné à un État membre d’accueil donné sont à regrouper dans un « paquet unique » par État membre d’accueil (fichier zip). De plus amples détails techniques se rapportant à la nomenclature et les formats à respecter pour la transmission électronique sont spécifiés aux Annexes 1, 2, 3 et 4 de la circulaire. CIRCULAIRE CSSF 21/778 5/42 1.3 La documentation composant le dossier de notification En vue de la notification de la commercialisation des parts d’un OPCVM dans un autre État membre d’accueil, le dossier de notification transmis par voie électronique à la CSSF doit contenir obligatoirement les documents suivants : Désignation du Abrégé Spécifications document Lettre de notification LN Les spécifications sur le formatage et le mappage de la lettre de notification sont fournis en Annexe 4. La lettre de notification doit suivre fidèlement le modèle prévu par le règlement (UE) no 584/2010 de la Commission du mettant œuvre en 1er juillet la 2010 directive 2009/65/CE du Parlement européen et du Conseil en ce qui concerne la forme et le contenu de la lettre de notification normalisée et de l’attestation OPCVM, l’utilisation des communications électroniques entre autorités compétentes aux fins de la notification, ainsi que les procédures relatives aux vérifications sur place et aux enquêtes d’informations et à l’échange entre autorités compétentes. Lettre d’attestation de AT la CSSF L’attestation à joindre au dossier est l’attestation que la CSSF a délivré à l’OPCVM ensemble avec le dernier prospectus visé. Règlement de gestion MR La dernière version du Règlement de Statuts AI gestion de fonds commun de placement ou la dernière version consolidée des Statuts de sociétés d’investissement doit être jointe au dossier sous forme d’un document unique. CIRCULAIRE CSSF 21/778 6/42 Désignation du Abrégé Spécifications document Prospectus PC Le prospectus à joindre au dossier doit être le dernier prospectus visé par la CSSF. Document contenant KI Le KI selon la loi du 17 décembre 2010 les informations clés de est à fournir en langue ou traduction l’investisseur acceptée par l’État membre d’accueil de l’OPCVM. En l’absence de KI durant la période transitoire se terminant le 30 juin 2012, le prospectus simplifié doit être joint au dossier. Ce prospectus simplifié (PS) doit être le dernier prospectus simplifié visé par la CSSF. Dernier rapport AR Rapport annuel audité (AR) ou rapport SR semestriel non audité (SR), si disponibles. A joindre le plus récent des rapports publiés. Modalités de MP commercialisation Ce document est optionnel et donne des informations supplémentaires sur la méthode de commercialisation des parts de l’OPCVM au cas où les structures de la lettre de notification ne permettraient pas de reproduire fidèlement les modalités de commercialisation prévues. Preuve de paiement CP Ce document n’est à joindre au dossier que pour les demandes de commercialisation membres dans d’accueil des États exigeant une preuve de paiement de la taxe dont l’OPCVM sera redevable dans l’État membre d’accueil. CIRCULAIRE CSSF 21/778 7/42 Il est à noter que pour les retraits de notification, le dossier doit contenir obligatoirement la lettre de dé-notification. D’autres documents peuvent y être ajoutés, mais doivent faire partie de la liste ci-dessus. Les spécifications sur le formatage de la lettre de dé-notification sont fournies en Annexe 6. 1.4 Traitement du dossier de notification Dans le but d’assurer que seule une documentation de notification complète et conforme ne soit transmise à une autorité d’un État membre d’accueil d’un OPCVM, la procédure de notification telle qu’implémentée par la CSSF prévoit de soumettre les dossiers de notification dès leur réception par la CSSF à une série de vérifications formelles. Un tableau indicatif des règles de vérification formelle auxquelles est soumis un dossier de notification à la réception par la CSSF est fourni en Annexe 5. Ces règles peuvent être adaptées par la CSSF sans réitération de la présente circulaire. Lorsque la CSSF constate à l’occasion des vérifications formelles à la réception que le dossier est incomplet ou ne satisfait pas aux spécifications techniques prescrites, l’OPCVM en est avisé par le même canal de communication que celui qu’il a utilisé pour introduire le dossier de notification à la CSSF du (des) motif(
  4. s)qui empêchent de transmettre le dossier aux autorités compétentes de l’État membre d’accueil concerné. Il appartient alors à l’OPCVM de transmettre un nouveau dossier de notification dûment complété et corrigé des manquements à l’origine du rejet. Si une autorité d’un État membre d’accueil était amenée à ne pas accepter un dossier de notification adressé par la CSSF, l’OPCVM serait informé du (des) motif(
  5. s)à l’origine du rejet par le même canal de communication que celui qu’il a utilisé pour introduire le dossier de notification à la CSSF. Il appartient alors à l’OPCVM de transmettre un nouveau dossier de notification à la CSSF dûment complété et corrigé des manquements relevés. Lors du traitement du dossier, le processus vérifie, entre autres, que l’attestation OPCVM de la CSSF, le prospectus visé, le règlement de gestion respectivement les statuts, les documents clés de l’investisseur et les rapports financiers contenus dans le dossier de notification concordent parfaitement avec les versions électroniques de ces documents en possession de la CSSF. Pour être en mesure d’appliquer les contrôles évoqués ci-avant, la CSSF doit donc être en permanence en possession, sous forme électronique, des dernières versions en date des documents PC, MR ou AI, KI, AR et SR. Dans ce contexte, la CSSF attire l’attention des responsables des OPCVM sur le fait que les documents MR ou AI et KI ne sont actuellement pas à disposition de CIRCULAIRE CSSF 21/778 8/42 la CSSF sous forme électronique. Nous invitons donc les responsables des OPCVM à organiser la transmission électronique à la CSSF des dernières versions en date des documents en question dans les meilleurs délais et en tout cas à assurer le dépôt de ces documents avant d’adresser un dossier de notification à la CSSF. Les modalités pour transmettre une version électronique des documents à la CSSF sont celles décrites au point 1 de dans la circulaire CSSF 08/37119/708. Pour les besoins de la collecte des documents MR ou AI et KI, la nomenclature décrite au point 2. de la circulaire CSSF 08/371 a été étendue et adaptée tel que décrit aux annexes 2 et 3. L’ancienne nomenclature décrite au point 2. de la circulaire CSSF 08/371 reste néanmoins valable jusqu’au 30 juin 2012. 2. Les OPCVM établis dans un autre État membre qui envisagent de commercialiser leurs parts au Luxembourg Si un OPCVM établi dans un autre État membre se propose de commercialiser ses parts au Luxembourg, l’OPCVM doit veiller à ce que la CSSF se voit transmettre par les autorités compétentes de l’État membre d’origine de l’OPCVM la documentation telle que visée aux paragraphes
(1)et
(2)de l’article 93 de la Directive OPCVM ainsi qu’une attestation certifiant que l’OPCVM remplit les conditions imposées par la Directive OPCVM. En revanche, en cas de modification ayant un impact sur la lettre de notification transmise à la CSSF au moment où l’OPCVM se proposait de commercialiser ses parts au Luxembourg ou de modification des catégories de parts destinées à être commercialisées au Luxembourg, l’OPCVM en avise directement la CSSF avant de mettre en œuvre ladite modification. Des informations complètes sur les dispositions législatives, réglementaires et administratives applicables spécifiquement aux modalités de commercialisation de parts d’OPCVM au Luxembourg sont disponibles sur le site web de la CSSF sous la rubrique Fonds et véhicules d’investissement > Organismes de placement collectif en valeurs mobilières (OPCVM) > Commercialisation de parts/actions d’OPCVM > Commercialisation de parts/actions d’OPCVM de l’UE au Luxembourg. Annexes : 56 CIRCULAIRE CSSF 21/778 9/42 Annexe 1 : Le paquet de notification et les systèmes de notification 1) Généralités sur le paquet de notification et le système de notification 1.1 Le paquet de notification Par paquet de notification il faut entendre un fichier .zip qui respecte le standard pour fichiers .zip établi dans la circulaire CSSF 08/334 (voir les précisions descriptives et techniques en annexe 2 point 2, et respectivement annexe 3 point 2) comporte les documents de notification énumérés au point 1.3 de cette circulaire et qui respectent les conventions de nom définies en annexe 2 point 1 respectivement annexe 3 point 1. 1.2 Les systèmes de notification Un système de notification est une infrastructure de soumission de paquets de notification à la CSSF que seul un opérateur de canal 08/334 ou la CSSF elle-même a le droit de proposer. Un tel système peut avoir deux modes de fonctionnement :
  1. a)système de notification de transport : dans ce cas, le système n’effectue que le transport vers la CSSF de paquets de notification entièrement générés par le déclarant ou son remettant autorisé ;
  2. b)système de notification avec génération : dans ce cas, le système de notification supporte l’utilisateur pour confectionner les paquets de notification et notamment des deux versions de la lettre de notification expliquées dans l’annexe 4 de la présente circulaire. Pour ce faire, il peut reposer sur la saisie effectuée par le remettant et le contenu de ses systèmes. CIRCULAIRE CSSF 21/778 10/42 2) Les systèmes de notification acceptés par la CSSF 2.1 Les systèmes reposant sur les canaux selon circulaire CSSF 08/334 Les canaux de notification travaillent sur base des infrastructures de canaux relatives à la circulaire CSSF 08/334, mais n’utilisent pas les mécanismes d’enregistrement de certificat, de signature électronique et d’encryptage. Ils utilisent cependant les autres caractéristiques de ces canaux, tels que le contrat du déclarant avec l’opérateur de canal, la gestion des comptes utilisateurs par l’opérateur, le transport et la vérification des conventions de nom. Les canaux peuvent travailler de deux façons :
  3. a)Canal de notification « génération » Il s’agit ici des canaux de transmission 08/334 en mode « système de notification avec génération ». Ces canaux supportent le déposant pour la génération des versions XML et PDF de la lettre de notification et pour la composition du paquet de notification. Le fait du login sur le système de notification est accepté par la CSSF comme signature, telle que prévue dans la partie C de l’annexe I du règlement (UE) no 584/2010 de la Commission du 1er juillet 2010. Remarque : Concernant la lettre de dé-notification, la génération d'un XML n'est pas requise.
  4. b)Canal de notification « transport » Il s’agit ici d’un canal de transmission 08/334 en mode « système de notification de transport ». Le fait du login sur le système de notification est accepté par la CSSF comme signature sur la lettre de notification ; la lettre elle-même n’a pas besoin d’être signée dans ce cas. 2.2 Dépôt direct à la CSSF Il s’agit d’un système de notification de transport qui permet au déposant d’effectuer un téléchargement direct du paquet de notification sur le site CSSF. Il peut être accédé par l’URL suivante : CIRCULAIRE CSSF 21/778 11/42 Pour s’enregistrer : http://register.cssf.lu Pour soumettre un paquet de notification http://upload.cssf.lu La CSSF ne préconise l’utilisation de ce canal que pour les entités à faible volume et à faible fréquence avec difficultés d’accès au système des canaux 08/334. En conséquence, des restrictions volumétriques y sont prévues. L’utilisation de ce canal se passe de la façon suivante : • génération du paquet de notification par les soins de l’OPCVM • enregistrement d’une adresse e-mail sous l’URL ci-dessus permettant à la CSSF de communiquer les résultats de la notification à l’OPCVM • La CSSF retourne un courrier électronique à cette adresse avec un lien qui permet l’accès au système de dépôt ; cet accès est valable pour une durée délimitée. • Le déclarant peut ensuite effectuer le téléchargement de son / ses paquet(
  5. s)de notification, sachant que le nom de chaque paquet doit être différent et respecter la convention de nom 3) Les fichiers de retour de la CSSF Il y aura trois types de fichier de retour de la CSSF : Code Schéma XML NOTFBR FileAcknowledge Contenu Accusé de réception habituel des canaux 08/334 (ce fichier sera retourné uniquement au niveau des canaux 08/334, non du dépôt web qui a ses propres mécanismes). Seul la première étape (vérification de la convention de nom du paquet soumis) y dépendra du fichier remis, les 3 autres étapes (Authentication, Signature, Decryption) y auront d’office le résultat ‘A’ (Accepted) car ces mécanismes ne NOTFDB notificationreply sont pas applicables pour les notifications Ce type de retour sera généré par la CSSF après l’analyse du dossier de notification par la CSSF. Ce fichier est généré par la CSSF après soit : - la bonne exécution de tous les tests automatisés et manuels de la CSSF. Le tag <CSSF_Reply> / <CSSF_Status> contiendra alors le contenu « Accepted by CSSF ». En parallèle, la CSSF enverra le paquet de notification à CIRCULAIRE CSSF 21/778 12/42 l’autorité de l’État membre de l’Union européenne concerné NOTFBH notificationreply - l’échec d’au moins un test automatisé ou manuel de la CSSF et par conséquence le refus du paquet de notification par la CSSF. Le tag <CSSF_Reply> / <CSSF_Status> contiendra alors le contenu « Technical verification failed » (échec des règles automatisées) ou « Rejected by CSSF » (refus CSSF en raison des résultats de la vérification manuelle) et informe l’OPCVM que la CSSF n’a pas transmis la demande de notification aux autorités de l’État membre de l’Union européenne concerné ; un nouveau paquet de notification est alors à envoyer. Un ou plusieurs messages d’erreur relatifs aux tests automatisés (<CSSF_Reply> / <Verification_Results>) ou un message informant sur un (ou plusieurs) test(

  7. s)manuel(
  8. s)(<CSSF_Reply> / </Message>) informera l’OPCVM sur les causes de l’échec de son paquet. Ce type de retour sera généré par la CSSF après l’analyse et le refus du dossier de notification par les autorités de l’État membre de l’Union européenne dans lequel l’OPCVM désire commercialiser ses parts et sur base de son retour à la CSSF. La structure <Host_Reply> / <Host_Status> contiendra alors le statut « Rejected by host ». Le tag <Host_Reply> / <Message> contiendra alors de plus amples informations concernant les motifs de refus de l’autorité concernée. Un fichier de retour NOTFDB sera retourné dans tous les cas à l’OPCVM. Un fichier NOTFBH sera retourné seulement en cas de refus par l’autorité concernée. Les schémas XML en conséquence seront publiés sur le site www.cssf.lu sous la rubrique Reporting Légal des OPC / Transport et sécurisation. Les fichiers doivent respecter la nomenclature suivante : 1.1 La lettre de notification DOCREP-ONNNNNNNN-CCCCCCCC-PPPP-YYYY-MM-DD-LN-LL-0000.pdf LN pour Lettre de Notification Les lettres de notification soumises via un canal accepté selon les dispositions de la circulaire CSSF 08/334 n’ont pas besoin d’être signées électroniquement puisque l’identité du déposant a déjà été effectuée par l’opérateur du canal. A partir du 1er juillet 2011 lLa lettre de notification doit également être jointe sous format XML (voir Annexe 3) La lettre de dé-notification doit faire référence au compartiment et/ou type de part dans la nomenclature. This notification procedure, which aims to facilitate the distribution of UCITS in the European Union, is in principle applicable directly between the supervisory authorities of the Member States on the basis of a file that the UCITS must submit to the supervisory authority of the home Member State. The provisions of the aforementioned Directive 2009/65/EC have been transposed by Chapters 6 and 7 of the Law of 17 December 2010 relating to undertakings for collective investment (hereafter “2010 Law”). The UCITS Directive was amended by Directive (EU) 2019/1160 of the European Parliament and of the Council of 20 June 2019. Amongst others, it extends the notification procedure insofar as it considers the de-notification of sub-funds and types of units of UCITS, which is also carried out directly between the supervisory authorities of the Member States on the basis of a file that the UCITS must submit to the supervisory authority of the home Member State. This Circular aims to clarify the practical and technical procedures that UCITS must follow for cross-border marketing. CIRCULAR CSSF 21/778 3/41 1. UCITS governed by Luxembourg law marketing their units in another Member State In accordance with Article 54 of the 2010 Law, a UCITS shall first submit a notification letter to the CSSF which contains information on the arrangements for marketing in the host Member State as well as the latest versions of a number of documents specified in more detail under point 1.3 of this Circular. The CSSF shall verify that the documentation provided by the UCITS in accordance with paragraphs 1 and 2 of Article 54 is complete prior to transmitting the complete documentation to the competent authorities of the host Member State. This regulator to regulator transmission is notified without delay by the CSSF to the UCITS, which may access the market of the relevant host Member State from that date (for technical details see Annex 1, point 3)). It should be noted that in accordance with Article 54
(4)of the 2010 Law, the UCITS notifies the competent authorities of the host Member State itself in case of any amendment to the previously communicated information regarding the arrangements for marketing. 1.1 Notification procedure Two Three notification procedures have to be distinguished, namely one where a file is deposited with the CSSF, one in case of de-notification of a UCITS, and one where a notice of amendment is to be submitted directly by the UCITS to the competent authority of the host Member State.
  1. a)The submission of a notification file with the CSSF applies in all cases where a UCITS proposes to market its units in another Member State of the European Union, in particular: • upon notification of the competent authority of a host Member State by a UCITS proposing to market all or part of its units in that State; • upon notification of the competent authority of a host Member State by an umbrella UCITS proposing to market all or part of its units of one or several of its compartments in that State; and • upon notification of the competent authority of a host Member State by an umbrella UCITS proposing to market all or part of its units of one or several additional compartments (whereas the marketing of units of other compartments has already been notified in that State). To be noted that for each new share class an initial notification should be sent. CIRCULAR CSSF 21/778 4/41
  2. b)In case of de-notification, the UCITS must make an update notification to the CSSF. This has to be done on a sub-fund and/or share class level. b)
  3. c)A written notice of amendment is to be addressed directly to the competent authority of the host Member State in case of an amendment to the information regarding the arrangements intended for marketing set out in the notification letter or an amendment of the share classes to be marketed. This notice is to be sent before implementing the amendment in question. It is not necessary to file a copy of this notice with the CSSF. The CSSF remains responsible, however, for the approval of any amendment to the prospectus and constitutional documents of the UCITS and this approval must be obtained prior to sending the aforementioned notice of amendment, to the competent authority of the host Member State. 1.2 Submission of the notification file to the CSSF The CSSF requires that the notification file be submitted electronically using one of the following methods: • systems based on channels accepted by the CSSF in accordance with the provisions of Circular CSSF 08/334; • direct filing of the required documents on the CSSF website (subject to the preliminary conditions specified on the CSSF website). Within the framework of the notification procedure in electronic form, UCITS must submit a notification file containing the documents described in point 1.3 of this Circular. It is also necessary to ensure the preparation and transmission to the CSSF of a complete notification file for each host Member State in which the UCITS intends to market its units. From a technical point of view, all the documents constituting a notification file intended for a given host Member State must be grouped together in a “single package” by the host Member State (zip file). Further details on the nomenclature and format for electronic transmission are specified in Annexes 1, 2, 3 and 4 of the Circular. 1.3 The documentation constituting the notification file With regard to the notification of the marketing of units of a UCITS in another host Member State, the notification file transmitted electronically to the CSSF must contain the following documents: CIRCULAR CSSF 21/778 5/41 Type of document Notification letter Abbreviation LN Specifications Details on the format and mapping of the notification letter can be found in Annex 4. CSSF attestation AT letter The attestation to be attached to the file is the attestation that the CSSF delivered to the UCITS together with the latest visaed prospectus. Marketing MP arrangements This document is optional and provides additional information on the arrangements made for marketing the units of a UCITS in the case where the structure of the notification letter would not permit the internal methods of marketing to be reproduced exactly. Confirmation of payment CP This document should only be annexed to the file for marketing applications in host Member States requiring confirmation of the payment of tax to which the UCITS is subject in the host Member State. To be noted that for de-notifications, the file should include the letter of denotification. Other documents could also be added but they have to be part of the list above. The specifications on the format of the de-notification letter are presented in Annex 6. CIRCULAR CSSF 21/778 7/41 1.4 Processing of the notification file For the purpose of ensuring that only complete and compliant notification documentation is submitted to a host Member State authority of a UCITS, the notification procedure, as implemented by the CSSF, provides for the notification files, to be subject to a number of formal verifications upon receipt by the CSSF. An indicative table of the formal verification rules to which the notification file is subject upon receipt by the CSSF is provided in Annex 5. These rules may be adapted by the CSSF without reiteration of this Circular. Where the CSSF notices, following the formal verification upon receipt of the file, that the file is incomplete or does not comply with the relevant technical requirements, the UCITS shall be informed, through the same communication channel it used for submitting the notification file to the CSSF, of the reason(
  4. s)preventing the submission of the file to the competent authorities of the relevant host Member State. It is then the responsibility of the UCITS to submit a new notification file duly completed and corrected in respect of the deficiencies which resulted in its rejection. If a host Member State authority does not, for any reason, accept a notification file submitted by the CSSF, the UCITS shall be informed of the reason(
  5. s)of refusal through the same communication channel it used for submitting the file to the CSSF. It is then the responsibility of the UCITS to submit a new notification file to the CSSF duly completed and corrected in respect of the relevant deficiencies. As part of the processing of the file, it is verified, amongst other, that the UCITS attestation issued by the CSSF, the visaed prospectus, the management regulations or the articles of incorporation, the Key Investor Information Documents and the financial reports contained in the notification file, are fully consistent with the electronic versions of these documents in possession of the CSSF. In order to be able to apply the controls referred to above, the CSSF must therefore be, at all times, in possession of the latest electronic versions of the PC, MR or AI, KI, AR and SR documents. In this context, the CSSF would like to draw the attention of the persons responsible for the UCITS to the fact that the documents MR or AI and KI are currently not at the disposal of the CSSF in electronic form. We therefore request the persons responsible for the UCITS to organise the electronic submission to the CSSF of the latest versions of the relevant documents at their earliest convenience and, in any case, to ensure the filing of these documents prior to the submission of a notification file to the CSSF. The methods for the submission of an electronic version of the documents to the CSSF are set out under Circular CSSF 19/708.The methods for the submission of an electronic version of the documents to the CSSF are set out CIRCULAR CSSF 21/778 8/41 under item 1. of CSSF Circular 08/371. For the purposes of collecting the MR or AI and KI documents, the nomenclature described under item 2. of CSSF Circular 08/371 has been extended and adapted as set out in Annexes 2 and 3. However, the former nomenclature described under item 2. of CSSF Circular 08/371, however, remains valid until 30 June 2012. 2. UCITS established in another Member State which intend to market their units in Luxembourg If a UCITS established in another Member State intends to market its units in Luxembourg, the UCITS must ensure that the CSSF receives the documentation referred to in paragraphs 1 and 2 of Article 93 of the UCITS Directive as well as an attestation that the UCITS fulfils the conditions imposed by the UCITS Directive from the competent authorities of the home Member States. However, in the event of an amendment having an impact on the notification letter sent to the CSSF at the time when the UCITS intends to market its units in Luxembourg or of a change of the share classes to be marketed in Luxembourg, the UCITS shall directly inform the CSSF before implementing this amendment. Complete information about the legal, regulatory and administrative provisions specifically applicable to the marketing arrangements of the units of UCITS in Luxembourg are available on the website of the CSSF under the section Investment Funds > Marketing of units/shares of an EU undertaking for collective investment in transferable securities (UCITS) in Luxembourg Annexes: 65 CIRCULAR CSSF 21/778 9/41 Annex 1: Notification package and notification systems 1) General information on the notification package and notification system 1.1 Notification package “Notification package” means a .zip file which  complies with the standard for .zip files established in Circular CSSF 08/334 (see descriptive and technical details in Annex 2 item 2. and Annex 3 item 2. respectively)  contains the notification documents listed under item 1.3. of this Circular and which complies with the naming conventions defined in Annex 2 item 1. and Annex 3 item 1. respectively. 1.2 Notification systems A notification system is an infrastructure for submission of notification packages to the CSSF that only a channel operator 08/334 or the CSSF itself has the right to propose. Such a system can have two operating modes:
  6. a)transport notification system: in this case, the system transmits to the CSSF notification packages which are entirely generated by the applicant or its duly authorised remitter;
  7. b)notification system with generation: in this case, the notification system supports the user in the preparation of the notification packages and in particular of the two versions of the notification letter detailed in Annex 4 of this Circular. In this respect, it may be based on the input of the remitter and the content of its systems. CIRCULAR CSSF 21/778 10/41 2) Notification systems accepted by the CSSF 2.1 Systems based on the channels pursuant to Circular CSSF 08/334 The notification channels operate on the basis of channel infrastructures relating to Circular CSSF 08/334, but do not use registration of certificates, electronic signatures and encryption mechanisms. However, they use other features of these channels, such as the contract concluded between the applicant and the channel operator, the management of the user accounts by the operator, the transmission and verification of the naming conventions. The channels can operate in two different ways:
  8. a)“Generation” notification channel This refers here to transmission channels 08/334 in “notification system with generation” mode. These channels support the applicant in the generation of the XML and PDF versions of the notification letter and in the composition of the notification package. The login used in the notification system is accepted by the CSSF as a signature, as provided for in part C of Annex I of the Commission Regulation (EU) No 584/2010 dated 1 July 2010. Remark: Regarding the de-notification letter, the generation of an XML is not required.
  9. b)“Transportation” notification channel This refers to a transmission channel 08/334 in “transportation notification system” mode. The login used in the notification system is accepted by the CSSF as a signature on the notification letter; the letter itself needs not to be signed in this case. 2.2 Direct filing with the CSSF This refers to a transmission notification system which enables the applicant to download the notification package directly on the CSSF website. Consequently, volumetric restrictions are provided for therein. CIRCULAR CSSF 21/778 11/41 This channel is used in the following manner:  generation of the notification package by the UCITS  registration of an E-mail address in the aforementioned URL form which enables the CSSF to communicate the notification results to the UCITS  The CSSF returns an E-mail to this address with a link which allows access to the filing system; this access is valid for a limited period.  The reporting entity can then download its notification package(s), provided that the name of each package is different and complies with the naming convention. 3) CSSF return files There will be three types of CSSF return files: Code XML Schema Content NOTFBR FileAcknowledge Standard acknowledgement of receipt of 08/334 channels (this file will be returned only at the level of 08/334 channels not at the level of the web filing which has its own mechanisms). Only the first step (verification of the naming convention of the submitted package) will depend on the submitted file, the three other steps (Authentication, Signature, Decryption) will automatically have the result ‘A’ (Accepted) because these mechanisms are not applicable for notifications. NOTFDB notificationreply This type of return will be generated by the CSSF following the analysis of the notification file by the CSSF. This file is generated by the CSSF after either: • the proper performance of all the automated and manual tests of the CSSF. The tag <CSSF_Reply> / <CSSF_Status> will then contain: “Accepted by CSSF”. In parallel, the CSSF will send the notification package to the authority of the relevant Member State of the European Union • failure of at least one automated or manual test of the CSSF and thus the rejection of the notification package by the CSSF. The tag <CSSF_Reply> / <CSSF_Status> will then contain “Technical verification failed” (failure of the automated rules) or “Rejected by CSSF” (CSSF refusal due to the results of the manual verification) and informs the UCITS that the CSSF has not forwarded CIRCULAR CSSF 21/778 the notification application to the 12/41 authorities of the relevant Member State of the European Union; a new notification package is then to be sent. One or several error messages relating to the automated tests (<CSSF_Reply> / <Verification_Results>) or a message stating that one (or several) manual test(
  10. s)failed (<CSSF_Reply> / </Message>) will inform the UCITS of the reasons for the failure of its package. NOTFBH notificationreply This type of return will be generated by the CSSF following the analysis and the refusal of the notification file by the authorities of the Member State of the European Union in which the UCITS wishes to market its units and on the basis of its return to the CSSF. The structure <Host_Reply> / <Host_Status> will then contain the status “Rejected by host”. The tag <Host_Reply> / <Message> will then contain more information on the reasons for the refusal by the relevant authority. A NOTFDB return file will, in any case, be returned to the UCITS. A NOTFBH file will only be returned in case of refusal by the relevant authority. Consequently, XML schemas will be published on www.cssf.lu under the heading Legal Reporting for UCI / File Transport and Data Protection.
