Published on 2 September 2021 Email this Share this on LinkedIn Share this on Facebook Communiqué Entry into force of the new regulatory provisions applicable to investment firms In order to provide investment firms with a dedicated framework, which is better suited and harmonised, the IFD package introduces a new classification methodology, defines new prudential requirements and a new reporting framework and reforms certain rules regarding governance. New regulatory provisions applicable to investment firms entered into force following: the publication of the Law of 21 July 2021 amending the Law of 5 April 1993 on the financial sector (the “LFS”) in order to transpose, among others, Directive (EU) 2019/2034 of the European Parliament and of the Council of 27 November 2019 on the prudential supervision of investment firms and amending Directives 2002/87/EC, 2009/65/EC, 2011/61/EU, 2013/36/EU, 2014/59/EU and 2014/65/EU (the “IFD”); and the entry into force of Regulation (EU) 2019/2033 of the European Parliament and of the Council of 27 November 2019 on the prudential requirements of investment firms and amending Regulations (EU) No 1093/2010, (EU) No 575/2013, (EU) No 600/2014 and (EU) No 806/2014 (the “IFR”) on 26 June 2021. The IFD and the IFR together constitute the “IFD package” whose aim is to subject investment firms to a dedicated framework, which is better suited and harmonised at European level with respect to the prudential supervision. Three classes of investment firms The IFD package categorises investment firms into three different classes. The so-called “class 1” investment firms which, due to their size or their activities, are considered as systemic and/or are assimilated to credit institutions. The latter do not fall within the scope of the IFD package and remain subject to banking regulations. Consequently, the IFD package applies to the so-called “class 2” and “class 3” investment firms. While “class 2” investment firms are entirely subject to the new regime, the small and non-interconnected investment firms defined in Article 12 of the IFR, the so-called “class 3” investment firms, benefit from a simplified supervisory framework in accordance with the principle of proportionality. Following the mapping performed by the CSSF, about one third of the investment firms incorporated under Luxembourg law belong to “class 2”, the remainder being “class 3” investment firms. No “class 1” investment firm has been identified so far. New requirements regarding own funds As regards prudential requirements, which apply in principle at individual and consolidated level, the IFD package introduces notably new permanent minimum capital requirements, determined according to the investment service or activity provided and which range between EUR 75,000 and EUR 750,000. “Class 2” investment firms establish their general own funds requirement as the highest amount deriving from the comparison of three indicators, namely their fixed overheads requirement, their permanent minimum capital requirement and their “K-factor” requirement. “K factors” are indicators which allow assessing the risks arising from the activity for the clients, for the market and for itself. “Class 3” investment firms determine their own funds requirement as the highest amount among two indicators only, namely their fixed overheads requirement and their permanent minimum capital requirement. The IFD package defines also the liquidity requirements, whose compliance is mandatory for “class 2” investment firms and optional for “class 3” investment firms, as well as the requirements with respect to concentration risk monitoring for all investment firms. In order to facilitate a phased-in compliance for existing investment firms with the new own funds requirements, the IFD package defines the rules intended to mitigate the effects of an increase in own funds requirements during a five-year period as from 26 June 2021. “Class 2” investment firms must formally implement and document their internal assessment process, called “Internal Capital Adequacy and Risk Assessment” or “ICARA”, in order to assess and permanently maintain levels of internal capital and liquid assets they consider adequate to cover their risks. The requirement applies in an alleviated manner to “class 3” investment firms which must possess robust processes and systems to manage the risks for their clients and for themselves in terms of own funds and liquidity. However, they are not subject, in principle, to a formal documentation obligation as is the case for “class 2” investment firms. The investment firms’ adequacy of the internal measures and levels of own funds and liquidity will be periodically assessed by the CSSF in the framework of the Supervisory Review and Evaluation Process (“SREP”). The content, intensity and frequency of the SREP will be determined by way of joint guidelines which are being drafted by the European Banking Authority (EBA) and the European Securities and Markets Authority (ESMA). A new European reporting framework Following the communication regarding the regulatory reporting format applicable to investment firms of February 2021, the IFD package introduces a European prudential reporting framework (the “IFR reporting”) to report information regarding the level, composition, requirements and calculation of the requirements of own funds, the level of activity, the concentration risk and the liquidity requirements. This framework will be formalised in draft technical standards specifying the formats as well as the dates, definitions and instructions regarding these reports, drawn up by the EBA in consultation with ESMA. With reference to the principle of proportionality, “class 2” investment firms are subject to a quarterly IFR reporting as from 30 September 2021, whereas “class 3” investment firms are subject to an annual IFR reporting as from 31 December 2021. The CSSF will publish shortly a “Reporting Handbook” containing instructions for the transmission of the new IFR reporting to the CSSF. Concomitantly, the national and ad hoc prudential reporting obligations, defined notably in Circular CSSF 05/187 remain applicable for all investment firms. At a later stage, it is however envisaged to reform the content of the national and ad hoc reporting tables to be prepared by investment firms so as to have a better alignment with the European reporting. Specific requirements regarding governance… The IFD package outlines specific requirements regarding governance and in particular regarding the remuneration policy for “class 2” investment firms whose aggregate value of the balance sheet total and off-balance sheet assets exceed EUR 100 million. These investment firms must establish a remuneration committee at the level of the management body in its supervisory function. They must also comply with certain rules regarding the composition of a variable remuneration. The payment of variable remunerations must be partially subject to a deferral over a three- to five-year period as appropriate and, where applicable, to a contraction where the financial performance of the investment firm is subdued or negative. … and regarding transparency To ensure transparency vis-à-vis their investors and, more broadly, the markets, “class 2” investment firms must publish their level of own funds, their own funds requirements, their governance arrangements and their remuneration policies and practices. In line with the new requirements regarding Environmental, Social, and Governance (ESG) risks, they must also publish a report on ESG risks on a half-yearly basis as from 26 December 2022. “Class 3” investment firms shall in principle not be subject to publication requirements. A new approach for the authorisation of investment firms In addition to the amendments of the LFS due to the IFD, the Law of 21 July 2021 amends, among others, the provisions regarding the authorisation of investment firms and repeals the investment firm statuses. This amendment reflects the increasing harmonisation of the European rules applicable to investment firms. It entails also that the authorisation as investment firm is henceforth granted by the CSSF with reference to the investment activities and services as laid down in Directive 2014/65/EU, called “MiFID II”. This amendment does not nullify the authorisations of investment firms previously authorised with reference to investment firm statuses. However, with a view to complying with the new legal provisions, an updated version of the articles of incorporation, reflecting the corporate objects that have been amended to be in line with the new provisions of the LFS, must be filed with the RCS. Any question regarding the entry into force of the new regulatory provisions applicable to investment firms can be submitted via email to the dedicated email address: ifd@cssf.lu. 26 May 2005 Circular CSSF 05/187 (completed by Circular CSSF 10/433) Financial information to be submitted to the CSSF by the “other professionals of the financial sector” (PFS) on a periodic basis CSSF circular PDF (333.94Kb) PDF (137.09Kb) Relevant for Investment firms Luxembourg, le 26 mai 2005 A tous les « autres professionnels du secteur financier » CIRCULAIRE CSSF 05/187 Concerne : Informations financières à remettre périodiquement à la CSSF par les « autres professionnels du secteur financier » (PSF) Mesdames, Messieurs, La présente circulaire a pour objet d’adapter les schémas des informations financières à remettre à la CSSF, respectivement de les étendre à toutes les catégories des autres professionnels du secteur financier (PSF), y compris celles qui ont été introduites ou tombent nouvellement sous la surveillance de la CSSF suite à l’entrée en vigueur de la loi du 2 août 2003 portant modification de la loi du 5 avril 1993 relative au secteur financier. Par rapport aux schémas des informations financières introduits en date du 1er avril 1998 par la circulaire IML 98/142, les tableaux existants ont été complétés par des informations statistiques « ad hoc » applicables aux nouvelles catégories de PSF. La « situation financière de l’établissement » (tableau I) et le « compte de profits et pertes » (tableau III.2) restent d’application et seront étendus désormais à toutes les catégories de PSF. Le tableau « engagements hors-bilan » (tableau III.1) qui a été introduit par la circulaire IML 98/142 en vue de faciliter le calcul du ratio de fonds propres conformément à l’article 56 de la loi modifiée du 5 avril 1993 relative au secteur financier reste d’application. Il est destiné à cerner les risques hors-bilan encourus par l’établissement. Ce tableau s’applique comme dans le passé aux catégories suivantes : - les professionnels intervenant pour leur propre compte, - les distributeurs de parts d’OPC acceptant et faisant des paiements, - les preneurs ferme, ainsi qu’aux dépositaires professionnels de titres et d’autres instruments financiers qui depuis l’entrée en vigueur de la loi du 2 août 2003 sont dorénavant des entreprises d’investissement. Les PSF qui cumulent plusieurs statuts sont tenus de remettre tous les tableaux périodiques « ad hoc » qui se rapportent aux différentes activités couvertes par leur autorisation. A relever que les tableaux pour les activités exercées « de plein droit » sont également à ajouter. Les informations financières précitées sont à remettre à la CSSF suivant la périodicité ci-après : mensuellement : - le tableau I « Situation financière de l’établissement » - les tableaux II « Informations statistiques ad hoc » (tableaux II.1. à II.22.) trimestriellement : - le tableau III.2. « Compte de profits et pertes » - le tableau III.1. « Engagements hors-bilan » Les PSF luxembourgeois qui disposent d’une ou de plusieurs succursales à l’étranger sont priés de remettre également ces mêmes tableaux pour chaque succursale prise séparément, de même que les chiffres globaux (siège et succursales) avec la périodicité indiquée ci-dessus. Pour les tableaux mensuels qui sont à établir à la fin de chaque mois, ceux-ci doivent parvenir à la CSSF pour le 20 du mois qui suit la date de référence. Pour les données trimestrielles dont la date de rapport est le dernier jour de chaque trimestre-calendrier, c’est-à-dire le 31 mars, le 30 juin, le 30 septembre et le 31 décembre, les tableaux en question doivent parvenir à la CSSF pour le 20 du mois qui suit la date de référence. En annexe vous trouverez les schémas des informations financières ainsi que des commentaires et/ou explications relatifs à certains tableaux. La circulaire IML 98/142 est abrogée suite à l’entrée en vigueur au 31 décembre 2005 de la présente circulaire. Veuillez recevoir, Mesdames, Messieurs, l’assurance de nos sentiments très distingués. Commentaires et explications relatifs aux tableaux Tous les tableaux sont à établir en euros (€), même les données « ad hoc », à moins qu’il n’y soit dérogé expressément. Les PSF luxembourgeois qui disposent d’une ou de plusieurs succursales à l’étranger sont priés de remettre également les tableaux qui les concernent pour chaque succursale prise individuellement ainsi que les chiffres globaux (siège et succursales). Les entreprises d’investissement qui ont une ou plusieurs filiales à l’étranger sont priées de remettre des tableaux statistiques pour chaque filiale prise individuellement ainsi que des tableaux consolidés (entreprise d’investissement et filiales) avec la périodicité qui leur sera communiquée par la CSSF. Tableau I. Situation financière Les succursales de PSF établies au Luxembourg doivent établir le tableau sous rubrique en euros (€). Il est recommandé d’établir trimestriellement un bilan « évalué » qui tient compte des ajustements ou corrections de valeurs des postes du bilan concerné. Tableaux II.1. – II. 22. Informations statistiques « ad hoc » Dans la rubrique des « commissions encaissées au cours du mois » reprise dans les différents tableaux « ad hoc », il convient d’indiquer, à la date d’établissement du mois x du tableau, le montant des commissions perçues et enregistrées durant le mois x. Tableau II.1. Conseillers en opérations financières Contrats « conseil » : il s’agit des contrats conclus avec un client en vue de lui fournir sur une période déterminée ou indéterminée des conseils portant sur des opérations financières spécifiques. Volume conseillé au cours du mois : par opposition au tableau II.1. repris dans la circulaire IML 98/142, il s’agit dorénavant de renseigner le volume conseillé à la fin de chaque mois et non la moyenne du montant du patrimoine des clients sous contrat « conseil » pendant l’exercice en cours. Tableau II.2.A. Courtiers Nombre et montant des opérations : il s’agit d’indiquer aux colonnes respectives le nombre et le montant total des différentes catégories d’opérations traitées, initiées et confirmées au cours du mois sous revue. Circulaire CSSF 05/187 Page 3/10 Le statut de courtier implique que le PSF met en relation des parties en vue de la conclusion d’une opération financière spécifique. Ceci signifie que le courtier a toujours affaire à deux contreparties au moins lors de la conclusion d’une opération de courtage. Il s’en suit que les chiffres à reprendre au tableau « contreparties » sont à doubler pour mieux refléter l’importance relative de chaque contrepartie dans le total des transactions effectuées. Tableau II.2.B. Commissionnaires Volume des opérations traitées au cours du mois : il s’agit de reprendre sur ce tableau toutes les opérations financières ayant le caractère d’opérations de commissionnaire faites par le professionnel du secteur financier au cours du mois pour compte de tiers ; ne sont pas à reprendre les opérations qui pour une raison ou une autre n’ont pas été réalisées ; la sous-rubrique « opérations traitées dans le cadre d’un mandat de gestion » est destinée à reprendre les opérations faites par le professionnel du secteur financier au cours du mois dans le cadre des mandats de gestion de fortunes (discrétionnaire ou non discrétionnaire) lui conférés par les clients. Commissions perçues et payées au cours du mois : ne sont à reprendre que les montants des commissions provenant d’opérations financières autres que celles exécutées dans le cadre d’un mandat de gestion de fortunes. Tableau II.3. Gérants de fortunes Total des avoirs en gestion (tableau des clients privés et OPC) : il convient de renseigner le montant total des avoirs gérés à la valeur de marché. Dans la mesure où les avoirs des clients privés sont investis dans des OPC qui sont également gérés par le PSF, ce montant est à déduire du total des avoirs en gestion afin d’éviter un double comptage. A noter que la notion « clients privés » englobe aussi la clientèle institutionnelle, à l’exclusion des OPC. Mandats de gestion (tableau des clients privés et institutionnels et tableau des OPC gérés par le PSF) : la colonne « nombre » reprend le nombre total des mandats de gestion discrétionnaire et non discrétionnaire (gestion conseil). Mandats de gestion de fortunes discrétionnaire (tableau des clients privés et institutionnels, à l’exclusion des OPC) : dans le cadre du mandat de gestion signé entre le mandant et le mandataire (la société de gestion de fortunes), le mandant autorise le mandataire à exécuter de sa propre initiative les opérations financières telles que définies ou énumérées dans le contrat. Avoirs en gestion (tableau des clients privés et institutionnels et tableau des OPC gérés par le PSF) : les établissements doivent renseigner les avoirs en gestion à leur valeur de marché au moment de l’établissement du tableau. Commissions encaissées au cours du mois : il s’agit d’indiquer le montant brut des commissions perçues (commissions de gestion, commissions de performance, commissions de courtage etc.) dans le cadre de la gestion de fortunes au cours du mois pour lequel le tableau est établi. Circulaire CSSF 05/187 Page 4/10 Deux nouvelles rubriques viennent d’être introduites, à savoir : - nombre de banques dépositaires au Luxembourg et montant des avoirs clients y déposés, - nombre de banques dépositaires à l’étranger et montant des avoirs clients y déposés (dont en dehors de l’Union européenne). Tableau II.4. Professionnels intervenant pour leur propre compte Le tableau est divisé en deux parties, à savoir : les valeurs mobilières à revenu fixe et les valeurs mobilières à revenu variable. Chacune de ces parties est subdivisée en trois sous-catégories : - le portefeuille des immobilisations financières (« Anlagebestand », « investment portfolio ») : les valeurs mobilières à revenu fixe ou variable ont le caractère d’immobilisations financières lorsqu’elles sont « destinées à servir de façon durable à l’activité de l’entreprise ». La durée de détention n’est pas définie par la loi. S’agissant de valeurs mobilières à caractère d’immobilisé, il semble toutefois qu’a priori, une détention ne puisse être considérée comme durable que lorsqu’elle est à long terme et en principe jusqu’à l’échéance. Les établissements doivent avoir l’intention de garder ces titres jusqu’à l’échéance, ce qui n’empêche toutefois pas que les titres en question puissent être revendus avant cette échéance. - le portefeuille de négociation : il s’agit des valeurs mobilières qui sont acquises ou vendues dès l’origine avec l’intention de les revendre ou de les racheter à brève échéance et qui répondent aux caractéristiques suivantes : * elles sont négociables sur un marché dont la liquidité peut être considérée comme assurée, * les prix de marché des valeurs mobilières concernées sont constamment accessibles aux tiers. Les valeurs mobilières acquises avec l’intention de les revendre à brève échéance, mais qui ne répondent pas aux caractéristiques spécifiées ci-avant, ne sont pas à faire figurer parmi les titres du portefeuille de négociation, mais sont à inclure dans le portefeuille de placement. Concernant les éléments du portefeuille de négociation, il y a lieu de se reporter également à la partie II, point 1 de la circulaire CSSF 2000/12 portant définition de ratios de fonds propres en application de l’article 56 de la loi modifiée du 5 avril 1993 relative au secteur financier. - le portefeuille de placement : il s’agit de valeurs mobilières qui ne constituent pas des immobilisations financières et qui ne sont pas par ailleurs comprises dans le portefeuille de négociation. Il s’agit en principe de titres acquis dans un but de placement/rendement ou pour constituer une certaine structure d’actifs ou une certaine liquidité secondaire. Les titres de placement comprennent également les titres acquis avec l’intention de les vendre à court terme, mais qui ne répondent pas aux caractéristiques requises pour pouvoir être inclus parmi les titres du portefeuille de négociation. Circulaire CSSF 05/187 Page 5/10 Alors que le portefeuille des immobilisations financières est à reprendre au niveau de la situation financière (tableau I) à la rubrique 3.3. des immobilisations financières, les portefeuilles de négociation et de placement sont à reprendre à la rubrique 4.4. des valeurs mobilières. Tableau II.5. Dépositaires professionnels de titres et d’autres instruments financiers Avoirs de tiers détenus en dépôt : il importe de renseigner ces avoirs à leur valeur de marché au moment de l’établissement du tableau. Tableau II.6. Distributeurs de parts d’OPC Parts distribuées : il s’agit d’indiquer le nombre et le montant total (sans inclure les commissions) des parts d’OPC distribuées ou vendues au cours du mois. Parts rachetées : il s’agit d’indiquer le nombre et le montant total (sans inclure les commissions) des parts rachetées au cours du mois. Commissions encaissées : ces commissions sont celles perçues dans le cadre de l’activité de distribution et de rachat de parts d’OPC au cours du mois. Remarque : Un gérant de fortunes qui dans le cadre de son activité de gestionnaire investit les avoirs de ses clients dans des OPC n’effectue pas pour autant une activité de distributeur de parts d’OPC. En effet, son activité se limite à un investissement dans un OPC qui n’est pas à considérer comme une commercialisation d’un OPC. Tableau II.7. Preneurs ferme Il s’agit d’indiquer le nombre et la valeur d’acquisition totale des titres pris ferme au cours du mois ; il n’est pas tenu compte des titres vendus/placés au cours du mois. Tableau II.8. Agents de transfert et de registre Ce tableau reprend le nombre et l’actif net des OPC pour lesquels l’activité d’agent de transfert et de registre est effectuée et le nombre total de compartiments. Une ventilation est également à faire entre les OPC de droit luxembourgeois et les OPC de droit étranger. Tableau II.9. Teneurs de marché Il s’agit d’indiquer le nombre total et la valeur d’acquisition/la valeur de vente des titres traités en qualité de teneur de marché au cours du mois. Tableau II.10. Personnes effectuant des opérations de change-espèces Nombre d’opérations de change effectuées au cours du mois : il s’agit de reprendre le nombre d’opérations de change réalisées et non pas le nombre de clients pour lesquels ces opérations sont effectuées. Circulaire CSSF 05/187 Page 6/10 Montant des opérations de change réalisées au cours du mois : le PSF est censé renseigner le montant total (après déduction des commissions) des opérations de change réalisées. Tableau II.11. Recouvrement de créances Nombre de débiteurs pour lesquels le recouvrement est demandé : il s’agit d’indiquer le nombre de débiteurs dont le remboursement est en souffrance. Montant total des encours : il s’agit d’indiquer le montant total des créances en souffrance (valeur nominale) que le PSF est censé recouvrer. Nombre de clients demandant le recouvrement : il s’agit d’indiquer le nombre de clients - personnes physiques et personnes morales - qui font appel aux services du PSF pour recouvrer les encours en souffrance auprès de leurs débiteurs. Tableau II.12. Professionnels effectuant des opérations de prêt Il convient de renseigner dans les statistiques financières « ad hoc » des détails sur les prêts accordés. Nombre de contrats : il convient de renseigner le nombre total de prêts accordés (sans faire de distinction entre le fait que le PSF supporte ou non les pertes éventuelles sur des débiteurs insolvables). Montant des prêts/encours : il convient d’indiquer le montant nominal (sans déduction des corrections de valeur) des prêts accordés. Corrections de valeur : il s’agit de reprendre les corrections de valeur constituées. Par ailleurs, en vue de cerner le risque de crédit et le risque sectoriel du professionnel effectuant des opérations de prêt, le tableau des débiteurs dont les encours sont supérieurs à 10% des fonds propres du PSF est à établir. Les fonds propres sont constitués par le capital social augmenté des réserves légalement formées et du bénéfice de l’exercice éventuel, les pertes reportées et la perte de l’exercice éventuelle venant en déduction des fonds propres. Montants impayés après 90 jours : il convient d’indiquer le montant nominal échu mais non payé par les débiteurs après 90 jours. Tableau II. 13. Professionnels effectuant du prêt de titres Il s’agit d’indiquer dans les statistiques financières « ad hoc » des détails sur ces opérations de prêts de titres. Dans les rubriques « Montant total des titres empruntés » et « montant des titres prêtés » la valeur d’acquisition est à renseigner. La rubrique « Montant brut des positions ouvertes » reprend toutes les opérations qui restent ouvertes à la date de référence. Circulaire CSSF 05/187 Page 7/10 Tableau II. 14. Professionnels effectuant des services de transfert de fonds Dans ce tableau, il convient de préciser à côté du nombre total d’opérations de transfert de fonds réalisées au cours du mois et le montant total de ces opérations, le nombre et le montant des transferts de fonds réalisés au départ du Luxembourg vers les autres continents, à savoir l’Afrique, l’Australie, l’Amérique et l’Asie. Tableau II. 15. Administrateurs de fonds communs d’épargne Montant du fonds commun d’épargne : il s’agit de renseigner le montant nominal des fonds collectés. Nombre de clients dépositaires : le nombre total de déposants du fonds commun d’épargne est à reprendre à cette rubrique, c’est-à-dire le nombre de contrats « convention d’épargne ou convention d’administration » qui ont été signés. Tout comme dans le tableau du gérant de fortunes, il convient de donner dans ce tableau une indication chiffrée sur le nombre d’établissements de crédit dépositaires luxembourgeois et le nombre d’établissements de crédit dépositaires situés dans un autre pays de l’Union européenne. Tableau II. 16. Gestionnaires d’OPC non coordonnés Nombre de mandats de gestion : il convient de reprendre le nombre d’OPC non coordonnés gérés. Avoirs des OPC gérés : il s’agit de reprendre les avoirs des OPC à la valeur de marché. Commissions encaissées au cours du mois : il s’agit d’indiquer le montant des commissions encaissées dans le cadre de l’activité de gestionnaire d’OPC non coordonnés. Tableau II.17. Agents de communication à la clientèle Dans ce tableau, il convient de cerner les services prestés par l’agent de communication à la clientèle à des professionnels du secteur financier. Le schéma énumère un certain nombre de services que le PSF peut prester et prévoit une indication chiffrée sur le nombre de contrats par service presté et le montant des prestations facturées par catégorie de service fourni au cours du mois. Tableau II.18. Agents administratifs du secteur financier Dans ce tableau, il convient de cerner la nature des contrats de sous-traitance conclus par l’agent administratif du secteur financier avec des professionnels du secteur financier. Le schéma énumère un certain nombre de contrats de services que le PSF peut prester en sous-traitance. Il requiert une indication chiffrée sur le nombre de contrats de soustraitance contractés ainsi que sur le montant des prestations facturées par catégorie de service au cours du mois. Opérateurs de systèmes informatiques et de réseaux de communication du secteur financier Dans ce tableau, il s’agit de cerner les services prestés par l’opérateur de systèmes informatiques et de réseaux de communication du secteur financier à des professionnels actifs exclusivement dans le secteur financier. Le schéma est à établir d’après les critères retenus pour l’agent administratif du secteur financier. Tableau II.20. Professionnels effectuant des services de constitution et de gestion de sociétés A côté des données chiffrées sur le nombre de sociétés constituées et gérées, il convient de renseigner dans un deuxième tableau les relations bancaires des sociétés constituées et gérées au Luxembourg et à l’étranger. Dans ce deuxième tableau, il s’agit de reprendre les noms des établissements de crédit qui traitent avec les sociétés constituées et gérées par le PSF. Tableau II.21. Domiciliataires de sociétés Le premier tableau a pour but de recenser des données chiffrées sur le nombre de sociétés domiciliées. Dans le deuxième tableau, il s’agit de reprendre les noms des établissements de crédit qui traitent avec les sociétés domiciliées auprès du PSF. Tableau II.22. Professionnels pouvant exercer toutes les activités permises par l’article 28 de la loi du 15 décembre 2000 sur les services postaux et les services financiers postaux Nombre de déposants : il s’agit de recenser le nombre de comptes CCP qui sont ouverts auprès du professionnel, ces comptes pouvant être des comptes individuels ou des comptes joints. Montant des dépôts : il s’agit de reprendre le montant nominal des dépôts CCP ainsi que l’affectation des avoirs de tiers par le professionnel (dépôts sur des comptes à vue ou des comptes à terme). Nombre de cartes de crédit émises et nombre de cartes postchèques émises : il s’agit de reprendre le nombre de cartes émises par le professionnel qui sont en circulation. Professionnels autorisés à exercer toutes les activités du secteur financier permises aux professionnels du secteur financier auxquels s’applique la section 1 du chapitre 2 de la partie I de la loi modifiée du 5 avril 1993 relative au secteur financier, à l’exclusion des catégories de PSF visées également par la section 2 du même chapitre. Les professionnels autorisés sous cette catégorie font état d’une grande diversité au niveau de leurs activités. Etant donné que les activités rencontrées ne peuvent pas être reprises sous un schéma unique, un tableau individuel sera communiqué à chaque professionnel qui tiendra compte de ses activités exercées. Compared to the schemes of financial information introduced on 1 April 1998 by Circular IML 98/142, the existing tables were completed with statistical ad hoc information applicable to the new categories of PFS. The "Financial situation of the institution" (table I) and the "Profit and loss account" (table III.2) remain applicable and will henceforth apply to all categories of PFS. Table "Off-balance sheet commitments" (table III.1) which was introduced by Circular IML 98/142 in order to facilitate the calculation of the capital ratio pursuant to Article 56 of the law of 5 April 1993 on the financial sector, as amended, remains applicable. The purpose of this table is to determine the off-balance sheet risks which the institution may incur. As in the past, this table applies to the following categories: - the professionals acting for their own account; - the distributors of units of investment funds accepting and making payments; - the underwriters; as well as to the professional custodians of securities or other financial instruments which are investment firms since the entry into force of the law of 2 August 2003. The PFS which have several statuses must submit all the periodic "ad hoc" tables which refer to the various activities covered by their authorisation. It should be borne in mind that the tables for the activities exercised ipso jure shall also be added. The above-mentioned financial information shall be submitted to the CSSF on the following time basis: monthly: - table I "Financial situation of the institution" - table II "Statistical ad hoc information" (table II.1. to II.22.) quarterly: - table III.2. Table I. Financial situation Luxembourg branches of PFS must draw up the relevant table in Euros (€). An "assessed" balance sheet which takes into account value adaptations or adjustments of the balance sheet items concerned shall be drawn up on a quarterly basis. Tables II.1. - II.22. Statistical "ad hoc" information Under Commissions received during the month included in various "ad hoc" tables, the amount of the commissions received and registered during the month x should be indicated, at the date when the table was drawn up for the month x. Table II.1. Financial advisors Advice agreements means agreements entered into with a client in order to provide the latter with advice on specific financial transactions during a defined or indefinite period. The volume advised during the month shall henceforth report the volume advised at the end of each month, as opposed to table II.1. referred to in Circular IML 98/142 which required the mean of the asset amount of clients under an "advice" agreement during the financial year under review. Table II.2.A. Brokers The number and amount of transactions shall indicate the number and total amount of the different transaction categories dealt with, initiated and confirmed during the month under review in the relevant columns. The status of broker implies that the PFS mediates between the parties in order to execute a specific financial transaction. This means that the broker always works with at least two counterparties during the execution of a brokerage transaction. Thus, the Circular CSSF 05/187 Page 3/10 figures to be indicated in the table Counterparties shall be doubled in order to better reflect the importance of each counterparty in the total of the executed transactions. Table II.2.B. Commission agents The volume of the executed transactions during the month shall indicate all financial transactions in the form of commission agent's transactions executed by a professional of the financial sector for a third person during the month. The transactions which for some reason were not executed shall not be indicated. The sub-section of which: transactions executed under a management mandate is used to indicate the transactions executed by the professional of the financial sector under mandates of private portfolio management (discretionary or non discretionary), given by the client, during the month. The commissions received and paid during the month shall only indicate the amounts of commissions resulting from financial transactions other than those executed under a mandate of private portfolio management. Table II.3. Private portfolio managers Total of managed assets (table of private clients and UCIs) shall indicate the total amount of assets managed at market value. Insofar as the assets of private clients are invested in UCIs which are also managed by the PFS, this amount shall be deducted from the total of the managed assets in order to avoid double counting. It should be borne in mind that the term "private clients" also includes institutional clients, except UCIs. Under the management mandates (table of private and institutional clients and table of UCIs managed by the PFS), the column Number shall include the total amount of discretionary and non-discretionary management mandates (advice management). Mandates of discretionary private portfolio management (table of private and institutional clients, except UCIs) means that in the framework of the management mandate signed between the person represented and the authorised representative (the private portfolio management company), the person represented authorises the authorised representative to execute on its own initiative financial transactions such as defined or listed in the agreement. Under Total of managed assets (table of private and institutional clients and table of UCIs managed by the PFS), the institutions shall indicate managed assets at their market value at the time of the drawing-up of the table. Commissions received during the month shall indicate the gross amount of the commissions received within the framework of private portfolio management (management commissions, performance commissions, brokerage commissions etc.) during the month for which the table is drawn up. Each part is divided in three subcategories: - Portfolio of financial fixed assets ("Anlagebestand", "portefeuille des immobilisations financières") means fixed-income or variable-yield securities which are held as financial fixed assets when they are "intended for use on a continuing basis for the purposes of the undertaking's activities".
