The relevant procedure is the “Cross-border Marketing Notifications Tool”, which is already available for AIFMs’ marketing notifications and de-notifications. It will also be possible to use an API solution (S3 technology) to submit the packages for the entities concerned. More details will be provided in December with the publication of a new version of the user guide. 12 May 2022 Circular CSSF 22/810 Notification and de-notification procedures to be observed by Luxembourg undertakings for collective investment and investment fund managers for pre-marketing and cross-border marketing CSSF circular PDF (115.73Kb) PDF (113.31Kb) Relevant for Management companies - Chapter 15 Undertakings for collective investment in transferable securities (UCITS) Circulaire CSSF 22/810 Procédures de notification et de retrait de la notification à observer par les organismes de placement collectif et les gestionnaires de fonds d’investissement de droit luxembourgeois en vue de la pré-commercialisation et de la commercialisation transfrontalière CIRCULAIRE CSSF 22/810 1/5 Circulaire CSSF 22/810 Concerne : Procédures de notification et de retrait de la notification à observer par les organismes de placement collectif et les gestionnaires de fonds d’investissement de droit luxembourgeois en vue de la pré-commercialisation et de la commercialisation transfrontalière Mesdames, Messieurs, Luxembourg, le 12 mai 2022 A tous les organismes de placement collectif et tous les gestionnaires de d’investissement de fonds droit luxembourgeois La directive 2009/65/CE du Parlement européen et du Conseil du 13 juillet 2009 portant coordination des dispositions législatives, réglementaires et administratives concernant certains organismes de placement collectif en valeurs mobilières, telle que modifiée (la « Directive OPCVM »), ainsi que la Directive 2011/61/UE du Parlement européen et du Conseil du 8 juin 2011 sur les gestionnaires de fonds d’investissement alternatifs (la « Directive GFIA ») prévoient, entre autres, des procédures de notification pour les organismes de placement collectif en valeurs mobilières (« OPCVM »), respectivement pour les gestionnaires de fonds d’investissement alternatifs autorisés (« GFIA ») qui entendent commercialiser leurs parts, respectivement les parts des fonds d’investissement alternatifs (« FIA ») qu’ils gèrent, dans un État membre de l’Union européenne (« État membre ») autre que celui où ils sont établis (ou dans leur État membre d’origine pour les GFIA) . Ces procédures de notification qui ont pour objet de faciliter la distribution transfrontalière d’OPCVM et de FIA dans l’Union européenne se font directement entre les autorités de surveillance des États membres sur base d’un dossier que l’OPCVM, respectivement le GFIA doit remettre à l’autorité de surveillance de l’État membre d’origine. Les dispositions afférentes de la Directive OPCVM ont été transposées par les chapitres 6 et 7 de la loi du 17 décembre 2010 concernant les organismes de placement de collectif (la « Loi 2010 ») et celles de la Directive GFIA par le chapitre 6 de la loi du 12 juillet 2013 relative aux GFIA (la « Loi GFIA »). La Directive OPCVM et la Directive GFIA ont été modifiées par la Directive 2019/1160 du Parlement européen et du Conseil du 20 juin 2019 en ce qui concerne la distribution transfrontalière des organismes de placement collectif (la « Directive CBDF »). La Directive CBDF a, entre autres, introduit une procédure de notification additionnelle concernant les retraits de notification de compartiments d’OPCVM et de FIA (et de types de parts d’OPCVM) qui sont également réalisés directement entre les autorités de surveillance des États membres sur base d’un dossier que l’OPCVM respectivement le GFIA doivent remettre à l’autorité de surveillance de l’État membre d’origine. La Directive CBDF a également introduit une définition harmonisée de la notion de précommercialisation dans le domaine des fonds d’investissement alternatifs et a fixé les conditions applicables aux activités de pré-commercialisation par les GFIA. Dans ce contexte, tout GFIA doit remettre une notification de pré- CIRCULAIRE CSSF 22/810 2/5 commercialisation à l’autorité de surveillance de l’État membre d’origine, qui en informe les autorités compétentes des États membres dans lesquels le GFIA entame ou a entamé des activités de pré-commercialisation. La présente circulaire vise à informer les organismes de placement collectif ainsi que les gestionnaires de fonds d’investissement de droit luxembourgeois que des procédures de notification et de retrait de la notification en vue de la précommercialisation et progressivement mises de commercialisation à disposition transfrontalière dans le portail seront eDesk (https://edesk.apps.cssf.lu/edesk-dashboard/dashboard/getstarted). La circulaire CSSF 11/509 1 sera en conséquence à terme abrogée. La CSSF va continuer à informer les entités qui tombent dans le champ d’application de la présente circulaire sur l’évolution des procédures disponibles dans le portail eDesk par des communiqués séparés.
  2. Champ d’application de la circulaire La présente circulaire s’applique aux entités surveillées ainsi qu’aux procédures de notification et de retrait de la notification suivantes : a. les OPCVM qui relèvent de la partie I de Loi 2010 qui, conformément au Chapitre 6 de ladite loi, désirent: - commercialiser leurs parts dans un autre État membre; ou - retirer la notification des modalités prévues pour la commercialisation de leurs parts dans un autre État membre ; b. les GFIA établis au Luxembourg effectuant une pré-commercialisation au Luxembourg ou dans un autre État membre, conformément à article 28-1 de la Loi GFIA; c. les GFIA établis au Luxembourg qui désirent : - commercialiser au Luxembourg des parts ou actions de FIA de l’Union européenne qu’ils gèrent conformément à l’article 29 de la Loi GFIA ; - retirer la notification relative à la commercialisation au Luxembourg des parts ou actions de FIA de l’Union européenne qu’ils gèrent conformément à l’article 29-1 de la Loi GFIA; d. les GFIA établis au Luxembourg qui désirent: - commercialiser dans un autre Etat membre des parts ou actions de FIA de l’Union européenne qu’ils gèrent conformément à article 30 de la Loi GFIA) ; 1 Circulaire CSSF 11/509 (telle que modifiée par la circulaire 21/778) – Procédures de notification à observer par un OPCVM de droit luxembourgeois qui désire commercialiser ses parts dans un autre Etat membre de l’Union européenne et par un OPCVM ressortissant d’un autre Etat membre de l’Union européenne qui désire commercialiser ses parts au Luxembourg CIRCULAIRE CSSF 22/810 3/5 - retirer la notification relative à la commercialisation dans un autre État membre des parts ou actions de FIA de l’Union européenne qu’ils gèrent conformément à l’article 30-1 de la Loi GFIA ; e. les gestionnaires d’EuVECA et d’EuSEF luxembourgeois effectuant une précommercialisation au Luxembourg ou dans un autre Etat membre conformément à l’article 4a du Règlement (UE) n° 345/2013 respectivement à l’article 4a du Règlement (UE) n° 346/2013; f. les gestionnaires d’EuVECA et d’EuSEF luxembourgeois commercialisant des fonds au Luxembourg ou dans un autre Etat membre conformément à l’article 16

These notification procedures that aim at facilitating the cross-border distribution of UCITS and AIFs in the European Union are performed directly between the supervisory authorities of the Member States based on the information that the UCITS or the AIFM respectively has to provide to the supervisory authority of the home Member State. The provisions relating to the UCITS Directive have been transposed by chapters 6 and 7 of the Law of 17 December 2010 relating to undertakings for collective investment, as amended (the “2010 Law”), and the provisions relating to the AIFM Directive by chapter 6 of the Law of 12 July 2013 on alternative investment fund managers (the “AIFM Law”). The UCITS Directive and the AIFM Directive were amended by Directive (EU) 2019/1160 of the European Parliament and of the Council of 20 June 2019 with regard to cross-border distribution of collective investment undertakings (the “CBDF Directive”.) The CBDF Directive introduced, among others, an additional procedure to de-notify UCITS and AIF sub-funds (and UCITS share classes), which is also directly performed between the supervisory authorities of the Member States based on a file that the UCITS or AIFM must submit to the supervisory authority of the home Member State. The CBDF Directive also introduced a harmonised definition of pre-marketing in the context of AIFs and specified conditions for premarketing by AIFMs. In this context, each AIFM must submit a pre-marketing notification to the supervisory authority of the home Member State, which in turn informs the competent authorities of the Member States where pre-marketing activities have started or are planned to start. The purpose of this circular is to inform the Luxembourg UCIs and AIFMs that notification and de-notification procedures for pre-marketing and cross-border CIRCULAR CSSF 22/810 2/5 marketing will progressively be made available in the eDesk Portal (https://edesk.apps.cssf.lu/edesk-dashboard/dashboard/getstarted). Consequently, Circular CSSF 11/509 1 will ultimately be repealed. By means of separate communiqués, the CSSF will continue to inform the entities falling under the provision of this circular on the evolution of the procedures available in the eDesk Portal.
  3. Scope of the circular This circular applies to the following supervised entities as well as notification and de-notification procedures: a. UCITS subject to part I of the 2010 Law that, in accordance to chapter 6 of said law, wish to: - market their shares in another Member State; or - de-notify arrangements made for marketing their shares in another Member State; b. Luxembourg AIFMs engaging in pre-marketing in Luxembourg or another c. Luxembourg AIFMs wishing to: Member State, in accordance with Article 28-1 of the AIFM Law; - market in Luxembourg units or shares of an EU AIF that they manage in accordance with Article 29 of the AIFM Law; - de-notify arrangements made for marketing in Luxembourg units or shares of an EU AIF that they manage in accordance with Article 29-1 of the AIFM Law; d. Luxembourg AIFMs wishing to: - market in another Member State units or shares of an EU AIF that they - de-notify arrangements made for marketing in another Member State manage in accordance with Article 30 of the AIFM Law; units or shares of an EU AIF in accordance with Article 30-1 of the AIFM Law; e.
