Art. 2.- Est approuvé le Cinquième Protocole annexé à l’Accord général sur le commerce des services concernant les services financiers. - Pour le Grand-Duc: Son Lieutenant-Représentant Henri Grand-Duc héritier 1494 TROISIEME PROTOCOLE ANNEXE A L’ACCORD GENERAL SUR LE COMMERCE DES SERVICES Les Membres de l’Organisation mondiale du commerce dont les Listes d’engagements spécifiques annexées à l’Accord général sur le commerce des services qui concerne le mouvement des personnes physiques sont annexées au présent protocole, Ayant mené des négociations conformément aux dispositions de la Décision ministérielle sur les négociations sur le mouvement des personnes physiques adoptée à Marrakech le 15 avrilI 1994, Eu égard aux résultats de ces négociations, Eu égard à la Décision sur le mouvement des personnes physiques adoptée par le Conseil du commerce des services le 30 juin 1995, CONVIENNENT des dispositions suivantes:
- Les engagements concernant le mouvement des personnes physiques annexés au présent protocole pour un Membre remplaceront ou compléteront, à l’entrée en vigueur du présent. protocole pour ce Membre, les entrées pertinentes, relatives au mouvement des personnes physiques, de la Liste d’engagements spécifiques de ce Membre.
- Le présent protocole sera ouvert à l’acceptation, par voie de signature ou autrement, des Membres concernés jusqu’au 30 juin
- Le présent protocole entrera en vigueur le trentième jour qui suivra le ler janvier 1996 pour les Membres qui l’auront accepté à cette date et, pour ceux qui l’accepteront après cette date, et au plus tard le 30 juin 1996, il entrera en vigueur le trentième jour qui suivra la date de chaque acceptation. Si un Membre dont la liste est annexée au présent protocole n’accepte pas celui-ci d’ici à cette date, la question sera portée devant le Conseil du commerce des services pour qu’il l’examine et prenne les dispositions appropriées.
- Le présent protocole sera déposé auprès du Directeur général de l’Organisation mondiale du commerce. Le Directeur général remettra dans les moindres délais à chaque Membre une copie certifiée conforme du présent protocole et des notifications des acceptations dudit protocole conformément au paragraphe

- a)Executives and senior managers, as intra-corporate transferees, for periods of initial stay up to four years. Executives and senior managers being natural persons who are employees of a company operating in Australia, and who will be responsible for the entire or a substantial part of that company’s operations in Australia, receiving general supervision or direction principally from higher level executives, the board of directors or stockholders of the business, including directing the company or a department or subdivision of it; supervising and controlling the work of other supervisory, professional or managerial employees; and having the authority to establish goals and policies of the department or subdivision of the company.
- b)Independent executives, without compliance with requiring labour market tests, for periods of initial stay up to a maximum of two years. Independent executives being natural persons who meet the criteria of executives and senior managers who intend, or are responsible for the establishment in Australia, of a new business of a service supplier with its head of operations in the territory of another Member and which has no other representative, branch or subsidiary in Australia.
- c)Service Sellers, as business visitors, without requiring compliante with labour markets tests, for periods of initial stay of up to six months. Additional commitments 1496 Sector or subsector Limitations on market access Service Sellers being natural persons not based in Australia who are (sales) representatives of a service supplier and are seeking temporary entry for the purpose of negotiating for the sale of services or entering into agreements to sell services for that service supplier, where those representatives will not be engaged in making direct sales to the general public or in supplying services themselves. Applicants for business visitor visas are natural persons seeking to travel to Australia for business purposes and not intending to engage in work that might otherwise be carried out by an Australian Citizen or permanent resident. This requirement will be satisfied where the service seller’s remuneration and financial support for the duration of the visit are derived entirely from sources outside Australia. This requirement would also normally be regarded as being satisfied in cases where the person seeking a business visit visa had won a contract to provide a service in Australia. (
- d)Specialists, subject to individual compliance to labour market testing, for periods of initial stay up to a maximum of two years with provision of extension provided the total stay does not exceed four years. Specialists, being natural persons with trade, technical or professional skills who are responsible for or employed in a particular aspect of a company’s operations in Australia. Skills are assesed in terms of the applicant’s employment experience, qualifications and suitability for the position. Labour market testing is not required for (
- i)natural persons who have specialised knowledge at an advanced level of a proprietary nature of the company’s operations and have been employed by the company for a period of not less than two years and (
- ii)if the position in question is within a labour agreement in force at the time of application. HORIZONTAL COMMITMENTS Access is subject to the following conditions: - The natural persons are engaged in the supply of a service on a temporary basis as employees of a juridical person, who has no commercial presence in any Member State of the European Community. - The juridical person has obtained a service contract, for a period not exceeding 3 months from a final consumer in the Member State concemed, through an open tendering procedure or any other procedure which guarantees the bona fide character of the contract (e.g. adverstisement of the availability of the contract) where this requirement exists or is introduced in the Member State pursuant to the laws, regulations and requirements of the European Community or its Member States. - The natural person seeking access should be offering such services as an employee of the juridical person supplying the service for at least the year (two years in case of GR) immediately preceding such movement. The temporary entry and stay within the Member State concerned shall be for a period of not more than three months in any 12 months period (24 months in the case of NL) or for the duration of the contract, whatever is less. I All other requirement of European Community and Member States’ laws, regulations and requirements regarding entry, stay and work shall continue to apply. Managers are: Persons who direct a branch office or one or more departments as their head, or supervise or control the work of other supervisory, professional or managerial personnel and have the authority to appoint or remove the personnel and powers to exercise discretionary authority over day-to-day operations.

Additional commitments 1509 Limitations on market access Limitations on national treatment Executives are: Persons who are in senior positions within a juridical person including a branch who primarily direct the management, have wide decisionmaking powers and are either members of the board of directors or receive directions from the board or the general body of shareholders. Specialists are: Persons who possess high qualifications and knowledge at an advanced level relevant to the organization’s activitites or of the organization’s research, equipment, techniques or management and may include persons who are members of accredited professional bodies. Entry for persons in the above categories shah be for a maximum period of five years. (c) Professionals Natural persons to be engaged by a juridical person in India as part of a services contract for rendering professional services for which he/she possess the necessary academies credentials and professional qualifications with three years experience in the fïeld of physical sciences, engineering or other natural sciences. (4)Unbound, except for the temporary presence of natural persons providing services without being employed by a juridical person who has commercial presence in Norway. Compliance with an economic needs test is not required. Access is subject to the following conditions: Unbound except for measures concerning the categories of natural persons referred to in the Market Access column. 1. HORIZONTAL COMMITMENTS A work permit must be obtained. A work permit must be issued to a natural person who is considered to be a haigher-level skilled worker or to have special qualifications. During his/her stay in Norway, the natural person will have to be employed by the recipient of the service. The competence of the naturai person must be deemed absolutely necessary for the recipient of the service. If it is apparent that there will be a permanent need for such labour, or if during the last six months a permit has been issued for the performance of the same kind of work for the same recipient of the service, a permit shall not be granted. The temporary entry and stay shall be limited to three months in an y twelve month period or for the duration of the contract, whatever is less. The commitment relates only to the service activity which is the subject of the contract. It does not entitle to exercise the profession as such. Al1 other requirements regarding entry, stay, wages, working conditions and social security benefïts shall continue to apply. (4)Unbound, except for measures concerning the entry and temporary stay of natural persons (hereafter persons) falling within the following categories, as defined in paragraphs 1 and II below, and subject to the following limitations and conditions and to the limitations and conditions on national treatment set out under the national treatment column: Entry and stay of foreign service suppliers in Switzerîand is subject to authorization (requirement of residency permit and work permit). Authorization is granted subject to measures fixing overall numbers of work permits allocated.
(4)Unbound, except for measures concerning the categories of natural persons referred to in the market access column, subject to the following limitations and conditions: Working conditions prevailing in the branch and the place of activity provided by law and/or collective agreement (with respect to remuneration, working hours, etc.), measures limiting professional and geographical mobility within Switzerland, regulations related to statutory systems of social security and public retirement plans (with respect to qualifying period, residency requirement, etc.), and a11 other provisions of the legislation relating to immigration, entry, stay and work. For essential personnel as defined in paragraph 1 below, the period of stay is limited to a period of three years, which may be extended to a maximum of four years. For other essential personnel as defïned in paragraph II below, the period of stay is limited to three months within one year; if an authorization for such a period of stay is renewed the following yars, the applicant must stay abroad at least two months between the two consecutive periods of stay in Switzerland. Persons staying in or entering Switzerland with an open-ended or prolongable residence permit based on an employment contract not limited in time for Switzerland are not considered as persons residing in or entering Switzerland for the put-pose of temporary stay or temporary employment in Switzerland. The enterprise employing such persons shall cooperate, upon request, with the authorities in charge of the enforcement of theses measures. Eligibility for subsidies, tax incentives and tax credits may be limited to persons domiciled in a particular geographical subdivision of Switzerland. I. - b)Specialists: highly qualified persons who, within an enterprise, are essential for the provision of a specific service by reason of their knowledge at an advanced level of expertise in the field of services, research equipment, techniques or management of the enter-prise. II. Other essentiel persons moving to Switzerland (
- a)Services Sellers: Persons employed or mandated by an enterprise and who stay temporarily in Switzerland in order to conclude the contract for the sale of a service on behalf of the enterprise which employs them or has mandated them. Services Sellers may not sel1 services directly to the general public or supply services themselves. (
- b)Persons responsible for the setting up of a commercial presence: Persons who are employees of an enterprise not having commercial presence in Switzerland and who have been beforehand employees of that enterprise outside Switzerland for a time periocl not less than one year immediately preceding their application for admission, and who fulfil the conditions of paragraph I(
- a)above, and who are entering Switzerland for the pur-pose of setting up a commercial presence of that enterprise in Switzerland. Persons responsible for the setting-up of a commercial presence may not engage in making direct sales to the general public or supply services themselves. Individual services providers not employed by such enterprise outside Switzerland are considered as persons seeking access to the Swiss employment market. - b)Spécialistes: personnes hautement qualifiées qui, dans une firme, sont indispensables pour la fourniture d’un service en raison de leurs connaissances à un niveau élevé d’expertise en matière de services, de matériel de recherche, de techniques ou de gestion de la firme. II. Autres personnes indispensables se rendant en Suisse
- a)Vendeurs de services: personnes employées ou mandatées par une firme, qui séjournent temporairement en Suisse afin de conclure des contrats de vente de services pour le compte de cette firme. Les vendeurs de services ne peuvent vendre directement des services au public en général, ni fournir eux-mêmes des services.
- b)Personnes chargées d’établir une présence commerciale: personnes employées par une firme sans présence commerciale en Suisse, qui ont été déjà employées par la firme hors de Suisse pendant au moins un an précédant immédiatement leur demande d’admission, qui remplissent les conditions énoncées sous I.
- a)ci-dessus et qui entrent en Suisse aux fins d’y établir une présence commerciale de cette firme. Les personnes chargées d’établir une présence commerciale ne peuvent vendre directement des services à la population ni fournir elles-mêmes des services. - c)Personnes employées par une firme hors de Suisse sans présence commerciale en Suisse (autres que les firmes fournissant des services définis sous CPC 872), qui a conclu un contrat de services avec une firme engagée dans des affaires substantielles en Suisse, qui ont déjà été employées par la firme hors de Suisse pendant au moins un an précédant immédiatement leur demande d’admission et qui remplissent les conditions énoncées au paragraphe I.
- b)ci-dessus et qui fournissent un service en Suisse en qualité de professionnels d’un des secteurs de services énumérés ciaprès pour le compte de la firme hors de Suisse; en outre, ces personnes doivent avoir cinq ans d’expérience dans le secteur en question. Par contrat, l’entrée temporaire est accordée pour une seule période de trois mois, le nombre de personnes fournisseurs de services étant limité et dépendant de l’étendue de la tâche à effectuer selon le contrat. Les fournisseurs individuels de services qui ne sont pas employés par une telle firme hors de Suisse sont considérés comme des personnes cherchant à accéder au marché suisse du travail. Le présent protocole sera ouvert à l’acceptation, par voie de signature ou autrement, des membres concernés jusqu’au 29 janvier 1999. 3. Le présent protocole entrera en vigueur le trentième jour qui suivra la date de son acceptation par tous les membres concernés. S’il n’a pas été accepté par tous les membres concernés d’ici au 30 janvier 1999, les membres qui l’auront accepté avant cette date pourront, dans les trente jours qui suivront, prendre une décision concernant son entrée en vigueur. 4. - a)Les Commuautés européennes et leurs Etats membres notent l’étroite coopération qui s’est instaurée entre les autorités des Etats membres chargées de la réglementation et de la surveillance dans le domaine de l’assurance et appuient les efforts qu’elles ont engagés pour promouvoir des règles de surveillance améliorées. b)Les Etats membres feront tout leur possible pour examiner dans les six mois les demandes dûment établies présentées par des entreprises régies par les lois d’un pays tiers en vue d’obtenir les licences nécessaires à l’exécution d’activités d’assurance directe par le biais de l’établissement d’une filiale dans un Etat membre, conformément à la législation dudit Etat. Dans les cas où ces demandes --sont rejetées, l’autorité de 1’Etat membre fera tout son possible pour en informer les entreprises en question et donner les raisons du rejet de la demande.
- c)Les autorités des Etats membres chargées de la surveillance feront tout leur possible pour fournir sans retard indu les renseignements sollicités par des entreprises régies par les lois d’un pays tiers sur l’état d’avancement de l’examen de leurs demandes dûment établies présentées en vue d’obtenir les licences nécessaires à l’exécution d’activités d’assurance directe par le biais de l’établissement d’une filiale dans un Etat membre, conformément à la législation dudit Etat. d)Les Communautés européennes et leurs Etats membres feront tout leur possible pour examiner toute question relative au bon fonctionnement du marché intérieur de l’assurance et étudier toutes les questions qui pourraient avoir une incidence sur ce marché.
- e)Les Communautés européennes et leurs Etats membres notent que, en ce qui concerne l’assurance automobile, conformément à la législation communautaire en vigueur le 31 décembre 1997 et sans préjudice de la législation future, les primes peuvent être calculées compte tenu de plusieurs facteurs de risque.
- f)Les Communautés européennes et leurs Etats membres notent que, conformément à la législation communautaire en vigueur le 31 décembre 1997 et sans préjudice de la législation future, l’approbation préalable, par les autorités nationales chargées de la surveillance, des conditions établies dans les polices et des barèmes de primes qu’une compagnie d’assurance a l’intention d’utiliser n’est généralement pas nécessaire. g)Les Communautés européennes et leurs Etats membres notent que, conformément à la législation communautaire en vigueur le 31 décembre 1997 et sans préjudice de la législation future, l’approbation préalable, par les autorités nationales chargées de la surveillance, de la majoration des taux de prime n’est généralement pas nécessaire. Dans les cas où ces demandes sont rejetées, 1’Etat membre fera tout son possible pour en informer les entreprises en question et donner les raisons du rejet de la demande. d)Les Etats membres feront leur possible pour fournir sans retard indu les renseignements sollicités par des entreprises régies par les lois d’un pays tiers sur l’état d’avancement de l’examen de leurs demandes dûment établies présentées en vue d’obtenir les licences nécessaires à la fourniture de services d’investissement dans le domaine des valeurs mobilières par les biais de l’établissement d’une filiale dans un Etat membre, conformément à la législation dudit Etat. 1535 1536 DECISION PORTANT ADOPTION DU CINQUIEME PROTOCOLE ANNEXE A L’ACCORD GENERAL SUR LE COMMERCE DES SERVICES Adoptée par le comité du commerce des services financiers le 14 novembre 1997 LE COMITE DU COMMERCE DES SERVICES FINANCIERS, EU EGARD aux résultats des négociations menées conformément aux dispositions de la deuxième décision sur les services financiers adoptée par le Conseil du commerce des services le 21 juillet 1995 (S/L/9), DECIDE ce qui suit: 1) d’adopter le texte du cinquième protocole annexé à l’accord général sur le commerce des services; 2) dès à présent et jusqu’à la date d’entrée en vigueur du cinquième protocole annexé à l’accord général sur le commerce des services, et dans toute la mesure compatible avec leur législation en vigueur, les membres concernés ne prendront pas de mesures qui seraient incompatibles avec les engagements qui résultent pour eux de ces négociations; 3) le Comité suivra l’acceptation du protocole par les membres concernés et, à la demande d’un membre, examinera toutes les préoccupations exprimées au sujet de l’application du paragraphe 2. * DECISION DE DECEMBRE 1997 SUR LES ENGAGEMENTS CONCERNANT LES SERVICES FINANCIERS Adoptée par le Conseil du commerce des services le 12 décembre 1997 LE CONSEIL DU COMMERCE DES SERVICES, EU EGARD à la deuxième décision sur les services financiers adoptée par le Conseil du commerce des services le 21 juillet 1995 (S/L/9), NOTANT les résultats des négociations menées conformément aux dispositions de ladite décision, EU EGARD à la décision portant adoption du cinquième protocole annexé à l’accord général sur le commerce des services adoptée par le comité du commerce des services financiers le 14 novembre 1997 (S/L/44), DECIDE ce qui suit: 1. Si le cinquième protocole annexé à l’accord général sur le commerce des services (AGCS) n’entre pas en vigueur conformément au paragraphe 3 dudit protocole:
- a)nonobstant l’article XXI de I’AGCS, un membre pourra, pendant une période de soixante jours commençant le Ier mars 1999, modifier ou retirer tout ou partie des engagements concernant les services financiers inscrits dans sa liste;
- b)nonobstant l’article II de I’AGCS et les paragraphes 1 et 2 de l’annexe sur les exemptions des obligations énoncées à l’article II, un membre pourra, pendant la période indiquée au paragraphe 1, point a), porter sur la liste figurant dans cette annexe les mesures relatives aux services financiers qui sont incompatibles avec le paragraphe 1 de l’article II de I’AGCS. 2.
