Article 7shall apply.
- Where a company which is a resident of a Contracting State derives profits or income from the other Contracting State, that other Contracting State may not impose any tax on the dividends paid by the company, except insofar as such dividends are paid to a resident of that other Contracting State or insofar as the holding in respect of which the dividends are paid is effectively connected with a permanent establishment situated in that other Contracting State, nor subject the company's undistributed profits to a tax on the company's undistributed profits, even if the dividends paid or the undistributed profits consist wholly or partly of profits or income arising in such other Contracting State. Article 11 INTEREST
- Interest arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other Contracting State.
- However, interest arising in a Contracting State may also be taxed in that Contracting State according to the laws of that Contracting State, but if the beneficial owner of the interest is a resident of the other Contracting State, the tax so charged shall not exceed 10 per cent of the gross amount of the interest.
- Notwithstanding the provisions of paragraph 2, interest arising in a Contracting State and beneficially owned by a person, other than an individual, who is a resident of the other Contracting State shall be taxable only in that other Contracting State.
- The provisions of paragraph 3 shall not apply to interest that is determined by reference to receipts, sales, income, profits or other cash flow of the debtor or a related person, to any change in the value of any property of the debtor or a related person or to any dividends, partnership distribution or similar payment made by the debtor or a related person.
- The term "interest" as used in this Article means income from debt-claims of every kind, whether or not secured by mortgage and whether or not carrying a right to participate in the debtor's profits, and in particular, income from government securities and income from bonds or debentures, including premiums and prizes attaching to such securities, bonds or debentures as well as other income that is subjected to the same taxation treatment as income from money lent by the laws of the Contracting State in which the income arises. Income dealt with in Article 10 and penalty charges for late payment shall not, however, be regarded as interest for the purposes of this Article.
- The provisions of paragraphs 1 to 3 shall not apply if the beneficial owner of the interest, being a resident of a Contracting State, carries on business in the other Contracting State in which the interest arises through a permanent establishment situated therein and the debt-claim in respect of which the interest is paid is effectively connected with such permanent establishment.
Article 7shall apply.
- Interest shall be deemed to arise in a Contracting State when the payer is a resident of that Contracting State. Where, however, the person paying the interest, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment in connection with which the indebtedness on which the interest is paid was incurred, and such interest is borne by such permanent establishment, then such interest shall be deemed to arise in the Contracting State in which the permanent establishment is situated.
- Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the interest, having regard to the debt-claim for which it is paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Convention. Article 12 ROYALTIES
- Royalties arising in a Contracting State and beneficially owned by a resident of the other Contracting State shall be taxable only in that other Contracting State.
- The term "royalties" as used in this Article means payments of any kind received as a consideration for the use of, or the right to use, any copyright of literary, artistic or scientific work including cinematograph films, or any patent, trade mark, design or model, plan, or secret formula or process, or for information concerning industrial, commercial or scientific experience.
- The provisions of paragraph 1 shall not apply if the beneficial owner of the royalties, being a resident of a Contracting State, carries on business in the other Contracting State in which the royalties arise through a permanent establishment situated therein and the right or property in respect of which the royalties are paid is effectively connected with such permanent establishment.
Article 7shall apply.
4. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the royalties, having regard to the use, right or information for which they are paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Convention. Article 13 ALIENATION OF PROPERTY 1. Income or gains derived by a resident of a Contracting State from the alienation of immovable property referred to in Article 6 and situated in the other Contracting State may be taxed in that other Contracting State. 2. Gains from the alienation of any property, other than immovable property referred to in Article 6, forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State, including such gains from the alienation of such a permanent establishment (alone or with the whole enterprise), may be taxed in that other Contracting State. 3. Gains derived by an enterprise of a Contracting State from the alienation of ships or aircraft operated by that enterprise in international traffic or any property, other than immovable property referred to in Article 6, pertaining to the operation of such ships or aircraft shall be taxable only in that Contracting State. 4. Gains derived by a resident of a Contracting State from the alienation of shares of a company or comparable interests, such as interests in a partnership or trust, may be taxed in the other Contracting State if, at any time during the 365 days preceding the alienation, these shares or comparable interests derived at least 50 per cent of their value directly or indirectly from immovable property, as defined in Article 6, situated in that other Contracting State, unless the shares or comparable interests are traded on a recognised stock exchange specified in subparagraph (
- b)of paragraph 7 of Article 22 and the resident and persons related to that resident own in the aggregate 5 per cent or less of the class of the shares or comparable interests. 5. Gains from the alienation of any property, other than that referred to in paragraphs 1, 2, 3 and 4, shall be taxable only in the Contracting State of which the alienator is a resident. Article 14 INCOME FROM EMPLOYMENT 1. Subject to the provisions of Articles 15, 17 and 18, salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment shall be taxable only in that Contracting State unless the employment is exercised in the other Contracting State. If the employment is so exercised, such remuneration as is derived therefrom may be taxed in that other Contracting State. 2. Notwithstanding the provisions of paragraph 1, remuneration derived by a resident of a Contracting State in respect of an employment exercised in the other Contracting State shall be taxable only in the first-mentioned Contracting State if: (
- a)the recipient is present in the other Contracting State for a period or periods not exceeding in the aggregate 183 days in any twelve month period commencing or ending in the taxable year concerned, and (
- b)the remuneration is paid by, or on behalf of, an employer who is not a resident of the other Contracting State, and (
- c)the remuneration is not borne by a permanent establishment which the employer has in the other Contracting State. 3. Notwithstanding the preceding provisions of this Article, remuneration derived in respect of an employment exercised aboard a ship or aircraft operated in international traffic by an enterprise of a Contracting State may be taxed in that Contracting State. Article 15 DIRECTORS' FEES Directors' fees and other similar payments derived by a resident of a Contracting State in his capacity as a member of the board of directors, or of a similar organ, of a company which is a resident of the other Contracting State may be taxed in that other Contracting State. Article 16 ENTERTAINERS AND SPORTSPERSONS 1. Notwithstanding the provisions of Article 14, income derived by a resident of a Contracting State as an entertainer, such as a theatre, motion picture, radio or television artiste, or a musician, or as a sportsperson, from that resident's personal activities as such exercised in the other Contracting State, may be taxed in that other Contracting State. 2. Where income in respect of personal activities exercised by an entertainer or a sportsperson acting as such accrues not to the entertainer or sportsperson but to another person, that income may, notwithstanding the provisions of Article 14, be taxed in the Contracting State in which the activities of the entertainer or sportsperson are exercised. Article 17 PENSIONS Subject to the provisions of paragraph 2 of Article 18, pensions and other similar remuneration beneficially owned by a resident of a Contracting State shall be taxable only in that Contracting State. Article 18 GOVERNMENT SERVICE 1. (
- a)Salaries, wages and other similar remuneration paid by a Contracting State or a political subdivision or local authority thereof to an individual in respect of services rendered to that Contracting State or political subdivision or local authority shall be taxable only in that Contracting State. (
- b)However, such salaries, wages and other similar remuneration shall be taxable only in the other Contracting State if the services are rendered in that other Contracting State and the individual is a resident of that other Contracting State who: (
- i)is a national of that other Contracting State; or (
- ii)did not become a resident of that other Contracting State solely for the purpose of rendering the services. 2. (
- a)Notwithstanding the provisions of paragraph 1, pensions and other similar remuneration paid by, or out of funds which are created by or to which contributions are made by, a Contracting State or a political subdivision or local authority thereof to an individual in respect of services rendered to that Contracting State or political subdivision or local authority shall be taxable only in that Contracting State. (
- b)However, such pensions and other similar remuneration shall be taxable only in the other Contracting State if the individual is a resident of, and a national of, that other Contracting State. 3. The provisions of Articles 14, 15, 16 and 17 shall apply to salaries, wages, pensions, and other similar remuneration in respect of services rendered in connection with a business carried on by a Contracting State or a political subdivision or local authority thereof. Article 19 STUDENTS Payments which a student, an apprentice or a trainee who is or was immediately before visiting a Contracting State a resident of the other Contracting State and who is present in the first-mentioned Contracting State solely for the purpose of his education or training receives for the purpose of his maintenance, education or training shall not be taxed in that Contracting State, provided that such payments arise from sources outside that Contracting State. The exemption provided by this Article shall apply to an apprentice or a trainee only for a period not exceeding one year from the date on which he first begins his training in that Contracting State. Article 20 SILENT PARTNERSHIP Notwithstanding any other provisions of this Convention, any income and gains derived by a silent partner in respect of a silent partnership (in the case of Japan, Tokumei Kumiai) contract or another similar contract may be taxed in the Contracting State in which such income and gains arise and according to the laws of that Contracting State. Article 21 OTHER INCOME 1. Items of income beneficially owned by a resident of a Contracting State, wherever arising, not dealt with in the foregoing Articles of this Convention shall be taxable only in that Contracting State. 2. The provisions of paragraph 1 shall not apply to income, other than income from immovable property as defined in paragraph 2 of Article 6, if the beneficial owner of such income, being a resident of a Contracting State, carries on business in the other Contracting State through a permanent establishment situated therein and the right or property in respect of which the income is paid is effectively connected with such permanent establishment.
Article 7shall apply.
3. Where, by reason of a special relationship between the resident referred to in paragraph 1 and the payer or between both of them and some other person, the amount of the income referred to in paragraph 1 exceeds the amount which would have been agreed upon between them in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the income shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Convention. Article 22 ENTITLEMENT TO BENEFITS 1. A resident of a Contracting State shall be entitled to benefits granted by the provisions of paragraph 3 of Article 10, paragraph 3 of Article 11 or paragraph 1 of Article 12 if such resident is a qualified person as defined in paragraph 2. 2. A resident of a Contracting State is a qualified person only if such resident is either: (
- a)an individual; (
- b)the Government of that Contracting State, any political subdivision or local authority thereof or the central bank thereof; (
- c)a company, if its principal class of shares is regularly traded on one or more recognised stock exchanges; (
- d)a pension fund, provided that, as of the beginning of the taxable year for which the claim to the benefit is made, at least 50 per cent of its beneficiaries, members or participants are individuals who are residents of either Contracting State; (
- e)a person established under the laws of that Contracting State and operated exclusively for a religious, charitable, educational, scientific, artistic, cultural or public purpose, only if all or part of its income may be exempt from tax under the laws of that Contracting State; or (
- f)a person other than an individual, if residents of either Contracting State that are qualified persons by reason of subparagraph (a), (b), (c), (
- d)or (
- e)own, directly or indirectly, at least 50 per cent of the voting power or other beneficial interests of the person. 3. A resident of a Contracting State shall be entitled to a benefit granted by the provisions of paragraph 3 of Article 10, paragraph 3 of Article 11 or paragraph 1 of Article 12 with respect to an item of income described in the respective paragraph if: (
- a)in the case of a pension fund, as of the beginning of the taxable year for which the claim to the benefit is made, at least 75 per cent of its beneficiaries, members or participants are individuals who are equivalent beneficiaries; or (
- b)in all other cases, persons that are equivalent beneficiaries own, directly or indirectly, at least 75 per cent of the voting power or other beneficial interests of that resident. 4. For the purposes of applying the provisions of subparagraph (
- f)of paragraph 2 and subparagraph (
- b)of paragraph 3, a resident of a Contracting State shall be considered to satisfy the conditions described in those subparagraphs only if such resident satisfies those conditions during the twelve month period including the date of the payment (in the case of dividends, the date on which entitlement to the dividends is determined). 5. (
- a)A resident of a Contracting State shall be entitled to a benefit granted by the provisions of paragraph 3 of Article 10, paragraph 3 of Article 11 or paragraph 1 of Article 12 with respect to an item of income described in the respective paragraph if: (
- i)the resident is carrying on business in that Contracting State (other than the business of making or managing investments for the resident's own account, unless the business is banking, insurance or securities business carried on by a bank, insurance company or securities dealer); and (
- ii)the item of income is derived in connection with, or is incidental to, that business. (
- b)If a resident of a Contracting State derives an item of income from a business carried on by that resident in the other Contracting State or derives an item of income arising in the other Contracting State from a person that has with the resident a relationship described in subparagraph (
- a)or (
- b)of paragraph 1 of Article 9, the conditions described in subparagraph (
- a)of this paragraph shall be considered to be satisfied with respect to such item of income only if the business carried on in the first-mentioned Contracting State is substantial in relation to the business carried on in that other Contracting State. Whether such business is substantial for the purpose of this subparagraph shall be determined on the basis of all the facts and circumstances. (
- c)In determining whether a person is carrying on business in a Contracting State under subparagraph (a), the business conducted by a partnership in which that person is a partner or the business conducted by persons connected to such person shall be deemed to be conducted by such person. A person shall be connected to another if one owns, directly or indirectly, at least 50 per cent of the beneficial interests in the other (or, in the case of a company, at least 50 per cent of the voting power of the company) or a third person owns, directly or indirectly, at least 50 per cent of the beneficial interests (or, in the case of a company, at least 50 per cent of the voting power of the company) in each person. In any case, a person shall be considered to be connected to another if, on the basis of all the facts and circumstances, one has control of the other or both are under the control of the same person or persons. 6. A resident of a Contracting State that is neither a qualified person nor entitled under paragraph 3 or 5 to a benefit granted by the provisions of paragraph 3 of Article 10, paragraph 3 of Article 11 or paragraph 1 of Article 12 shall nevertheless be entitled to such benefit if the competent authority of the Contracting State to which the benefit is claimed determines that the establishment, acquisition or maintenance of such resident and the conduct of its operations did not have as one of the principal purposes the obtaining of such benefit. 7. For the purposes of this Article: (
- a)the term "principal class of shares" means the class or classes of shares of a company which represent a majority of the voting power of the company; (
- b)the term "recognised stock exchange" means: (
- i)any stock exchange established under the terms of the Financial Instruments and Exchange Law (Law No. 25 of 1948) of Japan; (
- ii)any regulated market pursuant to the Directive 2014/65/EU of the European Parliament and of the Council of 15 May 2014 on markets in financial instruments and amending Directive 2002/92/EC and Directive 2011/61/EU (as amended) or any successor Directive; (iii) Hong Kong Exchanges and Clearing, the NASDAQ System, the New York Stock Exchange, Singapore Exchange, SIX Swiss Exchange and the Taiwan Stock Exchange; and (
- iv)any other stock exchange which the competent authorities of the Contracting States agree to recognise for the purposes of this Article; (
- c)the term "equivalent beneficiary" means any person who would be entitled to a benefit, with respect to the item of income in respect of which the benefit of this Convention is claimed to a Contracting State, granted by that Contracting State under the law of that Contracting State, this Convention or any other international instrument, provided that such benefit is equivalent to the benefit to be granted to that item of income under the Convention. 8. Notwithstanding the other provisions of this Convention, a benefit under the Convention shall not be granted in respect of an item of income if it is reasonable to conclude, having regard to all relevant facts and circumstances, that obtaining that benefit was one of the principal purposes of any arrangement or transaction that resulted directly or indirectly in that benefit, unless it is established that granting that benefit in these circumstances would be in accordance with the object and purpose of the relevant provisions of the Convention. Article 23 ELIMINATION OF DOUBLE TAXATION 1. Subject to the provisions of the laws of Japan regarding the allowance as a credit against Japanese tax of tax payable in any country other than Japan, where a resident of Japan derives income from Latvia which may be taxed in Latvia in accordance with the provisions of this Convention, the amount of the Latvian tax payable in respect of that income shall be allowed as a credit against the Japanese tax imposed on that resident. The amount of credit, however, shall not exceed the amount of the Japanese tax which is appropriate to that income. 2. Where a resident of Latvia derives income which, in accordance with the provisions of this Convention, may be taxed in Japan, unless a more favourable treatment provided in the laws of Latvia is applicable to the resident, Latvia shall allow as a deduction from the Latvian tax of that resident, an amount equal to the Japanese tax paid thereon in Japan. Such deduction shall not, however, exceed that part of the Latvian tax, as computed before the deduction is given, which is attributable to the income which may be taxed in Japan. Article 24 NON-DISCRIMINATION 1. Nationals of a Contracting State shall not be subjected in the other Contracting State to any taxation or any requirement connected therewith, which is other or more burdensome than the taxation and connected requirements to which nationals of that other Contracting State in the same circumstances, in particular with respect to residence, are or may be subjected. The provisions of this paragraph shall, notwithstanding the provisions of Article 1, also apply to persons who are not residents of one or both of the Contracting States. 2. Stateless persons who are residents of a Contracting State shall not be subjected in the other Contracting State to any taxation or any requirement connected therewith, which is other or more burdensome than the taxation and connected requirements to which nationals of that other Contracting State in the same circumstances, in particular with respect to residence, are or may be subjected. 3. The taxation on a permanent establishment which an enterprise of a Contracting State has in the other Contracting State shall not be less favourably levied in that other Contracting State than the taxation levied on enterprises of that other Contracting State carrying on the same activities. The provisions of this paragraph shall not be construed as obliging a Contracting State to grant to residents of the other Contracting State any personal allowances, reliefs and reductions for taxation purposes on account of civil status or family responsibilities which it grants to its own residents. 4. Except where the provisions of paragraph 1 of Article 9, paragraph 8 of Article 11, paragraph 4 of Article 12 or paragraph 3 of Article 21 apply, interest, royalties and other disbursements paid by an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable profits of such enterprise, be deductible under the same conditions as if they had been paid to a resident of the first-mentioned Contracting State. 5. Enterprises of a Contracting State, the capital of which is wholly or partly owned or controlled, directly or indirectly, by one or more residents of the other Contracting State, shall not be subjected in the first-mentioned Contracting State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which other similar enterprises of the first-mentioned Contracting State are or may be subjected. 6. The provisions of this Article shall, notwithstanding the provisions of Article 2, apply to taxes of every kind and description imposed on behalf of a Contracting State or of its political subdivisions or local authorities. Article 25 MUTUAL AGREEMENT PROCEDURE 1. Where a person considers that the actions of one or both of the Contracting States result or will result for him in taxation not in accordance with the provisions of this Convention, he may, irrespective of the remedies provided by the domestic law of those Contracting States, present his case to the competent authority of either Contracting State. The case must be presented within three years from the first notification of the action resulting in taxation not in accordance with the provisions of the Convention. 2. The competent authority shall endeavour, if the objection appears to it to be justified and if it is not itself able to arrive at a satisfactory solution, to resolve the case by mutual agreement with the competent authority of the other Contracting State, with a view to the avoidance of taxation which is not in accordance with the provisions of this Convention. Any agreement reached shall be implemented notwithstanding any time limits in the domestic law of the Contracting States. 3. The competent authorities of the Contracting States shall endeavour to resolve by mutual agreement any difficulties or doubts arising as to the interpretation or application of this Convention. They may also consult together for the elimination of double taxation in cases not provided for in the Convention. 4. The competent authorities of the Contracting States may communicate with each other directly, including through a joint commission consisting of themselves or their representatives, for the purpose of reaching an agreement in the sense of the preceding paragraphs of this Article. 5. Where, (
- a)under paragraph 1, a person has presented a case to the competent authority of a Contracting State on the basis that the actions of one or both of the Contracting States have resulted for that person in taxation not in accordance with the provisions of this Convention, and (
- b)the competent authorities are unable to reach an agreement to resolve that case pursuant to paragraph 2 within two years from the presentation of the case to the competent authority of the other Contracting State, any unresolved issues arising from the case shall be submitted to arbitration if the person so requests. These unresolved issues shall not, however, be submitted to arbitration if a decision on these issues has already been rendered by a court or administrative tribunal of either Contracting State. Unless a person directly affected by the case does not accept the mutual agreement that implements the arbitration decision, that decision shall be binding on both Contracting States and shall be implemented notwithstanding any time limits in the domestic laws of these Contracting States. The competent authorities of the Contracting States shall by mutual agreement settle the mode of application of this paragraph. Article 26 EXCHANGE OF INFORMATION 1. The competent authorities of the Contracting States shall exchange such information as is foreseeably relevant for carrying out the provisions of this Convention or to the administration or enforcement of the domestic laws concerning taxes of every kind and description imposed on behalf of the Contracting States, or of their political subdivisions or local authorities, insofar as the taxation thereunder is not contrary to the Convention. The exchange of information is not restricted by Articles 1 and 2. 2. Any information received under paragraph 1 by a Contracting State shall be treated as secret in the same manner as information obtained under the domestic laws of that Contracting State and shall be disclosed only to persons or authorities (including courts and administrative bodies) concerned with the assessment or collection of, the enforcement or prosecution in respect of, the determination of appeals in relation to the taxes referred to in paragraph 1, or the oversight of the above. Such persons or authorities shall use the information only for such purposes. They may disclose the information in public court proceedings or in judicial decisions. Notwithstanding the foregoing, information received by a Contracting State may be used for other purposes when such information may be used for such other purposes under the laws of both Contracting States and the competent authority of the Contracting State supplying the information authorises such use. 3. In no case shall the provisions of paragraphs 1 and 2 be construed so as to impose on a Contracting State the obligation: (
- a)to carry out administrative measures at variance with the laws and administrative practice of that or of the other Contracting State; (
- b)to supply information which is not obtainable under the laws or in the normal course of the administration of that or of the other Contracting State; (
- c)to supply information which would disclose any trade, business, industrial, commercial or professional secret or trade process, or information the disclosure of which would be contrary to public policy; (
- d)to obtain or provide information that would reveal confidential communications between a client and an attorney, solicitor or other admitted legal representative where such communications are: (
- i)produced for the purposes of seeking or providing legal advice; or (
- ii)produced for the purposes of use in existing or contemplated legal proceedings. 4. If information is requested by a Contracting State in accordance with this Article, the other Contracting State shall use its information gathering measures to obtain the requested information, even though that other Contracting State may not need such information for its own tax purposes. The obligation contained in the preceding sentence is subject to the limitations of paragraph 3 but in no case shall such limitations be construed to permit a Contracting State to decline to supply information solely because it has no domestic interest in such information. 5. In no case shall the provisions of paragraph 3 be construed to permit a Contracting State to decline to supply information solely because the information is held by a bank, other financial institution, nominee or person acting in an agency or a fiduciary capacity or because it relates to ownership interests in a person. Article 27 ASSISTANCE IN THE COLLECTION OF TAXES 1. The Contracting States shall lend assistance to each other in the collection of revenue claims. This assistance is not restricted by Articles 1 and 2. The competent authorities of the Contracting States may by mutual agreement settle the mode of application of this Article. 2. The term "revenue claim" as used in this Article means an amount owed in respect of the following taxes, insofar as the taxation thereunder is not contrary to this Convention or any other instrument to which the Contracting States are parties, as well as interest, administrative penalties and costs of collection or conservancy related to such amount: (
- a)in the case of Japan: (
- i)the taxes referred to in clauses (
- i)to (
- iv)of subparagraph (
- a)of paragraph 1 of Article 2; (
- ii)the special corporation tax for reconstruction; (iii) the consumption tax; (
- iv)the local consumption tax; (
- v)the inheritance tax; and (
- vi)the gift tax; (
- b)in the case of Latvia: (
- i)the taxes referred to in subparagraph (
- b)of paragraph 1 of Article 2; (
- ii)the value added tax; and (iii) the immovable property tax; (
- c)any other tax as may be agreed upon from time to time between the Governments of the Contracting States through an exchange of diplomatic notes; (
- d)any identical or substantially similar taxes that are imposed after the date of signature of this Convention in addition to, or in place of, the taxes covered by subparagraph (a), (
- b)or (c). 3. When a revenue claim of a Contracting State is enforceable under the laws of that Contracting State and is owed by a person who, at that time, cannot, under the laws of that Contracting State, prevent its collection, that revenue claim shall, at the request of the competent authority of that Contracting State, be accepted for purposes of collection by the competent authority of the other Contracting State. That revenue claim shall be collected by that other Contracting State in accordance with the provisions of its laws applicable to the enforcement and collection of its own taxes as if the revenue claim were a revenue claim of that other Contracting State that met the conditions allowing that other Contracting State to make a request under this paragraph. 4. When a revenue claim of a Contracting State is a claim in respect of which that Contracting State may, under its law, take measures of conservancy with a view to ensure its collection, that revenue claim shall, at the request of the competent authority of that Contracting State, be accepted for purposes of taking measures of conservancy by the competent authority of the other Contracting State. That other Contracting State shall take measures of conservancy in respect of that revenue claim in accordance with the provisions of its laws as if the revenue claim were a revenue claim of that other Contracting State even if, at the time when such measures are applied, the revenue claim is not enforceable in the first-mentioned Contracting State or is owed by a person who has a right to prevent its collection. 5. Notwithstanding the provisions of paragraphs 3 and 4, a revenue claim accepted by the competent authority of a Contracting State for purposes of paragraph 3 or 4 shall not, in that Contracting State, be subject to the time limits or accorded any priority applicable to a revenue claim under the laws of that Contracting State by reason of its nature as such. In addition, a revenue claim accepted by the competent authority of a Contracting State for the purposes of paragraph 3 or 4 shall not, in that Contracting State, have any priority applicable to that revenue claim under the laws of the other Contracting State. 6. Acts carried out by a Contracting State in the collection of a revenue claim accepted by the competent authority of that Contracting State for purposes of paragraph 3 or 4 which if they were carried out by the other Contracting State would have the effect of suspending or interrupting the time limits applicable to the revenue claim in accordance with the laws of that other Contracting State shall have such effect under the laws of that other Contracting State. The competent authority of the first-mentioned Contracting State shall inform the competent authority of the other Contracting State of having carried out such acts. 7. Proceedings with respect to the existence, validity or the amount of a revenue claim of a Contracting State shall not be brought before the courts or administrative bodies of the other Contracting State. 8. Where, at any time after a request has been made by the competent authority of a Contracting State under paragraph 3 or 4 and before the other Contracting State has collected and remitted the relevant revenue claim to the first-mentioned Contracting State, the relevant revenue claim ceases to be (
- a)in the case of a request under paragraph 3, a revenue claim of the first-mentioned Contracting State that is enforceable under the laws of that Contracting State and is owed by a person who, at that time, cannot, under the laws of that Contracting State, prevent its collection, or (
- b)in the case of a request under paragraph 4, a revenue claim of the first-mentioned Contracting State in respect of which that Contracting State may, under its laws, take measures of conservancy with a view to ensure its collection the competent authority of the first-mentioned Contracting State shall promptly notify the competent authority of the other Contracting State of that fact and, at the option of the competent authority of the other Contracting State, the competent authority of the first-mentioned Contracting State shall either suspend or withdraw its request. 9. In no case shall the provisions of this Article be construed so as to impose on a Contracting State the obligation: (
- a)to carry out administrative measures at variance with the laws and administrative practice of that or of the other Contracting State; (
- b)to carry out measures which would be contrary to public policy; (
- c)to provide assistance if the other Contracting State has not pursued all reasonable measures of collection or conservancy, as the case may be, available under its laws or administrative practice; (
- d)to provide assistance in those cases where the administrative burden for that Contracting State is clearly disproportionate to the benefit to be derived by the other Contracting State. Article 28 MEMBERS OF DIPLOMATIC MISSIONS AND CONSULAR POSTS Nothing in this Convention shall affect the fiscal privileges of members of diplomatic missions or consular posts under the general rules of international law or under the provisions of special agreements. Article 29 HEADINGS The headings of the Articles of this Convention are inserted for convenience of reference only and shall not affect the interpretation of the Convention. Article 30 ENTRY INTO FORCE 1. This Convention shall be approved in accordance with the legal procedures of each of the Contracting States and shall enter into force on the date of exchange of diplomatic notes indicating such approval. 2. This Convention shall have effect: (
- a)in the case of Japan: (
- i)with respect to taxes levied on the basis of a taxable year, for taxes for any taxable years beginning on or after 1 January in the calendar year next following that in which the Convention enters into force; and (
- ii)with respect to taxes levied not on the basis of a taxable year, for taxes levied on or after 1 January in the calendar year next following that in which the Convention enters into force; and (
- b)in the case of Latvia: (
- i)with respect to taxes withheld at source, on income derived on or after 1 January in the calendar year next following that in which the Convention enters into force; and (
- ii)with respect to other taxes, for taxes chargeable for any taxable year beginning on or after 1 January in the calendar year next following that in which the Convention enters into force. 3. Notwithstanding the provisions of paragraph 2, the provisions of Articles 26 and 27 shall have effect from the date of entry into force of this Convention without regard to the date on which the taxes are levied or the taxable year to which the taxes relate. Article 31 TERMINATION This Convention shall remain in force until terminated by a Contracting State. Either Contracting State may terminate the Convention by giving notice of termination through diplomatic channels to the other Contracting State at least six months before the end of any calendar year beginning after expiry of five years from the date of entry into force of the Convention. In such event, the Convention shall cease to have effect: (
- a)in the case of Japan: (
- i)with respect to taxes levied on the basis of a taxable year, for taxes for any taxable years beginning on or after 1 January in the calendar year next following that in which the notice is given; and (
- ii)with respect to taxes levied not on the basis of a taxable year, for taxes levied on or after 1 January in the calendar year next following that in which the notice is given; and (
- b)in the case of Latvia: (
- i)with respect to taxes withheld at source, on income derived on or after 1 January in the calendar year next following that in which the notice is given; and (
- ii)with respect to other taxes, for taxes chargeable for any taxable year beginning on or after 1 January in the calendar year next following that in which the notice is given. For the Republic of Latvia Dana Reizniece - Ozola Minister of Finance For Japan Motome Takisawa Parliamentary Vice-Minister for Foreign Affairs PROTOCOL At the signing of the Convention between the Republic of Latvia and Japan for the Elimination of Double Taxation with respect to Taxes on Income and the Prevention of Tax Evasion and Avoidance (hereinafter referred to as "the Convention"), the Republic of Latvia and Japan have agreed upon the following provisions which shall form an integral part of the Convention. 1. With reference to Article 7 of the Convention: (
- a)Paragraphs 1 to 6 of Article 7 of the Convention shall be deleted and replaced by the following provisions on the date to be agreed between the Governments of the Contracting States through an exchange of diplomatic notes: "1. Profits of an enterprise of a Contracting State shall be taxable only in that Contracting State unless the enterprise carries on business in the other Contracting State through a permanent establishment situated therein. If the enterprise carries on business as aforesaid, the profits that are attributable to the permanent establishment in accordance with the provisions of paragraph 2 may be taxed in that other Contracting State. 2. For the purposes of this Article and Article 23, the profits that are attributable in each Contracting State to the permanent establishment referred to in paragraph 1 are the profits it might be expected to make, in particular in its dealings with other parts of the enterprise, if it were a separate and independent enterprise engaged in the same or similar activities under the same or similar conditions, taking into account the functions performed, assets used and risks assumed by the enterprise through the permanent establishment and through the other parts of the enterprise. 3. Where, in accordance with paragraph 2, a Contracting State adjusts the profits that are attributable to a permanent establishment of an enterprise of one of the Contracting States and taxes accordingly profits of the enterprise that have been charged to tax in the other Contracting State, that other Contracting State shall, to the extent necessary to eliminate double taxation on these profits, make an appropriate adjustment to the amount of the tax charged therein on those profits. In determining such adjustment, the competent authorities of the Contracting States shall if necessary consult each other. 4. Where profits include items of income which are dealt with separately in other Articles of this Convention, then the provisions of those Articles shall not be affected by the provisions of this Article." (
- b)The provisions of paragraphs 1 to 4 of Article 7 of the Convention as amended by the provisions of subparagraph (
- a)shall be applicable with respect to profits of an enterprise for any taxable years beginning on or after the date to be agreed between the Governments of the Contracting States through the exchange of diplomatic notes referred to in subparagraph (a). Until the provisions of paragraphs 1 to 4 of Article 7 of the Convention as amended by the provisions of subparagraph (
- a)are applicable, the provisions of the original paragraphs 1 to 6 of Article 7 of the Convention shall continue to apply. 2. With reference to paragraph 5 of Article 25 of the Convention: (
- a)The competent authorities of the Contracting States shall by mutual agreement establish a procedure in order to ensure that an arbitration decision will be implemented within two years from a request for arbitration as referred to in paragraph 5 of Article 25 of the Convention unless actions or inaction of a person directly affected by the case in respect of which the request for arbitration has been made hinder the resolution of the case or unless the competent authorities of the Contracting States and that person otherwise agree. (
- b)An arbitration panel shall be established in accordance with the following rules: (
- i)An arbitration panel shall consist of three arbitrators who are individuals with expertise or experience in international tax matters. (
- ii)Each of the competent authorities of the Contracting States shall appoint one arbitrator, whether he is a national of either Contracting State or not. The two arbitrators appointed by the competent authorities of the Contracting States shall appoint the third arbitrator who serves as the chair of the arbitration panel in accordance with the procedures agreed by the competent authorities of the Contracting States. (iii) No arbitrator shall be an employee of the tax authority of either Contracting State, nor have dealt with the case in respect of which the request for arbitration has been made in any capacity. The third arbitrator shall not be a national of either Contracting State, nor have had his usual place of residence in either Contracting State, nor have been employed by either Contracting State. (
- iv)The competent authorities of the Contracting States shall ensure that all arbitrators agree, in statements sent to each of the competent authorities of the Contracting States, prior to their acting in an arbitration proceeding, to abide by and be subject to the same confidentiality and non-disclosure obligations as those described in paragraph 2 of Article 26 of the Convention and under the laws of the Contracting States. (
- v)Each of the competent authorities of the Contracting States shall bear the costs of its appointed arbitrator and its own expenses. The costs of the third arbitrator and other expenses associated with the conduct of the arbitration proceedings shall be borne by the competent authorities of the Contracting States in equal shares. (
- c)The competent authorities of the Contracting States shall provide the information necessary for the arbitration decision to all arbitrators without undue delay. (
- d)An arbitration decision shall be treated as follows: (
- i)An arbitration decision has no precedential value. (
- ii)An arbitration decision shall be final, unless that decision is found to be unenforceable by a court of either Contracting State due to a violation of paragraph 5 of Article 25 of the Convention, of this paragraph or of any procedural rule determined in accordance with subparagraph (
- a)that may reasonably have affected the decision. If the decision is found to be unenforceable due to the violation, the request for arbitration shall be considered not to have been made and the arbitration process shall be considered not to have taken place (except for the purposes of clauses (
- iv)and (
- v)of subparagraph (b)). (
- e)Where at any time before the arbitration panel has delivered a decision on a case to the competent authorities of the Contracting States and to the person who made the request for arbitration in respect of the case: (
- i)the competent authorities of the Contracting States reach a mutual agreement to resolve the case pursuant to paragraph 2 of Article 25 of the Convention; or (
- ii)that person withdraws the request for arbitration; or (iii) a decision concerning the case is rendered by a court or administrative tribunal of either Contracting State during the arbitration proceedings, the procedures under Article 25 of the Convention in respect of the case shall terminate. (
- f)Where a case in respect of which a request for arbitration has been made is pending in litigation or appeal, the mutual agreement that implements the arbitration decision on the case shall be considered not to be accepted by the person directly affected by the case if any person directly affected by the case who is a party to the litigation or appeal does not withdraw, within 60 days after receiving the decision of the arbitration panel, from consideration by the relevant court or administrative tribunal all issues resolved in the arbitration proceedings. In this case, the case shall not be eligible for any further consideration by the competent authorities of the Contracting States. (
- g)The provisions of paragraph 5 of Article 25 of the Convention and this paragraph shall not apply to cases falling within paragraph 3 of Article 4 of the Convention. PANTS PERSONAS, UZ KURĀM ATTIECAS KONVENCIJA 1. Šī konvencija attiecas uz personām, kuras ir vienas vai abu Līgumslēdzēju Valstu rezidenti. 2. Šajā konvencijā ienākums, ko gūst saimnieciska vienība vai juridisks veidojums, kas tiek uzskatīts par pilnībā vai daļēji fiskāli caurskatāmu saskaņā ar vienas vai otras Līgumslēdzējas Valsts nodokļu normatīvajiem aktiem vai kas gūts, izmantojot šādu vienību vai veidojumu, tiek uzskatīts par Līgumslēdzējas Valsts rezidenta ienākumu, bet tikai tādā apmērā, cik šis ienākums tiek uzskatīts par šīs Līgumslēdzējas Valsts rezidenta ienākumu šīs Līgumslēdzējas Valsts nodokļu uzlikšanas vajadzībām. Nekādā gadījumā šīs daļas noteikumi nav interpretējami kā tādi, kas jebkādā veidā ierobežo Līgumslēdzējas Valsts tiesības uzlikt nodokļus šīs Līgumslēdzējas Valsts rezidentiem. Šajā daļā, termins "fiskāli caurskatāms" nozīmē situācijas, kurās saskaņā ar Līgumslēdzējas Valsts nodokļu normatīvajiem aktiem saimnieciskas vienības vai juridiska veidojuma ienākumam vai tā daļai uzliek nodokli nevis saimnieciskās vienības vai juridiskā veidojuma līmenī, bet personu, kam ir līdzdalība šajā saimnieciskajā vienībā vai juridiskajā veidojumā, līmenī, it kā šo ienākumu vai tā daļu šīs personas būtu tieši guvušas laikā, kad šāds ienākums vai tā daļa ir saņemta neatkarīgi no tā, vai šī saimnieciskā vienība vai juridiskais veidojums ir vai nav izmaksājis šo ienākumu vai tā daļu šādām personām. 2. PANTS NODOKĻI, UZ KURIEM ATTIECAS KONVENCIJA 1. Spēkā esošie nodokļi, uz kuriem attiecas šī konvencija:
- a)Japānā: (
- i)ienākuma nodoklis; (
- ii)uzņēmumu nodoklis; (iii) īpašs ienākuma nodoklis rekonstrukcijai; (
- iv)vietējais uzņēmumu nodoklis; un (
- v)vietējie iedzīvotāju nodokļi (turpmāk tekstā "Japānas nodokļi"); un
- b)Latvijā: (
- i)uzņēmumu ienākuma nodoklis; un (
- ii)iedzīvotāju ienākuma nodoklis (turpmāk tekstā "Latvijas nodokļi"). 2. Šī konvencija attiecas arī uz jebkuriem identiskiem vai pēc būtības līdzīgiem nodokļiem, kas, papildinot vai aizstājot esošos nodokļus, tiek ieviesti pēc Konvencijas parakstīšanas datuma. Līgumslēdzēju Valstu kompetentās iestādes savstarpēji informē viena otru par jebkuriem būtiskiem grozījumiem, kas veikti šo valstu nodokļu normatīvajos aktos. 3. PANTS VISPĀRĪGĀS DEFINĪCIJAS 1. Šajā Konvencijā, ja vien no konteksta neizriet citādi:
- a)termins "Japāna", lietots ģeogrāfiskā nozīmē, apzīmē visu Japānas teritoriju, tai skaitā tās teritoriālo jūru, kurā ir spēkā normatīvie akti attiecībā uz Japānas nodokļiem, un visa zona aiz tās teritoriālās jūras, tai skaitā jūras un zemes dzīles, uz kurām Japānai ir suverēnas tiesības saskaņā ar starptautiskajām tiesībām un kurās ir spēkā normatīvie akti attiecībā uz Japānas nodokļiem;
- b)termins "Latvija" nozīmē Latvijas Republiku, un, lietots ģeogrāfiskā nozīmē, tas apzīmē Latvijas Republikas teritoriju un jebkuru citu Latvijas Republikas teritoriālajiem ūdeņiem piegulošu teritoriju, kurā saskaņā ar Latvijas Republikas normatīvajiem aktiem un starptautiskajām tiesībām var tikt īstenotas Latvijas Republikas tiesības uz jūras un zemes dzīlēm un tur esošajiem dabas resursiem;
- c)termini "Līgumslēdzēja Valsts" un "otra Līgumslēdzēja Valsts", atkarībā no konteksta, nozīmē Latviju vai Japānu;
- d)termins "persona" nozīmē fizisku personu, sabiedrību un jebkuru citu personu apvienību;
- e)termins "sabiedrība" nozīmē jebkuru korporatīvu apvienību vai jebkuru vienību, kas nodokļu uzlikšanas vajadzībām tiek uzskatīta par korporatīvu apvienību;
- f)termins "uzņēmums" piemērojams jebkuras uzņēmējdarbības veikšanai;
- g)termini "Līgumslēdzējas Valsts uzņēmums" un "otras Līgumslēdzējas Valsts uzņēmums" attiecīgi nozīmē uzņēmumu, ko vada Līgumslēdzējas Valsts rezidents, un uzņēmumu, ko vada otras Līgumslēdzējas Valsts rezidents;
- h)termins "starptautiskā satiksme" nozīmē jebkuru pārvadājumu ar kuģi vai gaisa kuģi, ko veic Līgumslēdzējas Valsts uzņēmums, izņemot tos gadījumus, kad kuģis vai gaisa kuģis tiek ekspluatēts vienīgi otras Līgumslēdzējas Valsts iekšienē;
- i)termins "kompetentā iestāde" nozīmē: (
- i)Japānā, finanšu ministru vai tā pilnvaroto pārstāvi; un (
- ii)Latvijā, Finanšu ministriju vai tās pilnvaroto pārstāvi;
- j)termins "valstspiederīgais" attiecībā uz Līgumslēdzēju Valsti nozīmē: (
- i)ikvienu fizisku personu, kurai ir šīs līgumslēdzējas valsts piederība; un (
- ii)ikvienu juridisku personu, personālsabiedrību vai apvienību, kuras statuss kā tāds izriet no šajā līgumslēdzējā valstī spēkā esošajiem normatīvajiem aktiem;
- k)termins "uzņēmējdarbība" ietver profesionālu pakalpojumu un cita veida neatkarīga rakstura pakalpojumu sniegšanu; un
- l)termins "pensiju fonds" nozīmē jebkuru personu, kas: (
- i)izveidota saskaņā ar Līgumslēdzējas Valsts normatīvajiem aktiem; (
- ii)tiek, galvenokārt, pārvaldīta, lai administrētu vai nodrošinātu pensijas, pensionēšanās pabalstus vai citu līdzīgu atlīdzību, vai gūtu ienākumu citu pensiju fondu labā; un (iii) ir atbrīvota no nodokļiem šajā Līgumslēdzējā Valstī attiecībā uz ienākumu, kas gūts no (
- ii)apakšpunktā minētajām darbībām. 2. Attiecībā uz šīs konvencijas piemērošanu, ko jebkurā laikā veic Līgumslēdzēja Valsts, visiem tajā nedefinētajiem terminiem ir tāda nozīme, kāda tiem tajā laikā ir attiecīgās Līgumslēdzējas Valsts normatīvajos aktos attiecībā uz nodokļiem, uz ko attiecas Konvencija, ja vien no konteksta nav izsecināms citādi, turklāt šīs Līgumslēdzējas Valsts attiecīgajos nodokļu normatīvajos aktos paredzētā nozīme prevalē pār citos šīs Līgumslēdzējas Valsts normatīvajos aktos paredzēto nozīmi. 4. PANTS REZIDENTS 1. Šajā konvencijā termins "Līgumslēdzējas Valsts rezidents" nozīmē jebkuru personu, kurai saskaņā ar šīs Līgumslēdzējas Valsts normatīvajiem aktiem uzliek nodokļus, pamatojoties uz tās pastāvīgo dzīvesvietu, rezidenci, vadītāja vai galvenā biroja atrašanās vietu, vadības vietu vai jebkuru citu līdzīgu kritēriju, un ietver arī šo Līgumslēdzēju Valsti un jebkuru tās politiski administratīvo vienību vai pašvaldību, kā arī šīs Līgumslēdzējas Valsts pensiju fondu. Tomēr šis termins neietver tās personas, kurām šajā Līgumslēdzējā Valstī nodokļi tiek uzlikti tikai attiecībā uz to ienākumiem no šajā valstī esošajiem peļņas avotiem. 2. Ja saskaņā ar 1. daļas noteikumiem fiziskā persona ir abu Līgumslēdzēju Valstu rezidents, tās statuss nosakāms šādi:
- a)šī persona tiek uzskatīta tikai par tās Līgumslēdzējas Valsts rezidentu, kurā atrodas tās pastāvīgā dzīvesvieta, kas tai ir pieejama; ja tās pastāvīgā dzīvesvieta, kas tai ir pieejama, ir abās Līgumslēdzējās Valstīs, šī persona tiek uzskatīta tikai par tās Līgumslēdzējas Valsts rezidentu, ar kuru tai ir ciešākas personiskās un ekonomiskās attiecības (vitālo interešu centrs);
- b)ja nav iespējams noteikt Līgumslēdzēju Valsti, kurā šai personai ir vitālo interešu centrs, vai arī tai nav pastāvīgas dzīvesvietas, kas tai ir pieejama, nevienā Līgumslēdzējā Valstī, šī persona tiek uzskatīta tikai par tās Līgumslēdzējas Valsts rezidentu, kura ir tās ierastā mītnes zeme;
- c)ja šai personai ierastā mītnes zeme (uzturēšanās vieta) ir abās Līgumslēdzējās Valstīs vai nav nevienā no tām, tā tiek uzskatīta tikai par tās Līgumslēdzējas Valsts rezidentu, kuras valstspiederīgais ir šī persona;
- d)ja šī persona ir abu Līgumslēdzēju Valstu valstspiederīgais vai nav nevienas šīs valsts piederīgais, Līgumslēdzēju Valstu kompetentās iestādes izšķir šo jautājumu, savstarpēji vienojoties. 3. Ja saskaņā ar 1. daļas noteikumiem persona, kas nav fiziskā persona, ir abu Līgumslēdzēju Valstu rezidents, Līgumslēdzēju Valstu kompetentās iestādes cenšas, savstarpēji vienojoties, noteikt Līgumslēdzēju Valsti, par kuras rezidentu tiks uzskatīta šī persona šīs konvencijas piemērošanas mērķiem, ņemot vērā tās vadītāja vai galvenā biroja atrašanās vietu, tās efektīvās vadības atrašanās vietu, vietu, kur tā reģistrēta vai citādi izveidota, un jebkurus citus atbilstošos faktus. Ja šāda vienošanās nepastāv, šī persona nav tiesīga saņemt nevienu šajā konvencijā paredzēto nodokļu atvieglojumu vai atbrīvojumu. 5. PANTS PASTĀVĪGĀ PĀRSTĀVNIECĪBA 1. Šajā konvencijā termins "pastāvīgā pārstāvniecība" nozīmē noteiktu uzņēmējdarbības vietu, kur uzņēmums pilnībā vai daļēji veic uzņēmējdarbību. 2. Termins "pastāvīgā pārstāvniecība", galvenokārt, ietver:
- a)vadības atrašanās vietu;
- b)filiāli;
- c)biroju;
- d)fabriku;
- e)darbnīcu; un
- f)šahtu, naftas vai gāzes ieguves vietu, akmeņlauztuves vai jebkuru citu dabas resursu ieguves vietu. 3. Būvlaukums vai celtniecības, vai instalācijas projekts ir uzskatāmi par pastāvīgo pārstāvniecību tikai tad, ja tie notiek ilgāk par divpadsmit mēnešiem. Lai noteiktu, vai šīs daļas pirmajā teikumā minētais divpadsmit mēnešu periods ir pārsniegts, ja:
- a)Līgumslēdzējas Valsts uzņēmums veic uzņēmējdarbību otrā Līgumslēdzējā Valstī vietā, kas uzskatāma par būvlaukumu vai celtniecības, vai instalācijas projektu, un šīs darbības tiek veiktas vienu vai vairākus laika periodus, kas kopumā pārsniedz 30 dienas, nepārsniedzot divpadsmit mēnešu laika periodu, un
- b)saistītās darbības tiek veiktas tajā pašā būvlaukumā vai celtniecības, vai instalācijas projektā dažādos laika periodos, kur katrs pārsniedz 30 dienas, ko veic viens vai vairāki uzņēmumi, kas cieši saistīti ar pirmo minēto uzņēmumu, šie dažādie laika periodi tiek pievienoti laika periodam, kurā pirmais minētais uzņēmums veicis uzņēmējdarbību šajā būvlaukumā vai celtniecības, vai instalācijas projektā. 4. Neatkarīgi no šī panta iepriekšējiem noteikumiem termins "pastāvīgā pārstāvniecība" neietver:
- a)ēku un iekārtu izmantošanu tikai uzņēmumam piederošo preču vai izstrādājumu uzglabāšanai, demonstrēšanai vai piegādei;
- b)uzņēmumam piederošo preču vai izstrādājumu krājumu, kas paredzēti tikai uzglabāšanai, demonstrēšanai vai piegādei, uzturēšanu;
- c)uzņēmumam piederošo preču vai izstrādājumu krājumu, kas paredzēti tikai pārstrādei, ko veic cits uzņēmums, uzturēšanu;
- d)noteiktas uzņēmējdarbības vietas uzturēšanu, kas paredzēta tikai preču vai izstrādājumu iepirkšanai vai informācijas vākšanai uzņēmuma vajadzībām;
- e)noteiktas uzņēmējdarbības vietas uzturēšanu, kas paredzēta tikai, lai veiktu uzņēmuma labā jebkuru darbību, kas nav uzskaitītas
- a)līdz
- d)punktos, ja šai darbībai ir sagatavošanas vai palīgdarbības raksturs; vai
- f)noteiktas uzņēmējdarbības vietas uzturēšanu, kas paredzēta tikai, lai veiktu
- a)līdz
- e)punktos minētās darbības jebkādā to kombinācijā, ja noteiktas uzņēmējdarbības vietas darbību kopumam, kas rodas no šīs kombinācijas, ir sagatavošanas vai palīgdarbības raksturs. 5. 4. daļa neattiecas uz noteiktu uzņēmējdarbības vietu, ko izmanto vai uztur uzņēmums, ja tas pats uzņēmums vai ar to cieši saistīts uzņēmums veic uzņēmējdarbību tajā pašā vai citā vietā vienā un tajā pašā Līgumslēdzējā Valstī un:
- a)šī vai cita vieta ir uzskatāma par uzņēmuma vai ar to cieši saistīta uzņēmuma pastāvīgo pārstāvniecību saskaņā ar šī panta noteikumiem; vai
- b)darbību kopumam, kas rodas no darbību kombinācijas, ko veic divi uzņēmumi tajā pašā vietā vai tas pats uzņēmums, vai ar to cieši saistīti uzņēmumi divās vietās, nav sagatavošanas vai palīgdarbības raksturs, ja uzņēmējdarbība, ko veic divi uzņēmumi tajā pašā vietā vai tas pats uzņēmums, vai cieši saistīti uzņēmumi divās vietās, ir uzskatāma par papildu funkcijām, kas ir daļa no vienotas saimnieciskas darbības. 6. Neatkarīgi no 1. un 2. daļas noteikumiem, bet saskaņā ar 7. daļas noteikumiem, ja persona Līgumslēdzējā Valstī rīkojas uzņēmuma vārdā un, to darot, pastāvīgi slēdz līgumus vai pastāvīgi tai ir galvenā loma līgumu noslēgšanā, kas tiek regulāri slēgti bez būtiskiem uzņēmuma veiktiem grozījumiem, un šie līgumi tiek slēgti:
- a)uzņēmuma vārdā; vai
- b)par īpašumtiesību pāreju vai par lietošanas tiesību piešķiršanu attiecībā uz šī uzņēmuma īpašumā esošu mantu vai attiecībā uz mantu, kuras lietošanas tiesības ir šim uzņēmumam; vai
- c)par pakalpojumu sniegšanu, ko veic šis uzņēmums, tiek uzskatīts, ka šim uzņēmumam ir pastāvīgā pārstāvniecība šajā Līgumslēdzējā Valstī attiecībā uz jebkurām darbībām, ko šī persona veic uzņēmuma vārdā, ja vien šādas personas darbības neaprobežojas līdz 4. daļā minētajām darbībām, kas, ja tiek veiktas, izmantojot noteiktu uzņēmējdarbības vietu, nepadara šo noteikto uzņēmējdarbības vietu par pastāvīgo pārstāvniecību saskaņā ar šīs daļas noteikumiem. 7. 6. daļu nepiemēro, ja persona, kas rīkojas Līgumslēdzējā Valstī otras Līgumslēdzējas Valsts uzņēmuma vārdā, veic uzņēmējdarbību pirmajā Līgumslēdzējā Valstī kā neatkarīgais aģents un rīkojas uzņēmuma vārdā savas parastās uzņēmējdarbības ietvaros. Tomēr, ja persona rīkojas vienīgi vai gandrīz vienīgi viena vai vairāku uzņēmumu vārdā, ar kuriem tā ir cieši saistīta, šī persona netiek uzskatīta par neatkarīga statusa aģentu šīs daļas izpratnē attiecībā uz jebkuru šādu uzņēmumu. 8. Šī panta mērķiem persona ir cieši saistīta ar uzņēmumu, ja, pamatojoties uz visiem atbilstošajiem faktiem un apstākļiem, tā kontrolē uzņēmumu vai abus kontrolē tās pašas personas vai uzņēmumi. Jebkurā gadījumā personu uzskata par cieši saistītu ar uzņēmumu, ja personai tieši vai netieši ir vairāk nekā 50 procentu līdzdalības uzņēmumā (vai, uzņēmuma gadījumā, vairāk nekā 50 procentu kopējo balsstiesību un uzņēmuma akciju vērtības vai līdzdalības uzņēmuma pašu kapitālā) vai ja citai personai tieši vai netieši ir vairāk nekā 50 procentu līdzdalības (vai, uzņēmuma gadījumā, vairāk nekā 50 procentu kopējo balsstiesību un uzņēmuma akciju vērtības vai līdzdalības uzņēmuma pašu kapitālā) personā un uzņēmumā. 9. Fakts, ka sabiedrība - Līgumslēdzējas Valsts rezidents, kontrolē sabiedrību, kura ir otras Līgumslēdzējas Valsts rezidents vai kura veic uzņēmējdarbību šajā otrā valstī (izmantojot pastāvīgo pārstāvniecību vai kādā citā veidā), vai kuru kontrolē šāda sabiedrība, pats par sevi nenozīmē, ka kāda no šīm sabiedrībām ir otras sabiedrības pastāvīgā pārstāvniecība. 6. PANTS IENĀKUMS NO NEKUSTAMĀ ĪPAŠUMA 1. Ienākumam, ko Līgumslēdzējas Valsts rezidents gūst no nekustamā īpašuma (tajā skaitā ienākumam no lauksaimniecības vai mežsaimniecības), kas atrodas otrā Līgumslēdzējā Valstī, var uzlikt nodokļus šajā otrajā līgumslēdzējā valstī. 2. Terminam "nekustamais īpašums" ir tāda nozīme, kāda tam ir tās Līgumslēdzējas Valsts normatīvajos aktos, kurā atrodas attiecīgais īpašums. Jebkurā gadījumā šis termins ietver īpašumu, kas ir piederīgs nekustamajam īpašumam, tajā skaitā mājlopus un iekārtas, ko izmanto lauksaimniecībā un mežsaimniecībā, tiesības, uz kurām attiecas zemes īpašuma tiesību vispārīgie noteikumi, nekustamā īpašuma lietojumu un tiesības uz mainīgiem vai nemainīgiem maksājumiem kā atlīdzību par derīgo izrakteņu iegulu, dabas atradņu un citu dabas resursu izmantošanu vai tiesībām tos izmantot; kuģi un gaisa kuģi netiek uzskatīti par nekustamo īpašumu. 3. 1. daļas noteikumi tiek piemēroti ienākumam, kas gūts no nekustamā īpašuma tiešas izmantošanas, izīrēšanas vai izmantošanas jebkādā citā veidā. 4. 1. un 3. daļas noteikumi tiek piemēroti arī ienākumam no uzņēmuma nekustamā īpašuma. 7. PANTS UZŅĒMĒJDARBĪBAS PEĻŅA 1. Līgumslēdzējas Valsts uzņēmuma peļņai tiek uzlikti nodokļi tikai šajā Līgumslēdzējā Valstī, izņemot, ja uzņēmums veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošu pastāvīgo pārstāvniecību. Ja uzņēmums veic uzņēmējdarbību minētajā veidā, uzņēmuma peļņai var uzlikt nodokļus šajā otrajā Līgumslēdzējā Valstī, bet tikai tai peļņas daļai, ko var attiecināt uz šo pastāvīgo pārstāvniecību. 2. Saskaņā ar 3. daļas noteikumiem, ja Līgumslēdzējas Valsts uzņēmums veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību, katrā Līgumslēdzējā Valstī uz šo pastāvīgo pārstāvniecību attiecināms tāds peļņas apmērs, kādu tā varētu gūt, ja tā būtu nodalīts un atsevišķs uzņēmums, kas veic tādu pašu vai līdzīgu uzņēmējdarbību tādos pašos vai līdzīgos apstākļos un pilnīgi neatkarīgi veiktu darījumus ar uzņēmumu, kura pastāvīgā pārstāvniecība tā ir. 3. Nosakot pastāvīgās pārstāvniecības peļņu, tiek atļauts atskaitīt izdevumus, kas radušies pastāvīgās pārstāvniecības vajadzībām Līgumslēdzējā Valstī, kurā tā atrodas, vai citur, tajā skaitā operatīvos un vispārējos administratīvos izdevumus. 4. Uz pastāvīgo pārstāvniecību netiek attiecināta peļņa tikai tāpēc vien, ka tā ir iegādājusies preces vai izstrādājumus uzņēmuma, kura pastāvīgā pārstāvniecība tā ir, vajadzībām. 5. Lai piemērotu šī panta iepriekšējo daļu noteikumus, peļņu, kas attiecināma uz pastāvīgo pārstāvniecību, katru gadu nosaka ar vienu un to pašu metodi, izņemot, ja ir labs un pietiekams iemesls rīkoties citādi. 6. Ja peļņā ir ietverti citos šīs konvencijas pantos atsevišķi aplūkotie ienākuma veidi, šī panta noteikumi neietekmē šo citu pantu noteikumus. 8. PANTS KUĢNIECĪBA UN GAISA TRANSPORTS 1. Līgumslēdzējas Valsts uzņēmuma peļņai no kuģu vai gaisa kuģu izmantošanas starptautiskajā satiksmē uzliek nodokļus tikai šajā Līgumslēdzējā Valstī. 2. Neatkarīgi no 2. panta noteikumiem, attiecībā uz kuģu vai gaisa kuģu izmantošanu starptautiskajā satiksmē, Līgumslēdzējas Valsts uzņēmums ir atbrīvots, Latvijas uzņēmuma gadījumā, no Japānas uzņēmumu nodokļa un, Japānas uzņēmuma gadījumā, no jebkura Japānas uzņēmumu nodoklim līdzīga nodokļa, kas ieviests pēc šīs konvencijas parakstīšanas datuma Latvijā. 3. Šajā pantā uzņēmuma peļņa no kuģu vai gaisa kuģu izmantošanas starptautiskajā satiksmē ietver:
- a)peļņu no kuģu vai gaisa kuģu iznomāšanas, iznomājot tos bez apkalpes un apgādes; un
- b)peļņu no konteineru (tai skaitā piekabju un saistīta konteineru pārvadāšanas aprīkojuma) izmantošanas, uzturēšanas vai iznomāšanas preču vai izstrādājumu pārvadāšanai, ja šāda iznomāšana vai šāda izmantošana, uzturēšana vai iznomāšana notiek papildus kuģu vai gaisa kuģu izmantošanai starptautiskajā satiksmē, ko veic uzņēmums. 4. Šī panta iepriekšējo daļu noteikumi attiecas arī uz peļņu no piedalīšanās pulā, kopējā uzņēmējdarbībā vai starptautiskās satiksmes transporta aģentūrā. 9. PANTS SAISTĪTIE UZŅĒMUMI 1. Ja
- a)Līgumslēdzējas Valsts uzņēmums tieši vai netieši piedalās otras Līgumslēdzējas Valsts uzņēmuma vadībā, kontrolē vai arī tam pieder daļa no šī uzņēmuma kapitāla, vai
- b)vienas un tās pašas personas tieši vai netieši piedalās Līgumslēdzējas Valsts uzņēmuma un otras Līgumslēdzējas Valsts uzņēmuma vadībā, kontrolē vai arī tām pieder daļa no šo uzņēmumu kapitāla, un jebkurā no šiem gadījumiem šo divu uzņēmumu komerciālās vai finanšu attiecības tiek veidotas vai nodibinātas pēc noteikumiem, kas atšķiras no tiem noteikumiem, kuri būtu spēkā starp diviem neatkarīgiem uzņēmumiem, tad jebkura peļņa, ko gūtu viens no uzņēmumiem, bet iepriekšminēto noteikumu ietekmē nav guvis, var tikt iekļauta šī uzņēmuma peļņā, un tai var atbilstoši uzlikt nodokļus. 2. Ja Līgumslēdzēja Valsts iekļauj šīs Līgumslēdzējas Valsts uzņēmuma peļņā un attiecīgi uzliek nodokļus tai peļņai, attiecībā uz kuru otrā Līgumslēdzējā Valstī otras Līgumslēdzējas Valsts uzņēmumam ir uzlikts nodoklis, un šī iekļautā peļņa ir tāda peļņa, kuru būtu guvis pirmās Līgumslēdzējas Valsts uzņēmums, ja attiecības starp šiem diviem uzņēmumiem būtu bijušas tādas, kādas pastāvētu starp diviem neatkarīgiem uzņēmumiem, tad otra Līgumslēdzēja Valsts veic atbilstošas korekcijas attiecībā uz nodokļa lielumu, kāds tiek uzlikts šai peļņai otrā valstī. Nosakot šīs korekcijas, ņem vērā citus šīs konvencijas noteikumus un, ja nepieciešams, rīko Līgumslēdzēju Valstu kompetento iestāžu konsultācijas. 3. Neatkarīgi no 1. daļas noteikumiem, Līgumslēdzēja Valsts neveic šīs Līgumslēdzējas Valsts uzņēmuma peļņas korekciju šajā daļā minētajos gadījumos pēc desmit gadiem no taksācijas gada beigām, kurā peļņa, kas tiktu šādi koriģēta, būtu uzkrājusies šim uzņēmumam, ja nepastāvētu minētajā daļā norādītie apstākļi. Šīs daļas noteikumi netiek piemēroti krāpšanas vai tīša nokavējuma gadījumā. 10. PANTS DIVIDENDES 1. Dividendēm, ko sabiedrība - Līgumslēdzējas Valsts rezidents, izmaksā otras Līgumslēdzējas Valsts rezidentam, var uzlikt nodokļus šajā otrajā Līgumslēdzējā Valstī. 2. Tomēr, dividendēm, ko izmaksā sabiedrība - Līgumslēdzējas Valsts rezidents, var uzlikt nodokļus arī šajā Līgumslēdzējā Valstī saskaņā ar šīs Līgumslēdzējas Valsts normatīvajiem aktiem, bet, ja dividenžu patiesais labuma guvējs ir otras Līgumslēdzējas Valsts rezidents, nodoklis nepārsniedz 10 procentus no dividenžu kopapjoma. 3. Neatkarīgi no 2. daļas noteikumiem, dividendēm, ko izmaksā sabiedrība - Līgumslēdzējas Valsts rezidents, un kuru patiesais labuma guvējs ir persona, kas nav fiziska persona, kas ir otras Līgumslēdzējas Valsts rezidents, nodokļus uzliek tikai šajā otrajā Līgumslēdzējā Valstī. 4. 2. un 3. daļas noteikumi neietekmē nodokļu uzlikšanu sabiedrības peļņai, no kuras izmaksā dividendes. 5. 3. daļas noteikumi netiek piemēroti gadījumā, ja dividendes izmaksā sabiedrība, kura ir tiesīga atskaitīt tās labuma guvējiem izmaksāto dividenžu summu, aprēķinot tās apliekamo ienākumu Līgumslēdzējā Valstī, kuras rezidents ir sabiedrība, kas izmaksā dividendes. 6. Termins "dividendes" šajā pantā nozīmē ienākumu no akcijām vai citām no parādu saistībām neizrietošām tiesībām piedalīties sabiedrības peļņas sadalē, kā arī ienākumu no citām tiesībām, uz ko, saskaņā ar tās Līgumslēdzējas Valsts normatīvajiem aktiem, kuras rezidents ir sabiedrība, kas veic peļņas sadali, attiecas tāds pats nodokļu uzlikšanas režīms kā uz ienākumu no akcijām. 7. Noteikumus no 1. līdz 3. daļai nepiemēro, ja dividenžu patiesais labuma guvējs - Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, kuras rezidents ir dividendes izmaksājošā sabiedrība, izmantojot tur esošo pastāvīgo pārstāvniecību, un ja līdzdalība, par kuru tiek izmaksātas dividendes, ir faktiski saistīta ar šo pastāvīgo pārstāvniecību. Šajā gadījumā piemēro 7. panta noteikumus. 8. Ja sabiedrība, kas ir Līgumslēdzējas Valsts rezidents, gūst peļņu vai ienākumu otrā Līgumslēdzējā Valstī, šī otra Līgumslēdzēja Valsts nedrīkst ne uzlikt nekādus nodokļus sabiedrības izmaksātajām dividendēm, izņemot, ja dividendes tiek izmaksātas šīs otras Līgumslēdzējas Valsts rezidentam vai ja līdzdalība, par kuru tiek izmaksātas dividendes, ir faktiski saistīta ar pastāvīgo pārstāvniecību šajā otrajā līgumslēdzējā valstī, ne arī uzlikt nodokli sabiedrības nesadalītajai peļņai pat tad, ja izmaksātās dividendes vai nesadalītā peļņa pilnīgi vai daļēji sastāv no šajā otrajā līgumslēdzējā valstī gūtās peļņas vai ienākuma. 11. PANTS PROCENTI 1. Procentiem, kas rodas Līgumslēdzējā Valstī un tiek izmaksāti otras Līgumslēdzējas Valsts rezidentam, var uzlikt nodokļus šajā otrajā valstī. 2. Tomēr, procentiem, kas rodas Līgumslēdzējā Valstī, var arī uzlikt nodokļus saskaņā ar šīs līgumslēdzējas valsts normatīvajiem aktiem, bet, ja procentu patiesais labuma guvējs ir otras Līgumslēdzējas Valsts rezidents, tad nodoklis nepārsniedz 10 procentus no procentu kopapjoma. 3. Neatkarīgi no 2. daļas noteikumiem, procentiem, kas rodas Līgumslēdzējā Valstī un kuru patiesais labuma guvējs ir persona, kas nav fiziska persona, kas ir otras Līgumslēdzējas Valsts rezidents, r uzliek nodokļus tikai šajā otrajā Līgumslēdzējā Valstī. 4. 3. daļas noteikumi netiek piemēroti procentiem, kas tiek aprēķināti, pamatojoties uz parādnieka vai saistītās personas ieņēmumiem, tirdzniecību, ienākumu, peļņu vai citu naudas plūsmu, parādnieka vai saistītās personas jebkuras mantas vērtības izmaiņām, vai jebkurām dividendēm, personālsabiedrības maksājumiem dalībniekiem vai līdzīgiem maksājumiem, ko veicis parādnieks vai saistītā persona. 5. Šajā pantā termins "procenti" nozīmē ienākumu no jebkāda veida parāda prasībām neatkarīgi no tā, vai tās ir vai nav nodrošinātas ar hipotēku un vai tām ir vai nav tiesības piedalīties parādnieka peļņas sadalē, un it īpaši ienākumu no valdības vērtspapīriem un ienākumu no obligācijām vai parādzīmēm, tajā skaitā prēmijas un balvas, kas piederīgas šiem vērtspapīriem, obligācijām vai parādzīmēm, kā arī citu ienākumu, uz kuru attiecas tāds pats nodokļu uzlikšanas režīms kā uz ienākumu no aizdevuma, kas veikts saskaņā ar tās Līgumslēdzējas Valsts normatīvajiem aktiem, kurā rodas procenti. Tomēr, šī panta mērķiem par procentiem netiek uzskatīts 10. pantā aplūkotais ienākums un soda naudas par nokavētiem maksājumiem. 6. Noteikumi no 1. līdz 3. daļai netiek piemēroti, ja procentu patiesais labuma guvējs, kas ir Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, kurā procenti rodas, izmantojot tur esošo pastāvīgo pārstāvniecību, un parāda prasības, uz kuru pamata tiek maksāti procenti, ir faktiski saistītas ar šo pastāvīgo pārstāvniecību. Šajā gadījumā piemēro 7. panta noteikumus. 7. Ja procentu maksātājs ir Līgumslēdzējas Valsts rezidents, tiek uzskatīts, ka procenti rodas šajā Līgumslēdzējā Valstī. Tomēr, ja persona, kura izmaksā procentus, neatkarīgi no tā, vai šī persona ir Līgumslēdzējas Valsts rezidents vai nav, izmanto Līgumslēdzējā Valstī esošo pastāvīgo pārstāvniecību, sakarā ar ko radušās parādu saistības, par kurām tiek maksāti procenti, un ja šos procentus maksā pastāvīgā pārstāvniecība, tiek uzskatīts, ka šie procenti rodas tajā Līgumslēdzējā Valstī, kurā atrodas pastāvīgā pārstāvniecība. 8. Ja, pamatojoties uz īpašām attiecībām starp procentu maksātāju un procentu patieso labuma guvēju vai starp viņiem abiem un kādu citu personu, procentu summa, kas attiecas uz parāda prasībām, par kurām tā tiek izmaksāta, pārsniedz summu, par kādu būtu varējuši vienoties procentu maksātājs un procentu patiesais labuma guvējs, ja starp viņiem nebūtu minēto īpašo attiecību, tad šī panta noteikumi tiek piemēroti tikai attiecībā uz pēdējo minēto summu. Šādā gadījumā maksājumu daļai, kas pārsniedz šo summu, nodokļus uzliek atbilstoši katras Līgumslēdzējas Valsts normatīvajiem aktiem, ņemot vērā šīs konvencijas pārējos noteikumus. 12. PANTS AUTORATLĪDZĪBA 1. Autoratlīdzībai, kas rodas Līgumslēdzējā Valstī un kuras patiesais labuma guvējs ir otras Līgumslēdzējas Valsts rezidents, uzliek nodokļus tikai šajā otrajā Līgumslēdzējā Valstī. 2. Termins "autoratlīdzība" šajā pantā nozīmē jebkāda veida maksājumus, ko saņem kā atlīdzību par jebkura literāra, mākslas vai zinātniska darba, tajā skaitā kinofilmu vai jebkura patenta, preču zīmes, dizaina vai parauga, plāna vai slepenas formulas vai procesa izmantošanu vai tiesībām izmantot, vai par informāciju saistībā ar rūpniecisko, komerciālo vai zinātnisko pieredzi. 3. 1. daļas noteikumi netiek piemēroti, ja autoratlīdzības patiesais labuma guvējs, kas ir Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, kurā rodas autoratlīdzība, izmantojot tur esošo pastāvīgo pārstāvniecību, un ja tiesības vai īpašums, par ko tiek maksāta autoratlīdzība, ir faktiski saistīti ar šo pastāvīgo pārstāvniecību. Šajā gadījumā piemēro 7. panta noteikumus. 4. Ja, pamatojoties uz īpašām attiecībām starp maksātāju un patieso labuma guvēju vai starp viņiem abiem un kādu citu personu, autoratlīdzības summa, kas attiecas uz izmantošanu, tiesībām vai informāciju, par kuru tā tiek maksāta, pārsniedz summu, par kādu būtu varējuši vienoties maksātājs un patiesais labuma guvējs, ja starp viņiem nebūtu minēto īpašo attiecību, tad šī panta noteikumi tiek piemēroti tikai attiecībā uz pēdējo minēto summu. Šajā gadījumā maksājuma daļai, kas pārsniedz šo summu, tiek uzlikti nodokļi atbilstoši katras Līgumslēdzējas Valsts normatīvajiem aktiem, pienācīgi ņemot vērā šīs konvencijas pārējos noteikumus. 13. PANTS NEKUSTAMĀ ĪPAŠUMA ATSAVINĀŠANA 1. Ienākumam vai kapitāla pieaugumam, ko Līgumslēdzējas Valsts rezidents gūst, atsavinot 6. pantā minēto otrā Līgumslēdzējā Valstī esošo nekustamo īpašumu, var uzlikt nodokļus šajā otrajā Līgumslēdzējā Valstī. 2. Kapitāla pieaugumam, kas gūts, atsavinot jebkādu īpašumu, kas nav 6. pantā minētais nekustamais īpašums, kas ir daļa no Līgumslēdzējas Valsts uzņēmuma pastāvīgās pārstāvniecības uzņēmējdarbības īpašuma otrā Līgumslēdzējā Valstī, tajā skaitā kapitāla pieaugumam no šādas pastāvīgās pārstāvniecības atsavināšanas (atsevišķi vai kopā ar visu uzņēmumu), var uzlikt nodokļus šajā otrajā Līgumslēdzējā Valstī. 3. Kapitāla pieaugumam, ko Līgumslēdzējas Valsts uzņēmums gūst, atsavinot šī uzņēmuma starptautiskajā satiksmē izmantotos kuģus vai gaisa kuģus, vai jebkādu šādu kuģu vai gaisa kuģu ekspluatācijai piederīgu īpašumu, kas nav 6. pantā minētais nekustamais īpašums, tiek uzlikti nodokļi tikai šajā Līgumslēdzējā Valstī. 4. Kapitāla pieaugumam, ko Līgumslēdzējas Valsts rezidents gūst, atsavinot sabiedrības akcijas vai pielīdzināmu līdzdalību, tādu kā līdzdalību personālsabiedrībā vai trastā, var uzlikt nodokļus otrā Līgumslēdzējā Valstī, ja jebkurā brīdī 365 dienu periodā pirms atsavināšanas šīs akcijas vai pielīdzināmā līdzdalība vismaz 50 procentus no savas vērtības tieši vai netieši iegūst no 6. pantā minētā šajā otrajā Līgumslēdzējā Valstī esošā nekustamā īpašuma, ja vien akcijas vai salīdzināmā līdzdalība netiek tirgota atzītā fondu biržā, kas noteikta 22. panta 7. daļas
- b)punktā, un šim rezidentam un personām, kas saistītas ar šo rezidentu, kopumā pieder 5 procenti vai mazāk no šīs kategorijas akcijām vai pielīdzināmās līdzdalības. 5. Kapitāla pieaugumam no jebkura tāda īpašuma atsavināšanas, kas nav 1., 2., 3. un 4. daļā minētais īpašums, tiek uzlikti nodokļi tikai tajā Līgumslēdzējā Valstī, kuras rezidents ir šī īpašuma atsavinātājs. 14. PANTS IENĀKUMS PAR ALGOTU DARBU 1. Saskaņā ar 15., 17. un 18. panta noteikumiem darba algai, samaksai un citai līdzīga veida atlīdzībai, ko Līgumslēdzējas Valsts rezidents saņem par algotu darbu, tiek uzlikti nodokļi tikai šajā Līgumslēdzējā Valstī, ja vien algotais darbs netiek veikts otrā Līgumslēdzējā Valstī. Ja algotais darbs tiek veikts otrā Līgumslēdzējā Valstī, par to saņemtajai atlīdzībai var uzlikt nodokļus šajā otrajā Līgumslēdzējā Valstī. 2. Neatkarīgi no 1. daļas noteikumiem, atlīdzībai, ko Līgumslēdzējas Valsts rezidents saņem par algotu darbu, kas tiek veikts otrā Līgumslēdzējā Valstī, tiek uzlikti nodokļi tikai pirmajā minētajā Līgumslēdzējā Valstī, ja:
- a)atlīdzības saņēmējs atrodas otrajā Līgumslēdzējā Valstī laika posmu vai laika posmus, kas kopumā nepārsniedz 183 dienas jebkurā divpadsmit mēnešu periodā, kas sākas vai beidzas attiecīgajā taksācijas gadā, un
- b)atlīdzību maksā darba devējs, kas nav otras Līgumslēdzējas Valsts rezidents, vai cita persona tāda darba devēja vārdā, un
- c)atlīdzību neizmaksā pastāvīgā pārstāvniecība, kas darba devējam ir otrajā Līgumslēdzējā Valstī. 3. Neatkarīgi no šī panta iepriekšējiem noteikumiem, atlīdzībai, ko saņem par algotu darbu, kas tiek veikts uz kuģa vai gaisa kuģa, ko starptautiskajā satiksmē izmanto Līgumslēdzējas Valsts uzņēmums, var uzlikt nodokļus šajā Līgumslēdzējā Valstī. 15. PANTS DIREKTORU ATALGOJUMS Direktoru atalgojumam un citiem līdzīgiem maksājumiem, ko saņem Līgumslēdzējas Valsts rezidents kā direktoru padomes vai līdzīgas institūcijas loceklis sabiedrībā, kas ir otras Līgumslēdzējas Valsts rezidents, var uzlikt nodokļus šajā otrajā valstī. 16. PANTS IZPILDĪTĀJMĀKSLINIEKI UN SPORTISTI 1. Neatkarīgi no 14. panta noteikumiem ienākumam, ko gūst Līgumslēdzējas Valsts rezidents kā izpildītājmākslinieks, piemēram, teātra, kino, radio vai televīzijas mākslinieks, vai mūziķis, vai arī kā sportists par šī rezidenta individuālo darbību otrajā Līgumslēdzējā Valstī, var uzlikt nodokļus šajā otrajā valstī. 2. Ja izpildītājmākslinieka vai sportista ienākums par viņa individuālo darbību savā statusā tiek izmaksāta uzkrājas nevis pašam izpildītājmāksliniekam vai sportistam, bet citai personai, šādam ienākumam, neatkarīgi no 14. panta noteikumiem, var uzlikt nodokļus tajā Līgumslēdzējā Valstī, kurā tiek veikta izpildītājmākslinieka vai sportista darbība. 17. PANTS PENSIJAS Saskaņā ar 18. panta 2. daļas noteikumiem pensijai un citai līdzīgai atlīdzībai, kuras patiesais labuma guvējs ir Līgumslēdzējas Valsts rezidents, tiek uzlikti nodokļi tikai šajā valstī. 18. PANTS VALSTS DIENESTS 1.
- a)Darba algai, samaksai un citai līdzīgai atlīdzībai, ko fiziskajai personai izmaksā Līgumslēdzēja Valsts vai tās politiski administratīvā vienība vai pašvaldība par šai Līgumslēdzējai Valstij vai politiski administratīvajai vienībai vai pašvaldībai sniegtajiem pakalpojumiem, tiek uzlikti nodokļi tikai šajā Līgumslēdzējā Valstī.
- b)Tomēr šādai darba algai, samaksai un citai līdzīgai atlīdzībai tiek uzlikti nodokļi tikai otrā Līgumslēdzējā Valstī, ja pakalpojumi ir sniegti šajā otrajā Līgumslēdzējā Valstī un šī fiziskā persona ir šīs Līgumslēdzējas Valsts rezidents, kas: (
- i)ir šīs otras Līgumslēdzējas Valsts valstspiederīgais; vai (
- ii)nav kļuvis par šīs otras Līgumslēdzējas Valsts rezidentu tikai, lai sniegtu šos pakalpojumus. 2.
- a)Neatkarīgi no 1. daļas noteikumiem, pensijām vai citai līdzīgai atlīdzībai, ko fiziskajai personai izmaksā Līgumslēdzēja Valsts vai tās politiski administratīvā vienība vai pašvaldība, vai kas tiek izmaksāta no fondiem, kurus tās ir izveidojušas vai kuros tās veikušas iemaksas, par pakalpojumiem, ko šī persona sniegusi šai Līgumslēdzējai Valstij vai politiski administratīvajai vienībai vai pašvaldībai, tiek uzlikti nodokļi tikai šajā Līgumslēdzējā Valstī.
- b)Tomēr šādām pensijām vai citai līdzīgai atlīdzībai tiek uzlikti nodokļi tikai otrā Līgumslēdzējā Valstī, ja fiziskā persona ir šīs otras Līgumslēdzējas Valsts rezidents un valstspiederīgais. 3. 14., 15., 16. un 17. panta noteikumus piemēro darba algai, samaksai, pensijai un citai līdzīgai atlīdzībai, ko izmaksā par pakalpojumiem, kas sniegti saistībā ar Līgumslēdzējas Valsts vai tās politiski administratīvās vienības vai pašvaldības veikto uzņēmējdarbību. 19. PANTS STUDENTI Maksājumiem, ko uzturēšanās, studiju vai stažēšanās vajadzībām saņem students, māceklis vai stažieris, kurš ir vai tieši pirms ierašanās Līgumslēdzējā Valstī bija otras Līgumslēdzējas Valsts rezidents un kurš pirmajā minētajā Līgumslēdzējā Valstī atrodas vienīgi studiju vai stažēšanās nolūkā, šajā Līgumslēdzējā Valstī netiek uzlikti nodokļi, ja šādi maksājumi ir no avotiem, kas neatrodas šajā Līgumslēdzējā Valstī. Šajā pantā paredzētais atbrīvojums attiecas uz mācekli vai stažieri tikai laika posmā, kas nepārsniedz vienu gadu no datuma, kurā viņš pirmo reizi sāk savu stažēšanos šajā Līgumslēdzējā Valstī. 20. PANTS "KLUSĀ" PERSONĀLSABIEDRĪBA Neatkarīgi no jebkuriem citiem šīs konvencijas noteikumiem, jebkuram ienākumam vai kapitāla pieaugumam, ko saņem "klusais" partneris attiecībā uz "klusās" personālsabiedrības (Japānas gadījumā, Tokumei Kumiai) līgumu vai citu līdzīgu līgumu, var uzlikt nodokļus Līgumslēdzējā Valstī, kurā rodas šis ienākums vai kapitāla pieaugums, un saskaņā ar šīs Līgumslēdzējas Valsts normatīvajiem aktiem. 21. PANTS CITS IENĀKUMS 1. Ienākumu veidiem, kuru patiesais labuma guvējs ir Līgumslēdzējas Valsts rezidents, kuri nav atrunāti šīs konvencijas iepriekšējos pantos, neatkarīgi no to rašanās vietas, tiek uzlikti nodokļi tikai šajā Līgumslēdzējā Valstī. 2. 1. daļas noteikumi netiek piemēroti ienākumam, kas nav ienākums no 6. panta 2. daļā minētā nekustamā īpašuma, ja šī ienākuma patiesais labuma guvējs, kurš ir Līgumslēdzējas Valsts rezidents, veic uzņēmējdarbību otrā Līgumslēdzējā Valstī, izmantojot tur esošo pastāvīgo pārstāvniecību, un ja tiesības vai īpašums, par ko tiek saņemts šis ienākums, ir faktiski saistīti ar šo pastāvīgo pārstāvniecību. Šajā gadījumā piemēro 7. panta noteikumus. 3. Ja, pamatojoties uz īpašām attiecībām starp 1. daļā minēto rezidentu un maksātāju vai starp viņiem abiem un kādu citu personu, 1. daļā minētā ienākuma summa pārsniedz summu, par kādu viņi būtu varējuši vienoties, ja starp viņiem nebūtu šādu attiecību, tad šī panta noteikumi tiek piemēroti tikai attiecībā uz pēdējo minēto summu. Šādā gadījumā maksājumu daļai, kas pārsniedz šo summu, nodokļus uzliek atbilstoši katras Līgumslēdzējas Valsts normatīvajiem aktiem, pienācīgi ņemot vērā šīs konvencijas pārējos noteikumus. 22. PANTS TIESĪBAS UZ ATVIEGLOJUMIEM 1. Līgumslēdzējas Valsts rezidents ir tiesīgs saņemt 10. panta 3. daļas, 11. panta 3. daļas vai 12. panta 1. daļas noteikumos paredzētos atvieglojumus, ja šis rezidents ir kvalificēta persona, kā noteikts 2. daļā. 2. Līgumslēdzējas Valsts rezidents ir kvalificēta persona tikai, ja šis rezidents ir vai nu:
- a)fiziska persona;
- b)šīs Līgumslēdzējas Valsts valdība, jebkura tās politiski administratīvā vienība vai pašvaldība vai tās centrālā banka;
- c)sabiedrība, ja tās galvenās kategorijas akcijas tiek regulāri tirgotas vienā vai vairākās atzītās fondu biržās;
- d)pensiju fonds, ar nosacījumu, ka, sākot ar taksācijas gada sākumu, par kuru pieprasīts atvieglojums, vismaz 50 procenti tā labuma guvēju, locekļu vai dalībnieku ir fiziskas personas, kas ir vienas vai otras Līgumslēdzējas Valsts rezidenti;
- e)persona, kas nodibināta saskaņā ar šīs Līgumslēdzējas Valsts normatīvajiem aktiem un kura darbojas vienīgi reliģiskiem, labdarības, izglītības, zinātniskiem, mākslas, kultūras vai sabiedriskiem mērķiem, tikai, ja visu vai daļu tās ienākuma var atbrīvot no nodokļu uzlikšanas saskaņā ar šīs Līgumslēdzējas Valsts normatīvajiem aktiem; vai
- f)persona, kas nav fiziska persona, ja vienas vai otras Līgumslēdzējas Valsts rezidentiem, kas, saskaņā ar a), b), c),
- d)vai
- e)punktu, ir kvalificētas personas, tieši vai netieši pieder vismaz 50 procenti balsstiesību vai cita līdzdalība šajā personā. 3. Līgumslēdzējas Valsts rezidents ir tiesīgs saņemt 10. panta 3. daļas, 11. panta 3. daļas vai 12. panta 1. daļas noteikumos paredzētos atvieglojumus par ienākumu veidu, kas minēts atbilstošajā daļā, ja:
- a)pensiju fonda gadījumā, sākot ar taksācijas gada sākumu, par kuru pieprasīts atvieglojums, vismaz 75 procenti tā labuma guvēju, locekļu vai dalībnieku ir fiziskas personas, kas ir līdzvērtīgi labuma guvēji; vai
- b)visos citos gadījumos, personām, kas ir līdzvērtīgi labuma guvēji, tieši vai netieši pieder vismaz 75 procenti šī rezidenta balsstiesību vai cita līdzdalība tajā. 4. 2. daļas
- f)punkta un 3. daļas
- b)punkta noteikumu piemērošanai, tiek uzskatīts, ka Līgumslēdzējas Valsts rezidents atbilst šajos punktos minētajiem nosacījumiem tikai, ja šāds rezidents atbilst šiem nosacījumiem divpadsmit mēnešu periodā, ieskaitot maksājumu datumu (dividenžu gadījumā, datumu, kurā tiek noteiktas tiesības saņemt dividendes). 5.
- a)Līgumslēdzējas Valsts rezidents ir tiesīgs saņemt 10. panta 3. daļas, 11. panta 3. daļas vai 12. panta 1. daļas noteikumos paredzētos atvieglojumus par ienākumu veidu, kas minēts atbilstošajā daļā, ja: (
- i)rezidents veic uzņēmējdarbību šajā Līgumslēdzējā Valstī (kas nav ieguldījumu veikšanas vai pārvaldības darījumi rezidenta paša labā, ja vien darījumus banku, apdrošināšanas vai vērtspapīru nozarē neveic banka, apdrošināšanas sabiedrība vai vērtspapīru tirgotājs); un (
- ii)ienākuma veids tiek gūts saistībā ar šiem darījumiem vai tam ir gadījuma raksturs.
- b)Ja Līgumslēdzējas Valsts rezidents gūst ienākuma veidu no uzņēmējdarbības, ko šis rezidents veic otrajā Līgumslēdzējā Valstī vai gūst ienākuma veidu, kas rodas otrajā Līgumslēdzējā Valstī no personas, kam ar rezidentu ir 9. panta 1. daļas
- a)vai
- b)punktos minētās attiecības, šīs daļas
- a)punktā minētie nosacījumi tiek uzskatīti par izpildītiem attiecībā uz šādu ienākuma posteni tikai, ja pirmajā minētajā Līgumslēdzējā Valstī veiktā uzņēmējdarbība ir būtiska attiecībā pret otrajā Līgumslēdzējā Valstī veikto uzņēmējdarbību. To, vai šāda uzņēmējdarbība ir būtiska šīs daļas mērķiem, nosaka, pamatojoties uz visiem faktiem un apstākļiem.
- c)Nosakot, vai persona veic uzņēmējdarbību Līgumslēdzējā Valstī saskaņā ar
- a)punktu, tiek uzskatīts, ka uzņēmējdarbību, ko veic personālsabiedrība, kurā šī persona ir partneris, vai uzņēmējdarbību, ko veic ar šādu personu saistītas personas, veic šī persona. Persona ir saistīta ar citu personu, ja tai tieši vai netieši ir vismaz 50 procenti līdzdalības otrā personā (vai, sabiedrības gadījumā, vismaz 50 procenti balsstiesību sabiedrībā) vai trešajai personai tieši vai netieši ir vismaz 50 procenti līdzdalības (vai, sabiedrības gadījumā, vismaz 50 procenti balsstiesību sabiedrībā) katrā personā. Jebkurā gadījumā persona tiek uzskatīta par saistītu ar citu personu, ja, pamatojoties uz visiem faktiem un apstākļiem, viena kontrolē otru vai abas kontrolē viena un tā pati persona vai personas. 6. Līgumslēdzējas Valsts rezidents, kas nav ne kvalificēta persona, ne arī ir tiesīga saņemt, saskaņā ar 3. vai 5. daļu, atvieglojumu, ko paredz 10. panta 3. daļas, 11. panta 3. daļas vai 12. panta 1. daļas noteikumi, tomēr ir tiesīga saņemt šādu atvieglojumu, ja Līgumslēdzējas Valsts kompetentā iestāde, kurai pieprasīts atvieglojums, konstatē, ka šāda rezidenta nodibināšanas, iegādes vai uzturēšanas, un tā darījumu veikšanas galvenais mērķis nav bijis šāda atvieglojuma saņemšana. 7. Šajā pantā:
- a)termins "galvenās kategorijas akcijas" nozīmē sabiedrības akciju kategoriju vai kategorijas, kas pārstāv sabiedrības balsu vairākumu;
- b)termins "atzīta fondu birža" nozīmē: (
- i)jebkuru fondu biržu, kas nodibināta saskaņā ar Japānas Finanšu instrumentu un biržu likumu (1948. gada likums nr. 25); (
- ii)jebkuru regulētu tirgu saskaņā ar Eiropas Parlamenta un Padomes direktīvu 2014/65/ES par finanšu instrumentu tirgiem un ar ko groza Direktīvu 2002/92/ES un Direktīvu 2011/61/ES (ar grozījumiem) vai jebkuru secīgu direktīvu; (iii) Honkongas biržas un klīringu, NASDAQ sistēmu, Ņujorkas fondu biržu, Singapūras biržu, SIX Šveices biržu un Taivānas fondu biržu; un (
- iv)jebkuru citu fondu biržu, kuru Līgumslēdzēju Valstu kompetentās iestādes piekrīt atzīt šī panta mērķiem;
- c)termins "līdzvērtīgs labums guvējs" nozīmē jebkuru personu, kas būtu tiesīga uz atvieglojumu attiecībā uz ienākumu, par kuru Līgumslēdzējai Valstij tiek pieprasīts šīs konvencijas atvieglojums, ko šī Līgumslēdzēja Valsts piešķir saskaņā ar šīs Līgumslēdzējas Valsts normatīvajiem aktiem, šo konvenciju vai jebkuru citu starptautisku dokumentu, ja šāds atvieglojums ir līdzvērtīgs atvieglojumam, kas ir piešķirams šim ienākumam saskaņā ar Konvenciju. 8. Neatkarīgi no citiem šīs konvencijas noteikumiem, Konvencijā paredzētais atvieglojums attiecībā uz ienākumu netiek piešķirts, ja, ņemot vērā visus atbilstošos faktus un apstākļus, ir pamatots secinājums, ka atvieglojuma saņemšana bija viens no jebkuras vienošanās vai darījuma mērķiem, kā rezultātā tieši vai netieši tika saņemts šis atvieglojums, ja vien netiek konstatēts, ka atvieglojuma piešķiršana šādos apstākļos būtu saskaņā ar atbilstošo Konvencijas noteikumu objektu un mērķi. 23. PANTS NODOKĻU DUBULTĀS UZLIKŠANAS NOVĒRŠANA 1. Saskaņā ar Japānas normatīvo aktu noteikumiem attiecībā uz atļauju samazināt Japānas nodokli par jebkurā citā valstī, nevis Japānā, maksājamo nodokli, ja Japānas rezidents gūst ienākumu Latvijā, kam var uzlikt nodokļus Latvijā saskaņā ar šīs konvencijas noteikumiem, šim rezidentam uzlikto Japānas nodokli atļauj samazināt par Latvijas nodokļa summu attiecībā uz šo ienākumu. Samazinājuma summa tomēr nepārsniedz Japānas nodokļa summu, kas piemērojama šim ienākumam. 2. Ja Latvijas rezidents gūst ienākumu, kam saskaņā ar šīs konvencijas noteikumiem var uzlikt nodokļus Japānā, ja vien Latvijas nacionālajos normatīvajos aktos netiek paredzēti labvēlīgāki noteikumi, kas piemērojami rezidentam, Latvija atļauj samazināt šī rezidenta Latvijas nodokli par summu, kas ir vienāda ar samaksāto Japānas nodokli. Šis samazinājums tomēr nepārsniedz tādu Latvijas nodokļa daļu, kāda ir aprēķināta pirms šī samazinājuma piemērošanas un kas ir attiecināma uz ienākumu, kam var uzlikt nodokļus Japānā. 24. PANTS DISKRIMINĀCIJAS NEPIEĻAUŠANA 1. Uz Līgumslēdzējas Valsts valstspiederīgajiem otrā Līgumslēdzējā Valstī netiek attiecināta jebkura nodokļu uzlikšana vai ar to saistītas jebkuras prasības, kas ir citādākas vai apgrūtinošākas nekā nodokļu uzlikšana vai ar to saistītās prasības, kas tādos pašos apstākļos, jo īpaši sakarā ar rezidenci, attiecas vai var tikt attiecinātas uz šīs otras Līgumslēdzējas Valsts piederīgajiem. Šīs daļas noteikums neatkarīgi no 1. panta noteikumiem attiecas arī uz personām, kuras nav vienas vai abu Līgumslēdzēju Valstu rezidenti. 2. Uz bezvalstniekiem, kas ir Līgumslēdzējas Valsts rezidenti, otrā Līgumslēdzējā Valstī netiek attiecināta nekāda nodokļu uzlikšana vai ar to saistītas jebkādas prasības, kas ir citādākas vai apgrūtinošākas nekā nodokļu uzlikšana vai ar to saistītās prasības, kas tādos paš
