the AgreementANNEX ICONVERSION FACTORS FOR ROASTED, DECAFFEINATED, LIQUID AND SOLUBLE COFFEE AS DEFINED IN THE INTERNATIONAL COFFEE AGREEMENT 1994 PREAMBLEThe Governments Party to this Agreement,Recognizing the exceptional importance

coffee to the economies

many countries which are largely dependent upon this commodity for their export earnings and thus for the continuation

their development programmes in the social and economic fields;Recognizing the importance

the coffee sector to the livelihoods

millions

people, particularly in developing countries, and bearing in mind that in many

these countries production is on small-scale family farms;Recognizing the need to foster the development

productive resources and the promotion and maintenance

employment and income in the coffee industry in Member countries, thereby bringing about fair wages, higher living standards and better working conditions;Considering that close international cooperation on trade in coffee will foster the economic diversification and development

coffee-producing countries, will contribute to the improvement

political and economic relations between coffee exporting and importing countries, and will provide for increasing consumption

coffee; Recognizing the desirability

avoiding disequilibrium between production and consumption which can give rise to pronounced fluctuations in prices harmful both to producers and to consumers;Considering the relationship between the stability

the trade in coffee and the stability

markets for manufactured goods;Noting the advantages derived from the international cooperation which resulted from the operation

the International Coffee Agreements 1962, 1968, 1976, 1983 and 1994,Have agreed as follows:Chapter I — OBJECTIVESArticle 1ObjectivesThe objectives

this Agreement are:

(1)to promote international cooperation on coffee matters;
(2)to provide a forum for intergovernmental consultations, and negotiations when appropriate, on coffee matters and on ways to achieve a reasonable balance between world supply and demand on a basis which will assure adequate supplies

coffee at fair prices to consumers and markets for coffee at remunerative prices to producers, and which will be conducive to long-term equilibrium between production and consumption;

(3)to provide a forum for consultations on coffee matters with the private sector;
(4)to facilitate the expansion and transparency

international trade in coffee;

(5)to act as a centre for and promote the collection, dissemination and publication

economic and technical information, statistics and studies, as well as research and development, in coffee matters;

(6)to encourage Members to develop a sustainable coffee economy;
(7)to promote, encourage and increase the consumption

coffee;

(8)to analyse and advise on the preparation

projects for the benefit

the world coffee economy, for their subsequent submission to donor or financing organizations, as appropriate;

(9)to promote quality; and
(10)to promote training and information programmes designed to assist the transfer to Members

technology relevant to coffee.Chapter II — DEFINITIONSArticle 2DefinitionsFor the purposes

this Agreement:

(1)Coffee means the beans and cherries

the coffee tree, whether parchment, green or roasted, and includes ground, decaffeinated, liquid and soluble coffee. The Council shall, as soon as possible after this Agreement enters into force, and again three years after such date, review the conversion factors for the types

coffee listed in sub-paragraphs (d), (e), (

  1. f)and (
  2. g)below. Following such review the Council shall, by a distributed two-thirds majority vote, determine and publish appropriate conversion factors. Prior to the initial review, and should the Council be unable to reach a decision on this matter, the conversion factors will be those used in the International Coffee Agreement 1994, which are listed in Annex I to this Agreement. Subject to these provisions, the terms listed below shall have the following meaning:(
  3. a)green coffee means all coffee in the naked bean form before roasting;(
  4. b)dried coffee cherry means the dried fruit

the coffee tree; to find the equivalent

dried coffee cherry to green coffee, multiply the net weight

the dried coffee cherry by 0.50;(c) parchment coffee means the green coffee bean contained in the parchment skin; tofind the equivalent

parchment coffee to green coffee, multiply the net weight

the parchment coffee by 0.80;(

  1. d)roasted coffee means green coffee roasted to any degree and includes ground coffee;(
  2. e)decaffeinated coffee means green, roasted or soluble coffee from which caffeine has been extracted;(
  3. f)liquid coffee means the water-soluble solids derived from roasted coffee and put into liquid form; and(
  4. g)soluble coffee means the dried water-soluble solids derived from roasted coffee.

(2)Bag means 60 kilogrammes or 132.276 pounds

green coffee; tonne means a mass

1,000 kilogrammes or 2,204.6 pounds; and pound means 453.597 grammes.

(3)Coffee year means the period

one year, from 1 October to 30 September.

(4)Organization and Council mean, respectively, the International Coffee Organization and the International Coffee Council.
(5)Contracting Party means a Government or intergovernmental organization referred to in paragraph
(3)

Article 4

which has deposited an instrument

ratification, acceptance, approval or provisional application

this Agreement in accordance with the provisions

Articles 44 and 45 or has acceded thereto in accordance with the provisions

Article 46.

(6)Member means a Contracting Party; a designated territory or territories in respect

which separate membership has been declared under the provisions

Article 5

; or two or more Contracting Parties or designated territories, or both, which participate in the Organization as a Member group under the provisions

Article 6.

(7)Exporting Member or exporting country means a Member or country, respectively, which is a net exporter

coffee; that is, a Member or country whose exports exceed its imports.

(8)Importing Member or importing country means a Member or country, respectively, which is a net importer

coffee; that is, a Member or country whose imports exceed its exports.

(9)Distributed simple majority vote means a vote requiring more than half

the votes cast by exporting Members present and voting and more than half

the votes cast by importing Members present and voting, counted separately.

(10)Distributed two-thirds majority vote means a vote requiring more than two-thirds

the votes cast by exporting Members present and voting and more than two-thirds

the votes cast by importing Members present and voting, counted separately.

(11)Entry into force means, except as otherwise provided, the date on which this Agreement enters into force, whether provisionally or definitively.Chapter III — GENERAL UNDERTAKINGS BY MEMBERSArticle 3General undertakings by Members
(1)Members undertake to adopt such measures as are necessary to enable them to fulfill their obligations under this Agreement and fully cooperate with one another in securing the attainment

the objectives

this Agreement; in particular, Members undertake to provide all information necessary to facilitate the functioning

this Agreement.

(2)Members recognize that Certificates

Origin are important sources

information on the trade in coffee. Exporting Members, therefore, assume responsibility for ensuring the proper issuing and use

Certificates

Origin according to the rules established by the Council.

(3)Members recognize further that information on re-exports is also important for the proper analysis

the world coffee economy. Importing Members, therefore, undertake to supply regular and accurate information on re-exports, in the form and manner determined by the Council.Chapter IV — MEMBERSHIPArticle 4Membership

the Organization

(1)Each Contracting Party, together with those territories to which this Agreement is extended under the provisions

paragraph

(1)

Article 48

, shall constitute a single Member

the Organization, except as otherwise provided for under the provisions

Articles 5 and 6.

(2)A Member may change its category

membership on such conditions as the Council may agree.

(3)Any reference in this Agreement to a Government shall be construed as including a reference to the European Community, or any intergovernmental organization having comparable responsibilities in respect

the negotiation, conclusion and application

international agreements, in particular commodity agreements.

(4)Such intergovernmental organization shall not itself have any votes but in the case

a vote on matters within its competence it shall be entitled to cast collectively the votes

its Member States. In such cases, the Member States

such intergovernmental organization shall not be entitled to exercise their individual voting rights.

(5)Such intergovernmental organization shall not be eligible for election to the Executive Board under the provisions

paragraph

(1)

Article 17

but may participate in the discussions

the Executive Board on matters within its competence. In the case

a vote on matters within its competence, and notwithstanding the provisions

paragraph

(1)

Article 20

, the votes which its Member States are entitled to cast in the Executive Board may be cast collectively by any one

those Member States.Article 5Separate membership in respect

designated territoriesAny Contracting Party which is a net importer

coffee may, at any time, by appropriate notification in accordance with the provisions

paragraph

(2)

Article 48

, declare that it is participating in the Organization separately with respect to any

the territories for whose international relations it is responsible, which are net exporters

coffee and which it designates. In such case, the metropolitan territory and its non-designated territories will have a single membership, and its designated territories, either individually or collectively as the notification indicates, will have separate membership.Article 6Group membership

(1)Two or more Contracting Parties which are net exporters

coffee may, by appropriate notification to the Council and to the Secretary-General

the United Nations at the time

deposit

their respective instruments

ratification, acceptance, approval, provisional application or accession, declare that they are participating in the Organization as a Member group. A territory to which this Agreement has been extended under the provisions

paragraph

(1)

Article 48

may constitute part

such Member group if the Government

the State responsible for its international relations has given appropriate notification thereof under the provisions

paragraph

(2)

Article 48

. Such Contracting Parties and designated territories must satisfy the following conditions:(

  1. a)they shall declare their willingness to accept responsibility for group obligations in an individual as well as a group capacity; and(
  2. b)they shall subsequently provide satisfactory evidence to the Council that:(
  3. i)the group has the organization necessary to implement a common coffee policy and that they have the means

complying, together with the other parties to the group, with their obligations under this Agreement; and(ii) they have a common or coordinated commercial and economic policy in relation to coffee and a coordinated monetary and financial policy, as well as the organs necessary to implement such policies, so that the Council is satisfied that the Member group is able to comply with the group obligations involved.

(2)Any Member group recognized under the International Coffee Agreement 1994 shall continue to be recognized as a group unless it notifies the Council that it no longer wishes to be so recognized.
(3)The Member group shall constitute a single Member

the Organization, except that each party to the group shall be treated as if it were a single Member in relation to matters arising under the following provisions:(a) Articles 11 and 12; and(b) Article 51.

(4)The Contracting Parties and designated territories joining as a Member group shall specify the Government or organization which will represent them in the Council on matters arising under this Agreement other than those specified in paragraph
(3)

this Article.

(5)The voting rights

the Member group shall be as follows:(a) the Member group shall have the same number

basic votes as a single Member country joining the Organization in an individual capacity. These basic votes shall be attributed to and cast by the Government or organization representing the group; and(b) in the event

a vote on any matters arising under the provisions

paragraph

(3)

this Article, the parties to the Member group may cast separately the votes attributed to them under the provisions

paragraph

(3)

Article 13

as if each were an individual Member

the Organization, except for the basic votes, which shall remain attributable only to the Government or organization representing the group.

(6)Any Contracting Party or designated territory which is a party to a Member group may, by notification to the Council, withdraw from that group and become a separate Member. Such withdrawal shall take effect upon receipt

the notification by the Council. If a party to a Member group withdraws from that group or ceases to participate in the Organization, the remaining parties to the group may apply to the Council to maintain the group; the group shall continue to exist unless the Council disapproves the application. If the Member group is dissolved, each former party to the group will become a separate Member. A Member which has ceased to be a party to a group may not, as long as this Agreement remains in force, again become a party to a group.

(7)Any Contracting Party which wishes to become party to a Member group after this Agreement has entered into force may do so by notification to the Council provided that:(a) other Members

the group declare their willingness to accept the Member concerned as party to the Member group; and(b) it notifies the Secretary-General

the United Nations that it is participating in the group.

(8)Two or more exporting Members may, at any time after this Agreement has entered into force, apply to the Council to form a Member group. The Council shall approve the application if it finds that the Members have made a declaration and have provided satisfactory evidence in accordance with the requirements

paragraph

(1)

this Article. Upon such approval, the Member group shall be subject to the provisions

paragraphs

(3),
(4),
(5)and
(6)

this Article.Chapter V — THE INTERNATIONAL COFFEE ORGANIZATIONArticle 7Seat and structure

the International Coffee Organization

(1)The International Coffee Organization established under the International Coffee Agreement 1962 shall continue in being to administer the provisions and supervise the operation

this Agreement.

(2)The seat

the Organization shall be in London unless the Council by a distributed two-thirds majority vote decides otherwise.

(3)The Organization shall function through the International Coffee Council and the Executive Board. They shall be assisted as appropriate by the World Coffee Conference, the Private Sector Consultative Board, the Promotion Committee, and specialized committees.Article 8Privileges and immunities
(1)The Organization shall have legal personality. It shall in particular have the capacity to contract, acquire and dispose

movable and immovable property and to institute legal proceedings.

(2)The status, privileges and immunities

the Organization,

its Executive Director, its staff and experts, and

representatives

Members while in the territory

the host country for the purpose

exercising their functions, shall continue to be governed by the Headquarters Agreement concluded between the host Government and the Organization on 28 May 1969.

(3)The Headquarters Agreement referred to in paragraph
(2)

this Article shall be independent

this Agreement. It shall however terminate:(

  1. a)by agreement between the host Government and the Organization;(
  2. b)in the event

the headquarters

the Organization being moved from the territory

the host Government; or(c) in the event

the Organization ceasing to exist.

(4)The Organization may conclude with one or more other Members agreements to be approved by the Council relating to such privileges and immunities as may be necessary for the proper functioning

this Agreement.

(5)The Governments

Member countries other than the host Government shall grant the Organization the same facilities in respect

currency or exchange restrictions, maintenance

bank accounts and transfer

monies, as are accorded to the specialized agencies

the United Nations.Chapter VI — THE INTERNATIONAL COFFEE COUNCILArticle 9Composition

the International Coffee Council

(1)The highest authority

the Organization shall be the International Coffee Council, which shall consist

all the Members

the Organization.

(2)Each Member shall appoint one representative on the Council and, if it so desires, one or more alternates. A Member may also designate one or more advisers to its representative or alternates.Article 10Powers and functions

the Council

(1)All powers specifically conferred by this Agreement shall be vested in the Council, which shall have the powers and perform the functions necessary to carry out the provisions

this Agreement.

(2)The Council shall delegate to its Chairman the task

Article 14. The Chairman shall report to the Council.

(3)The Council may set up any committees or working groups as it considers necessary.
(4)The Council shall, by a distributed two-thirds majority vote, establish such rules and regulations, including its own rules

procedure and the financial and staff regulations

the Organization, as are necessary to carry out the provisions

this Agreement and are consistent therewith. The Council may, in its rules

procedure, provide the means whereby it may, without meeting, decide specific questions.

(5)The Council shall also keep such records as are required to perform its functions under this Agreement and such other records as it considers desirable.Article 11Chairman and Vice-Chairmen

the Council

(1)The Council shall elect, for each coffee year, a Chairman and a first, a second and a third Vice- Chairman, who shall not be paid by the Organization.
(2)As a general rule, the Chairman and the first Vice-Chairman shall both be elected either from among the representatives

exporting Members or from among the representatives

importing Members and the second and the third Vice-Chairmen shall be elected from among representatives

the other category

Member. These

fices shall alternate each coffee year between the two categories

Member.

(3)Neither the Chairman nor any Vice-Chairman acting as Chairman shall have the right to vote. His or her alternate will in such case exercise the voting rights

the Member.Article 12Sessions

the Council

(1)As a general rule, the Council shall hold regular sessions twice a year. It may hold special sessions should it so decide. Special sessions shall also be held at the request

the Executive Board,

any five Members, or

a Member or Members having at least 200 votes. Notice

sessions shall be given at least 30 days in advance except in cases

emergency when such notice shall be given at least 10 days in advance.

(2)Sessions shall be held at the seat

the Organization, unless the Council decides otherwise by a distributed two-thirds majority vote. If a Member invites the Council to meet in its territory, and the Council agrees, the additional costs to the Organization involved above those incurred when the session is held at the seat shall be borne by that Member.

(3)The Council may invite any non-member country or any

the organizations referred to in Article 16 to attend any

its sessions as an observer. In case such invitation is accepted, the country or organization concerned shall send a communication to that effect in writing to the Chairman. If it so wishes it may in that communication request permission to make statements to the Council.

(4)The quorum required for a Council session to take decisions shall be the presence

more than half

the number

exporting and importing Members representing respectively at least two-thirds

the votes for each category. If on the opening

a Council session or

any plenary meeting there is no quorum, the Chairman shall postpone the opening

the session or plenary meeting for at least two hours. If there is still no quorum at the new time set, the Chairman may again postpone the opening

the session or plenary meeting for at least a further two hours. If at the end

this new postponement there is still no quorum, the quorum required for taking decisions shall be the presence

more than half

the number

exporting and importing Members representing respectively at least half

the votes for each category. Representation in accordance with paragraph

(2)

Article 14shall be considered as presence.Article 13Votes

(1)The exporting Members shall together hold 1,000 votes and the importing Members shall together hold 1,000 votes, distributed within each category

Member — that is, exporting and importing Members, respectively — as provided for in the following paragraphs

this Article.

(2)Each Member shall have five basic votes.
(3)The remaining votes

exporting Members shall be divided among such Members in proportion to the average volume

their respective exports

coffee to all destinations in the preceding four calendar years.

(4)The remaining votes

importing Members shall be divided among such Members in proportion to the average volume

their respective imports

coffee in the preceding four calendar years.

(5)The distribution

votes shall be determined by the Council in accordance with the provisions

this Article at the beginning

each coffee year and shall remain in effect during that year, except as provided for in paragraph

(6)

this Article.

(6)The Council shall provide for the redistribution

votes in accordance with the provisions

this Article whenever there is a change in the membership

the Organization or if the voting rights

a Member are suspended or regained under the provisions

Article 25or 42.

(7)No Member shall hold more than 400 votes.
(8)There shall be no fractional votes.Article 14Voting procedure

the Council

(1)Each Member shall be entitled to cast the number

votes it holds and shall not be entitled to divide its votes. However, a Member may cast differently any votes which it holds under the provisions

paragraph

(2)

this Article.

(2)Any exporting Member may authorize any other exporting Member, and any importing Member may authorize any other importing Member, to represent its interests and to exercise its right to vote at any meeting or meetings

the Council. The limitation provided for in paragraph

(7)

Article 13

shall not apply in this case.Article 15Decisions

the Council

(1)All decisions

the Council shall be taken, and all recommendations shall be made, by a distributed simple majority vote unless otherwise provided for in this Agreement.

(2)The following procedure shall apply with respect to any decision by the Council which under the provisions

this Agreement requires a distributed two-thirds majority vote:(a) if a distributed two-thirds majority vote is not obtained because

the negative vote

three or less exporting or three or less importing Members, the proposal shall, if the Council so decides by a majority

the Members present and by a distributed simple majority vote, be put to a vote again within 48 hours;(b) if a distributed two-thirds majority vote is again not obtained because

the negative vote

two or less exporting or two or less importing Members, the proposal shall, if the Council so decides by a majority

the Members present and by a distributed simple majority vote, be put to a vote again within 24 hours;(c) if a distributed two-thirds majority vote is not obtained in the third vote because

the negative vote

one exporting or one importing Member, the proposal shall be considered adopted; and(d) if the Council fails to put a proposal to a further vote, it shall be considered rejected.

(3)Members undertake to accept as binding all decisions

the Council under the provisions

this Agreement.Article 16Cooperation with other organizations

(1)The Council may make arrangements for consultation and cooperation with the United Nations and its specialized agencies and with other appropriate intergovernmental organizations. It shall take full advantage

the facilities

the Common Fund for Commodities and other sources

funding. Such arrangements may include financial arrangements which the Council considers appropriate for achieving the objectives

this Agreement. However, in respect

any project under such arrangements the Organization shall not incur any financial obligations for guarantees given by individual Members or other entities. No Member shall be responsible by reason

its membership

the Organization for any liability arising from borrowing or lending by any other Member or entity in connection with such projects.

(2)Where possible, the Organization may also collect from Members, non-members, and from donor and other agencies, information on development projects and programmes focussing on the coffee sector. Where appropriate, and with the agreement

the parties concerned, the Organization may make this information available to such other organizations as well as to Members.Chapter VII — THE EXECUTIVE BOARDArticle 17Composition and meetings

the Executive Board

(1)The Executive Board shall consist

eight exporting Members and eight importing Members elected for each coffee year in accordance with the provisions

Article 18. Members represented in the Executive Board may be re-elected.

(2)Each Member represented in the Executive Board shall appoint one representative and, if it so desires, one or more alternates. Each Member represented in the Executive Board may also designate one or more advisers to its representative or alternates.
(3)The Executive Board shall have a Chairman and a Vice-Chairman, who shall be elected by the Council for each coffee year and may be re-elected. These

ficers shall not be paid by the Organization. Neither the Chairman nor the Vice-Chairman acting as Chairman shall have the right to vote in the meetings

the Executive Board. His or her alternate will in such case exercise the voting rights

the Member. As a general rule, the Chairman and the Vice-Chairman for each coffee year shall be elected from among the representatives

the same category

membership.

(4)The Executive Board shall normally meet at the seat

the Organization, but may meet elsewhere if the Council so decides by a distributed two-thirds majority vote. In case

acceptance by the Council

an invitation by a Member to host the meeting

the Executive Board, the provisions

paragraph

Article 12concerning Council sessions shall also apply.

(5)The quorum required for an Executive Board meeting to take decisions shall be the presence

(1)The exporting and the importing Members

the Executive Board shall be elected in the Council by the exporting and the importing Members

the Organization respectively. The election within each category shall be held in accordance with the provisions

this Article.

(2)Each Member shall cast for a single candidate all the votes to which it is entitled under the provisions

Article 13

. A Member may cast for another candidate any votes which it holds under the provisions

paragraph

(3)The eight candidates receiving the largest number

votes shall be elected; however, no candidate shall be elected on the first ballot unless it receives at least 75 votes.

the candidates elected shall have the right to vote. In each further ballot the minimum number

(6)A Member shall be deemed to have received the number

(7)If the votes deemed received by an elected Member exceed 499, Members which voted for, or assigned their votes to, such elected Member shall arrange among themselves for one or more

them to withdraw their votes from that Member and assign or re-assign them to another elected Member so that the votes received by each elected Member shall not exceed the limit

(3)The Council may, by a distributed simple majority vote, at any time revoke any powers which have been delegated to the Executive Board.
(4)The Executive Board shall examine the draft Administrative Budget presented by the Executive Director and submit it to the Council with its recommendations for approval, elaborate the annual work plan

the Organization, decide on administrative and financial matters concerning the operation

the Organization other than those matters reserved for the Council under the terms

paragraph

(2)

this Article, and examine projects and programmes on coffee matters, which shall be submitted to the Council for approval. The Executive Board shall report to the Council. Decisions

(2)Any decision taken by the Executive Board shall require the same majority as such decision would require if taken by the Council.Chapter VIII — THE PRIVATE COFFEE SECTORArticle 21The World Coffee Conference
(1)The Council shall make arrangements to hold, at appropriate intervals, a World Coffee Conference (hereinafter referred to as the Conference), which shall be composed

exporting and importing Members, private sector representatives, and other interested participants, including participants from non-member countries. The Council, in coordination with the Chairman

the Conference, shall ensure that the Conference contributes to furthering the objectives

this Agreement.

(2)The Conference shall have a Chairman who shall not be paid by the Organization. The Chairman shall be appointed by the Council for an appropriate period, and shall be invited to participate in meetings

the Council as an observer.

(3)The Council shall decide on the form, title, subject matter and timing

the Conference, in consultation with the Private Sector Consultative Board. The Conference shall be held normally at the seat

the Organization, during a session

the Council. If the Council decides to accept an invitation by a Member to hold a session in its territory, the Conference may also be held in that territory, in which case the additional costs to the Organization involved above those incurred when the session is held at the seat

the Organization shall be borne by the country hosting the session.

(4)Unless the Council by a distributed two-thirds majority vote decides otherwise, the Conference shall be self-financing.
(5)The Chairman

the Conference shall report the conclusions

each session to the Council.Article 22The Private Sector Consultative Board

(1)The Private Sector Consultative Board (hereinafter referred to as the PSCB) shall be a consultative body which may make recommendations on any consultations made by the Council and may invite the Council to give consideration to matters related to this Agreement.
(2)The PSCB shall consist

eight representatives

the private sector in exporting countries and eight representatives

the private sector in importing countries.

(3)Members

the PSCB shall be representatives

associations or bodies designated by the Council every two coffee years, and may be re-appointed. The Council in so doing shall endeavour to designate:(a) two private sector coffee associations or bodies from exporting countries or regions representing each

the four groups

coffee, preferably representing both growers and exporters, together with one or more alternates for each representative; and(b) eight private sector coffee associations or bodies from importing countries, whether Members or non-members, preferably representing both importers and roasters, together with one or more alternates for each representative.

(4)Each member

the PSCB may designate one or more advisers.

(5)The PSCB shall have a Chairman and a Vice-Chairman elected from among its members, for a period

one year. These

ficers may be re-elected. The Chairman and the Vice-Chairman shall not be paid by the Organization. The Chairman shall be invited to participate in meetings

the Council as an observer.

(6)The PSCB shall normally meet at the seat

the Organization, during regular sessions

the Council. In case

acceptance by the Council

an invitation by a Member to hold a meeting in its territory, the PSCB shall also meet in that territory, in which case the additional costs to the Organization involved above those incurred when the meeting is held at the seat

the Organization shall be borne by the country or private sector organization hosting the meeting.

(7)The PSCB may hold special meetings subject to approval by the Council.
(8)The PSCB shall submit regular reports to the Council.
(9)The PSCB shall establish its own rules

procedure, consistent with the provisions

this Agreement.Chapter IX — FINANCEArticle 23Finance

(1)The expenses

delegations to the Council, representatives on the Executive Board and representatives on any

the committees

the Council or the Executive Board shall be met by their respective Governments.

(2)The other expenses necessary for the administration

this Agreement shall be met by annual contributions from the Members assessed in accordance with the provisions

Article 24

, together with revenues from sales

specific services to Members and the sale

information and studies generated under the provisions

Articles 29 and 31.

(3)The financial year

the Organization shall be the same as the coffee year.Article 24Determination

the Administrative Budget and assessment

contributions

(1)During the second half

each financial year, the Council shall approve the Administrative Budget

the Organization for the following financial year and shall assess the contribution

each Member to that Budget. A draft Administrative Budget shall be prepared by the Executive Director under the supervision

the Executive Board in accordance with the provisions

paragraph

Article 19.

(2)The contribution

each Member to the Administrative Budget for each financial year shall be in the proportion which the number

its votes at the time the Administrative Budget for that financial year is approved bears to the total votes

all the Members. However, if there is any change in the distribution

votes among Members in accordance with the provisions

paragraph

Article 13

at the beginning

the financial year for which contributions are assessed, such contributions shall be correspondingly adjusted for that year. In determining contributions, the votes

each Member shall be calculated without regard to the suspension

the voting rights

any Member or any redistribution

votes resulting therefrom.

(3)The initial contribution

any Member joining the Organization after the entry into force

this Agreement shall be assessed by the Council on the basis

the number

votes to be held by it and the period remaining in the current financial year, but the assessments made upon other Members for the current financial year shall not be altered.Article 25Payment

contributions

(1)Contributions to the Administrative Budget for each financial year shall be payable in freely convertible currency and shall become due on the first day

that financial year.

(2)If any Member fails to pay its full contribution to the Administrative Budget within six months

the date on which the contribution is due, its voting rights, its right to be eligible for election to the Executive Board and its right to have its votes cast in the Executive Board shall be suspended until its contribution has been paid in full. However, unless the Council by a distributed two-thirds majority vote so decides, such Member shall not be deprived

any

its other rights nor relieved

any

its obligations under this Agreement.

(3)Any Member whose voting rights have been suspended either under the provisions

paragraph

(2)

this Article or under the provisions

Article 42

shall nevertheless remain responsible for the payment

its contribution.Article 26Liabilities

(1)The Organization, functioning as specified in paragraph
(3)

Article 7

, shall not have power to incur any obligation outside the scope

this Agreement, and shall not be taken to have been authorized by the Members to do so; in particular, it shall not have the capacity to borrow money. In exercising its capacity to contract, the Organization shall incorporate in its contracts the terms

this Article in such a way as to bring them to the notice

the other parties entering into contracts with the Organization, but any failure to incorporate such terms shall not invalidate such a contract or render it ultra vires.

(2)A Member's liability is limited to the extent

its obligations regarding contributions specifically provided for in this Agreement. Third parties dealing with the Organization shall be deemed to have notice

the provisions

this Agreement regarding the liabilities

Members.Article 27Audit and publication

accountsAs soon as possible and not later than six months after the close

each financial year, an independently audited statement

the Organization's assets, liabilities, income and expenditure during that financial year shall be prepared. This statement shall be presented to the Council for approval at its earliest forthcoming session.Chapter X - THE EXECUTIVE DIRECTOR AND THE STAFFArticle 28The Executive Director and the staff

(1)The Council shall appoint the Executive Director. The terms

appointment

the Executive Director shall be established by the Council and shall be comparable to those applying to corresponding

ficials

similar intergovernmental organizations.

(2)The Executive Director shall be the chief administrative

ficer

the Organization and shall be responsible for the performance

any duties devolving upon him in the administration

this Agreement.

(3)The Executive Director shall appoint the staff in accordance with regulations established by the Council.
(4)Neither the Executive Director nor any member

the staff shall have any financial interest in the coffee industry, the coffee trade or the transportation

coffee.

(5)In the performance

their duties, the Executive Director and the staff shall not seek or receive instructions from any Member or from any other authority external to the Organization. They shall refrain from any action which might reflect on their position as international

ficials responsible only to the Organization. Each Member undertakes to respect the exclusively international character

the responsibilities

the Executive Director and the staff and not to seek to influence them in the discharge

their responsibilities.Chapter XI — INFORMATION, STUDIES AND SURVEYSArticle 29Information

(1)The Organization shall act as a centre for the collection, exchange and publication

:(a) statistical information on world production, prices, exports, imports and re-exports, distribution and consumption

coffee; and(b) in so far as is considered appropriate, technical information on the cultivation, processing and utilization

coffee.

(2)The Council may require Members to furnish such information as it considers necessary for its operations, including regular statistical reports on coffee production, production trends, exports, imports and re-exports, distribution, consumption, stocks, prices and taxation, but no information shall be published which might serve to identify the operations

persons or companies producing, processing or marketing coffee. Members, in so far as is possible, shall furnish information requested in as detailed, timely and accurate a manner as is practicable.

(3)The Council shall establish a system

indicator prices and shall provide for the publication

a daily composite indicator price which should reflect actual market conditions.

(4)If a Member fails to supply or finds difficulty in supplying within a reasonable time statistical and other information required by the Council for the proper functioning

the Organization, the Council may require the Member concerned to explain the reasons for non-compliance. If it is found that technical assistance is needed in the matter, the Council may take any necessary measures.Article 30Certificates

Origin

(1)In order to facilitate the collection

statistics on the international coffee trade and to ascertain the quantities

coffee which have been exported by each exporting Member, the Organization shall establish a system

Certificates

Origin, governed by rules approved by the Council.

(2)Every export

coffee by an exporting Member shall be covered by a valid Certificate

Origin. Certificates

Origin shall be issued, in accordance with the rules established by the Council, by a qualified agency chosen by the Member and approved by the Organization.

(3)Each exporting Member shall notify the Organization

the government or non-governmental agency which is to perform the functions specified in paragraph

(2)

this Article. The Organization shall specifically approve a non-governmental agency in accordance with the rules approved by the Council.

(4)An exporting Member, on an exceptional basis and with proper justification, may submit, for approval by the Council, a request to allow data conveyed in Certificates

Origin concerning its exports

coffee to be transmitted to the Organization using an alternative method.Article 31Studies and surveys

(1)The Organization shall promote the preparation

studies and surveys concerning the economics

coffee production and distribution, the impact

governmental measures in producing and consuming countries on the production and consumption

coffee, and the opportunities for expansion

coffee consumption for traditional and possible new uses.

(2)In order to carry out the provisions

paragraph

(1)

this Article, the Council shall adopt, at its second regular session

each coffee year, a draft annual work programme

studies and surveys, with estimated resource requirements, prepared by the Executive Director.

(3)The Council may approve the undertaking by the Organization

studies and surveys to be conducted jointly or in cooperation with other organizations and institutions. In such cases, the Executive Director shall present to the Council a detailed account

the resource requirements from the Organization and from the partner or partners involved with the project.

(4)The studies and surveys to be promoted by the Organization pursuant to the provisions

this Article shall be financed by resources included in the Administrative Budget, prepared in accordance with the provisions

paragraph

(1)

Article 24

, and shall be undertaken by members

the staff

the Organization and consultants as required.Chapter XII — GENERAL PROVISIONSArticle 32Preparations for a new Agreement

(1)The Council may examine the possibility

negotiating a new International Coffee Agreement.

(2)In order to carry out this provision, the Council shall examine the progress made by the Organization in achieving the objectives

this Agreement as specified in Article 1.Article 33Removal

obstacles to consumption

(1)Members recognize the utmost importance

achieving the greatest possible increase

coffee consumption as rapidly as possible, in particular through the progressive removal

any obstacles which may hinder such increase.

(2)Members recognize that there are at present in effect measures which may to a greater or lesser extent hinder the increase in consumption

coffee, in particular:(a) import arrangements applicable to coffee, including preferential and other tariffs, quotas, operations

government monopolies and

ficial purchasing agencies, and other administrative rules and commercial practices;(

  1. b)export arrangements as regards direct or indirect subsidies and other administrative rules and commercial practices; and(
  2. c)internal trade conditions and domestic and regional legal and administrative provisions which may affect consumption.

(3)Having regard to the objectives stated above and to the provisions

paragraph

(4)

this Article, Members shall endeavour to pursue tariff reductions on coffee or to take other action to remove obstacles to increased consumption.

(4)Taking into account their mutual interest, Members undertake to seek ways and means by which the obstacles to increased trade and consumption referred to in paragraph
(2)

this Article may be progressively reduced and eventually, wherever possible, eliminated, or by which the effects

such obstacles may be substantially diminished.

(5)Taking into account any commitments undertaken under the provisions

paragraph

(4)

this Article, Members shall inform the Council annually

all measures adopted with a view to implementing the provisions

this Article.

(6)The Executive Director shall prepare periodically a survey

the obstacles to consumption to be reviewed by the Council.

(7)The Council may, in order to further the purposes

this Article, make recommendations to Members which shall report as soon as possible to the Council on the measures adopted with a view to implementing such recommendations.Article 34Promotion

(1)Members recognize the need to promote, encourage and increase the consumption

coffee, and shall endeavour to encourage activities undertaken in this respect.

(2)The Promotion Committee, which shall be composed

all Members

the Organization, shall promote coffee consumption by appropriate activities, including information campaigns, research and studies related to coffee consumption.

(3)Such promotion activities shall be financed by resources which may be pledged by Members, non-members, other organizations and the private sector at meetings

the Promotion Committee.

(4)Specific promotion projects may also be financed by voluntary contributions from Members, non-members, other organizations and the private sector.
(5)The Council shall establish separate accounts for the purposes

paragraphs

(3)and
(4)

this Article.

(6)The Promotion Committee shall establish its own rules

procedure, as well as establish the pertinent regulations for the participation

non-members, other organizations and the private sector consistent with the provisions

this Agreement. It shall report regularly to the Council.Article 35Measures related to processed coffeeMembers recognize the need

developing countries to broaden the base

their economies through, inter alia, industrialization and the export

manufactured products, including the processing

coffee and the export

processed coffee, as referred to in sub-paragraphs (d), (e), (f) and (g)

paragraph

(1)

Article 2

. In this connection, Members shall avoid the adoption

governmental measures which could cause disruption to the coffee sector

other Members. Members are encouraged to consult on the introduction

any such measures which might be considered to pose a risk

disruption. If these consultations do not lead to a mutually satisfactory solution, parties may invoke the procedures provided for in Articles 41 and 42.Article 36Mixtures and substitutes

(1)Members shall not maintain any regulations requiring the mixing, processing or using

other products with coffee for commercial resale as coffee. Members shall endeavour to prohibit the sale and advertisement

products under the name

coffee if such products contain less than the equivalent

95 percent green coffee as the basic raw material.

(2)The Council may request any Member to take the steps necessary to ensure observance

the provisions

this Article.

(3)The Executive Director shall submit to the Council a periodic report on compliance with the provisions

this Article.Article 37Consultation and cooperation with non-governmental organizationsWithout prejudice to the provisions

Articles 16, 21 and 22, the Organization shall maintain links with appropriate non-governmental organizations concerned with international commerce in coffee and with experts in coffee matters.Article 38Established coffee trade channelsMembers shall conduct their activities within the framework

this Agreement in a manner consonant with established trade channels and shall refrain from discriminatory sales practices. In carrying out these activities they shall endeavour to take due account

the legitimate interests

the coffee trade and industry.Article 39Sustainable coffee economyMembers shall give due consideration to the sustainable management

coffee resources and processing, bearing in mind the principles and objectives on sustainable development contained in Agenda 21 agreed at the United Nations Conference on Environment and Development, held in Rio de Janeiro in 1992.Article 40Standard

living and working conditionsMembers shall give consideration to improving the standard

living and working conditions

populations engaged in the coffee sector, consistent with their stage

development, bearing in mind internationally recognized principles on these matters. Furthermore, Members agree that labour standards shall not be used for protectionist trade purposes.Chapter XIII — CONSULTATIONS, DISPUTES AND COMPLAINTSArticle 41ConsultationsEach Member shall accord sympathetic consideration to, and shall afford adequate opportunity for, consultation regarding such representations as may be made by another Member with respect to any matter relating to this Agreement. In the course

such consultation, on request by either party and with the consent

the other, the Executive Director shall establish an independent panel which shall use its good

fices with a view to conciliating the parties. The costs

the panel shall not be chargeable to the Organization. If a party does not agree to the establishment

a panel by the Executive Director, or if the consultation does not lead to a solution, the matter may be referred to the Council in accordance with the provisions

Article 42

. If the consultation does lead to a solution, it shall be reported to the Executive Director who shall distribute the report to all Members.Article 42Disputes and complaints

(1)Any dispute concerning the interpretation or application

this Agreement which is not settled by negotiation shall, at the request

any Member party to the dispute, be referred to the Council for decision.

(2)In any case where a dispute has been referred to the Council under the provisions

paragraph

(1)

this Article, a majority

Members, or Members holding not less than one third

the total votes, may require the Council, after discussion, to seek the opinion

the advisory panel referred to in paragraph

(3)

this Article on the issues in dispute before giving its decision.

(3)(a) Unless the Council unanimously agrees otherwise, the advisory panel shall consist

:(i) two persons, one having wide experience in matters

the kind in dispute and the other having legal standing and experience, nominated by the exporting Members;(ii) two such persons nominated by the importing Members; and(iii) a chairman selected unanimously by the four persons nominated under the provisions

sub-paragraphs (

  1. i)and (
  2. ii)or, if they fail to agree, by the Chairman

the Council.(

  1. b)Persons from countries whose Governments are Contracting Parties to this Agreement shall be eligible to serve on the advisory panel.(
  2. c)Persons appointed to the advisory panel shall act in their personal capacities and without instructions from any Government.(
  3. d)The expenses

the advisory panel shall be paid by the Organization.

(4)The opinion

the advisory panel and the reasons therefor shall be submitted to the Council which, after considering all the relevant information, shall decide the dispute.

(5)The Council shall rule on any dispute brought before it within six months

submission

such dispute for its consideration.

(6)Any complaint that any Member has failed to fulfil its obligations under this Agreement shall, at the request

the Member making the complaint, be referred to the Council which shall make a decision on the matter.

(7)No Member shall be found to have been in breach

its obligations under this Agreement except by a distributed simple majority vote. Any finding that a Member is in breach

its obligations under this Agreement shall specify the nature

the breach.

(8)If the Council finds that a Member is in breach

its obligations under this Agreement, it may, without prejudice to other enforcement measures provided for in other Articles

this Agreement, by a distributed two-thirds majority vote, suspend such Member's voting rights in the Council and its right to have its votes cast in the Executive Board until it fulfils its obligations, or the Council may decide to exclude such Member from the Organization under the provisions

Article 50.

(9)A Member may seek the prior opinion

the Executive Board in a matter

dispute or complaint before the matter is discussed by the Council.Chapter XIV — FINAL PROVISIONSArticle 43SignatureThis Agreement shall be open for signature at the United Nations headquarters from 1 November 2000 until and including 25 September 2001 by Contracting Parties to the International Coffee Agreement 1994 or the International Coffee Agreement 1994 as extended, and Governments invited to the session

the International Coffee Council at which this Agreement was negotiated.Article 44Ratification, acceptance or approval

(1)This Agreement shall be subject to ratification, acceptance or approval by the signatory Governments in accordance with their respective constitutional procedures.
(2)Except as provided for in Article 45, instruments

ratification, acceptance or approval shall be deposited with the Secretary-General

the United Nations not later than 25 September 2001. However, the Council may decide to grant extensions

time to signatory Governments which are unable to deposit their instruments by that date. Such decisions shall be transmitted by the Council to the Secretary-General

the United Nations.Article 45Entry into force

(1)This Agreement shall enter into force definitively on 1 October 2001 if by that date Governments representing at least 15 exporting Members holding at least 70 percent

the votes

the exporting Members and at least 10 importing Members holding at least 70 percent

the votes

the importing Members, calculated as at 25 September 2001, without reference to possible suspension under the terms

Articles 25 and 42, have deposited instruments

ratification, acceptance or approval. Alternatively, it shall enter into force definitively at any time after 1 October 2001 if it is provisionally in force in accordance with the provisions

paragraph

(2)

this Article and these percentage requirements are satisfied by the deposit

instruments

ratification, acceptance or approval.

(2)This Agreement may enter into force provisionally on 1 October 2001. For this purpose, a notification by a signatory Government or by any other Contracting Party to the International Coffee Agreement 1994 as extended, containing an undertaking to apply this new Agreement provisionally, in accordance with its laws and regulations, and to seek ratification, acceptance or approval in accordance with its constitutional procedures as rapidly as possible, which is received by the Secretary-General

the United Nations not later than 25 September 2001, shall be regarded as equal in effect to an instrument

ratification, acceptance or approval. A Government which undertakes to apply this Agreement provisionally, in accordance with its laws and regulations, pending the deposit

an instrument

ratification, acceptance or approval shall be regarded as a provisional Party thereto until it deposits its instrument

ratification, acceptance or approval, or until and including 30 June 2002 whichever is the earlier. The Council may grant an extension

the time within which any Government which is applying this Agreement provisionally may deposit its instrument

ratification, acceptance or approval.

(3)If this Agreement has not entered into force definitively or provisionally on 1 October 2001 under the provisions

paragraph

(1)or
(2)

this Article, those Governments which have deposited instruments

ratification, acceptance, approval or accession or made notifications containing an undertaking to apply this Agreement provisionally, in accordance with their laws and regulations, and to seek ratification, acceptance or approval may, by mutual consent, decide that it shall enter into force among themselves. Similarly, if this Agreement has entered into force provisionally but has not entered into force definitively on 31 March 2002, those Governments which have deposited instruments

ratification, acceptance, approval or accession or made the notifications referred to in paragraph

(2)

this Article, may, by mutual consent, decide that it shall continue in force provisionally or enter into force definitively among themselves.Article 46Accession

(1)The Government

its specialized agencies may accede to this Agreement upon conditions which shall be established by the Council.

(2)Instruments

accession shall be deposited with the Secretary-General

the United Nations. The accession shall take effect upon deposit

the instrument.Article 47ReservationsReservations may not be made with respect to any

this Agreement.Article 48Extension to designated territories

(1)Any Government may, at the time

signature or deposit

an instrument

ratification, acceptance, approval, provisional application or accession, or at any time thereafter, by notification to the Secretary-General

the United Nations, declare that this Agreement shall extend to any

the territories for whose international relations it is responsible; this Agreement shall extend to the territories named therein from the date

such notification.

(2)Any Contracting Party which desires to exercise its rights under the provisions

Article 5

in respect

any

the territories for whose international relations it is responsible or which desires to authorize any such territory to become part

a Member group formed under the provisions

Article 6

, may do so by making a notification to that effect to the Secretary-General

the United Nations, either at the time

the deposit

its instrument

ratification, acceptance, approval, provisional application or accession, or at any later time.

(3)Any Contracting Party which has made a declaration under the provisions

paragraph

(1)

this Article may at any time thereafter, by notification to the Secretary-General

the United Nations, declare that this Agreement shall cease to extend to the territory named in the notification. This Agreement shall cease to extend to such territory from the date

such notification.

(4)When a territory to which this Agreement has been extended under the provisions

paragraph

(1)

this Article subsequently attains its independence, the Government

the new State may, within 90 days after the attainment

independence, declare by notification to the Secretary-General

the United Nations that it has assumed the rights and obligations

a Contracting Party to this Agreement. It shall, as from the date

such notification, become a Contracting Party to this Agreement. The Council may grant an extension

the time within which such notification may be made.Article 49Voluntary withdrawalAny Contracting Party may withdraw from this Agreement at any time by giving a written notice

withdrawal to the Secretary-General

the United Nations. Withdrawal shall become effective 90 days after the notice is received.Article 50ExclusionIf the Council decides that any Member is in breach

its obligations under this Agreement and decides further that such breach significantly impairs the operation

this Agreement, it may, by a distributed two-thirds majority vote, exclude such Member from the Organization. The Council shall immediately notify the Secretary-General

the United Nations

any such decision. Ninety days after the date

the Council's decision, such Member shall cease to be a Member

the Organization and, if such Member is a Contracting Party, a Party to this Agreement.Article 51Settlement

accounts with withdrawing or excluded Members

(1)The Council shall determine any settlement

accounts with a withdrawing or excluded Member. The Organization shall retain any amounts already paid by a withdrawing or excluded Member and such Member shall remain bound to pay any amounts due from it to the Organization at the time the withdrawal or the exclusion becomes effective; provided, however, that in the case

a Contracting Party which is unable to accept an amendment and consequently ceases to participate in this Agreement under the provisions

paragraph

Article 53

, the Council may determine any settlement

accounts which it finds equitable.

(2)A Member which has ceased to participate in this Agreement shall not be entitled to any share

(1)This Agreement shall remain in force for a period

six years until 30 September 2007 unless extended under the provisions

(2)The Council may, by a vote

the total votes, decide to extend this Agreement beyond 30 September 2007 for one or more successive periods not to exceed six years in total. Any Member which does not accept any such extension

this Agreement shall so inform the Council and the Secretary-General

the United Nations in writing before the commencement

extension and shall cease to be a Party to this Agreement from the beginning

the period

extension.

(3)The Council may at any time, by a vote

a majority

the Members having not less than a distributed two-thirds majority

the total votes, decide to terminate this Agreement. Termination shall take effect on such date as the Council shall decide.

(4)Notwithstanding the termination

this Agreement, the Council shall remain in being for as long as necessary to take such decisions as are needed during the period

time required for the liquidation

the Organization, settlement

its accounts and disposal

its assets.

(5)Any decision taken with respect to the duration and/or termination

this Agreement and any notification received by the Council pursuant to this Article shall be duly transmitted by the Council to the Secretary-General

the United Nations.Article 53Amendment

(1)The Council may, by a distributed two-thirds majority vote, recommend an amendment

this Agreement to the Contracting Parties. The amendment shall become effective 100 days after the Secretary-General

the United Nations has received notifications

acceptance from Contracting Parties representing at least 70 percent

the exporting countries holding at least 75 percent

the votes

the exporting Members, and from Contracting Parties representing at least 70 percent

the importing countries holding at least 75 percent

the votes

the importing Members. The Council shall fix a time within which Contracting Parties shall notify the Secretary-General

the United Nations

their acceptance

the amendment. If, on expiry

such time limit, the percentage requirements for the entry into effect

the amendment have not been met, the amendment shall be considered withdrawn.

(2)Any Contracting Party which has not notified acceptance

an amendment within the period fixed by the Council, or any territory which is either a Member or a party to a Member group on behalf

which such notification has not been made by that date, shall cease to participate in this Agreement from the date on which such amendment becomes effective.

(3)The Council shall notify the Secretary-General

the United Nations

any amendments distributed to the Contracting Parties under this Article.Article 54Supplementary and transitional provisionsThe following shall apply in relation to the International Coffee Agreement 1994, as extended:(a) all acts by or on behalf

the Organization or any

its organs under the International Coffee Agreement 1994 as extended, in effect on 30 September 2001, the terms

which do not provide for expiry on that date, shall remain in effect unless changed under the provisions

this Agreement; and(b) all decisions required to be taken by the Council during coffee year 2000/01 for application in coffee year 2001/02 shall be taken by the Council in coffee year 2000/01 and applied on a provisional basis as if this Agreement had already entered into force.Article 55Authentic texts

MĒRĶI1. pantsMērķiŠī Līguma mērķi ir:1) veicināt starptautisko sadarbību kafijas lietu jomā;2) nodrošināt forumu starpvaldību konsultācijām un, nepieciešamības gadījumā, arī sarunām par kafijas jautājumiem un saprātīga līdzsvara sasniegšanas veidiem starp kafijas piedāvājumu un pieprasījumu pasaulē uz pamatiem, kas nodrošinātu atbilstošas kafijas piegādes patērētājiem un kafijas tirgu ar izdevīgām cenām ražotājiem un kas palīdzētu uzturēt ilglaicīgu līdzsvaru starp ražošanu un patēriņu;3) nodrošināt forumu konsultācijām par kafijas jautājumiem ar privāto sektoru;4) atvieglot starptautiskā kafijas tirgus paplašināšanos un caurskatāmību;5) kalpot par centru ekonomiskās un tehniskās informācijas vākšanai, izplatīšanai un publicēšanai, veicināt statistikas veidošanu un izpēti, kā arī kafijas jautājumu pētīšanu un attīstību;6) pamudināt Dalībvalstis izveidot ilgtspējīgu kafijas nozari;7) veicināt, atbalstīt un pastiprināt kafijas patēriņu;8) veikt analīzi un konsultēt attiecībā uz vispasaules kafijas nozares attīstību veicinošiem projektiem, lai pēc tam, ja tas ir lietderīgi, nodotu šīs funkcijas donoriem vai finanšu organizācijām;9) veicināt kvalitātes paaugstināšanos; un10) veicināt apmācību un informācijas programmas jaunākās tehnoloģijas pārņemšanai kafijas nozarē.II nodaļa. DEFINĪCIJAS2. pantsDefinīcijasŠajā Līgumā:1) Kafija ir neatsēnalotas, zaļas vai grauzdētas kafijas koka pupiņas un ķirši, ieskaitot arī maltu, bezkofeīna un šķīstošo kafiju. Cik vien ātri iespējams, pēc šī Līguma stāšanās spēkā, kā arī trīs gadus pēc spēkā stāšanās datuma, Padome pārskata konversijas faktorus d), e),

  1. f)un
  2. g)apakšpunktos minētajiem kafijas tipiem. Pēc šāda pārskata Padome ar divu trešdaļu balsu vairākumu nosaka un publicē atbilstošos konversijas faktorus. Pirms pārskata uzsākšanas un gadījumā, ja Padome nespēj vienoties par šo jautājumu, tad spēkā saglabājas 1994. gada Starptautiskā Kafijas līguma noteiktie konversijas faktori, kas uzrādīti šī Līguma I pielikumā. Saskaņā ar šiem noteikumiem, apakšminētajiem terminiem ir šāda nozīme:
  3. a)Zaļā kafija ir atsēnalota kafijas pupiņa pirms grauzdēšanas;
  4. b)Izžāvēts kafijas ķirsis ir izžāvēts kafijas koka auglis; lai noteiktu ekvivalentu izžāvētam kafijas ķirsim zaļās kafijas izteiksmē, izžāvētu kafija ķiršu tīrsvars ir jāreizina ar 0,50;
  5. c)Neatsēnalota kafija ir zaļā kafijas pupiņa savā augļa apvalciņā; lai noteiktu ekvivalentu neatsēnalotai zaļajai kafijai zaļās kafijas izteiksmē, neatsēnalotas kafijas tīrsvars ir jāreizina ar 0,80;
  6. d)Grauzdēta kafija ir zaļā kafija, kas ir jebkādā pakāpē sagrauzdēta, ieskaitot arī malto kafiju;
  7. e)Bezkofeīna kafija ir zaļā, sagrauzdētā vai šķīstošā kafija, no kuras ekstrahēts kofeīns;
  8. f)Šķidra kafija ūdenī šķīstošās grauzdētās kafijas daļiņas sagatavotas šķidruma formā;
  9. g)Šķīstošā kafija ir izžāvētas ūdenī šķīstošās daļiņas, kas iegūtas no grauzdētas kafijas.2) Maiss ir 60 kilogrami vai 132,276 mārciņas zaļās kafijas; tonna ir 1000 kg vai 2204 mārciņas zaļās kafijas; mārciņa ir 453,597 grami.3) Kafijas gads ir viena gada periods no 1. oktobra līdz 30. septembrim.4) Organizācija un Padome ir, attiecīgi, Starptautiskā Kafijas organizācija un Starptautiskā Kafijas padome.5) Līgumslēdzēja puse ir 4. panta 3. punktā minētā valdība vai starpvaldību organizācija, kas ir ratificējusi, akceptējusi, atzinusi, vai noteikusi pagaidu piemērošanu šim Līgumam saskaņā ar 44. un 45.panta noteikumiem, vai arī ir pievienojusies šim Līgumam saskaņā ar 46.panta prasībām.6) Organizācijas locekle ir Līgumslēdzēja puse, izraudzītā teritorija vai teritorijas, attiecībā uz kurām 5. panta kārtībā ir deklarēta atsevišķa dalība; vai divas vai vairākas Līgumslēdzējas puses vai izraudzītās teritorijas, vai abas iepriekšminētās, kuras piedalās Organizācijā kā Locekļu grupa saskaņā ar 6. panta prasībām.7) Eksportējoša organizācijas locekle vai eksportētājvalsts ir, attiecīgi, locekle vai valsts, kas ir kafijas neto eksportētāja; tas ir, organizācijas locekle vai valsts, kuras kafijas eksports pārsniedz tās importu.8) Importējoša organizācijas locekle vai importētājvalsts ir, attiecīgi, organizācijas locekle vai valsts, kas ir kafijas neto importētāja; tas ir, organizācijas locekle vai valsts, kuras kafijas imports pārsniedz eksportu.9) Dalītais balsojums ar vienkāršu balsu vairākumu ir balsojums, kur nepieciešams panākt vairāk par pusi no klātesošo un balsojošo eksportējošo locekļu balsīm un vairāk par pusi no klātesošo un balsojošo importējošo locekļu balsīm, pie kam, abu locekļu balsis tiek skaitītas atsevišķi.10) Dalītais balsojums ar divu trešdaļu balsu vairākumu ir balsojums, kur nepieciešams panākt vairāk par divām trešdaļām no klātesošo un balsojošo eksportējošo locekļu balsīm un vairāk par divām trešdaļām no klātesošo un balsojošo importējošo locekļu balsīm, pie kam, abu locekļu balsis tiek skaitītas atsevišķi.11) Stāšanās spēkā ir, ja vien nav citādi paredzēts, datums, kurā Līgums stājas spēkā uz pagaidu termiņu vai galīgi.III nodaļa. ORGANIZĀCIJAS LOCEKĻU VISPĀRĒJĀS SAISTĪBAS3. pantsOrganizācijas locekļu vispārējās saistības1) Organizācijas locekles apņemas veikt nepieciešamos pasākumus, lai spētu izpildīt savas saistības saskaņā ar šo Līgumu, un pilnībā sadarboties cita ar citu šī Līguma mērķu sasniegšanas nodrošināšanā. Jo sevišķi Organizācijas locekles apņemas nodrošināt visu nepieciešamo informāciju, lai atvieglotu šī Līguma darbību.2) Organizācijas locekles atzīst, ka izcelsmes sertifikāti ir svarīgi kafijas tirdzniecības informācijas avoti. Tādēļ Eksportējošās organizācijas locekles uzņemas atbildību par izcelsmes sertifikātu pareizu izsniegšanu un izmantošanu saskaņā ar Padomes noteiktajām normām.3) Organizācijas locekles arī atzīst, ka pasaules kafijas nozares atbilstošai analīzei ir svarīga informācija par reeksportu. Tādēļ Importējošās organizācijas locekles apņemas regulāri nodrošināt precīzu informāciju par reeksportu tādā formā, kādu paredz Padome.IV nodaļa. DALĪBA4. pantsDalība Organizācijā1) Katra Līgumslēdzēja puse, kopā ar teritorijām, uz kurām saskaņā ar 48. panta 1) punktu attiecas šis Līgums, sastāda atsevišķu Organizācijas locekli, ja vien 5. un 6. panta noteikumos nav paredzēts citādi.2) Pamatojoties uz nosacījumiem, kuriem piekrīt Padome, Organizācijas locekles var mainīt savu dalības kategoriju.3) Jebkādu atsauci šajā Līgumā uz valdību interpretē kā atsauci arī uz Eiropas Savienību, vai jebkuru starpvaldību organizāciju, kurai ir salīdzināmi pienākumi attiecībā uz sarunu noturēšanu, starptautisko līgumu, jo sevišķi, preču līgumu slēgšanu un piemērošanu.4) Šādai starpvaldību organizācijai pašai nav balsstiesību, bet, balsošanas gadījumā par jautājumiem, kas ir tās kompetencē, tā ir tiesīga kolektīvi nodot balsis par savām dalībvalstīm. Šādos gadījumos starpvaldību organizācijas dalībvalstīm pašām nav tiesību realizēt savas balsstiesības.5) Šādai starpvaldību organizācijai nav tiesību tikt ievēlētai Valdē saskaņā ar 17. panta 1) punkta noteikumiem, tomēr tā var piedalīties Valdes diskusijās par jautājumiem, kas ir tās kompetencē. Gadījumos, ja notiek balsojums par starpvaldību organizācijas kompetencē esošiem jautājumiem un neietekmējot 20. panta 1) punkta noteikumus, starpvaldību organizācijas dalībvalstu balsis Valdē jebkura tās dalībvalsts var nodot kolektīvi.5. pantsIndividuāla dalība attiecībā uz izraudzītajām teritorijāmJebkura Līgumslēdzēja puse, kas ir kafijas neto importētāja, var jebkurā laikā ar atbilstošu paziņojumu, saskaņā ar 48. panta 2) punkta noteikumiem deklarēt, ka tā, attiecībā uz jebkurām savām izraudzītām teritorijām, par kuru starptautiskajām attiecībām tā ir atbildīga un kuras ir kafijas neto eksportētājas, piedalās Organizācijā individuāli. Šādos gadījumos metropoles teritorija kopā ar tās neizraudzītajām teritorijām piedalās Organizācijā kopā kā viena organizācijas locekle, kamēr tās izraudzītās teritorijas, individuāli vai kolektīvi, atkarībā no paziņojuma, piedalās individuāli kā atsevišķas organizācijas locekles.6. pantsGrupu dalība1) Divas vai vairākas Līgumslēdzējas puses, kuras ir kafijas neto eksportētājas, atbilstoši paziņojot par to Padomei un Apvienoto Nāciju ģenerālsekretāram, iesniedzot ratifikācijas, akcepta, atzinuma vai pagaidu piemērošanas, vai pievienošanās instrumentus, var deklarēt, ka tās piedalās Organizācijā kā Organizācijas locekļu grupa. Tādā gadījumā, teritorija, uz kuru saskaņā ar 48. panta 1) punkta noteikumiem tiek attiecināts šis Līgums, var iekļauties šādā Organizācijas locekļu grupā, ja valsts vai valdība, kas atbildīga par šīs teritorijas starptautiskajām attiecībām, ir sniegusi atbilstošu paziņojumu saskaņā ar 48. panta 2) punktu. Šādām Līgumslēdzējām pusēm un izraudzītajām teritorijām ir jāatbilst šādiem nosacījumiem:
  10. a)tām ir jādeklarē sava apņemšanās uzņemties atbildību par grupas pienākumu izpildi gan individuālā, gan grupas kapacitātē; unb) tām ir jānodrošina Padomei apmierinoši pierādījumi, ka:
  11. i)grupai ir nepieciešamā organizācija, lai ieviestu vienoto kafijas politiku, kā arī līdzekļi, lai kopā ar citām grupas organizācijas loceklēm, izpildītu savas saistības saskaņā ar šo Līgumu; unii) grupā būtu izstrādāta vienota un koordinēta komerciālā un ekonomiskā politika attiecībā uz kafiju, kā arī saskaņota monetārā un finanšu politika, kā arī nepieciešamās institūcijas šādas politikas realizācijai, tādā veidā Padome būtu pārliecināta, ka Organizācijas locekļu grupa ir spējīga izpildīt grupai piekrītošās saistības.2) Jebkura, saskaņā ar 1994. gada Starptautisko kafijas līgumu atzīta Organizācijas locekļu grupa, saglabā šādu statusu, ja vien tā neinformē Padomi, ka vairs nevēlas saglabāt atzinumu.3) Organizācijas locekļu grupa ir viens Organizācijas loceklis, izņemot gadījumu, kad katra šīs grupas puse tiek uzskatīta par atsevišķu locekli attiecībā uz jautājumiem, kas izriet saskaņā ar šādiem noteikumiem:
  12. a)11. un 12. pants; unb) 51. pants4) Līgumslēdzējas puses un izraudzītās teritorijas, kas iestājas organizācijā kā Locekļu grupa norīko kādu valdību vai organizāciju par savu pārstāvi Padomē attiecībā uz no šī Līguma izrietošiem jautājumiem, izņemot jautājumus, kas minēti šī Panta 3)punktā.5) Locekļu grupas balsošanas tiesības ir šādas:
  13. a)Locekļu grupai ir tāds pats pamata balsu skaits kā vienai Dalībvalstij, kas iestājas organizācijā kā individuāla organizācijas locekle. Pamata balsis tiek piešķirtas un tās nodod valdība vai organizācija, kas pārstāv šo grupu;
  14. b)Gadījumā, ja tiek balsots par jautājumiem, uz kuriem attiecas šī panta 3) punkta noteikumi, Locekļu grupas puses var nodot saskaņā ar 13. panta 3) punktu sev piekrītošās balsis pašas, it kā katra no tām būtu organizācijas individuāla locekle, izņemot pamata balsis, kuras piekrīt vienīgi valdībai vai organizācijai, kura pārstāv attiecīgo grupu.6) Jebkura Līgumslēdzēja puse vai izraudzītā teritorija, iepriekš paziņojot par to Padomei, var izstāties no grupas un kļūt par individuālu locekli. Šāda izstāšanās stājas spēkā brīdī, kad Padome saņem attiecīgu paziņojumu. Ja locekļu grupas puse izstājas no savas grupas vai arī pārtrauc savu dalību organizācijā, tad atlikušās grupas locekles var griezties pie Padomes ar lūgumu saglabāt grupu; grupa turpina eksistēt, ja vien Padome nenoraida tās lūgumu. Ja locekļu grupas darbība tiek pārtraukta, tad katra grupas locekle turpina darbību organizācijā kā individuāla locekle. Organizācijas locekle, kas ir izstājusies no grupas, nevar iestāties šajā grupā atpakaļ tik ilgi, cik ir spēkā šis Līgums.7) Jebkura Līgumslēdzēja puse, kura vēlas kļūt par grupas locekli pēc šī Līguma stāšanās spēkā, var to realizēt, paziņojot par to Padomei, ar noteikumu, ka:
  15. a)citas šīs grupas locekles piekrīt uzņemt savā grupā attiecīgo pusi, unb) puse paziņo Apvienoto Nāciju ģenerālsekretāram par iestāšanos šajā grupā.8) Jebkuras divas vai vairākas eksportējošās organizācijas locekles var jebkurā laikā pēc šī Līguma stāšanās spēkā griezties pie Padomes ar iesniegumu par locekļu grupas veidošanu. Padome apstiprina iesniegumu, ja tā ir saņēmusi atbilstošu deklarāciju un apmierinošus pierādījumus saskaņā ar šī panta 1) punkta noteikumiem. Pēc Padomes apstiprinājuma, locekļu grupa darbojas saskaņā ar šī panta 3), 4), 5) un 6) punktu.V nodaļa. STARPTAUTISKĀ KAFIJAS ORGANIZĀCIJA7. pantsStarptautiskās Kafijas organizācijas galvenā mītne un struktūra1) Saskaņā ar 1962. gada Starptautisko Kafijas līgumu nodibinātā Starptautiskā Kafijas organizācija turpina piemērot šī Līguma noteikumus un uzraudzīt tā izpildi.2) Organizācijas galvenā mītne ir Londonā, ja vien Padome ar divu trešdaļu balsu vairākumu nenolemj citādi.3) Organizācija darbojas caur Starptautisko Kafijas Padomi un Valdi. Padomei un Valdei nepieciešamības gadījumā palīdzību sniedz Pasaules Kafijas konference, Privātā sektora konsultatīvā padome, Veicināšanas komiteja un specializētas komitejas.8. pantsPrivilēģijas un neaizskaramība1) Organizācija ir juridiska persona. Cita starpā, tai ir tiesības stāties līgumattiecībās, iegādāties un pārdot kustamo un nekustamo īpašumu un sniegt prasību tiesā.2) Lai veicinātu attiecīgo funkciju izpildi, organizācijas, tās izpilddirektora, personāla un ekspertu statusu, privilēģijas un neaizskaramību mītnes valsts teritorijā turpina noteikt Mītnes līgums, kas noslēgts starp mītnes valsts valdību un organizāciju 1969. gada 28. maijā.3) Šī panta 2) punktā minētais Mītnes līgums pastāv neatkarīgi no šī Līguma. Neskatoties uz to, Mītnes līgumu var pārtraukt:
  16. a)ar vienošanos starp mītnes valsts valdību un organizāciju;
  17. b)gadījumā, ja organizācijas galvenā mītne tiek pārcelta uz citu valsti, vaic) gadījumā, ja organizācija pārstāj eksistēt.4) Organizācija var noslēgt līgumus ar vienu vai vairākām citām loceklēm par privilēģijām vai neaizskaramību, kāda nepieciešama šī Līguma atbilstošai darbībai; šādus līgumus apstiprina Padome.5) Dalībvalstu valdības, izņemot mītnes valsts valdību, piešķir Organizācijai attiecībā uz valūtas maiņas ierobežojumiem, bankas kontu uzturēšanu un naudas pārvedumiem tādas pašas iespējas kā Apvienoto Nāciju specializētajām aģentūrām.VI nodaļa. STARPTAUTISKĀ KAFIJAS PADOME9. pantsStarptautiskās Kafijas padomes sastāvs1) Organizācijas augstākā varas institūcija ir Starptautiskā Kafijas Padome, kura sastāv no organizācijas loceklēm.2) Katra locekle deleģē uz padomi vienu pārstāvi, un, pēc vēlēšanās, arī vienu vai vairākus tā aizstājējus. Organizācijas locekle savam pārstāvim var iecelt arī vienu vai vairākus padomniekus.10. pantsPadomes funkcijas un pilnvaras1) Visas no šī Līguma izrietošās pilnvaras ir piešķirtas Padomei, kurai ir tiesības un pienākums izpildīt visas nepieciešamās funkcijas, lai izpildītu šī Līguma noteikumus.2) Padome deleģē savam priekšsēdētājam pienākumu ar Sekretariāta palīdzību nodrošināt 9. panta 2) punkta, 12. panta 3) punkta, 14. panta 2) punkta ietvaros veiktās rakstveida saziņas likumīgumu. Priekšsēdētājs ir pakļauts Padomei.3) Padome pēc saviem ieskatiem var izveidot komitejas vai darba grupas.4) Padome ar dalītu divu trešdaļu balsu vairākumu pieņem tādas normas un noteikumus, ieskaitot Organizācijas iekšējos noteikumus, procedūru, finanšu un personāla nolikumu, kādi nepieciešami, lai izpildītu šī Līguma noteikumus un kas ir saskaņā ar šo Līgumu. Savā nolikumā Padome var paredzēt mehānismu, kur atsevišķi specifiski jautājumi tiek izlemti bez Padomes sasaukšanas.5) Padome veic nepieciešamo uzskaiti savu funkciju pildīšanai saskaņā ar šo Līgumu un jebkādu uzskaiti, ko tā uzskata par nepieciešamu.11. pantsPadomes priekšsēdētājs un priekšsēdētāja vietnieks1) Padome uz katru kafijas gadu ievēl priekšsēdētāju, kā arī pirmo, otro un trešo priekšsēdētāja vietnieku, kuriem Organizācija nemaksā atlīdzību.2) Priekšsēdētājs un pirmais priekšsēdētāja vietnieks tiek ievēlēti, kā likums, vai nu no eksportējošo locekļu vidus vai no importējošo organizācijas locekļu vidus, bet otro un trešo priekšsēdētāja vietnieku ievēl no pretējās locekļu kategorijas. Katru kafijas gadu šie posteņi nomainās starp abām locekļu kategorijām.3) Ne Priekšsēdētājs, ne kāds no priekšsēdētāja vietniekiem, kuri viņu aizvieto, nebalso. Locekļa tiesības balsot tādā gadījumā izmanto vietnieka aizvietotājs.12. pantsPadomes sesijas1) Parasti Padome sasauc sesijas regulāri divas reizes gadā. Pēc saviem ieskatiem Padome var sasaukt arī speciālas sesijas. Speciālas sesijas tiek sasauktas arī pēc Valdes, jebkuru piecu locekļu, jeb tāda locekļa vai locekļu pieprasījuma, kuram ir vismaz 200 balsu. Paziņojums par sesijas sasaukšanu ir jāiesniedz vismaz 30 dienas iepriekš, izņemot ārkārtas gadījumus, kad šādu paziņojumu var iesniegt vismaz 10 dienas iepriekš.2) Sesijas tiek sasauktas organizācijas galvenajā mīnē, ja vien Padome ar divu trešdaļu balsu vairākumu nenolemj citādi. Ja kāda no organizācijas loceklēm uzaicina Padomi sasaukt sesiju tās teritorijā un Padome tam piekrīt, tad attiecīgā organizācijas locekle sedz organizācijas papildus izdevumus pēc izdevumiem par sesijas organizēšanu.3) Padome var ielūgt jebkuru valsti, kas nav organizācijas locekle, vai jebkuru 16. pantā minētu organizāciju piedalīties jebkurā sesijā novērotāja statusā. Ja šāds ielūgums tiek pieņemts, attiecīgā valsts vai organizācija nosūta rakstisku paziņojumu priekšsēdētājam. Pēc saviem ieskatiem, attiecīgā valsts vai organizācija var šajā paziņojumā izteikt priekšsēdētājam lūgumu atļaut griezties pie padomes ar deklarāciju vai viedokļa izklāstu.4) Nepieciešamais kvorums, lai Padome būtu spējīga lemt, ir vairāk kā puse no eksportējošām un importējošām organizācijas loceklēm, kuras attiecīgi pārstāv vismaz divas trešdaļas no balsīm katrā kategorijā. Ja sesijas atklāšanā vai kādā no plenārsēdēm nav kvoruma, priekšsēdētājs atliek sesijas atklāšanu vai plenārsēdi uz vismaz divām stundām. Ja arī pēc tam nav kvoruma, priekšsēdētājs var vēlreiz atlikt sesijas atklāšanu vai plenārsēdi vismaz uz divām stundām. Ja šī pēdējā termiņa beigās joprojām nav kvoruma, tad lēmumu pieņemšanai nepieciešamais kvorums ir vairāk kā puse no organizācijas importējošām un eksportējošām loceklēm, kuras pārstāv vismaz pusi no balsīm katrā kategorijā. Pārstāvniecība saskaņā ar 14. panta 2) punktu tiek uzskatīta par klātbūtni.13. pantsBalsis1) Eksportējošām organizācijas loceklēm kopā ir 1000 balsu, un importējošām organizācijas loceklēm kopā ir 1000 balsu, kas sadalītas pa abām locekļu kategorijām, tas ir, attiecīgi, eksportējošām un importējošām loceklēm, saskaņā ar šī panta turpmākajiem punktiem.2) Katrai organizācijas loceklei ir piecas pamata balsis.3) Eksportējošo organizācijas locekļu atlikušās balsis tiek sadalītas starp šīm loceklēm atbilstoši attiecīgajiem kafijas eksporta apjomiem uz visiem galapunktiem iepriekšējo četru kalendāra gadu laikā.4) Importējošo organizācijas locekļu atlikušās balsis tiek sadalītas starp šīm organizācijas loceklēm atbilstoši to kafijas importam iepriekšējos četros kalendāra gados.5) Balsu sadalījumu nosaka Padome saskaņā ar šī panta noteikumiem katra kafijas gada sākumā, un tas paliek spēkā visa gada laikā, ja vien šī panta 6) punkts nenosaka citādi.6) Gadījumos, kad notiek izmaiņas organizācijas sastāvā vai arī kādai tās loceklei saskaņā ar 25. vai 42. pantu tiek apturētas vai atjaunotas balsstiesības, Padome nodrošina balsu pārdalīšanu saskaņā ar šī panta noteikumiem.7) Nevienai organizācijas loceklei nav vairāk par 400 balsīm.8) Balsu sadalījums daļās netiek praktizēts.14. pantsBalsošanas procedūra Padomē1) Katra organizācijas locekle drīkst nodot visas savas balsis, bet nedrīkst sadalīt savas balsis. Tomēr balsis, kuras organizācijas loceklei pieder saskaņā ar šī panta 2. punktu, tā var nodot arī savādāk.2) Jebkura eksportējošā organizācijas locekle var pilnvarot jebkuru citu eksportējošo locekli pārstāvēt tās intereses un realizēt balsošanas tiesības jebkurā Padomes sanāksmē. Šajā gadījumā netiek piemēroti 13. panta 7) punkta ierobežojumi.15. pantsPadomes lēmumi1) Padomes lēmumi tiek pieņemti un rekomendācijas izteiktas ar dalīto vienkāršo balsu vairākumu, ja vien šis Līgums neparedz citādi.2) Attiecībā uz jebkuru Padomes lēmumu, kas, saskaņā ar šī Līguma noteikumiem, tiek pieņemts ar dalīto divu trešdaļu balsu vairākumu, tiek piemērota šāda procedūra:
  18. a)ja dalītais divu trešdaļu balsu vairākums netiek sasniegts trīs vai mazāk eksportējošo vai trīs vai mazāk organizācijas importējošo locekļu negatīva balsojuma dēļ, tad, ja Padome ar klātesošo locekļu vairākumu un dalīto vienkāršo balsu vairākumu pieņem šādu lēmumu, tad attiecīgais jautājums 48 stundu laikā var tikt likts uz balsošanu atkārtoti;
  19. b)ja arī tad dalītais divu trešdaļu balsu vairākums netiek sasniegts divu vai mazāk eksportējošo vai divu vai mazāk organizācijas importējošo locekļu negatīva balsojuma dēļ, tad, ja Padome ar klātesošo locekļu vairākumu un dalīto vienkāršo balsu vairākumu pieņem šādu lēmumu, tad attiecīgais jautājums 24 stundu laikā var tikt likts uz balsošanu atkārtoti;
  20. c)ja dalītais divu trešdaļa balsu vairākums netiek sasniegts trešo reizi vienas eksportējošās vai importējošās organizācijas locekles negatīva balsojuma dēļ, tad lēmums tiek uzskatīts par pieņemtu, und) ja Padome nevirza lēmumu uz tālāku balsošanu, tad tas tiek uzskatīts par noraidītu.3) Organizācijas locekles saskaņā ar šī Līguma noteikumiem apņemas uzskatīt par saistošiem visus Padomes lēmumus.16. pantsSadarbība ar citām organizācijām1) Padome var veikt jebkādus konsultāciju un sadarbības pasākumus ar Apvienotajām Nācijām un tās specializētajām aģentūrām, kā arī ar citām starpvaldību organizācijām. Tā pilnībā izmanto Kopējās izejmateriālu fonda iespējas un tamlīdzīgus finansējuma avotus. Minētie pasākumi var ietvert finansiālus režīmus, ko Padome uzskata par nepieciešamiem šī Līguma mērķu sasniegšanā. Tomēr, attiecībā uz jebkāda projekta realizāciju šāda režīma ietvaros, Organizācija neuzņemas nekādas finansiālas saistības attiecībā uz savu locekļu sniegtajām garantijām. Neviena organizācijas locekle, pamatojoties uz dalību organizācijā, nav atbildīga par saistībām, kas izriet no kādas citas locekles vai šādu projektu Puses aizdevumiem vai aizņēmumiem.2) Cik vien iespējams, Organizācija var vākt no savām loceklēm, pusēm, kuras nav locekles, kā arī no donoru organizācijām un citām iestādēm informāciju par attīstības programmām un projektiem kafijas sektorā. Ja tas ir lietderīgi, ar visu iesaistīto pušu piekrišanu, organizācija var izplatīt šo informāciju savu locekļu un citu šādu organizāciju vidū.VII nodaļa. VALDE17. pantsValdes sastāvs un sēdes1) Valdes sastāv no astoņām eksportējošām un astoņām importējošām organizācijas loceklēm, kuras tiek ievēlētas uz katru kafijas gadu saskaņā ar 18. panta noteikumiem. Valdes locekļus var pārvēlēt.2) Katra Valdē pārstāvētā organizācijas locekle ieceļ vienu pārstāvi un pēc saviem ieskatiem vienu vai vairākus tā aizvietotājus. Katra Valdē pārstāvētā organizācijas locekle var iecelt saviem valdes locekļiem vai to aizvietotājiem arī konsultantus.3) Valdi vada priekšsēdētājs un priekšsēdētāja vietnieks, kuru uz katru kafijas gadu ievēl Padome un kuru var pārvēlēt. Šiem darbiniekiem organizācija nemaksā algu. Ne priekšsēdētājam, ne priekšsēdētāja vietniekam, kas aizvieto priekšsēdētāju, nav Valdē balsstiesību. Šādos gadījumos attiecīgās organizācijas locekles balsstiesības valdē realizē viņu aizvietotāji. Parasti priekšsēdētāju un priekšsēdētāja vietnieku uz katru kafijas gadu ievēl no vienas un tās pašas kategorijas locekļiem.4) Valde parasti sanāk organizācijas galvenajā mītnē, bet tā var sasaukt sanāksmes arī citās vietās, ja Padome ar divu trešdaļu dalītu balsu vairākumu pieņem šādu lēmumu. Gadījumos, kad Padome akceptē kādas organizācijas locekles ielūgumu noturēt Valdes sēdi šīs locekles nodrošinātā vietā, tad stājas spēkā 12. panta 2) punkts par Padomes sesijām.5) Lai Valde varētu pieņemt lēmumus, jānodrošina vairāk kā puses Valdē ievēlēto eksportējošo un importējošo organizācijas locekļu klātbūtne, kuri pārstāv attiecīgi vismaz divas trešdaļas balsu katrā kategorijā. Ja, atklājot Valdes sēdi, nav kvoruma, tad Valdes priekšsēdētājs atliek atklāšanu uz vismaz divām stundām. Ja pēc šī laika perioda joprojām nav kvoruma, tad priekšsēdētājs var vēlreiz atlikt Valdes sēdes atklāšanu uz vismaz divām stundām. Ja šī laika perioda beigās joprojām nav kvoruma, tad par lēmumu pieņemšanai nepieciešamo kvorumu tiek uzskatīta vairāk kā puses Valdē ievēlēto eksportējošo un importējošo organizācijas locekļu klātbūtne, kuri attiecīgi pārstāv vismaz pusi no balsīm katrā kategorijā.18. pantsValdes ievēlēšana1) Eksportējošās un importējošās organizācijas locekles attiecīgi ievēl savus valdes locekļus no Padomes. Vēlēšanas katrā kategorijā notiek saskaņā ar šī panta turpmākajiem punktiem.2) Katra organizācijas locekle, saskaņā ar 13. panta noteikumiem, nodod visas savas balsis par vienu kandidātu. Tai pat laikā, organizācijas locekle var nodot balsis, kas tai piekrīt saskaņā ar 14. panta 2) punktu, par citu kandidātu.3) Valdē tiek ievēlēti astoņi kandidāti, kas saņēmuši vislielāko balsu skaitu; tomēr neviens kandidāts netiek ievēlēts ar pirmo balsojumu, ja tas nav saņēmis vismaz 75 balsis.4) Ja, saskaņā ar šī Panta 3) punktu, pirmajā balsošanas kārtā tiek ievēlēti mazāk kā 8 kandidāti, tad notiek nākamās balsošanas kārtas, kurās piedalās vienīgi tās locekles, kuras nebalsoja par nevienu ievēlēto kandidātu. Katrā nākamajā balsošanas kārtā minimālais nepieciešamais balsu skaits ievēlēšanai tiek secīgi samazināts par piecām balsīm, kamēr ievēl visus astoņus kandidātus.5) Saskaņā ar šī panta 6) un 7) punktu, jebkura locekle, kas nebalsoja par nevienu ievēlēto kandidātu, var piešķirt savas balsis vienam no tiem.6) Tiek uzskatīts, ka organizācijas locekle pie ievēlēšanas ir saņēmusi par sevi nodotās balsis un arī balsis, kas tai ir piešķirtas, ar nosacījumu, ka kopējais balsu skaits katrai ievēlētajai loceklei nepārsniedz 499.7) Ja ievēlētās locekles saņemto balsu skaits pārsniedz 499, tad locekles, kuras balsoja par šo locekli vai piešķīra tai savas balsis, savā starpā izlemj, kura no tā paņems savas balsis atpakaļ un piešķirs tās kādai citai ievēlētajai loceklei, lai katras locekles saņemto balsu skaits nepārsniegtu 499.19. pantsValdes kompetence1) Valde ir atbildīga Padomei un darbojas tās tiešā pakļautībā.2) Padome, ar dalīto divu trešdaļu balsu vairākumu, var deleģēt Valdei savas pilnvaras, izņemot šādas pilnvaras:
  21. a)administratīvā budžeta apstiprinājums un iemaksu aprēķins saskaņā ar 24. pantu;
  22. b)organizācijas locekles balsošanas tiesību apturēšana saskaņā ar 42. pantu.
  23. c)Lēmumi un konflikti saskaņā ar 42. pantu.
  24. d)Nosacījumu noteikšana dalībai organizācijā saskaņā ar 46. pantu;
  25. e)Lēmums par organizācijas locekles izslēgšanu saskaņā ar 50. pantu;
  26. f)Lēmums par sarunu uzsākšanu attiecībā uz jaunu Līgumu saskaņā ar 32. pantu, vai esošā Līguma pagarināšanu vai atcelšanu saskaņā ar 52. pantu, ung) Rekomendācijas organizācijas locekļiem par grozījumiem saskaņā ar 53. pantu.3) Ar dalītu vienkāršu balsu vairākumu Padome var jebkurā laikā atsaukt jebkādas Valdei deleģētās pilnvaras.4) Valde izskata izpilddirektora iesniegto administratīvā budžeta projektu, un iesniegt to Padomei kopā ar rekomendācijām attiecībā uz tā pieņemšanu, izstrādāt organizācijas ikgadējo darba plānu, lemt par administratīvajiem un finanšu jautājumiem attiecībā uz organizācijas darbību un citiem jautājumiem, izņemot jautājumus, kas, saskaņā ar šī panta 2) punkta noteikumiem, ir nodoti Padomes kompetencē, izskatīt projektus un programmas kafijas jautājumos, kuri tiek iesniegti apstiprināšanai Padomei. Valdes lēmumi stājas spēkā gadījumā, ja netiek saņemti iebildumi no Padomes locekļiem piecu dienu laikā, kopš Valde ir ziņojusi par savu lēmumu Padomei, vai piecu darba dienu laikā kopš lēmumu kopsavilkums ir ticis izplatīts, ja Padomes sēde neiekrīt tajā pašā mēnesī kā valdes sēde. Neskatoties uz to, visām loceklēm ir tiesības iesniegt apelāciju Padomei par jebkuru Valdes lēmumu.5) Valde var izveidot jebkādas komitejas vai darba grupas, kuras tā uzskata par vajadzīgām.20. pantsBalsošanas procedūra Valdē1) Katrs Valdes loceklis var, saskaņā ar 18. panta 6) un 7) punktu, izmantot visas sev piešķirtās balsis. Netiek pieļauta deleģētā balsošana. Valdes locekļi nedrīkst dalīt savas balsis daļās.2) Jebkuru lēmumu Valdē pieņem ar tādu pašu balsu vairākumu kā Padomē.VIII nodaļa. KAFIJAS PRIVĀTAIS SEKTORS21. pantsVispasaules kafijas konference1) Padome veic pasākumus Vispasaules kafijas konferences (turpmāk: Konferences) organizēšanai atbilstošos laika intervālos, kurā piedalās eksportējošās un importējošās organizācijas locekles, privātā sektora pārstāvji un citas ieinteresētas Puses, ieskaitot dalībniekus no valstīm, kuras nav organizācijas locekles. Padome, sadarbībā ar Konferences priekšsēdētāju nodrošina šī Līguma mērķu ievērošanu Konferencē.2) Konferencei ir priekšsēdētājs, kuram organizācija nemaksā atlīdzību. Priekšsēdētāju ieceļ Padome uz atbilstošu periodu, un viņš/viņa kā novērotājs var piedalīties Padomes sēdēs.3) Padome sadarbībā ar Privātā sektora konsultatīvo padomi pieņem lēmumu par Konferences formu, nosaukumu, galveno tēmu un laiku. Parasti konference notiek organizācijas galvenajā mītnē, Padomes sesijas laikā. Ja Padome pieņem lēmumu pieņemt kādas organizācijas locekles ielūgumu noturēt sesiju tās teritorijā, tad papildus izdevumus virs izdevumiem par sesijas noturēšanu, sedz attiecīgā organizācijas locekle, kuras teritorijā notiek sesija.4) Ja vien Padome ar dalītu divu trešdaļu balsu vairākumu nenolemj citādi, Konference tiek finansēta uz pašfinansēšanās principiem.5) Konferences priekšsēdētājs ziņo Padomei par katras sesijas secinājumiem.22. pantsPrivātā sektora konsultatīvā padome1) Privātā sektora konsultatīvā padome (turpmāk — PSCB) ir konsultatīva institūcija, kas var sniegt rekomendācijas attiecībā uz jebkurām Padomes konsultācijām, kā arī var aicināt Padomi pievērst uzmanību kādiem jautājumiem, kas izriet no šī Līguma.2) PSCB sastāv no 8 eksportējošo valstu pārstāvjiem un 8 importējošo valstu pārstāvjiem.3) PSCB ir padomes izraudzīto asociāciju vai institūciju pārstāvji, kurus izrauga uz diviem gadiem un kurus var atcelt. Šādā veidā Padome izraugās:
  27. a)divas privātā sektora kafijas asociācijas no eksportējošām valstīm vai reģioniem, kas pārstāv, attiecīgi, četras kafijas grupas, vēlams, pārstāvot gan kafijas audzētājus, gan eksportētājus, kopā ar vienu vai vairākiem aizvietotājiem katram pārstāvim, unb) astoņas kafijas asociācijas vai institūcijas no privātā sektora no importējošām valstīm, neatkarīgi no tā, vai šī valstis ir organizācijas locekles vai ne, vēlams, pārstāvot gan importētājus, gan pārstrādātājus kopā ar vienu vai vairākiem aizvietotājiem vienam pārstāvim.4) Katrs PSCB loceklis var iecelt vienu vai vairākus konsultantus.5) PSCB no sava vidus uz vienu gadu ievēl priekšsēdētāju un priekšsēdētāja vietnieku. Šos darbiniekus var pārvēlēt. Priekšsēdētājam un priekšsēdētāja vietniekam organizācija nemaksā atlīdzību. Priekšsēdētājs var tikt ielūgts piedalīties Padomes sēdēs novērotāja statusā.6) Parasti PSCB sanāk organizācijas galvenajā mīnē padomes regulāro sesiju laikā. Gadījumā, ja Padome pieņem kādas organizācijas locekles ielūgumu noturēt sēdi tās teritorijā, papildus izdevumus virs izdevumiem par sēdes organizēšanu organizācijas galvenajā mītnē, sedz valsts vai privātā struktūra, kuras teritorijā notiek sēde.7) PSCB ar Padomes atļauju var noturēt arī speciālas sēdes.8) PSCB iesniedz regulārus ziņojumus Padomei.9) PSCB izstrādā pati savu nolikumu saskaņā ar šī Līguma noteikumiem.IX nodaļa. FINANSES23. pantsFinanses1) Padomes delegāciju, Valdes pārstāvju un jebkādu Padomes vai Valdes komiteju pārstāvju izdevumus sedz attiecīgās valstu valdības.2) Pārējie izdevumi šī Līguma administrācijai tiek segti no organizācijas locekļu ikgadējām iemaksām, kurus novērtē saskaņā ar 24. panta noteikumiem kopā ar ieņēmumiem no pakalpojumiem Organizācijas loceklēm, kā arī informācijas un izpētes pakalpojumiem saskaņā ar 29. un 31. pantu.3) Organizācijas finanšu gads sakrīt ar kafijas gadu.24. pantsAdministratīvā budžeta noteikšana un dalības maksas aprēķins1) Finanšu gada otrajā pusē Padome apstiprina organizācijas administratīvo budžetu nākamajam finanšu gadam un novērtē katras organizācijas locekles veiktās iemaksas. Izpilddirektors valdes uzraudzībā sastāda administratīvā budžeta plānu saskaņā ar 19. panta 4) punkta noteikumiem.2) Katras organizācijas locekles iemaksas administratīvajā budžetā katram finanšu gadam ir proporcionālas šīs locekles balsu skaitam uz laiku, kad notiek balsojums par administratīvo budžetu, pret visu locekļu balsīm. Tomēr, ja balsu sadalījumā starp loceklēm ir kādas izmaiņas saskaņā ar 13. panta 5) punktu tā finanšu gada sākumā, kura iemaksas tiek vērtētas, šādas iemaksas attiecīgajam tiek atbilstoši koriģētas. Nosakot iemaksu lielumu, tiek aprēķinātas katras organizācijas locekles balsis, neņemot vērā balsošanas tiesību apturēšanu vai jebkādu balsu pārdali, kas no tās izriet.3) Pēc šī Līguma stāšanās spēkā, Padome novērtē katras organizācijas locekles sākotnējās iemaksas, stājoties organizācijā, balstoties uz šīs locekles balsu skaitu uz atlikušo finanšu gadu, tomēr citu locekļu iemaksas attiecīgajam finanšu gadam netiek pārvērtētas.25. pantsDalības maksas iemaksāšana1) Dalības maksa administratīvajā budžetā ir jāiemaksā brīvi konvertējamā valūtā, un tās maksāšanas termiņš ir katra finanšu gada pirmā diena.2) Ja kāda no organizācijas loceklēm sešu mēnešu laikā kopš maksas veikšanas termiņa nesamaksā dalības maksu, tad tās balsošanas tiesības un tiesības tikt izvēlētai Valdē, kā arī vēlēšanu tiesības Valdē tiek apturētas līdz brīdim, kad dalības maksa tiek pilnībā samaksāta. Tomēr, ja vien Padome ar dalītu divu trešdaļu balsu vairākumu nepieņem tādu lēmumu, tad šādai organizācijas loceklei netiek atņemtas nekādas tās tiesības un tā netiek atbrīvota no pienākumiem saskaņā ar šo Līgumu.3) Jebkura organizācijas locekle, kuras balsošanas tiesības ir apturētas saskaņā ar šī panta 2) punktu vai 42. panta noteikumiem, neskatoties uz to, ir atbildīga par dalības maksas samaksāšanu.26. pantsSaistības1) Organizācijai, kas darbojas saskaņā ar 7. panta 3) punkta noteikumiem, nav pilnvaru uzņemties saistības ārpus šī Līguma jomas, un nedrīkst uzskatīt, ka šādas pilnvaras tai varētu piešķirt citas locekles, it īpaši tai nav pilnvaru aizņemties naudu. Realizējot savas tiesības stāties līgumattiecībās, organizācija ietver savos kontraktos šī panta noteikumus tādā veidā, lai vērsu uz tiem trešo pušu uzmanību, kas stājas ar organizāciju šādās līgumattiecībās, tomēr šādu noteikumu neiekļaušana kontraktos nepadara tos nederīgus vai ultra vires.2) Organizācijas locekles saistības ir ierobežotas ar tās saistībām maksāt dalības maksu, ko speciāli nosaka šis Līgums. Tiek uzskatīts, ka trešajām pusēm, kuras uzsāk attiecības ar organizāciju, ir zināmi šī Līguma noteikumi par organizācijas locekļu saistībām.27. pantsAudits un kontu publicēšanaCik vien ātri iespējams, bet ne vēlāk kā 6 mēnešus pēc katra finanšu gada beigām, jāsagatavo neatkarīga auditora atzinums par organizācijas aktīviem, pasīviem, ieņēmumiem un izdevumiem attiecīgajā finanšu gadā. Šis atzinums ir jāiesniedz padomei apstiprināšanai tās tuvākajā sesijā.X nodaļa. IZPILDDIREKTORS UN PERSONĀLS28. pantsIzpilddirektors un personāls1) Padome ieceļ izpilddirektoru. Izpilddirektora iecelšanas noteikumus izstrādā Padome, un tie ir salīdzināmi ar atbilstošu amatpersonu iecelšanas noteikumiem starpvaldību organizācijās.2) Izpilddirektors ir organizācijas galvenā administratīvā amatpersona, atbildīga par tai uzticēto pienākumu pildīšanu šī Līguma administrācijā.3) Izpilddirektors pieņem personālu saskaņā ar Padomes izstrādāto nolikumu.4) Ne izpilddirektors, ne kāds no personāla locekļiem nedrīkst būt finansiāli ieinteresēts kafijas industrijā, kafijas tirdzniecībā vai transportā.5) Savu pienākumu izpildē izpilddirektors un personāls neprasa un nesaņem instrukcijas ne no vienas organizācijas locekles vai citas iestādes ārpus organizācijas. Viņi atturas no jebkuras darbības, kas varētu atsaukties uz viņu starptautisko amatpersonu stāvokli, kuri ir atbildīgi vienīgi organizācijai. Katra organizācijas locekle apņemas respektēt izpilddirektora un personāla pienākumu ekskluzīvi starptautisko raksturu un nemēģināt viņus ietekmēt viņu pienākumu izpildē.XI nodaļa. INFORMĀCIJA, IZPĒTE UN PĀRSKATI29. pantsInformācija1) Organizācija ir savākšanas, apmaiņas un publicēšanas centrs attiecībā uz šādu informāciju:
  28. a)statistisko informāciju par kafijas ražošanu, cenām, eksportu, importu, reeksportu, realizāciju un patēriņu visā pasaulē, unb) ciktāl tiek atzīts par lietderīgu, tehnisko informāciju par kafijas audzēšanu, pārstrādi un izmantošanu.2) Padome var prasīt savām loceklēm nodrošināt informāciju, kādu tā uzskata par lietderīgu savai darbībai, ieskaitot regulārus statistiskus ziņojumus par kafijas ražošanu, ražošanas tendencēm, eksportu, importu un reeksportu, realizāciju, patēriņu, krājumiem, cenām un nodokļiem, bet nav atļauts publicēt informāciju, ar kuras palīdzību varētu identificēt ražotāju, pārstrādātāju un tirgotāju operatoru kompānijas. Organizācijas locekles nodrošina informāciju tik detalizētu, laicīgu un precīzu informāciju, cik vien iespējams.3) Padome izveido indikatīvo cenu sistēmu un nodrošina konsolidētā indikatīvo cenu saraksta ikdienas publicēšanu, kas atspoguļo faktiskos tirgus apstākļus.4) Ja organizācijas locekle nevar nodrošināt vai sastopas ar grūtībām, nodrošinot Padomes pieprasīto statistisko un pārējo informāciju organizācijas normālai darbībai, tad šī organizācijas locekle paskaidro šo grūtību iemeslu. Ja tiek konstatēts, ka šajā jautājumā nepieciešama tehniskā palīdzība, Padome veic vajadzīgos pasākumus.30. pantsIzcelsmes sertifikāti1) Lai atvieglotu statistikas savākšanu par starptautisko tirdzniecību ar kafiju un uzskaitītu, cik katra eksportējošā organizācijas locekle ir eksportējusi, organizācija izveido izcelsmes sertifikātu sistēmu, kura ir pakļauta Padomes izstrādātiem noteikumiem.2) Katram eksportējošās valsts eksporta gadījumam tiek noformēts atbilstošs izcelsmes sertifikāts. Izcelsmes sertifikātus saskaņā ar Padomes izstrādātajiem noteikumiem izsniedz kvalificēta aģentūra, kuru izvēlas organizācijas locekle un apstiprina organizācija.3) Katra eksportējošā organizācijas locekle dara Organizācijai zināmu šī panta 2) punktā minēto funkciju pildītājas valdības vai nevalstiskas aģentūras nosaukumu. Organizācija, saskaņā ar Padomes apstiprinātiem noteikumiem, nodrošina specifisku atzinumu nevalstiskai aģentūrai.4) Izņēmuma kārtā un ar attaisnojošiem iemesliem, eksportējošā Organizācijas locekle var iesniegt Padomei atzīšanai pieteikumu atļaut Izcelsmes sertifikātos uzrādītos datus nodot Organizācijas rīcībā ar kādu alternatīvu metodi.31. pantsPētījumi un pārskati1) Organizācija veicina pētījumu un pārskatu sagatavošanu par kafijas ražošanas un realizācijas ekonomiku, valdības pasākumu ietekmi ražojošās un patēriņa valstīs uz kafijas ražošanu un patēriņu, kā arī par kafijas patēriņa paplašināšanas iespējām gan tradicionālajiem, gan jauniem pielietojumiem.2) Lai izpildītu šī panta 1) punkta noteikumus, Padome katru kafijas gadu savā otrajā regulārajā sesijā pieņem izpilddirektora sagatavotu pētījumu un pārskatu gada plāna projektu kopā ar aprēķinātajām resursu prasībām.3) Padome var apstiprināt arī organizācijas pētījumus un pārskatus, kurus iecerēts veikt sadarbībā ar citām organizācijām un institūcijām. Šādos gadījumos izpilddirektors iesniedz Padomei sīku atskaiti par prasībām pēc organizācijas resursiem un projektā iesaistīto partneru resursiem.4) Saskaņā ar šo pantu veiktos pētījumus un pārskatus finansē no administratīvā budžeta resursiem, sagatavo saskaņā ar 24. panta 1) punkta prasībām, un šo darbu pēc vajadzības veic personāla locekļi un organizācijas konsultanti.XII nodaļa. VISPĀRĒJIE NOTEIKUMI32. pantsSagatavošanās jaunam Līgumam1) Padome var izskatīt iespēju uzsākt sarunas par jaunu Starptautisko kafijas līgumu.2) Lai izpildītu šo noteikumu, Padome izvērtēs organizācijas panākto progresu šī Līguma mērķu sasniegšanā ar tā 1) pantu.33. pantsKafijas patēriņa šķēršļu novēršana1) Organizācijas locekles apzinās, cik svarīgi ir sasniegt pēc iespējas lielāku kafijas patēriņa pieaugumu cik ātri vien iespējams, it īpaši pakāpeniski novēršot jebkādus šķēršļus, kas varētu kavēt patēriņa pieaugumu.2) Organizācijas locekles atzīst, ka patlaban spēkā ir pasākumi, kas lielākā vai mazākā mērā var kavēt kafijas patēriņu, piemēram:
