III. ALLEGED VIOLATIONS OF ARTICLE 1 OF PROTOCOL No.1, (…)

  1. The Court notes that between December 2003 and January 2005 the domestic authorities subjected the applicant company to a number of measures in connection with its alleged failure to pay the correct amount of tax for the years 2000-
  2. In particular, as a result of the Tax Assessment proceedings the applicant company was found guilty of repeated tax fraud and was ordered to pay an overall sum of at least RUB 572 billion (around EUR 16 billion) in outstanding taxes, default interest and penalties. In the enforcement proceedings, simultaneously conducted, the applicant company was ordered to pay an additional 7% enforcement fee on the overall amount of the debt, its assets were attached and seized, whilst 76.79 percent of shares in its main production unit, OAO Yuganskneftegaz, were sold in satisfaction on the mentioned liability. (…) A. The complaints about the Tax Assessments 2000-2003
  3. (…) In so far as the tax sphere is concerned, the Court's well-established position is that States may be afforded some degree of additional deference and latitude in the exercise of their fiscal functions under the lawfulness test (…) and that, in view of the complexity of the relevant field of regulation, corporate entities, as opposed to individual taxpayers, may be required to act with additional caution and diligence by consulting competent specialists in this sphere (…).
  4. The applicant company argued in respect of the Tax Assessment 2000 that prosecution for tax evasion had been time-barred. Furthermore, it also argued that the decisions in question had been generally unlawful in that they had not been based on any reasonable and foreseeable interpretation of the domestic law, for which reason there had been no basis in law to impose taxes, double fines or to deny the repayment of VAT in respect of the export of oil and oil products. The applicant company also complained that it had been the first entity ever to have been punished for the tax optimisation scheme, hitherto generally tolerated. (…)
  5. Overall, notwithstanding the State's margin of appreciation in this sphere, the Court finds that there has been a violation of Article 1 of Protocol No. 1 on account of the change in interpretation of the rules on the statutory time-bar resulting from the Constitutional Court's decision of 14 July 2005 and the effect of this decision on the outcome of the Tax Assessment 2000 proceedings.
  6. Since the applicant company's conviction under Article 122 of the Tax Code in the 2000 Tax Assessment proceedings laid the basis for finding the applicant company liable to a repeated offence with a 100% increase in the amount of the penalties due in the 2001 Tax Assessment proceedings, the Court also finds that the 2001 Tax Assessment in the part ordering the applicant company to pay the double fines was not in accordance with the law, as required by Article 1 of Protocol No.

  8. Overall, the Court finds that, in so far as the applicant company's argument about the allegedly unreasonable and unforeseeable interpretation of the domestic law in the Tax Assessments 2000-2003 is concerned, the Tax Assessments 2000-2003 complied with the requirement of lawfulness of Article 1 of Protocol No. I. (b) Whether the Tax Assessments 2000-2003 pursued a legitimate aim and were proportionate
  9. The Court is satisfied that, subject to its findings in respect of the lawfulness of fines for the years 2000 and 2001 made earlier, each of the Tax Assessments 2000-2003 pursued a legitimate aim of securing the payment of taxes and constituted a proportionate measure in pursuance of this aim. The tax rates as such were not particularly high and given the gravity of the applicant company's actions there is nothing in the case file to suggest that the rates of the fines or interest payments can be viewed as having imposed an individual and disproportionate burden, as such, on the applicant company (...). (c) Conclusion concerning the compliance with Article 1 of Protocol No. 1 as regards the Tax Assessments 2000-2003
  10. Overall, the Court finds that there has been a violation of Article 1 of Protocol No. 1 on account of the 2000-2001 Tax Assessments in the part relating to the imposition and calculation of penalties. Furthermore, the Court finds that there has been no violation of Article 1 of Protocol No. 1 as regards the rest of the 2000-2003 Tax Assessments.
  11. Compliance with Article 14,

Article 1of Protocol No.

1 (…) 616. The Court concludes that, in so far as the complaint about discriminatory treatment is concerned, there has been no violation of Article 14 of the Convention,

Article 1of Protocol No.

  1. (…) C. The complaint about the Government's intentions in the tax and enforcement proceedings against the applicant company
  2. The Court notes that, in addition to various specific grievances about the tax and enforcement proceedings already mentioned above, the applicant company also argued that the overall effect of these proceedings showed that the Government had brought and conducted the proceedings with the intent to destroy the company and to take control of its assets. (…)
  3. Regard being had to the case file and the parties' submissions, including the applicant company's references to the allegedly political motivation behind the prosecution of the applicant company and its owners and officials, the Court finds that it is true that the case attracted massive public attention and that comments of different sorts were made by various bodies and individuals in this connection. The fact remains, however, that those statements were made within their respective context and that as such they are of little evidentiary value for the purposes of Article 18 of the Convention. Apart from the findings already made earlier, the Court finds no indication of any further issues or defects in the proceedings against the applicant company which would enable it conclude that there has been a breach of Article 18 of the Convention on account of the applicant company's claim that the State had misused those proceedings with a view to destroying the company and taking control of its assets.
  4. To sum up, the Court finds that there has been no violation of Article 18 of the Convention,

Article 1of Protocol No.

1, on account of the alleged disguised expropriation of the company's property and the alleged intentional destruction of the company itself.” 4.19.

  1. Het EHRM heeft de begroting van de te vergoeden schade aangehouden en daarover beslist in het arrest van 15 december 2014 (het just satisfaction arrest). Dat arrest houdt, kort samengevat, in dat er onvoldoende causaal verband is tussen de vastgestelde schending van art. 6 EVRM en de gevorderde schadevergoeding, doch dat de schending van artikel 1 Eerste Protocol wel voor vergoeding in aanmerking komende schade heeft veroorzaakt. Het luidt voor zover van belang als volgt: “(…) assesses the amount of pecuniary damage to the applicant company resulting from the violation of Article 1 of Protocol No. 1 on account of the retroactive imposition of the penalties (…) and the payment of the enforcement fee on these unlawful penalties (…) for the years 2000 and 2001 at EUR 1,299,324,
  2. (….) In its principal judgement the Court did not conclude, as alleged by the applicant company, that the applicant company would have survived the enforcement proceedings had it not been for the aforementioned shortcomings in these proceedings. Therefore, the Court cannot accept the applicant company's claim in full (…).” Het EHRM heeft in totaal in hoofdsom een bedrag van € 1.866.104.634 toegewezen. 4.
  3. Uit de arresten volgt dat het feitenmateriaal dat aan het EHRM was voorgelegd en de kwesties waarover het moest beslissen weliswaar ten dele, maar niet geheel gelijk waren aan het feitenmateriaal en de onderwerpen in de onderhavige zaken. De klachten van Yukos Oil waarover het EHRM zich gebogen heeft waren beperkter en zagen op een kortere periode dan in het onderhavige geding; met name de aanslagen over het belastingjaar 2004, de afwikkeling van het faillissement en hetgeen daarmee samenhing dan wel daaruit is voortgevloeid, zoals de verkoop van de aandelen in Yukos Finance, vielen daarbuiten. Ook het alsnog indienen van verzoeken tot het verlenen van vrijstelling/toepassen van het nul-tarief in het kader van de Russische belasting op omzet/toegevoegde waarde (hierna: BTW) door Yukos Oil viel daarbuiten. Het EHRM noemt weliswaar de opmerking die daarover ter zitting is gemaakt (rov. 602 van het arrest van 20 september 2011, zie hierna), maar heeft kennelijk geen acht geslagen of kunnen slaan op de relevante stukken en de beslissingen van de Russische autoriteiten daaromtrent. 4.
  4. Voorts is het vaste jurisprudentie van het EHRM (zie bijv. EHRM 27 oktober 1993, NJ 1994/534 en EHRM 5 juli 2007, EHRC 2007/115) dat hij zich niet inlaat met bewijslevering en evenmin met de gevolgen die aan door hem vastgestelde schendingen of het ontbreken daarvan in de rechtsorde van de Verdragsstaten, met inachtneming van het eigen nationale recht, moeten worden verbonden. Dat is aan de rechter in de desbetreffende staat. 4.
  5. Aan de beslissingen van het EHRM betreffende de fiscale procedures en invorderingsmaatregelen komen in het kader van de in dit geding te verrichten openbare orde-toets groot gewicht toe waar deze zijn gebaseerd op feitenmateriaal dat gelijk is aan hetgeen in de onderhavige zaken voorligt. Voor zover er in deze procedure meer of ander feitenmateriaal is overgelegd ligt dit genuanceerder. In dat geval zal het hof immers dienen na te gaan of het aanvullend materiaal grond biedt voor het oordeel dat er toch sprake is van schendingen van art. 6 EVRM en/of art. 1 Eerste Protocol waar het EHRM deze niet heeft aangenomen. Ook is denkbaar dat daaruit volgt dat een wel geconstateerde schending op zodanige wijze is gecompenseerd/hersteld dat daaraan voor de in dit geding te beantwoorden vraag geen relevante betekenis meer toekomt. Bij die beoordeling dient het hof zich uiteraard mede te laten leiden door de jurisprudentie van het EHRM in het algemeen. Vervolgens zal het hof dienen te onderzoeken wat van de vastgestelde schendingen in het onderhavige geding naar Nederlands recht de gevolgen zijn. Niet-uitputting van rechtsmiddelen 4.23.
  6. De eerste vraag die moet worden beantwoord ziet op de gevolgen die moeten worden verbonden aan het op zichzelf niet in geschil zijnde feit dat in de Russische procedures niet alle beschikbare rechtsmiddelen zijn benut. Met name zijn in de fase voor het faillissement niet alle rechtsmiddelen uitgeput en is geen cassatie ingesteld tegen het faillissementsvonnis, niet door Yukos Oil en evenmin door haar aandeelhouders, hoewel dat wel mogelijk was geweest naar Russisch recht. Het is immers vaste jurisprudentie dat van degene die meent dat hem het recht op een eerlijk proces is onthouden geëist mag worden dat hij alle rechtsmiddelen aanwendt die hem ten dienste staan, mits deze geacht kunnen worden daadwerkelijk tot heroverweging en dus tot een effective remedy te kunnen leiden. 4.23.
  7. Bij het EHRM is dit aspect aan de orde geweest, doch alleen in het kader van de fiscale procedure en de getroffen executie- en invorderingsmaatregelen behandeld, in de paragraaf die betrekking heeft op de gestelde schending van, onder meer, art. 1 Eerste Protocol. Het EHRM heeft bij de ontvankelijkheidsbeslissing (art. 35 EVRM) beslist om de definitieve beoordeling op dit punt uit te stellen tot de beslissing on the merits, dat wil zeggen het uiteindelijke inhoudelijke arrest. De relevante overwegingen in dat arrest luiden: “

(…) The Court would note, however, that given the circumstances of the applicant company's tax case, its overall situation at the relevant time, the applicable domestic law and the courts' responses to the arguments put forward by the applicant company in those proceedings, it is clear that both the attachment order of 15 April 2004 and the subsequent seizure orders of 1 and 14 July 2004 have been properly examined and confirmed by the domestic courts at various levels of jurisdictions and it does not appear that the applicant company’s complaints in this connection had any additional prospects of success, had the company not omitted the above-mentioned judicial instances. (…) In this connection, the Court would note that the applicant company clearly exhausted the available domestic remedies as regards the seizure and the subsequent measures leading to the eventual sale of OAO Yuganskneftegaz (…), and it is also clear that the relevant domestic law specifically disallowed the courts to rearrange or otherwise postpone the repayment of the debt (…) Overall, it is clear to the Court that the applicant company used all the remedies that it could reasonably be expected to use in connection with this part of the application. (…)
  9. Thus, the Court finds that the applicant company has complied with the requirement to exhaust domestic remedies in respect of this part of the application and dismisses the Government's preliminary objection accordingly. (…)” 4.23.
  10. Omtrent de faillissementsprocedure heeft dit hof in het arrest van 19 oktober 2010 overwogen (rov. 3.5.3): “Het hof heeft feitelijk vastgesteld (onder 2.3.9) dat [curator] na het instellen van hoger beroep tegen het Russische faillissementsvonnis het mandaat van de destijds voor Yukos Oil optredende advocaten heeft ingetrokken, waarna dat hoger beroep is behandeld zonder dat Yukos Oil was verschenen. Bij deze stand van zaken acht het hof aannemelijk dat, zoals [bestuurder G] c.s. stellen, Yukos Oil geen reële mogelijkheid meer had om verdere rechtsmiddelen in te stellen teneinde de uitspraak waarbij zij in staat van faillissement was verklaard te doen vernietigen. De grief stuit daarop af.” Daaraan is toegevoegd dat de mogelijkheid van de aandeelhouders om beroep in te stellen daaraan niet afdoet. 4.23.
  11. Die overweging ligt geheel in de lijn van de beoordelingswijze die het EHRM toepast, ook in de context van art. 6 EVRM. Anders dan Promneftstroy c.s. hebben aangevoerd, bestaat geen aanleiding om daarover thans anders te beslissen. Er is weliswaar niet eerder expliciet beslist omtrent de mogelijkheid voor de aandeelhouders om zelfstandig in de hoger beroep-fase op te komen tegen het faillissementsvonnis, maar het hof ziet niet in in welk opzicht dat wel een effective remedy zou hebben opgeleverd. Aangenomen dat er dan een beslissing genomen zou zijn nadat die aandeelhouders hun visie hadden kunnen geven, zou de faillissementsrechter bij zijn beslissing over de voorliggende vraag of Yukos Oil failliet verklaard diende te worden immers nog steeds gebonden zijn geweest aan de reeds door de fiscale rechters genomen en in kracht van gewijsde gegane beslissingen en de op grond daarvan vaststaande belastingschulden. Ook zou nog steeds de wens van de schuldeisers hebben voorgelegen om Yukos Oil te laten failleren en geen gebruik te maken van de andere mogelijkheden die het Russische recht biedt (zoals de acceptatie van de voorstellen van het bestuur van Yukos Oil). Aan de omstandigheid dat de rechtsmiddelen niet volledig zijn uitgeput komt in deze bijzondere situatie dan ook geen relevante betekenis toe. Inhoudelijke toets met betrekking tot de fiscale procedures 4.24.
  12. Voor zover [bestuurder G] c.s. en [bestuurder M] een integrale toetsing van de Russische fiscale procedures door dit hof voorstaan voeren Promneftstroy c.s. terecht aan dat daarvoor in dit kader (de ‘erkenning’ van het faillissementsvonnis) geen ruimte bestaat, laat staan in dit stadium (na uitspraken van het EHRM en verwijzing door de Hoge Raad). Het hof blijft erbij dat aan schendingen van Russische (belasting)rechtsregels enkel betekenis kan worden toegekend bij de beantwoording van de vraag of het faillissementsvonnis inzake Yukos Oil niet erkend kan worden wegens strijd met de Nederlandse openbare orde, indien deze regels door de Russische autoriteiten zijn geschonden met het kennelijke oogmerk om betalingsonmacht en uiteindelijk het faillissement van Yukos Oil uit te lokken (zie rov. 5.4.2 van het tussenarrest van dit hof van 21 juni 2016). Het hof beoordeelt nu slechts of, mede in het licht van gegevens waarover het EHRM niet beschikte, dergelijke schendingen zijn vast te stellen. 4.24.
  13. Het gaat hierbij blijkens de stellingen van [bestuurder G] c.s. en [bestuurder M] in de kern om vier aspecten, te weten: de door Yukos Oil mogelijk ontdoken winstbelasting, de mogelijk ten onrechte niet afgedragen BTW, de wegens overtreding van de belastingregels opgelegde boetes en ten slotte de (wijze en het tempo van) inning van de aldus door Yukos Oil op grond van fiscaalrechtelijke beslissingen verschuldigde bedragen en de executieveiling van OAO Yuganskneftegaz (hierna: YNG). De winstbelasting 4.
  14. De stelling van [bestuurder G] c.s. en [bestuurder M] dat van belastingontduiking ter zake van de winstbelasting geen sprake is geweest, omdat Yukos Oil toegestaan gebruik heeft gemaakt van de mogelijkheden van in bepaalde regio’s (in het bijzonder Mordovië) bestaande gunstige belastingregels, wordt niet gebaseerd op nieuwe gegevens ten opzichte van het, uit de arresten van het EHRM en het procesdossier van het hof kenbare dossier van het EHRM. [bestuurder G] c.s. en [bestuurder M] stellen dat het EHRM de beschikbare gegevens, anders dan de door hen genoemde arbitrale colleges, niet goed heeft onderzocht en evenmin juist heeft gewaardeerd. Niet in geschil is dat aan de bedoelde arbitrale vonnissen (die overigens inmiddels vernietigd zijn wegens onbevoegdheid van de arbiters) geen gezag van gewijsde in deze procedure toekomt. Die vonnissen hebben hoogstens vrije bewijskracht. Voor zover [bestuurder G] c.s. en [bestuurder M] met hun uitvoerige verwijzingen naar die arbitrale vonnissen hebben bedoeld te stellen dat aan vaststelling van enig feit door de arbiters in die vonnissen de betekenis toekomt dat dat feit in deze procedure als vaststaand kan worden aangemerkt, wordt die stelling niet gevolgd. 4.
  15. In de Russische Federatie is tot in hoogste instantie over deze kwestie geprocedeerd. Het EHRM heeft daaraan vele overwegingen gewijd, waarbij de situatie grondig is onderzocht. Concluderend overweegt het EHRM daarover dat op dit punt geen sprake is van willekeurige of onredelijke beslissingen en dat van schending van het EVRM en bijbehorend Eerste Protocol (behoudens met betrekking tot de reeds genoemde punten op procedureel gebied) geen sprake is geweest. De relevante overwegingen luiden: “ii. The allegation that the Tax Assessments 2000-2003 had not been based on a reasonable and foreseeable interpretation of the domestic law (…)
  16. Turning to the first question, the Court would note at the outset that the applicant company disputed the findings of the domestic courts concerning the nature of relations between the applicant company and its trading entities. In view of its conclusion that the tax assessment proceedings in respect of the year 2000 did not comply with the requirements of Article 6 §§ 1 and 3 (b) of the Convention, the Court is required to decide whether the factual assessments made by the domestic courts could be used for the purposes of its legal analysis under Article 1 of Protocol No.
  17. In this respect, the Court reiterates that according to its well established case-law it is not its task to take the place of the domestic courts, which are in the best position to assess the evidence before them and establish the facts. The Court will not, in principle, intervene, unless the decisions reached by the domestic courts appear arbitrary or manifestly unreasonable (…) or if the court decisions have been issued in ''flagrant denial of justice" (…) the Court has little doubt that the factual conclusions of the domestic courts in the Tax Assessment proceedings 2000-2003 were sound. The factual issues in all of these proceedings were substantially similar and the relevant case files contained abundant witness statements and documentary evidence to support the connections between the applicant company and its trading companies and to prove the sham nature of the latter entities (…). The applicant company itself did not give any plausible alternative interpretation of this rather unambiguous evidence, as examined and accepted by the domestic courts.
  18. From the findings of the domestic courts and the parties' explanations, the Court notes that the company's "tax optimisation techniques" applied with slight variations throughout 2000-2003 consisted of switching the tax burden from the applicant company and its production and service units to letter-box companies in domestic tax havens in Russia. These companies, with no assets, employees or operations of their own, were nominally owned and managed by third parties, although in reality they were set up and run by the applicant company itself. In essence, the applicant company's oil-producing subsidiaries sold the extracted oil to the letter-box companies at a fraction of the market price. The letter-box companies, acting in cascade, then sold the oil either abroad, this time at market price or to the applicant company's refineries and subsequently rebought it at a reduced price and re-sold it at the market price. Thus, the letter-box companies accumulated most of the applicant company's profits. Since they were registered in domestic low-tax areas, they enabled the applicant company to pay substantially lower taxes in respect of these profits. Subsequently, the letter-box companies transferred the accumulated profits unilaterally to the applicant company as gifts. The Court observes that substantial tax reductions were only possible through the mixed use and simultaneous application of at least two different techniques. The applicant company used the method of transfer pricing, which consisted of selling the goods from its production division to its marketing companies at intentionally lowered prices and the use of sham entities registered in the domestic regions with low taxation levels and nominally owned and run by third persons (…).
  19. The domestic courts found that such an arrangement was at face value clearly unlawful domestically, as it involved the fraudulent registration of trading entities by the applicant company in the name of third persons and its corresponding failure to declare to the tax authorities its true relation to these companies (…). This being so, the Court cannot accept the applicant company's argument that the letter-box entities had been entitled to the tax exemptions in question. For the same reason, the Court dismisses the applicant company's argument that all the constituent members of the Yukos group had made regular tax declarations and had applied regularly tor tax refunds and that the authorities were thus aware of the functioning of the arrangement. The tax authorities may have had access to scattered pieces of information about the functioning of separate parts of the arrangement, located across the country, but, given the scale and fraudulent character of the arrangement, they certainly could not have been aware of the arrangement in its entirety on the sole basis on the tax declarations and requests tor tax refunds made by the trading companies, the applicant company and its subsidiaries.
  20. The arrangement was obviously aimed at evading the general requirements of the Tax Code, which expected taxpayers to trade at market prices (…), and by its nature involved certain operations, such as unilateral gifts between the trading companies and the applicant company through its subsidiaries, which were incompatible with the rules governing the relations between independent legal entities (…) Thus, the Court cannot agree with the applicant company's allegation that its particular way of "optimising tax" had been previously examined by the domestic courts and upheld as valid or that it had used lawful "tax optimisation techniques" which were only subsequently condemned by the domestic courts. The above considerations are sufficient for the Court to conclude that the findings of the domestic courts that applicant company's tax arrangements were unlawful at the time when the company had used them, were neither arbitrary nor manifestly unreasonable.
  21. The Court will now turn to the question whether the legal basis for finding the applicant company liable was sufficiently accessible, precise and foreseeable. (…) the domestic courts essentially reasoned as follows. The courts established that the trading companies had been sham and had been entirely controlled by the applicant company and accordingly reclassified the transactions conducted by the sham entities as transactions conducted in reality by the applicant company.
  22. The courts first decided that the transactions of the sham entities failed to meet the requirements of Article 39 of the Tax Code defining the notion of a sales operation (…) as well as Article 209 of the Civil Code describing essential characteristics of an owner of goods (…). In view of the above and relying on Article 10

(3)of the Civil Code which established a refutable presumption of good faith and reasonableness of actions of the parties in commercial transactions (…), the courts then changed the characterisation of the sales operations of the sham entities. They decided that these were in reality conducted by the applicant company and that it had been incumbent on the latter to fulfil the corresponding obligation to pay various taxes on these activities. Finally, the courts noted that the setting up and running of the sham arrangement by the applicant company resulted in an understating of the taxable base of its operations and, as a consequence, the intentional non-payment of various taxes, which was punishable as a tax offence under Article 122 of the Tax Code (…). 597. Having regard to the applicable domestic law, the Court finds that contrary to the applicant company's assertions, it is clear that under the then rules contractual arrangements made by the parties in commercial transactions were only valid in so far as the parties were acting in good faith and that the tax authorities had broad powers in verifying the character of the parties' conduct and contesting the legal characterisation of such arrangements before the courts. This was made clear not only by Article 10
(3)of the Civil Code relied on by the domestic courts in the Tax Assessment proceedings, but also by other relevant and applicable statutory provisions which were available to the applicant company and other taxpayers at the time. Thus, Article 45
(2)3 of the Tax Code explicitly provided the domestic courts with the power to change the legal characterisation of transactions and also the legal characterisation of the status and activity of the taxpayer, whilst section 7 of the Law on the Tax Authorities of the Russian Federation granted the right to contest such transactions to the tax authorities (…). In addition, the caselaw referred to by the Government indicated that the power to recharacterise or to cancel bad faith activities of companies existed and had been used by the domestic courts in diverse contexts and with varying consequences for the parties concerned since as early as 1997 (…)
  1. Overall, having regard to the margin of appreciation enjoyed by the State in this sphere and the fact that the applicant company was a large business holding which at the relevant time could have been expected to have recourse to professional auditors and consultants (…), the Court finds that there existed a sufficiently clear legal basis for finding the applicant company liable in the Tax Assessments 2000-
  2. (…)” 4.
  3. Het hof schaart zich achter die conclusie. Het onderzoek van het EHRM betreft voor zover kenbaar dezelfde gegevens als die aan dit hof zijn voorgelegd. Er is door het EHRM vastgesteld en toegelicht dat sprake is geweest van grootschalige en langdurige belastingontduiking ter zake van de winstbelasting met gebruikmaking van juridische entiteiten zonder werkelijke activiteiten (de sham entities, hierna ook schijnvennootschappen genoemd), die slechts dienden om de handelwijze van Yukos Oil te faciliteren en te verhullen. Aangenomen moet derhalve worden dat de Russische fiscale en rechterlijke autoriteiten Yukos Oil de belastingaanslagen in kwestie konden en mochten opleggen respectievelijk in stand laten en dat daaraan in zoverre voor de toets die in deze procedure moet plaatsvinden (zie hiervoor rov. 4.14.1-4.14.3) geen betekenis kan worden toegekend. De Russische omzetbelasting (BTW) 4.
  4. Aangaande de BTW-aanspraken jegens Yukos Oil en de tot haar concern behorende vennootschappen hebben [bestuurder G] c.s. en [bestuurder M] gesteld (Nadere memorie 19 januari 2010, randnummer 189): “Eerst werd door de productiemaatschappijen de olie uit de bodem gehaald. Deze ruwe olie werd verkocht aan de handelsvennootschap. Over deze transactie werd BTW in rekening gebracht, die door de handelsvennootschap (als afnemer) werd betaald en door de productiemaatschappij (als leverancier) werd afgedragen. Vervolgens liet de handelsvennootschap de ruwe olie raffineren en bewerken tot olieproducten door een van de raffinaderijen in de groep. Voor die raffinage en bewerking betaalde de handelsvennootschap een vergoeding aan de raffinaderij, en ook over die transactie wordt BTW in rekening gebracht, die door de handelsvennootschap (als afnemer) werd betaald en door de raffinaderij (als leverancier) werd afgedragen. Vervolgens verkocht de handelsvennootschap de olieproducten aan het buitenland; over die transactie was geen (dan wel 0%) BTW verschuldigd. De exporterende handelsvennootschap kon echter wel de door haar aan haar wederpartijen betaalde BTW terugvorderen (in vooraftrek brengen). Daartoe was vereist het bewijs enerzijds dat de betreffende verkopen niet aan BTW-heffing onderhevig waren (respectievelijk onder het 0% tarief vielen), en anderzijds dat over de inkopen BTW was afgedragen. De handelsvennootschappen waren derhalve netto BTW-ontvangers. Gezien de grote bedragen waarom het ging moest de toestemming voor de teruggaven door de centrale belastingdienst worden gegeven.” In dit randnummer is verder vermeld dat maandelijks om teruggave van afgedragen BTW werd verzocht. Nu dit feitelijk relaas niet is betwist staat het vast. Een zeer groot deel van de vordering van de Russische fiscus bestond niet uit winstbelasting, maar uit BTW (ruim US$ 13 miljard, inclusief boetes, derhalve circa 55% van de totale belastingvordering) over de ruwe olie en/of de na raffinage en bewerking verkregen producten (hierna tezamen als olieproducten aan te duiden). De achtergrond van deze vordering was dat de Russische belastingautoriteiten de verkoop en levering van olieproducten naar het buitenland door de schijnvennootschappen aan Yukos Oil heeft toegerekend, terwijl Yukos Oil niet op de geëigende wijze een verzoek tot vrijstelling/toepassing van het nultarief had ingediend. 4.29.
  5. Bij wijze van achtergrond is het volgende relevant. Zoals hiervoor reeds is overwogen staat vast dat destijds in de Russische Federatie, zoals ook in Nederland geldt en elders in Europa niet ongebruikelijk is, geen BTW verschuldigd was ten aanzien van de verkoop en levering van producten naar het buitenland. Om in de Russische Federatie de afgedragen BTW terug te ontvangen diende de betrokken verkoper (in casu de handels- of schijnvennootschap), met bijvoeging van bepaalde bewijsstukken en met inachtneming van diverse wettelijk voorgeschreven formaliteiten, maandelijks verzoeken tot teruggave van de - bij wege van voorheffing reeds betaalde - BTW in. De fiscus gaf dan, na controle van de formaliteiten en de stukken, aan de aanvrager de BTW terug. Per saldo ontving de Russische Federatie dus over die (export)transacties geen BTW. 4.29.
  6. Vast staat in dit geval, dat grote hoeveelheden olieproducten zijn uitgevoerd en dat de schijnvennootschappen daarvoor op de zojuist geschetste wijze formeel correct BTW-teruggaven hebben verzocht, welke verzoeken zijn gehonoreerd. Dat over die (export)transacties per saldo geen BTW betaald was, was geheel in overeenstemming met de werkelijke aard daarvan. Van BTW-fraude, bijvoorbeeld in de vorm van een carrousel (waar op frauduleuze wijze gebruik gemaakt wordt van vrijstelling/het nul-tarief voor verkoop aan het buitenland, terwijl er in feite geen export of verkoop en levering aan een buitenlandse koper plaatsvindt) was, naar niet in geschil is, geen sprake. 4.29.
  7. De Russische fiscus achtte echter de ontstane situatie in strijd met de Russische belastingregels, omdat de schijnvennootschappen de teruggaven van door hen afgedragen BTW hadden gevraagd en ook de daarmee gemoeide gelden hadden teruggekregen, terwijl zij spookentiteiten waren, waarachter Yukos Oil schuil ging. Het was immers in werkelijkheid Yukos Oil die in de olieproducten handelde. De schijnvennootschappen waren alleen ten tonele gevoerd om op de hiervoor besproken wijze de winstbelasting te ontduiken. De fiscus stelde zich daarom op het standpunt dat de verzoeken tot vrijstelling (over 2000), dan wel toepassing van het nultarief (over de jaren daarna, de belastingwetgeving was op dit punt gewijzigd), hierna samen aan te duiden als toepassing van het nultarief, achteraf gezien onjuist waren omdat zij niet door Yukos Oil waren ingediend. Toen Yukos Oil later, in 2004, alsnog verzoeken tot toepassing van het nultarief deed over de jaren 2000 tot en met 2003 had zij daarbij niet de vereiste facturen en andere stukken (met name (bank)bescheiden waaruit bleek dat voor de olieproducten was betaald en de olieproducten door haar waren geleverd/geëxporteerd) gevoegd en ook had zij jaaropgaven in plaats van maandopgaven gedaan. Op grond hiervan concludeerden de fiscus en de aangezochte (belasting)rechters dat Yukos Oil geen recht op toepassing van het nultarief ten aanzien van de BTW had; zij moest de BTW waarvoor de diverse schijnvennootschappen over de betrokken jaren op basis van het nultarief waren aangeslagen alsnog betalen. Het saldo van de daarmee gemoeide bedragen vormt de BTW-schuld; deze is voorts nog aanzienlijk verhoogd met boetes, welke boetes in de latere jaren hoger waren in verband met, kort gezegd, opzet en/of recidive (oplopend tot 80% over 2004). 4.
  8. In de EHRM-procedure heeft het BTW-aspect slechts in zeer beperkte mate aandacht gekregen. De relevante overwegingen luiden: “
  9. The applicant company further argued that the denial of tax benefits to the trading companies and the failure to repay VAT in respect of the export of oil and oil products had been unlawful and unsubstantiated. The applicant argued that the Ministry had known about all of the trading companies' transactions because of their monthly VAT returns and regular requests for tax refunds, and that since all of the traded oil had been for export and exempt from VAT its use of tax arrangements with the trading companies had not achieved any savings in this connection. Both in its initial application to the Court and in further submissions on the admissibility of the case, the applicant company expressed dissatisfaction with the domestic courts' refusal to recalculate the amount of the VAT due in the relevant Tax Assessment proceedings, purportedly as a result of the company's failure to file for VAT refunds in its own name. In its final submissions to the Court at the hearing on 4 March 2010, the company alleged that on 31 August 2004 it had filed the VAT exemption forms in its own name for each of the years 2000 to

  11. As regards the VAT repayments, the Government insisted that the domestic law clearly adopted an approach whereby the owner of the goods in question should apply for any VAT reductions and relied on judgment no. 12-P of the Constitutional Court, dated 14 July 2003, and the extensive case-law of the commercial courts to substantiate their point. They also referred to rules in the UK and France to show that these countries used essentially the same approach in respect of VAT refunds. More generally, the Government also argued that the refusal to grant VAT repayment was a direct consequence of the company's own recklessness in operating its tax optimisation plans and that it had failed to make any attempts to comply with the legal requirements for VAT refunds even after the tax fraud had been exposed. The Government submitted that the applicant company had never made any applications tor VAT refunds in its own name. (…)
  12. Lastly, the Court observes that the applicant company made a number of additional arguments under this head. In particular, it also alleged that there was no basis in law to deny the repayment of VAT in respect of the export of oil and oil products, that the domestic courts had failed to apply Articles 20 and 40 of the Tax Code, (…)
  13. The Court notes that both Section 5 of Law no. 1992-1 of 6 December 1991 "On Value-Added Tax" governing the relevant sphere until 1 January 2001 as well as Article 165 of the Tax Code applicable to the subsequent period provided unequivocally that a zero rate of value added tax in respect of exported goods and its refund could by no means be applied automatically, and that the company was required to claim the tax exemptions or refunds under its own name under the procedure set out initially in Letter no. B3-8-05/848, 04-03-08 of the State Tax Service of Russia and the Ministry of Finance and subsequently in Article 176 of the Tax Code to substantiate the requests in order to obtain the impugned refunds (…). In view of the above, the Court finds that the relevant rules made the procedure for VAT refunds sufficiently clear and accessible for the applicant company to able to comply with it.
  14. Having examined the case file materials and the parties' submissions, including the company's allegation made at the hearing on 4 March 2010 that it had filed the VAT exemption forms for each of the years 2000 to 2003 on 31 August 2004, the Court finds that the applicant company failed to submit any proof that it had made a properly substantiated filing in accordance with the established procedure, and not simply raised it as one of the arguments in the Tax Assessment proceedings, and that it had then contested any refusal by the tax authorities before the competent domestic courts (…). The Court concludes that the applicant company did not receive any adverse treatment in this respect. (…)” Bij de conclusie dat van schendingen van het EVRM (en het bijbehorende Eerste Protocol) geen sprake is geweest, heeft voor het EHRM kennelijk zwaar gewogen dat niet gebleken was dat Yukos Oil tijdig een ordentelijk gesubstantieerde aanvraag (voor toepassing van het nultarief in het kader van de BTW-heffing) had ingediend en vervolgens tegen een afwijzing daarvan in de Russische Federatie is opgekomen. 4.
  15. [bestuurder G] c.s. en [bestuurder M] menen dat aldus oordelend het EHRM heeft miskend dat wel degelijk sprake was van strijd met het EVRM. Het gaat volgens hen niet aan om, terwijl het materiële resultaat geheel in overeenstemming is met de werkelijke situatie (geen BTW-inkomsten voor de Russische Federatie omdat de desbetreffende olieproducten geëxporteerd waren), toch Yukos Oil aan te spreken voor een BTW-schuld. Omdat bij de vennootschappen in kwestie in het kader van de winstbelasting een substance over form aanpak was gehanteerd kon de fiscus niet hier een form over substance benadering kiezen. Dat geldt te meer omdat de autoriteiten wisten dat Yukos Oil achteraf niet in staat was nog correcte verzoeken in te dienen, omdat de in te dienen bewijsstukken (koopovereenkomsten, facturen en bankbescheiden) niet op haar naam maar op naam van de vennootschappen in kwestie stonden. De Russische rechter had in elk geval kunnen (en moeten) ingrijpen, want in de Russische jurisprudentie was al eerder aanvaard dat in gevallen waar vast stond dat geen BTW verschuldigd was een minder formele benadering geïndiceerd kon zijn (zie hierna onder 4.35.5), aldus [bestuurder G] c.s. en [bestuurder M] . 4.
  16. Promneftstroy c.s. stellen zich op het standpunt dat er geen reden is om af te wijken van het oordeel van het EHRM. De BTW kent zowel in de Russische Federatie als in andere landen, zoals Nederland, een uitermate formalistische benadering, die rechtstreeks samenhangt met de aard van die (fraudegevoelige) belasting. Dat Yukos Oil zich aan de toepasselijke formaliteiten niet had gehouden in die zin dat zij de (aangiftes en) aanvragen niet op haar eigen naam had gezet was haar eigen keuze, aldus wilde zij kennelijk de constructie met de schijnvennootschappen verborgen (blijven) houden. Die lijn heeft Yukos Oil lang na ontdekking van de fraude nog voortgezet. De herstelaanvragen heeft zij pas in 2004 en ook nog foutief gedaan. Er was dan ook, in het kader van een eerlijk proces, geen reden om Yukos Oil ter wille te zijn. Dat gebeurde in andere Russische procedures, jegens andere belastingplichtigen, ook niet, aldus Promneftstroy c.s. 4.33.
  17. In geval van toetsing aan artikel 1 Eerste Protocol gaat het EHRM na of een door de Staat getroffen maatregel (i) berust op een deugdelijke en voorzienbare wettelijke basis, (ii) deze een legitiem doel in het algemeen belang dient en (iii) gegeven de omstandigheden proportioneel is. In kwesties die belastingheffing en -inning betreffen wordt deze relatief terughoudende toets sterker begrensd door het bepaalde in de laatste zin van bedoeld artikel die luidt: The preceding provisions shall not, however, in any way impair the right of a State to enforce such laws as it deems necessary to control the use of property in accordance with the general interest or to secure the payment of taxes or other contributions or penalties. Zoals blijkt uit rov. 558 van het EHRM-arrest van 20 september 2011 (zie hiervoor onder 4.19.2) leidt dit er toe dat met name waar het de ‘lawfulness’ (het onder i bedoelde vereiste) betreft, de desbetreffende Staat een ruimere beoordelingsmarge wordt toegestaan. 4.33.
  18. Voor de Nederlandse rechter die de rechtspleging en het handelen van de fiscale autoriteiten toetst behoeven de beperkingen die dit toetsingskader meebrengt niet zonder meer die (versterkte) begrenzende rol te spelen, maar het EHRM houdt zich daaraan. Die algemene positie van het EHRM is voor dit hof in het arrest van 19 oktober 2010 aanleiding geweest om in rov. 3.6.7 en 3.6.8 alvast de gevolgen die aan het oordeel van het EHRM kunnen worden verbonden te bespreken. In dat kader is overwogen dat de enkele omstandigheid van ongegrond verklaring van een klacht door het EHRM (omtrent schending van art. 6 EVRM en/of art. 1 Eerste Protocol) in verband met die insteek van het EHRM niet uitsluit dat dit hof vaststelt dat toch geen behoorlijke rechtspleging (in ruime zin) heeft plaatsgevonden. 4.
  19. Voor de bepaling van de aan de uitspraken van de EHRM op het punt van de BTW toe te kennen betekenis is derhalve naast het al dan niet gelijke feitensubstraat (zie rov. 4.22), waarop hierna zal worden ingegaan, van belang hoezeer de door het EHRM verrichte toets ratione materiae aan beperkingen onderhevig is geweest. Aangenomen moet worden dat het EHRM op het punt van de BTW in voormelde zin terughoudend heeft getoetst, terwijl naar Nederlands recht de beginselen van behoorlijke rechtspleging, zowel in materiële als formele zin, evenzeer van toepassing zijn als het gaat om procedures met betrekking tot (heffing van) belastingen als hier aan de orde. 4.35.
  20. Wat het feitenmateriaal aangaande de BTW-heffing betreft kan het hof niet anders concluderen dan dat dit in dit geding (aanzienlijk) uitgebreider is dan hetgeen dienaangaande aan het EHRM is voorgelegd. Het hof overweegt omtrent dit feitenmateriaal als volgt. 4.35.
  21. Hoewel het niet aan dit hof is om (voor zover daarvoor in processueel opzicht de ruimte zou bestaan, zie rov. 4.24.1) de beslissingen van de Russische belastingrechters ten gronde en uitputtend te onderzoeken en evenmin om in detail op de Russische belastingwet en -jurisprudentie over de hier aan de orde zijnde materie in te gaan, is voor de daaraan wel te wijden beschouwing van belang dat Promneftstroy c.s. en [bestuurder G] c.s. zich voor hun tegengestelde standpunten ieder beroepen op deskundigenrapporten, [bestuurder G] c.s. op drie rapporten van D.P. Holiner, advocaat in de Russische Federatie en in het Verenigd Koninkrijk en gespecialiseerd in het Russische belastingrecht (hierna: Holiner) alsmede op een rapport van prof. P.B. Stephan, hoogleraar Russisch- en Sovjetrecht (hierna: Stephan), en Promneftstroy c.s. op twee rapporten van M.A. Sokolova, accountant (bij onder meer Ernst & Young) en eveneens gespecialiseerd in het Russische belastingrecht (hierna: Sokolova). 4.35.
  22. Deze experts zijn het erover eens dat voor toepassing van het nultarief in geval van export (naar buiten de Russische Federatie) van de betrokken zaken, uitgebreide en strikte regels en formaliteiten gelden (neergelegd in art. 165 Russische Tax Code, respectievelijk voor 2001 in de USSR wet 1992-1, art 5
(1)a). Vastgesteld wordt dat dit soort BTW-teruggaven notoir fraudegevoelig zijn, hetgeen niet alleen in de Russische Federatie, maar ook in andere landen geldt. Zij zijn het er ook over eens dat voor een dergelijke teruggave een verzoek gedaan moet worden, dat deze verzoeken normaliter per maand of kwartaal gedaan worden en dat, uiteindelijk, Yukos Oil zelf een dergelijk verzoek heeft gedaan. 4.35.
  1. Sokolova verdedigt op basis van die uitgangspunten en het dossier van Yukos Oil vervolgens de opvatting dat de Russische autoriteiten, zowel de fiscus als de rechter, de beslissingen hebben genomen die gezien de stand van het Russische recht te verwachten en juist waren. Bij het verzoek en de opgave van Yukos Oil in 2004 waren niet de juiste documenten gevoegd. Voorts was sprake van een opgave per jaar (in plaats van per maand of kwartaal), zodat het voor de Russische autoriteiten erg lastig was om het verzoek om teruggave te vergelijken met de administratieve gegevens; daarmee hoefde geen genoegen te worden genomen en dat werd en wordt ook in andere gevallen niet geaccepteerd. Er is inderdaad een formeel oordeel geveld, maar dat is en was ook toen in geval van het tegengaan van fraude naar Russisch recht toegestaan en gebruikelijk. Zij verwijst naar een aantal beslissingen, onder meer een beslissing van 7 juni 2005 van de Federal Arbitrazh Court of the Moscow Region (productie 42 bij haar eerste rapport) en een beslissing van 6 september 2005 van de Federal Arbitrazh Court Central Region (productie 43 bij dat rapport). 4.35.
  2. Holiner baseert op diezelfde uitgangspunten en dossier zijn standpunt dat de Russische autoriteiten zich extreem formalistisch hebben opgesteld, een in het Russische recht tot dan toe onbekend principe hebben toegepast en over Yukos Oil veel strenger hebben geoordeeld dan normaliter in dit verband gebeurt. Hij wijst erop dat Yukos Oil een zeer grote belastingbetaler was. Hij stelt dat hij geen enkel precedent kan vinden waarin de rechter in een vergelijkbaar geval zo streng is geweest. De door Sokolova aangehaalde gevallen zien voor een deel op heel andere kwesties en voor zover zij relevant zouden kunnen zijn steeds op gevallen van BTW-fraude. Dat Yukos Oil BTW-fraude zou hebben gepleegd in de zin dat zij (of haar handelsvennootschappen) middels listige kunstgrepen de onjuiste indruk wekten dat recht bestond op toepassing van het nultarief terwijl dat in feite niet zo was, is Yukos Oil nooit verweten. De jurisprudentie, die zeer streng is in gevallen waarin dergelijke fraudes wel aan de orde zijn, is dan ook in het geval van Yukos Oil niet toepasselijk. Hij wijst er voorts op dat Yukos Oil, althans de handelsvennootschappen, ook al exportrechten ter zake van de olieproducten in kwestie hadden betaald. De rapportage van Stephan sluit aan bij die van Holiner. 4.
  3. Uit de door de experts overgelegde beslissingen - waaronder met name de beslissing van 14 juli 2003 van de Constitutional Court of the Russian Federation (productie 10 bij het Sokolova I rapport), ook genoemd door het EHRM, en de beslissing van datzelfde gerecht (No. 14-P § 4) van 28 oktober 1999, (productie 251 M) - volgt in elk geval, dat het Constitutionele Hof in de Russische Federatie al voor de Yukos Oil kwestie, ook in BTW-zaken, ruimte zag voor een niet geheel letterlijke uitleg en toepassing van de wet als het gaat om de over te leggen stukken: als uit het beschikbare en ingediende bewijsmateriaal de relevante informatie voldoende duidelijk blijkt bestaat ruimte voor het rekening houden met de daadwerkelijke situatie. Uit de door Sokolova genoemde beslissing van de Federal Arbitrazh Court of the Moscow Region van 7 juni 2005 (productie 42 bij haar eerste rapport) blijkt voorts, dat een belastingplichtige die verzuimd heeft relevante bescheiden aan de fiscus te overleggen in het kader van een BTW-teruggave, dat alsnog gedurende de gerechtelijke procedure mag doen, waarna de rechter daarmee dan rekening dient te houden. 4.
  4. Rekening houden met later ingediende stukken en met de werkelijke feitelijke situatie wilde de Russische belastingrechter echter niet doen in het geval van Yukos Oil blijkens de beslissing jegens Yukos Oil van de Moscow City Arbitrazh Court van 16 december 2004 (gefinaliseerd op 23 december 2004). In de daarna gevolgde beslissingen van hogere rechterlijke colleges is hierop niet teruggekomen. Het Hof van Cassatie heeft in zijn, door het EHRM besproken, beslissing van 17 september 2004 in een separate procedure met name overwogen dat het Yukos Oil was die als werkelijke eigenaar van de olieproducten in kwestie voor alle daarmee samenhangende belastingen en ook de BTW aansprakelijk was. Dat hof heeft echter niet toegelicht waarom in dit geval geen ruimte bestond om rekening te houden met de inmiddels wel ingediende verzoeken van Yukos Oil; in die verzoeken (van 27 respectievelijk 31 augustus 2004), had Yukos Oil zelf, onder overlegging van de beschikbare bewijsstukken, om toepassing van het nultarief gevraagd, waarop de belastingautoriteiten afwijzend gereageerd hadden. Aldus hebben de Russische autoriteiten, hoewel voldoende bewijs bestond van de export van de olieproducten en de, volgens de toegepaste redeneerlijn, daadwerkelijke belastingplichtige Yukos Oil inmiddels verzoeken tot toepassing van het nultarief had ingediend, de door het Constitutional Court acceptabel geachte souplesse niet betracht, zonder dat dit is toegelicht en ongeacht de zeer grote daarbij betrokken bedragen. 4.38.
  5. In aanmerking nemend het door het EHRM gehanteerde (terughoudende) toetsingskader (rov. 4.33.1, 4.33.2 en 4.34), de omstandigheid dat aan dit hof meer en ander bewijsmateriaal is voorgelegd en het hiervoor in rov. 4.35.2-4.37 besprokene is er onvoldoende reden om de beslissing van het EHRM (voor zover die inhoudt dat aan de eisen van behoorlijke rechtspleging (in ruime zin) in voldoende mate is voldaan) ook op dit punt te volgen. 4.38.
  6. Alles beschouwend is immers de conclusie gewettigd dat de wijze waarop de Russische autoriteiten met de BTW-problematiek zijn omgegaan in redelijkheid niet past bij een normale, zorgvuldige en voorzienbare wijze van belastinginning, ook niet als daarbij betrokken wordt dat de belastingplichtige in het kader van andere toepasselijke belastingwetgeving gefraudeerd heeft en dat de verzoeken van Yukos Oil om toepassing van het nultarief in eigen naam op een laat tijdstip zijn gedaan en (kennelijk) in een lopende procedure zijn ingebracht in plaats van door middel van separate verzoeken. Dat de fiscus aanspraak maakt op betaling van BTW die - naar de fiscus bekend is - materieel niet verschuldigd is, desondanks BTW-aanslagen oplegt en niet bereid is een verzoek om toepassing van het nul-tarief met de beschikbare bewijsstukken voldoende te achten, alsmede dat vervolgens de rechter hiertegen gerichte klachten niet honoreert hoewel de rechtspraak van het Constitutionele Hof daarvoor de ruimte biedt, doet vermoeden dat er een ander doel dan belastingheffing werd nagestreefd. Aangenomen moet worden dat indien sprake was geweest van een ordentelijke belastingheffing conform de geldende regels en een daarop volgende behoorlijke rechtspleging die zag op een zodanige belastingheffing, de in 2004 door Yukos Oil ingediende aanvragen door de fiscus en de rechter tenminste nader inhoudelijk onderzocht zouden zijn, in plaats van afgewezen omdat de juiste bewijsstukken ontbraken. Daarbij speelt mee dat voor de betrokken instanties zonder meer duidelijk moet zijn geweest dat de door Yukos Oil bij haar verzoek volgens strikte interpretatie van de wet over te leggen stukken niet bestonden (de koopovereenkomsten en verkoop- en betalingsadministratie stonden niet op naam van Yukos Oil maar op die van de schijnvennootschappen), en dat dat probleem was ontstaan door een duiding achteraf van Yukos Oil als belastingplichtige partij. Het vasthouden aan de formele eis aangaande de over te leggen documenten en meer in het algemeen aan de strikte formele eisen in plaats van het toepassen van de substance over form-leer die ten aanzien van de winstbelasting was gehanteerd leidde daarmee tot apert onredelijke resultaten, nu de vereiste stukken niet bestonden en, zoals gezegd, pas nodig geworden waren als gevolg van de duiding die de fiscus achteraf gaf aan de (partij bij de) transacties. De beschikbare remedies, het accepteren van andere stukken waaruit de betalingen en de andere relevante gegevens bleken, zijn niet benut, hoewel Yukos Oil daarom wel verzocht had. Dat Yukos Oil haar eigen verzoek tot toepassing van het nultarief in 2004 heeft gedaan, was volgens Holiner toelaatbaar. Ook Solokova noemt dat moment niet als probleem. Partijen zijn het er dus kennelijk over eens dat het tijdstip van de indiening daarvan op zichzelf niet de reden was waarom het verzoek werd afgewezen. Dat Yukos Oil dat verzoek pas laat heeft gedaan, omdat dat verzoek niet paste bij haar ontkenning dat zij winstbelasting was verschuldigd is dan ook niet relevant. Een en ander heeft ertoe geleid dat de fiscus aanspraak kreeg op een zeer aanzienlijk BTW-bedrag, wetende dat hij daar realiter geen recht op had. Het is en was ook toen immers niet in geschil dat de olieproducten daadwerkelijk aan buitenlandse afnemers waren verkocht en geleverd, dat BTW aangifte was gedaan, dat de verschuldigde BTW was voldaan en vervolgens verzoeken tot teruggave van die betaalde BTW overeenkomstig de regels zijn gedaan, gevolgd door teruggave van die BTW door de Russische fiscus. 4.38.
  7. Anders dan het EHRM - dat in de Russische rechtspraak (geciteerd in rov. 331-336 van zijn beslissing) kennelijk een zeer strikte lijn ziet als het gaat om het naleven van de formaliteiten van art. 165 van de Tax Code en de USSR wet 1992-1, art 5
(1)a ingeval van het toepassen van het nultarief (en/of BTW-teruggave) - heeft dit hof in de daar genoemde beslissingen met name een strakke lijn ontwaard waar het, anders dan hier aan de orde, BTW-fraude als hiervoor nader geduid (carrousels etcetera) betreft. Bovendien moet ook hier worden bedacht dat aan het EHRM aangaande de verzoeken van Yukos Oil in 2004 tot toepassing van het nultarief van de BTW over de geëxporteerde olieproducten kennelijk niet meer materiaal was voorgelegd dan de mededeling ter zitting inzake deze verzoeken. De boetes 4.
  1. In de procedure bij het EHRM had Yukos Oil aangevoerd dat de boetes en opslagen in verband met de belastingaanslagen over 2000 en 2001 niet hadden mogen worden opgelegd, zeker niet tot de opgelegde bedragen. Het EHRM heeft daarover, uitgebreid gemotiveerd, beslist dat die boetes/opslagen inderdaad ten dele te hoog waren. Die beoordeling, die door geen van partijen gemotiveerd ter discussie is gesteld, maakt dit hof tot de zijne. Daaraan wordt toegevoegd dat nu de BTW als niet verschuldigd wordt aangemerkt ook de daarover geheven boetes, zowel de enkelvoudige van 20% als de verhoogde van 40% (opzet) en 80% (opzet en recidive), niet verschuldigd waren. De veiling van YNG 4.
  2. Een belangrijk element van de argumentatie van [bestuurder G] c.s. en [bestuurder M] is tenslotte gelegen in de wijze waarop is omgegaan met de executie van de hiervoor besproken belastingaanslagen, in het bijzonder de daartoe gehouden veiling van YNG. Het EHRM heeft daarover geoordeeld dat op zichzelf het veilen van vermogensbestanddelen van Yukos Oil niet onredelijk was en dat ook de keuze voor YNG te billijken viel. De relevante overwegingen luiden: “B. The complaints about the enforcement of the debt resulting from the Tax Assessments 2000-2003(…)
  3. The applicant company was also of the view that the sale of OAO Yuganskneftegaz had been unlawful, disproportionate and had resulted in gross undervaluing by means of a clearly controlled auction with the unlawful participation of a sham bidder, OOO Baykalfinansgrup. It disagreed with the decision to sell OAO Yuganskneftegaz, arguing that under the domestic legislation OAO Yuganskneftegaz should have been the last item to be auctioned, and that the auction had been incapable of generating a reasonably good price because of the limited number of candidates, the widespread perception of the need for political support to acquire the item in question and insufficient time for preparation. The applicant company was also dissatisfied with the decision to sell only the voting shares of OAO Yuganskneftegaz, as opposed to all of the shares. The company argued that even though the authorities put no open obstacles in the path of potential buyers, there had been practical obstacles, such as the need for the buyers to comply with internal corporate procedures and to request anti-competition clearance.
  4. More generally, the applicant company viewed the auction as a sham, because OAO Gazprom, OAO Rosneft (both State-owned companies with considerable involvement of State officials in their day-to-day management), the organisers of the auction and the bailiffs were acting in concert. It also relied on interviews by the then President of Russia and argued that the State banks had financed the acquisition and that the State had failed to apply anti-monopoly laws in connection with the auction. The company argued that its actions in the US bankruptcy court had had no effect on the outcome of the auction of OAO Yuganskneftegaz because neither OAO Rosneft nor OOO Baykalfinansgrup had applied for participation before the company filed for bankruptcy in the U.S.
  5. The applicant company argued that the above circumstances showed that the proceedings against it, taken as a whole, were abusive in that the State clearly wanted to destroy the company and to take control of its assets. (…)
  6. (…) The Government maintained that instead of selling its foreign assets to meet its tax debts the applicant company simply stripped them away, which in itself proved that the company's complaint about the injunction was unsubstantiated. (…) The Government further noted that as of 14 July 2004 the applicant company had still to pay 96.5% of its then liability and that the company's voluntary payment only commenced on 14 July 2004, apparently as a response to the seizure of the shares of OAO Yuganskneftegaz. (…)
  7. As to the choice of OAO Yuganskneftegaz as the first item to be auctioned in satisfaction of the company's liabilities, the Government pointed out that the offers made by the applicant company had been unacceptable. (…)
  8. The Government maintained that the choice of OAO Yuganskneftegaz was lawful under Russian law, aimed at securing the payment of taxes and had been effected in full compliance with the provisions of the Federal Enforcement Proceedings Act. Under section 54
(2)of the Enforcement Proceedings Act, the sale of the applicant company's property was made by a specialised organisation pursuant to the terms of commission and the relevant legislation. On 18 November 2004 the bailiffs decided to sell 43 shares (76.8%) of OAO Yuganskneftegaz at auction. The Government noted that OAO Yuganskneftegaz was itself the debtor in mandatory payments to the budget totalling RUB 102.09 billion, so that the above arrears inevitably affected the price of the auctioned shares, as defined by the valuation institution and the results of the auction. The date of the auction and invitation to participate in the open auction were published in the mass media in due time. The auction itself was open, both with regard to its participants and to the form of submissions of price bids. Bids were received between 19 November and 18 December
  1. On 19 December 2004 the open auction took place. The winner of the auction was recognised as OOO Baykalfinancegrup, which offered RUB 260,753,447,303.18 for the shares in question. The auction itself was public. The mass media representatives provided extensive media coverage. The results were published in the mass media and broadcast. With regard to the proportionality of the sale, the sum of 260.5 billion roubles generated as a result of the sale did not, however, cover the arrears of OAO Yukos entirely. The Government also underlined that the subsequent bankruptcy was not caused by the sale of OAO Yuganskneftegaz, but had been initiated by a consortium of foreign banks and that the representatives of the applicant company had allegedly acknowledged that the company had been in good financial condition even despite the sale of OAO Yuganksneftegaz. (…)
  2. The Court's assessment
  3. The applicant company submitted a number of grievances about these proceedings. In particular, the applicant company complained that the enforcement of the tax liability had been deliberately orchestrated with a view to preventing the applicant company from repaying its debts. In this connection the company maintained that the seizure of its assets pending litigation had prevented it from repaying the debt. It was furthermore dissatisfied that it had been ordered to pay a 7% enforcement fee in respect of the entirety of its debt, that the time for voluntary compliance with the Tax Assessments 2000-2003 had been too short and that the sale of the company's main production unit OAO Yuganskneftegaz had been unlawful, arbitrary and generally disproportionate. (…) Though each of these measures could be seen as a separate instance of interference with the applicant company's rights under Article 1 of Protocol No. 1, their common and ultimate goal was to force the company to meet its tax liabilities. Accordingly, the appropriate way to analyse this part of the application is to examine the enforcement proceedings in their entirety as one continuous event. (…)
  4. As regards the lawfulness of the measures in question, the Court has no reason to doubt that throughout the proceedings the actions of various authorities had a lawful basis and that the legal provisions in question were sufficiently precise and clear to meet the Convention standards concerning the quality of law. (…) It finds it natural that in the tax sphere the Contracting States should enjoy a wide margin of appreciation in order to implement their policies. Nevertheless, the Court cannot fail to exercise its power of review and must determine whether the requisite balance was maintained in a manner consonant with the applicant company's right to "the peaceful enjoyment of [its] possessions", within the meaning of the first sentence of Article 1 of Protocol No.
  5. At the outset the Court notes the background to this case and, in particular, the fact that the applicant company was one of the largest taxpayers in Russia and that it had been suspected and subsequently found guilty of running a tax evasion scheme, committed consecutively in 2000-
  6. From the parties' submissions and the case file it seems clear that the applicant company had no cash funds in its domestic accounts to pay its tax debts immediately, and in view of the nature and scale of the debt it was unlikely that any third party would agree to assist the company with a loan or some form of security. Regard being had to the scale of the tax evasion, the sums involved for the years 2000-2003, the fact under domestic law that they were payable almost at once after the production of the respective execution writ (…), and even taking into account the Court's previous findings in respect of the fines for the years 2000 and 2001, it was questionable whether at the time when the authorities decided to seize and auction OAO Yuganskneftegaz the company was at all solvent within the meaning of section 3 of the Insolvency (Bankruptcy) Act, which generally expected the solvent debtor to repay its debts "within three months of the date on which compliance should have occurred" (…).

In view of the above considerations, the Court finds that the crux of the applicant company's case did not lay in the attachment of its assets and cash as such, but rather and essentially in the speed with which the authorities demanded the company to pay, in the decision which had chosen the company's main production unit, OAO Yuganskneftegaz, as the item to be compulsorily auctioned in the first instance, and in the speed with which the auction had been carried out.
  8. Given the paramount importance of the measures taken by the authorities to the applicant company's future and notwithstanding the Government's wide margin of appreciation in this field, the Court is of the view that the authorities were obliged to take careful and explicit account of all relevant factors in the enforcement process. Such factors were to include, among other things, the character and the amount of the existing debt as well as of the pending and probable claims against the applicant company, the nature of the company's business and the relative weight of the company in the domestic economy, the company's current and probable economic situation and the assessment of its capacity to survive the enforcement proceedings. Furthermore, the economic and social implications of various enforcement options on the company and the various categories of stakeholders, the attitude of the company's management and owners and the actual conduct of the applicant company during the enforcement proceedings, including the merits of the offers that the applicant company may have made in connection with the enforcement were to be properly considered.
  9. The Court notes that the authorities examined and made findings in respect of some of these factors (…), but it is clear that at no point in the enforcement proceedings did they make an explicit assessment in respect of all of them. In particular, neither the seizure order of 14 July 2004, which set in motion the process of auctioning OAO Yuganskneftegaz (…), nor any of the subsequent decisions, including the judicial decisions in the context of the company's complaints against the actions of the bailiffs (…), mentioned or discussed in any detail possible alternative methods of enforcement and the consequences that they might have on the future of the company.
  10. The Court finds this aspect of the enforcement proceedings of utmost importance when striking a balance between the interests concerned, given that the sums that were already owed by the company in July 2004 made it rather obvious that the choice of OAO Yuganskneftegaz as the first item to be auctioned in satisfaction of the company's liability was capable of dealing a fatal blow to its ability to survive the tax claims and to continue its existence.
  11. The Court accepts that the bailiffs were bound to follow the applicable domestic legislation which might limit the variety of options in the enforcement procedure. Nonetheless, the Court is of the view that, notwithstanding these constraints, the bailiffs still had a decisive freedom of choice, the exercise of which could either keep the company afloat or eventually lead to its demise. Although the Court, in principle, does not find the choice of OAO Yuganskneftegaz entirely unreasonable, especially in view of the overall amount of the tax-related debt and the pending as well as probable claims against the company, it is of the view that before definitively selecting for sale the asset that was the company's only hope of survival, the authorities should have given very serious consideration to other options, especially those that could mitigate the damage to the applicant company's structure. This was particularly so since all of the company's domestic assets had been attached by previous court order(…), and were readily available, the company itself did not seem to have objected to their sale (…) and there had been virtually no risk of the company seriously opposing these actions. (…)
  12. On the whole, given the pace of the enforcement proceedings, the obligation to pay the full enforcement fee and the authorities' failure to take proper account of the consequences of their actions, the Court finds that the domestic authorities failed to strike a fair balance between the legitimate aims sought and the measures employed.
  13. To sum up, the Court concludes that there has been a violation of the applicant company's rights under Article 1 of Protocol No. 1 on account of the State's failure to strike a fair balance between the aims sought and the measures employed in the enforcement proceedings against the applicant company.” 4.

Het hof volgt het EHRM in zijn oordeel dat, hoewel de Russische staat andere opties had moeten overwegen voordat zij tot veiling van YNG kwam en hoewel de wijze waarop die keuze gemaakt is en het tempo dat daarbij werd aangehouden in het kader van de belangenafweging van art. 1 Eerste Protocol disproportioneel was, alles beschouwd de keuze voor de veiling van YNG niet geheel onredelijk was. De enkele omstandigheid dat YNG geveild is, is dan ook niet voldoende voor enig oordeel in de door [bestuurder G] c.s. en [bestuurder M] voorgestane zin. 4.
  15. [bestuurder G] c.s. en [bestuurder M] voeren in aanvulling hierop echter aan dat ook als YNG geveild mocht worden de daadwerkelijke veiling doorgestoken kaart was. Zij wijzen daarbij op in deze procedure overgelegd nieuw bewijsmateriaal, dat niet beschikbaar was in de procedure voor het EHRM. Promneftstroy c.s. stellen weliswaar dat [bestuurder G] c.s. en [bestuurder M] dat materiaal onrechtmatig hebben verkregen, doch dat is op zichzelf in deze civiele procedure geen reden om de desbetreffende stukken vrije bewijskracht te ontzeggen. Dat de stukken - met name e-mailverkeer tussen rechtstreeks betrokkenen - niet echt (in de zin van vervalst) en/of inhoudelijk niet juist zijn hebben Promneftstroy c.s. niet, zeker niet (voldoende) onderbouwd, gesteld. Deze stukken zullen dan ook voor zover relevant in de beschouwingen betrokken worden. 4.
  16. Aangenomen moet worden dat als de Russische autoriteiten de veiling van YNG als zorgvuldig en redelijk handelend belastinginner zouden hebben doen geschieden zij met die veiling zouden hebben beoogd een zo hoog mogelijke opbrengst te genereren, zowel in het eigen belang als in dat van Yukos Oil als belastingplichtige. Van legitieme belangen bij een lagere dan de maximaal haalbare opbrengst is niet gebleken. Er was wel een zeker legitiem belang bij betaling binnen een redelijke termijn, maar dat sprake was van zodanige spoed dat concessies moesten worden gedaan aan het optimale veilingproces is niet gesteld of gebleken. Naar haar aard leende YNG zich, als grote olieproductiefaciliteit (1 miljoen vaten ruwe olie per dag), niet voor verduistering in fysieke zin. Verduistering in ruime zin, met name in de vorm van onderhandse verkoop van (aandelen in) YNG door Yukos Oil, was onmogelijk, vanwege de beslagen (freezing order). Bovendien draaide de installatie gewoon, winstgevend, door, zodat van snel oplopende kosten evenmin sprake was. Tegen die achtergrond zou dus een goed voorbereide veiling met zoveel mogelijk geïnteresseerde bieders te verwachten zijn geweest, opdat een maximale prijs gerealiseerd zou kunnen worden. 4.44.
  17. Het beeld van de veiling dat uit het beschikbare materiaal naar voren komt is het volgende. 4.44.
  18. Er is enerzijds sprake geweest van een normale veiling, in de zin dat die - naar de uiterlijke verschijningsvorm beschouwd - overeenkwam met hetgeen in Nederland bij executieveilingen gebruikelijk is. Bieden was mogelijk door tevoren ingeschreven bieders (ook uit het buitenland), die moesten voldoen aan een aantal eisen. Er waren vastgestelde veilingvoorwaarden, de veiling werd in opdracht van [curator] begeleid door het Russische Federale Vermogensfonds (hierna: RFV), een voor dit soort veilingen aangewezen organisatie, die volgens de geldende wetgeving daartoe bevoegd was. De veiling was openbaar en er was sprake van een correcte en ruim verspreide aankondiging van de veiling, ook internationaal. De pers was aanwezig bij de veiling. Er was een waardering van de aandelen, opgesteld op verzoek van RFV door een volgens partijen gerenommeerde expert (Dresdner Kleinwordt Wasserstein, hierna: Dresdner). 4.44.
  19. Anderzijds waren er opmerkelijke aspecten waarin deze veiling afweek van hetgeen in het algemeen gebruikelijk was/is en van de normaal in de Russische Federatie geldende regels daaromtrent. Niet in geschil is dat tussen de aankondiging op 19 november 2004 en de dag van de veiling op 19 december 2004 slechts een maand lag. Het toepasselijke reglement van het RFV (Order No. 418 van het RFV, 29 november 2001, Procedure for organising and conducting tenders (hierna: de Order)) gaat in beginsel uit van een periode van twee maanden. Waarom van die termijn is afgeweken, is niet toegelicht. De periode van een maand was zo kort dat die zowel voor Russische bieders als voor buitenlandse bieders problemen opleverde; voor Russische bieders vanwege de naar Russisch recht (voor dit soort grote zaken) geldende eis om goedkeuring van de algemene vergadering van aandeelhouders te verkrijgen en voor beide categorieën vanwege de noodzaak om toestemming van FAS (Federal Antimonopoly Service) te krijgen, die daarvoor 30 dagen, eenmaal te verlengen met 20 dagen, de tijd had. Ook financiering door (Russische) banken werd daardoor bemoeilijkt. Er bestond geen behoorlijk prospectus of vergelijkbaar stuk en geen mogelijkheid om, als beoogd veilingkoper, de installatie ter plekke te inspecteren en/of het management te spreken of om een due diligence onderzoek te laten verrichten. 4.44.
  20. Er waren uiteindelijk slechts twee geautoriseerde bieders, Baikal Finance Group en Gazpromneft. Baikal Finance Group was een lege, zogenoemde plankvennootschap; zij had zich op 14 december 2004 aangemeld om deel te nemen aan de veiling. Uit het aanmeldingsformulier bleek dat Baikal Finance Group pas enkele dagen daarvoor was opgericht, dat zij nog niet met haar activiteiten was begonnen en dat zij verwachtte de koopprijs van de aandelen in YNG met eigen en vreemd kapitaal te kunnen voldoen. Uit het prospectus van Rosneft (een staatsbedrijf, dat uiteindelijk eigenaar van de YNG-installatie is geworden) met het oog op haar beursgang (IPO) d.d. 14 juli 2006 (productie G434) blijkt, dat Rosneft Baikal Finance Group de middelen om YNG te kopen heeft geleend, en dat Baikal Finance Group de volle koopprijs van YNG pas heeft betaald nadat zij door Rosneft was overgenomen. Het verzoek van Baikal Finance Group om deel te mogen nemen aan de veiling werd opmerkelijk snel door FAS gehonoreerd. Baikal Finance Group bracht twee biedingen uit, terwijl de enige andere deelnemer aan de veiling - Gazpromneft, vertegenwoordigd door een functionaris die tevens vicepresident bij Rosneft was - in het geheel niet heeft geboden. 4.44.
  21. Het door [bestuurder G] c.s in het geding gebrachte (partij)deskundigenrapport van E. Osterwald (productie G433), in het bijzonder het deel aangaande best practices, tegen welk deel van het rapport Promneftstroy c.s. geen concreet bezwaar hebben aangevoerd, wijst er evenzeer op - wat er zij van de conclus
