GERECHT IN EERSTE AANLEG VAN SINT MAARTEN Zaaknummer: SXM202100159- KG 49/2021 Vonnis in kort geding van 26 februari 2021 inzake VAN BOEKEL BOUW & INFRA B.V., gevestigd in Nederland, -eiseres-, gemachtigden: mr. J. Deelstra en mr. M.H.M. Janssen, tegen de publiekrechtelijke rechtspersoon het LAND SINT MAARTEN, zetelende in Philipsburg in Sint Maarten, -gedaagde-, gemachtigde: mr. Richard F. Gibson jr. Partijen zullen hierna ook “Van Boekel” en “het Land” worden genoemd. 1Het verloop van de procedure 1.1. Bij een op 26 januari 2021 ter griffie van dit Gerecht ingediend kortgedingverzoekschrift heeft Van Boekel een vordering ingesteld tegen het Land. Bij brief van 11 februari 2021 heeft het Land producties in het geding gebracht. Partijen hebben de zaak ter zitting van 12 februari 2021 doen bepleiten. De gemachtigden hebben pleitaantekeningen overgelegd. 1.2. Vonnis is bepaald op heden. Hierna zal het Gerecht de betekenis van gebruikte termen en afkortingen weergeven: -Contractor: Van Boekel; -Contracting Authority/’CA’: de regering van Sint Maarten; -EoT: Extension of Time; -Supervisor: Illaco/ Ravi Patandin; -de Overeenkomst: de door partijen op 21 augustus 2018 ondertekende aanneemovereenkomst ter uitvoering van het Dutch Quarter Sewerage, St. Maarten-project; -het Werk/DQS-project: het Dutch Quarter Sewerage, St. Maarten-project; -GC: General Conditions toepasselijk op de Overeenkomst; -SC: Special Conditions toepasselijk op de Overeenkomst; -de eerste stillegging: de opschorting van werkzaamheden door Van Boekel van 1 november 2019 tot 20 februari 2020; -de tweede stillegging: de opschorting van werkzaamheden door Van Boekel van 30 juli 2020 tot heden; -de MOU: de minnelijke regeling van 13 februari 2020 tussen partijen; -VROMI: het ministerie van Volkshuisvesting, Ruimtelijke Ordening, Milieu en Infrastructuur van het Land. 2De feiten 2.1. Op grond van de Overeenkomst dient Van Boekel tegen betaling van de aanneemsom van € 4.287.680,00 het Werk uit te voeren. De Europese Unie financiert ten behoeve van het Land het Werk en wel tot het bedrag van € 4.010.000,00. Van Boekel is geen partij bij dit EU-financieringsarrangement dat slechts geldt tussen het Land en de EU. 2.2. De betalingstermijn van de facturen van Van Boekel bedraagt op grond van artikel 50.7 GC 90 dagen. 2.3. Het Werk dient -zonder addendum/addendum- op grond van de Overeenkomst bij aanvang na 12 maanden te zijn voltooid (artikel 34 SC). Het Werk is op 5 augustus 2019 aangevangen. 2.4. De eerste stillegging heeft Van Boekel in verband met door het Land onbetaald gelaten meerwerk op artikel 38.3 GC gegrond. 2.5. Bij de MOU bereiken partijen overeenstemming over door Van Boekel tot 14 februari 2020 verricht meerwerk ten bedrage van € 584.933,20. Ook hebben partijen bij de MOU overeenstemming bereikt over ‘Claims for Additional Payment’ tot € 515.000,00. De MOU vermeldt verder: ‘(…) • VROMI/BAK have confirmed to Van Boekel that an additional amount of about EUR 1.3 Million is specifically allocated for the Dutch Quarter Sewerage Project in the approved 2019 National Budget of St. Maarten; 3.2 Parties have reached to an agreement that the Implementation of Tasks will be extended by maximum 20 weeks (4.5 months), i.e. until 30th of October 2020. This extension of the implementation period will be without additional costs for or claims by both parties. 3.3 The Minutes of Meeting will be used as basis for a request of an extension in accordance with the stipulations of the General Conditions of Contract, at the latest 1 April 2020 to ensure timely processing before the expiry of the Current Contract period. The Contracting Authority will process this request and submit to the EU Delegation to prepare an Addendum to the Contract. (…)’ 2.6. Op 8 juli 2020 bericht VROMI aan de Supervisor het volgende: ‘(…) The submittal of the extension to the works contract has been delayed and is now becoming an issue, with the mishap of invoicing and putting the project in jeopardy. The extension of the contract sum to the amount of EUR 1.3. million tot the budget of the contractor with the EUD is not yet finalized. Nonetheless the contractor is working diligently on trying to achieve the objectives, whereas, it is known to all parties (…) that the works contract of Van Boekel has expired since June 15th, 2020. It is very detrimental to the project, taking it’s current status into consideration, to respond tot the contractor with statements as such “ Note that Interim payments with date after 15th of June 2020 (Works contract expiry date) can not be processed until an addendum has been prepared.’ The EUD/BAK/BAK and IllACO are very well aware that the contractor is still executing the works as per contract and would naturally expect invoices to be produced. It is your responsibility as Supervisor to ensure that all submitted invoices are reviewed and submitted to the respective authorities for approval of payments, pending the approval of the addendum. (…) Please to continue to process all invoices by VB until instructed otherwise. (…)’ 2.7. Bij brief van 16 juli 2020 bericht Van Boekel de regering van Sint Maarten als volgt: ‘(…) Hereby we report two late payments. Van Boekel regrets that this letter is necessary. Invoice 2002090 is overdue since yesterday, invoice 2002072 is even overdue since 30 June 2020. (…) Furthermore, clause 53.2. entitles Van Boekel to suspend works when invoices are 30 days overdue. Please note that this at the end of this month. For your convenience we also refer to clause 53.3, being the ultimate remedy. (…) We trust you to pay both invoices in full immediately and interest after that. We sincerely hope no further steps have to be taken by Van Boekel to enforce its rights. (…)’ 2.8. Bij brief van 30 juli 2020 bericht Van Boekel de regering van Sint Maarten als volgt: ‘(…) After sending you our letter dated July 16th regarding overdue payments, we did not get any responds nor payment of the invoice overdue. We informed you that article 53.2 is giving Contractor the opportunity to suspend the work. Such was sufficient warning. As Contracting Authority has not fulfilled her contractual obligation, we see no other alternative then to suspend our work and wait until Contracting Authority has fulfilled all her obligations. (…) We reached an (additional) agreement last February and from our side we have done everything according to the agreement. We are more than disappointed to learn that Contracting Authority and Supervisor are struggling in fulfilling their part of the agreement. Even after repeated questions and warnings from Van Boekel, Contracting Authority is not willing or able to comply. Resulting in: • Late payment of the invoice of euro 540.750,-. • No payment of our current outstanding invoices, overdue considerably. Invoice 2002072 is sent and approved on 30 March 2020 and currently due 122 days (32 days overdue and counting). No information given by Contracting Authority. • Uncertainty regarding the EoT, despite several reminders still no answer regarding the EoT. Late request EoT despite prior agreement, therefore deviating from our agreement February 2020. No EoT yet established. • Supervisor still seeking ways to interpret to contract to way best fits him, even after substantiation of Contractor. • (…) I will instruct our local team to inform our subcontractors and to stop the activities on site immediately. (…) In respect to the above, all obligations are (inter alia) payment of all invoices due, payment of interest over late payments, payments of costs Van Boekel made in order to leave site safe, costs per day standstill. (…) I hereby remind you that we made an agreement to not hold on our claim of our weekly costs due to the suspension that commenced on 7 November 2019. Such under the condition that the obligations of Contracting Authority would be fulfilled. Contracting Authority promised sufficient budget was made available immediately to pay Van Boekel. Since our agreement regarding that hard condition, no single payment has come in time and some invoices are not paid at all. (…) Van Boekel therefore resubmits her claim (not disputed in its content) containing an amount of (14.562, Euro per week). (…) Van Boekel hereby also finds legal ground to suspend the works in accordance with 38.3 General Conditions. (…)’ 2.9. Betaling van de termijnen #16 en #17 vindt plaats op 5 augustus 2020 respectievelijk 31 augustus 2020. 2.10. Op 5 augustus 2020 stelt Van Boekel termijn #19 (tezamen € 199.093,63 en € 9.913,94) en op 22 oktober 2020 termijn #20 (tezamen € 171.832,82 en € 8.833,06) aan de regering van Sint Maarten ter beschikking. 2.11. Bij brief van 29 september 2020 bericht Van Boekel aan de regering van Sint Maarten het volgende: ‘(…) Although Van Boekel already feels entitled to terminate the Contract Agreement under Clause 65.1 General Conditions – obviously all warnings and repeated reminders of Contracting Authority’s failures did not stop the failures – she is willing to give Contracting Authority one last chance to heal all outstanding issues on a short term. It is Van Boekel’s right to verify all mentioned in this letter and she cannot accept Contracting Authority to look away from that. In summary this contains: Payment of all submitted invoices (see overview) within several weeks (Note that none of the submitted invoices has been disputed and therefore all approved. Those invoices are extra contractual and therefore not depending on EU terms); Clear and unambiguous information about the exact day of payment; Full insight, substantiated with proof, of immediate availability of sufficient budget to cover all works, possible additional works and justified claims of Contractor; Full insight, substantiated with proof, of actual EoT request and status of EoT at the moment and answer to our question wat the status of our contract agreement is when EoT is not awarded by EU; Agreement (in principle) that all damages named in this letter will be compensated as soon as Van Boekel establishes its extent. (…)’ 2.12. Bij brief van 6 oktober 2020 reageert VROMI op de brief van 29 september 2020 van Van Boekel. Beroep wordt gedaan op ‘force majeure’ in verband met de Covid 19 pandemie. Voor wat betreft de opschorting van het werk door Van Boekel wordt als volgt gereageerd: ‘(…) The suspension letter of Van Boekel was discussed in a joint meeting between Van Boekel, VROMI and the Supervisor on 31 July 2020. The delays in payments, as per Article 53, and as referenced in your earlier letters, can indeed entitle Van Boekel to suspend the works. (…)’ Over de beschikbaarheid van voldoende budget reageert VROMI als volgt: (…) Your request to submit proof of immediate availability of sufficient budget to cover all works and possible additional works and justified claims of Contractor is odd and even unjustified. (…) Nevertheless, the remaining available budgets are deemed sufficient to complete the rest of the works. (…)’ Over de indiening van de EoT reageert VROMI dat de verlenging in juni 2020 aan de EU is gestuurd en heeft geleid tot vragen aan de zijde van de EU maar dat er geen redenen zijn om aan te nemen dat de EU een verlenging zal afwijzen. Over de te vergoeden schade wijst VROMI op de bepaling van artikel 55 van de GC: ‘(…) Until assessment and approval of such amount, no prior agreement can be made on amounts or types of damages. (…)’ 2.13. In de brief van 5 november 2020 stelt VROMI het volgende: ‘(…) Invoices Term 19 and Term 20 The correct and accepted invoices, Term 19 and Term 20 were received by VROMI on Monday October 26th, 2020, and were processed and submitted to BAK on Tuesday October 27th for further processing and submittal to the EU. Two submitted invoices for variations in the same period were also approved by VROMI, which has been processed and will be paid for by the Government of St. Maarten. (…)’ 2.14. Bij brief van 13 november 2020 bevestigt VROMI dat de termijnen #19 en #20 zijn goedgekeurd ‘by the Contracting Authority’. Deze brief vermeldt: ‘(…) The invoices are already with the EU for further processing and payment. We refer to the Contract conditions in which it is clearly stated that payments are done through the European Union Funds (EDF). As such, Van Boekel is aware of such procedures and can not state that payments are to be made by the Contracting Authority. Two submitted invoices for variations in the same period were also approved by VROMI, which has been processed and will be paid for by the Government of St. Maarten. The date of payments depends on the processing by the Ministry of Finance (…)’ 2.15. Bij e-mail van 27 november 2020 doet Van Boekel desverzocht een ‘revised overall planning’ aan VROMI toekomen. 2.16. Bij e-mailbericht van 10 december 2020 verstrekt Van Boekel aan VROMI een overzicht van kosten en schadeposten betrekkelijk tot de stilleggingen van het Werk. Een aanvulling hierop is naar aanleiding van een bespreking tussen partijen aan VROMI verstrekt en wel bij e-mail bericht van 14 januari 2021. 2.17. Op 30 december 2020 vindt een bespreking tussen partijen plaats om het Werk vlot te trekken en om hun geschillen te beslechten. De (niet-ondertekende) notulen van deze bespreking vermelden: ‘(…) 3. CA and Van Boekel walk through the costs and damages submitted by Van Boekel and try to find mutual understanding and agreement on the amounts in the first 2 weeks of January 2021, the latest by Monday 18 January 2021, end of business day. St. Maarten time. 4. Based on an agreement reached, CA informs Finance department immediately in January and requests funds to compensate Van Boekel. 5. In the week after agreement on the amount (see point 3.) CA will bring this in the Council of Ministers. 6. At latest one week later, CA and Van Boekel shall have certainty about budgets available. Van Boekel will be duly informed. -parties acknowledge and agree that without sufficient budget the works cannot completed. (…)’ 2.18. Bij e-mail bericht van 5 januari 2021 doet Van Boekel naar aanleiding van de bespreking op 30 december 2020 wederom een ‘revised overall planning’ aan VROMI toekomen. 2.19. De op 18 januari 2021 geplande afspraak tussen partijen wordt op diezelfde dag door VROMI zonder opgaaf van reden afgezegd. 2.20. De EU heeft de verlenging van de Overeenkomst tot 16 september 2021 (het addendum/EoT) goedgekeurd die evenwel is gebaseerd op een fictieve start- en einddatum en waarbij geen rekening is gehouden met een opstarttermijn van 30 dagen en het kerstreces van 2020. 2.21. Betaling van de termijnen #19 en #20 is uitgebleven. 3. Het geschil 3.1. Van Boekel vordert -zakelijk weergegeven- dat het Gerecht bij uitvoerbaar bij voorraad te verklaren vonnis: (A) het Land veroordeelt om de termijnen 6, 19 en 20 van in totaal € 370.926,45 te vermeerderen met contractuele rente van 3,5% per maand te betalen; (B) het Land veroordeelt om ‘running costs’ van € 16.082,40 per week te betalen; (C) het Land veroordeelt om ‘algemene overhead kosten’ van € 12.368,31 per week te betalen; (D) het Land veroordeelt om ‘gederfde winst’ van € 4.122,77 per week te betalen; (E) het Land beveelt om akkoord te gaan met een wijziging van de aannemingsovereenkomst ex artikel 37.1 GC; en (F) het Land veroordeelt in de proceskosten te vermeerderen met rente. 3.2. Aan de vordering legt Van Boekel de stelling ten grondslag dat het Land de opeisbare facturen betrekkelijk tot termijnen 6, 19 en 20 dient te betalen. Het Land dient immers de Overeenkomst na te komen. Dit werk is op grond van de Overeenkomst door Van Boekel verricht en uitgevoerd. Deze termijnen zijn door het Land goedgekeurd. Daarnaast vordert Van Boekel vergoeding van de schade (onderdelen B – D van de vordering) die het gevolg is van de eerste stillegging en de tweede stillegging. Van Boekel heeft namelijk tweemaal haar werkzaamheden stilgelegd omdat het Land niet dan wel niet tijdig haar financiële verplichtingen uit hoofde van de Overeenkomst is nagekomen en nog steeds niet nakomt (vergelijk artikel 38.2 GC). Ook op grond van ‘substantial errors’ als bedoeld in artikel 38.3. GC mag Van Boekel haar werkzaamheden opschorten. Onderdeel E van de vordering heeft betrekking op de verlenging van de Overeenkomst. Het Land dient hiermee akkoord te gaan (vergelijk 37.1 GC). Van Boekel heeft nog 9 maanden nodig om het Werk te voltooien exclusief een opstartperiode van -op zijn minst- een maand. 3.3. Het Land weerspreekt de vordering. Op de stellingen van partijen zal het Gerecht hierna nader ingaan. 4De beoordeling 4.1. In kort geding is toewijzing van een geldvordering alleen mogelijk als (
AI-uitleg op basis van de officiële wettekst. Indicatief, vervangt geen juridisch advies.
