[eiser 2], te [plaats 2] , [land] , 3. [eiser 3], te [plaats 3] , [land] , eisers, advocaat mr. M. Verhagen te Rotterdam, tegen [gedaagde ] , handelend onder de naam [handelsnaam gedaagde], te [plaats 4] , gedaagde, advocaat mr. V.R. Pool te Rotterdam. Eisers zullen hierna afzonderlijk [eiser 1] , [eiser 2] en [eiser 3] en gezamenlijk [eiser 1 c.s.] (in mannelijk enkelvoud) genoemd worden. Gedaagde wordt hierna als [gedaagde ] aangeduid. 1De procedure 1.1. Het verloop van de procedure blijkt uit: de dagvaarding van 10 januari 2018, met producties 1 tot en met 5; de conclusie van antwoord, met producties 1 tot en met 11; het tussenvonnis van 27 juni 2018, waarbij een comparitie van partijen is bevolen; het proces-verbaal van de comparitie van 14 november 2018 en de daarin genoemde stukken. 1.2. Ten slotte is een datum voor vonnis bepaald. 1.3. Het proces-verbaal van de comparitie van partijen is met instemming van partijen buiten hun aanwezigheid opgemaakt. Partijen zijn in de gelegenheid gesteld om opmerkingen te maken over het proces-verbaal voor zover het feitelijke onjuistheden betreft. [gedaagde ] heeft van deze gelegenheid gebruik gemaakt bij brief van 27 november 2018. Deze brief maakt deel uit van het procesdossier en het vonnis wordt gewezen met inachtneming van deze brief, voor zover het correcties van feitelijke aard betreft. 2De feiten 2.1. Eind 2015 werd het zeiljacht ‘ [het Zeiljacht] ’ (hierna: het zeiljacht) te koop aangeboden. Dit mahoniehouten zeiljacht van 12,55 meter is ontworpen door de scheepsarchitecten [Scheepsarchitecten] en is in 1972 in Duitsland gebouwd. De vraagprijs was aanvankelijk € 125.000 en is later verlaagd naar € 95.000. Het zeiljacht was droog opgeslagen in een loods te [plaats 5] . De verkoopmakelaar van het zeiljacht was de heer [A] (hierna: [A] ) te [plaats 5] . 2.2. [eiser 1] , [eiser 2] en [eiser 3] hadden belangstelling voor het zeiljacht. In december 2015 hebben [eiser 1] , [eiser 2] en de heer [B] (hierna: [B] ) het zeiljacht te [plaats 5] bezichtigd. [B] is de zwager van [eiser 2] en [eiser 3] . 2.3. [eiser 1 c.s.] heeft twee Nederlandse werven gevraagd een offerte uit te brengen voor het vervangen van het teakdek. Deze offertes zijn uitgebracht. De betreffende werven hebben daarbij mede een indicatie gegeven voor de kosten voor het geval het multiplex onderdek eveneens zou moeten worden vervangen. De werven konden zonder verwijdering van het teakdek niet aangeven wat de staat was van het multiplex onderdek. 2.4. [eiser 1 c.s.] wilde een aankoopkeuring ofwel expertise laten uitvoeren. [A] heeft [eiser 1 c.s.] daartoe verwezen naar [gedaagde ] , die op onafhankelijke basis aankoopkeuringen, inspecties en taxaties van pleziervaartuigen uitvoert. [gedaagde ] is gecertificeerd als ‘HISWA Qualified Yacht Surveyor’. HISWA is de brancheorganisatie van de watersportindustrie. 2.5. [eiser 2] heeft [A] gemachtigd om namens hem aan [gedaagde ] opdracht te geven voor het verrichten van een aankoopkeuring. [A] heeft op 18 januari 2016 namens [eiser 2] de ‘HISWA Appraisal Agreement’ (hierna: de Overeenkomst) tussen [eiser 2] en [gedaagde ] ondertekend. Blijkens de Overeenkomst ging het bij deze aankoopkeuring hoofdzakelijk om “[establishing] the general condition and essential defects [of the ship].” In artikel 5 van de Overeenkomst is bepaald dat “inspections are limited to those parts which can be reached easily and are accessible.” 2.6. Op de Overeenkomst zijn de ‘HISWA General Terms and Conditions for Survey and Appraisal’ (hierna: de HISWA-voorwaarden) van toepassing. In artikel 14 van de HISWA-voorwaarden is het volgende bepaald: “Dutch law is applicable in all disputes relating to this con-tract, unless another national law is applicable on grounds of mandatory rules.” 2.7. In de Overeenkomst is bepaald dat de werkzaamheden worden uitgevoerd conform de ‘HISWA Information sheet with regard to pre-purchase / selling inspection and / or valuation’ (hierna: de Information Sheet). Daarin is, voor zover hier van belang, het volgende opgenomen: “ General information The inspection is a snap shot and therefore the surveyor cannot exclude that despite thorough examination (hidden) defects on the ship might come forward. These defects might not have been discovered or could not be discovered during the inspection. The surveyor limits his inspection to those parts of the ship which are part of the agreement. (...) The surveyor does not examinate places which cannot be reached or are difficult to reach or places for which destruction and / or dismantling is necessary. (...) No leak checks have been made by hosing down or dousing. (…) During inspections on shore a reservation is made for possible leakage determined later on in the water.” 2.8. Op 18 januari 2016 heeft [gedaagde ] het zeiljacht bezichtigd en onderzocht. [gedaagde ] heeft hiervan een keuringsrapport opgemaakt. Daarin is, voor zover nu relevant, het volgende opgenomen: “INTRODUCTION (…) Insofar as there is no intent or gross negligence in the realisation of the contract, the surveyor rejects any liability regarding any undetected (hidden) defects. (...) This report summarises the findings as a result of the survey (...). A five-point system was used in evaluating the various components. Good More than adequate Adequate Poor Bad In more detail: Good No comments The inspected item is fully within the limits of use (Almost) no visible wear marks Meets the requirements More than adequate The inspected item is well within the limits of use Meets the requirements Adequate The inspected item is just fit for use Continued use is possible but replacement or repair is needed in due time Poor The inspected item is not fit for use Continued use is possible, replacement or repair is recommended Bad Further use of the inspected item is not safe and not recommended Does not meet specifications / requirements. (…) DECK, SUPERSTRUCTURE AND COCKPIT (...) The interior condition of the laminate of the (sandwich) deck, superstructure and cockpit, as well as the condition of the fixation and base of teak components cannot be established without destructive tests. The surveyor cannot guarantee the quality of the sandwich core. The destructive tests are not included in our standard inspection. (...) CONCLUSION Our inspection of the vessel and the information above leads us to make the following (final) assessment: General condition: more than adequate – adequate Maintenance condition: more than adequate – adequate The following points are regarded as essential defects: (…) Teak wood deck: rubber partially loose / old → place new rubber where necessary (known). (...) Corners in cockpit: some water intrusion (known) → to be varnished once again. See further remarks in the report.” 2.9. [eiser 1 c.s.] heeft het zeiljacht na uitvoering van de aankoopkeuring door [gedaagde ] voor een bedrag van € 81.000 gekocht. Omdat de staat van het multiplex onderdek een onzekere factor was en het voor [eiser 1 c.s.] onduidelijk was of dit zou moeten worden vervangen, heeft hij een lagere koopprijs voor het zeiljacht bedongen. 2.10. Na aankoop van het zeiljacht hebben [eiser 1 c.s.] en [B] het zeiljacht te water gelaten en zijn zij naar Engeland gevaren. Daar hebben ze het zeiljacht naar scheepswerf [X] (hierna: [X] ) gebracht. Die heeft latten van het plafond van de kajuit verwijderd en [eiser 1 c.s.] vervolgens laten weten dat er structurele gebreken waren aan het zeiljacht. 2.11. De scheepswerf International Marine Surveys te Bosham, Chichester, West Sussex, Verenigd Koninkrijk (hierna: IMS) heeft het zeiljacht op 1 en 7 april 2016 op verzoek van [eiser 1 c.s.] bezichtigd. In het rapport dat IMS hiervan heeft opgemaakt, staat onder meer het volgende: “ 6:1 The Teak Deck : (…) We inspected the deck along its length which was clearly flexing underfoot and, using a soft-faced mallet, we sounded each plank in turn. We found that the teak deck is in such a poor condition that water is entering the boat causing damage to the structure and accommodation. Many of the planks are visually detached from the sub deck, and, over the whole area, we estimate that approximately 60% of the teak planks are detached from the sub-deck. (…) 6:2 The Plywood Sub-Deck, Deck-Beams & Beam-Shelves : (…) In the series of pictures below of the underside of the deck in the saloon, it will be noted that ceiling battens had recently been removed by the boatyard to be able to fully determine the condition of the sub-deck and deck beams. Our inspections revealed that every one of the 34 laminated deck beams supporting the deck were badly delaminated through glue-failure requiring that each beam be replaced. Even with the battens in place restricting access to the majority of the sub-deck and deck beams, there are sufficient areas where access is possible, such as inside lockers and in the chain-locker. The sub-deck and beams in these areas are clearly stress and water damaged and recommendations to remove some of the ceiling battens for closer inspection should have been given to the client by the pre-purchase surveyor. Interior viewing of the underside of the plywood sub-deck confirmed the presence of mold being produced by the deck leaks and damp conditions and would have been visible to the pre-purchase surveyor. There is additional evidence of earlier, very poor repairs having been carried out to the deck beams which have clearly delaminated throughout the length of the deck. (…) These repairs were clearly visible inside the saloon lockers and chain-locker and should have raised serious questions by the pre-purchase surveyor regarding the integrity of the whole deck (…) On inspecting the inside of the chain-locker and saloon lockers, we noted the unconventional and inadequate method of constructing the beam-shelves and deck beam connections. A traditional mahogany beam shelf is fitted to the full length of the hull planking on both sides of the vessel, but edge-screwed to this is a horizontal cleat. The deck beams are then cut around the cleat with only a single screw securing the beam from below. This poor construction method had allowed the hull and therefore the deck to flex excessively over the years and in our opinion, is a contributing factor for the structural problems we have discovered. The structure of the deck and specifically the type of construction of the beam shelves should have been noted in the pre-purchase survey and further inspections should have been recommended by the surveyor. The correct method for installing deck beams to beam shelves is to ensure that the beam shelf is wide enough to begin with. Each deck beam should then be fitted into the shelf from the top with a half-dovetail joint which is then glued and screwed in place ensuring a strong and stable beam connection. 6:3 The Deck, Fittings & Cockpit Joinery : The Cockpit Coamings would have been originally made and fitted to the highest standards of yacht construction, but unfortunately, many years of poor maintenance have allowed them to deteriorate. It is obvious, that attempts have been made to carry out repairs to the coamings but these have not prevented water damage from rotting into the timber. (…) The series of pictures below show the vessel as it was when EG [het zeiljacht, rechtbank] arrived in Cowes. The views of the coamings clearly show the rot damage, arrowed. This is easily identified by the blackened areas of the timber ‘beneath’ the coats of varnish and is a clear indication of the presence of rot in the timber. If this visible evidence were not sufficient for the pre-purchase surveyor to conclude that the coamings were indeed ‘rotten’ and required replacing, testing the timber in the blackened areas with a sharp spite would most definitely have done so. (…) 6:5 The Port Ring Frame Repair : There is evidence of repairs to two areas of past collision damage to [the] hull [van het zeiljacht] (…). The collision damage to the port-side aluminium Ring-Frame was particularly severe and had caused it to fracture completely through. Repairs have been poorly carried out leaving the vessel in a vulnerable structural state, although the pre-purchase surveyor states that the transverse frames are ‘more than ADEQUATE’.” 2.12. In een nader rapport van IMS van 1 oktober 2018 getiteld “Additional Notes of Clarification to our Interim Report dated 1th & 7th April 2016” is onder meer het volgende opgenomen: “(…) the following notes are intended to clarify and expand on our comments related to various structural issues documented in our Interim Report dated the 1st to 7th Juni, 2016. Our professional surveyors’ code of conduct and scope of all surveys forbids us from carrying out any destructive inspections or removal of linings and fixed panels without permission, and our Interim Report shows the yacht’s defects as we would have seen them on the day of our survey. We observed that a few battens had been removed by [X] boatyard before our inspection but we note below the accessible viewpoints that we believe should have been used by [handelsnaam gedaagde] to ascertain that the deck-beams were delaminated, the beam shelf was inadequate, the poor condition of the plywood sub-deck, the cockpit coamings rotted and the broken aluminium ring-frame inadequately repaired. (…) [handelsnaam gedaagde] could have seen that the deck-beams were delaminated without either destructive investigations or the removal of fixed panels. In [het Zeiljacht] ’s case, most of the structure is covered by panels or ceiling battens but throughout the vessel there are at least three easily accessible areas – (In the chain-locker and in two separate saloon storage lockers – one opposite the heads directly under the deck and the other in a large storage area next to the hull and deck), where the delaminated deck-beams and the structure of the hull and deck were visible, albeit behind various unlocked hinged doors, without needing to remove paneling or linings. (…) Additional information and comments with regard to The Teak Deck & Cockpit Joinery (…) Our first observation when boarding the yacht for the first time was the excessive flexing of the teak deck underfoot. It must have been in this condition during the Pre-Purchase survey carried out only a few weeks prior to our own visit to the yacht. We ‘sounded’ the whole deck area with a soft-faced mallet and light hammer searching for areas of delamination (IE detachment from the plywood Sub-Deck to which the teak deck was originally bonded) and marked the areas we discovered with chalk. You will note from the four pictures on Page 5 of our Interim Report that the areas of teak detachment marked with chalk amounted to approximately 60% of the total deck area. This fact alone indicates severe breakdown of the structural integrity of the deck and not superficial, localized ‘wear & tear’ as stated in the [handelsnaam gedaagde] Report. (…) given that the cockpit coamings were clearly visible and in an advanced state of rot degradation, he did not check the coamings with a sharp pike testing the highly visible rot damaged timer for confirmation of their poor structural state. The indisputable fact is that the Cockpit Coamings were completely rot damaged and required rather more than a coat of varnish. (…) In each of the corners of the joinery, the mahogany beneath the varnished coatings was ‘Blackened’ by the ingress of moisture which had, over time, ‘Rot-Damaged’ the timer. This was not simply a case of the varnish breaking down, but was an absolute indication that the coamings required replacing.” 3Het geschil 3.1. [eiser 1 c.s.] vordert – samengevat – veroordeling van [gedaagde ] , bij voor zover mogelijk uitvoerbaar bij voorraad te verklaren vonnis, tot betaling van £ 77.463, te vermeerderen met wettelijke rente en proceskosten, waaronder nakosten. 3.2. [eiser 1 c.s.] legt aan deze vordering het volgende ten grondslag. [gedaagde ] heeft bij de aankoopkeuring geen structurele gebreken aan het zeiljacht vastgesteld. Bij de inspectie nadien door IMS is echter vastgesteld dat het zeiljacht wel degelijk structurele gebreken had. [gedaagde ] had die structurele gebreken bij de aankoopkeuring moeten constateren en daarvan bij [eiser 1 c.s.] melding moeten maken. Het gaat in het bijzonder om structurele gebreken met betrekking tot de beam shelf, de deck beams (dwarsbalken), het plywood sub-deck (het multiplex onderdek) en de cockpit coamings (kuipranden) en om een inadequate reparatie van het ringframe. Nu [gedaagde ] bij de keuring [eiser 1 c.s.] niet op de structurele gebreken aan het zeiljacht opmerkzaam heeft gemaakt, heeft hij niet gehandeld met de mate van zorgvuldigheid die van een redelijk bekwaam een redelijk handelend expert kan en mag worden verwacht. [gedaagde ] is derhalve toerekenbaar tekortgeschoten in de nakoming van de overeenkomst van opdracht en is gehouden de schade die [eiser 1 c.s.] daardoor heeft geleden, te vergoeden. Deze schade moet worden begroot op de kosten gemoeid met het verhelpen van de structurele gebreken aan het zeiljacht. 3.3. [gedaagde ] voert verweer. Op de stellingen van partijen wordt hierna, voor zover van belang, nader ingegaan. 4De beoordeling 4.1. [eiser 1 c.s.] heeft woonplaats in het [land] . Het betreft derhalve een zaak met internationale aspecten. Daarom moet ambtshalve worden beoordeeld of deze rechtbank rechtsmacht heeft om van de vordering kennis te nemen en zo ja, naar welk nationaal recht de vordering moet worden beoordeeld. Rechtsmacht 4.2. De zaak valt onder het toepassingsbereik van de Verordening (EU) nr. 1215/2012 van het Europees Parlement en de Raad van 12 december 2012 betreffende de rechterlijke bevoegdheid, de erkenning en de tenuitvoerlegging van beslissingen in burgerlijke en handelszaken (herschikking), PbEU 2012, L 351/1 (Brussel I bis-Verordening). De rechtbank heeft gelet op de woonplaats van [gedaagde ] rechtsmacht op grond van artikel 4 van de Brussel I bis-Verordening. Toepasselijk recht 4.3. Van toepassing is de Verordening (EG) nr. 593/2008 van het Europees Parlement en de Raad van 17 juni 2008 inzake het recht dat van toepassing is op verbintenissen uit overeenkomst, PbEU 2008, L 177/6 (Rome I). Niet in geschil is dat de HISWA-voorwaarden op de overeenkomst van opdracht van toepassing zijn en dat in artikel 14 van die voorwaarden een rechtskeuze is opgenomen voor Nederlands recht. De vordering moet derhalve op grond van artikel 3 van Rome I naar Nederlands recht worden beoordeeld. Schadeplichtigheid uit hoofde van wanprestatie? 4.4. De overeenkomst tot het doen van de aankoopkeuring van het zeiljacht kwalificeert als een overeenkomst van opdracht in de zin van artikel 7:400 van het Burgerlijk Wetboek (BW), met [eiser 2] ofwel [eiser 1 c.s.] als opdrachtgever(
