a)”Convention” means the Convention establishing the European Telecommunications Satellite Organization (EUTELSAT), including its Annexes, opened for signature at Paris on 15 July 1982;
a)le terme ”Convention” désigne la Convention portant création de l’Organisation européenne de télécommunications par satellite (EUTELSAT), y compris ses Annexes, ouverte ∫ la signature ∫ Paris le 15 juillet 1982;
b)wyra˝enie „Umowa eksploatacyjna” oznacza Umow´ eksploatacyjnà dotyczàcà Europejskiej Organizacji ¸àcznoÊci Satelitarnej EUTELSAT, wraz z za∏àcznikami, otwartà do podpisu w Pary˝u dnia 15 lipca 1982 r.;
b)”Operating Agreement” means the Operating Agreement relating to the European Telecommunications Satellite Organization (EUTELSAT), including its Annexes, opened for signature at Paris on 15 July 1982;
b)l’expression ”Accord d’exploitation” désigne l’Accord d’exploitation relatif ∫ l’Organisation européenne de télécommunications par satellite (EUTELSAT), y compris ses Annexes, ouvert ∫ la signature ∫ Paris le 15 juillet 1982;
c)termin „Strona Konwencji” oznacza paƒstwo, wobec którego Konwencja wesz∏a w ˝ycie lub jest stosowana w trybie tymczasowym;
c)”Party to the Convention” means a State for which the Convention is in force or has been provisionally applied;
c)l’expression ”Partie ∫ la Convention” désigne un Etat ∫ l’égard duquel la Convention est entrée en vigueur ou a été provisoirement appliquée;
d)termin „Strona siedziby Organizacji” oznacza Stron´ Konwencji, na której terytorium EUTELSAT ustanowi∏ swojà siedzib´;
d)”Headquarters Party” means the Party to the Convention in whose territory EUTELSAT has established its headquarters;
d)l’expression ”Partie abritant le si¯ge” désigne la Partie ∫ la Convention sur le territoire de laquelle EUTELSAT a établi son si¯ge;
e)termin „Sygnatariusz” oznacza jednostk´ s∏u˝by telekomunikacyjnej lub Stron´, która podpisa∏a umow´ eksploatacyjnà i wobec której umowa ta wesz∏a w ˝ycie lub jest stosowana w trybie tymczasowym;
e)”Signatory” means the telecommnications entity or the Party that has signed the Operating Agreement and for which that Agreement is in force or has been provisionally applied;
e)le terme ”Signataire” désigne l’organisme de télécommunications ou la Partie qui a signé l’Accord d’exploitation et ∫ l’égard duquel ledit Accord est entré en vigueur ou a été provisoirement appliqué;
f)termin „Strona protoko∏u” oznacza paƒstwo, wobec którego protokó∏ wszed∏ w ˝ycie;
f)”Party to the Protocol” means a State for which this Protocol is in force;
f)l’expression ”Partie au Protocole” désigne un Etat ∫ l’égard duquel le présent Protocole est entré en vigueur;
g)wyra˝enie „cz∏onek personelu” oznacza Dyrektora Generalnego oraz ka˝dego innego cz∏onka personelu rekrutowanego przez EUTELSAT, który jest zatrudniony wy∏àcznie przez niego, op∏acany przez niego i podlega jego przepisom dotyczàcym personelu;
g)”Staff member” means the Director General and any other staff member recruited by EUTELSAT who is employed exclusively by it, paid by it, and is subject to its Staff Regulations;
g)l’expression ”membre du personnel” désigne le Directeur général et tout autre membre du personnel recruté par EUTELSAT qui est employé exclusivement par cette derni¯re, rémunéré par celle-ci et soumis ∫ son Statut du personnel;
h)wyra˝enie „przedstawiciele” oznacza przedstawicieli Stron Konwencji i Sygnatariuszy, w tym przewodniczàcych poszczególnych delegacji, ich zast´pców oraz doradców;
h)”Representatives” means representatives of Parties to the Convention and of Signatories including their respective heads of delegation, their alternates and advisers;
h)le terme ”représentants” désigne les représentants des Parties ∫ la Convention et les représentants des Signataires comprenant leurs chefs de délégation, suppléants et conseillers respectifs;
i)termin „archiwa” oznacza wszystkie akta nale˝àce lub przechowywane przez EUTEL-
i)”Archives” means all records belonging to or held by EUTELSAT such as documents,
i)le terme ”archives” désigne tous les dossiers appartenant ∫ EUTELSAT ou détenus par elle, Dziennik Ustaw Nr 23 — 1719 — Poz. 268 SAT, takie jak dokumenty, korespondencja, r´kopisy, fotografie, programy komputerowe, filmy i nagrania; correspondence, manuscripts, photographs, computer programs, films and recordings; tels que les documents, la correspondance, les manuscrits, les photographies, les programmes d’ordinateurs, les films et les enregistrements;
j)wyra˝enie „funkcje urz´dowe” oznacza dzia∏alnoÊç prowadzonà przez EUTELSAT zgodnie z jego celami okreÊlonymi w Konwencji;
j)”Official activities” means the activities carried out by EUTELSAT within the framework of its objectivies as defined in the Convention;
j)l’expression ”activités officielles” désigne les activités menées par EUTELSAT dans le cadre de ses objectifs tels qu’ils sont définis dans la Convention;
k)termin „ekspert” oznacza osob´ innà ni˝ cz∏onek personelu, powo∏anà do wykonania okreÊlonego zadania dla EUTELSAT lub w jego imieniu oraz na jego koszt;
k)”Expert” means a person, other than a staff member, appointed to carry out a specific task for or on behalf of EUTELSAT and at its expense;
k)le terme ”expert” désigne une personne, autre qu’un membre du personnel, nommée pour exécuter une tâche précise pour le compte ou au nom d’EUTELSAT et aux frais de cette derni¯re;
l)wyra˝enie „odcinek ∏àcznoÊci przestrzennej EUTELSAT” oznacza odcinek ∏àcznoÊci przestrzennej, którego EUTELSAT jest w∏aÊcicielem lub dzier˝awcà, zgodnie z Konwencjà;
l)”EUTELSAT Space Segment” means the space segment owned or leased by EUTELSAT as defined in the Convention;
l)l’expression ”secteur spatial d’EUTELSAT” désigne le secteur spatial dont EUTELSAT est propriétaire ou locataire tel que défini dans la Convention;

m)”Property” means anything that can be the subject of a right of ownership, including contractual rights;

n)wyra˝enie „Dyrektor Generalny” oznacza Dyrektora Generalnego EUTELSAT.
n)”Director General” means the Director General of EUTELSAT.

Artyku∏ 2 Article 2 Article 2 NienaruszalnoÊç archiwów Inviolability of Archives Inviolabilité des archives Archiwa EUTELSAT sà nienaruszalne, bez wzgl´du na to, gdzie si´ znajdujà i kto je przechowuje. The archives of EUTELSAT shall be inviolable wherever located and by whomsoever held. Les archives d’EUTELSAT sont inviolables, où qu’elles se trouvent et quel qu’en soit le detenteur. Artyku∏ 3 Article 3 Article 3 Immunitet jurysdykcyjny i egzekucyjny EUTELSAT Immunity of EUTELSAT from Jurisdiction and Execution Immunité de juridiction et d’exécution d’EUTELSAT 1) EUTELSAT, wykonujàc swoje funkcje urz´dowe, korzysta z immunitetu jurysdykcyjnego, z wyjàtkiem nast´pujàcych przypadków:
a)kiedy Dyrektor Generalny, w szczególnym przypadku, wyraênie uchyli taki immunitet;
b)kiedy zosta∏o wniesione przez stron´ trzecià powództwo cywilne o odszkodowanie za szkod´ powsta∏à na skutek wypadku spowodowanego przez kierujàcego pojazdem silnikowym lub innym Êrodkiem transportu b´- 1) Eutelsat shall, in the exercise of its official activities, have immunity from jurisdiction except in the following cases: 1) EUTELSAT bénéficie, dans l’exercice de ses activités officielles, de l’immunité de juridiction, sauf dans les cas suivants:
a)lorsque le Directeur général renonce expressément ∫ ladite immunité dans un cas particulier;
b)lorsqu’une action civile est intentée par un tiers pour les dommages résultant d’un accident causé par un véhicule automobile ou tout autre moyen de transport appartenant ∫ EUTELSAT ou circulant pour son compte,
a)where the Director General expressly waives such immunity in a particular case;
b)where a civil action is brought by a third party for damage arising from an accident caused by a motor vehicle or any other means of transport belonging to or operated on behalf of EUTELSAT, or in respect of a Dziennik Ustaw Nr 23 dàcym w∏asnoÊcià lub eksploatowanym przez EUTELSAT lub w przypadku udzia∏u takiego pojazdu lub Êrodka transportu w wykroczeniu drogowym;
c)w przypadku zaj´cia, na mocy prawomocnego orzeczenia sàdu, wynagrodzeƒ i honorariów, w tym emerytur i rent, które EUTELSAT jest winien cz∏onkowi personelu lub by∏emu cz∏onkowi personelu;
d)w przypadku roszczenia wzajemnego bezpoÊrednio zwiàzanego z post´powaniem sàdowym wszcz´tym przez EUTELSAT;
e)w celu wprowadzenia w ˝ycie postanowienia arbitra˝owego wydanego na mocy artyku∏u XX Konwencji lub artyku∏u 20 umowy eksploatacyjnej. — 1720 — Poz. 268 traffic offence involving such a vehicle or means of transport; ou en cas d’infraction ∫ la réglementation routi¯re intéressant le véhicule ou le moyen de transport précité;
c)for the attachment, pursuant to the final order of a court of law, of the salaries and emoluments including pensions, owed by EUTELSAT to a staff member or a former staff member;
c)pour la saisie, en exécution d’une décision juridictionnelle sans appel, des traitements et émoluments, y compris les pensions, dus par EUTELSAT ∫ un membre ou ∫ un ancien membre du personnel;
d)dans le cas d’une demande reconventionnelle directement liée ∫ une action judiciaire intentée par EUTELSAT;
e)pour l’exécution d’une décision arbitrale rendue en vertu de l’article XX de la Convention ou de l’article 20 de l’Accord d’exploitation.
d)in respect of a counter-claim directly connected with judicial proceedings initiated by EUTELSAT;
e)for the enforcement of an arbitration award made under Article XX of the Convention or Article 20 of the Operating Agreement. 2) Niezale˝nie od ust´pu 1) nie mo˝e byç wniesiony ˝aden pozew przez Strony Konwencji, Sygnatariuszy czy osoby dzia∏ajàce na rzecz uznania ich skargi albo na rzecz odrzucenia skargi przeciwko nim do sàdów Stron tego protoko∏u, przeciwko EUTELSAT, odnoszàcy si´ do praw i obowiàzków przyznanych na mocy Konwencji lub umowy eksploatacyjnej. 2) Nowithstanding paragraph 1), no action shall be brought in the courts of Parties to the Protocol against EUTELSAT by Parties to the Convention, Signatories or persons acting for or deriving claims from any of them, relating to rights or obligations under the Convention or Operating Agreement. 2) Nonobstant les dispositions du paragraphe 1), aucune action ayant trait aux droits et obligations en vertu de la Convention ou de l’Accord d’exploitation ne peut ˘tre intentée contre EUTELSAT devant les tribunaux des Parties au présent Protocole par des Parties ∫ la Convention, des Signataires ou des personnes agissant pour le compte de ceux-ci, ou faisant valoir des droits cédés par ceux-ci. 3)
a)Odcinek ∏àcznoÊci przestrzennej EUTELSAT, bez wzgl´du na to, gdzie si´ znajduje i w czyim jest posiadaniu, nie podlega ˝adnemu przeszukiwaniu, ograniczeniu, zarekwirowaniu, zaj´ciu, konfiskacie, wyw∏aszczeniu, sekwestracji lub egzekucji, niezale˝nie od tego, czy jest to post´powanie sàdowe, administracyjne czy wykonawcze;
b)Ca∏y pozosta∏y majàtek EUTELSAT, bez wzgl´du na to, gdzie si´ znajduje i w czyim jest posiadaniu, obj´ty jest immunitetem okreÊlonym w ust´pie 3) a), z wyjàtkiem nast´pujàcych przypadków: iii) zaj´cia lub czynnoÊci zwiàzanych z wykonaniem prawomocnego 3)
a)The EUTELSAT Space Segment, wherever located and by whomsoever held, shall be immune from any search, restraint, requisition, seizure, confiscation, expropriation, sequestration or execution, whether by executive, administrative or judicial action; 3)
a)Le secteur spatial d`EUTELSAT, où qu’il se trouve et quel qu’en soit le détenteur, est exempt de toute perquisition, contrainte, réquisition, saisie, confiscation, expropriation, mise sous séquestre ou de toute autre forme d’exécution, que ce soit par décision exécutoire, administrative ou judiciaire;
b)All other property of EUTELSAT, wherever located and by whomsoever held, shall enjoy the immunity set out in paragraph 3)

Artyku∏ 4 Article 4 Article 4 Postanowienia podatkowe i celne Fiscal and Customs Provisions Dispositions fiscales et douani¯res 1) W ramach wykonywania swoich funkcji urz´dowych EUTELSAT i jego majàtek oraz dochody sà zwolnione ze wszystkich podatków bezpoÊrednich. 1) Within the scope of its official activities, EUTELSAT and its property and income shall be exempt from all direct taxes. 1) Dans le cadre de ses activités officielles, EUTELSAT, ses biens et ses revenus sont exonérés de tous impôts directs. 2) Ilekroç EUTELSAT dokonuje wi´kszych zakupów towarów lub us∏ug, które sà konieczne do wykonywania jego funkcji urz´dowych, a których ceny zawierajà podatki lub c∏a, odpowiednia Strona niniejszego protoko∏u podejmie niezb´dne dzia∏ania w celu uiszczenia op∏at lub zwrotu tych podatków lub ce∏. 2) Whenever EUTELSAT makes major purchases of goods or services that are necessary for the performance of its official activities and whose price includes taxes or duties, the Party to the Protocol concerned shall take the measures necessary for the remittance or reimbursement of those taxes or duties. 2) Lorsqu’EUTELSAT effectue des achats importants de marchandises ou de services, nécessaires ∫ l’exercice de ses activités officielles et dont le prix comprend des taxes ou droits, la Partie au Protocole concernée prend toutes les mesures nécessaires ∫ la remise ou au remboursement du montant des taxes et droits de cette nature. 3) Within the scope of its official activities, EUTELSAT shall be exempt from customs duties and taxes on the EUTELSAT Space Segment and on equipment imported or exported in connection with the launching of satellites for use in the EUTELSAT Space Segment. 3) Dans le cadre de ses activités officielles, EUTELSAT est exonérée des droits de douane et impôts afférents au secteur spatial d’EUTELSAT et aux matériels importés ou exportés intéressant le lancement de satellites destinés ∫ faire partie du secteur spatial d’EUTELSAT. 3) W ramach wykonywania swoich funkcji urz´dowych EUTELSAT zwolniony jest od ce∏ i podatków od odcinka ∏àcznoÊci przestrzennej EUTELSAT oraz od importowanego i eksportowanego sprz´tu zwiàzanego z wynoszeniem satelitów na orbit´ w celu ich eksploatacji na odcinku ∏àcznoÊci przestrzennej EUTELSAT. Dziennik Ustaw Nr 23 — 1722 — Poz. 268 4) Towary nabyte przez lub w imieniu EUTELSAT w ramach jego funkcji urz´dowych zwolnione sà od wszystkich zakazów i ograniczeƒ na import lub eksport. 4) Goods acquired by or on behalf of EUTELSAT within the scope of its official activities shall be exempt from all prohibitions and restrictions on import or export. 4) Les marchandises acquises par EUTELSAT ou pour son compte dans le cadre de ses activités officielles sont exonérées de toutes interdictions et restrictions d’importation ou d’exportation. 5) Nie udziela si´ ˝adnych zwolnieƒ z podatków i ce∏ w odniesieniu do op∏at za Êwiadczone us∏ugi specjalne. 5) No exemption shall be accorded in respect of taxes and duties which represent charges for specific services rendered. 5) Aucune exonération n’est accordée pour les impôts et droits qui représentent la rémunération de services particuliers rendus. 6) Nie udziela si´ ˝adnych zwolnieƒ w odniesieniu do towarów nabytych przez EUTELSAT lub us∏ug wyÊwiadczonych dla EUTELSAT, z przeznaczeniem dla osobistych korzyÊci cz∏onków personelu. 6) No exemption shall be accorded in respect of goods acquired by, or services provided to, EUTELSAT for the personal benefit of staff members. 6) Aucune exonération n’est accordée pour les marchandises acquises ou les services obtenus par EUTELSAT pour l’usage personnel des membres du personnel. 7) Towary zwolnione na mocy niniejszego artyku∏u nie mogà byç przekazane, wynaj´te czy wypo˝yczone, na sta∏e lub okresowo, ani sprzedane, z wyjàtkiem przypadków zgodnych z warunkami okreÊlanymi przez Stron´ protoko∏u, która przyzna∏a to zwolnienie. Zakaz ten nie ma zastosowania w sytuacji przekazywania towarów mi´dzy ró˝nymi jednostkami organizacyjnymi EUTELSAT. 7) Goods exempted under this Article shall not be transferred, hired out or lent, permanently or temporarily, or sold, except in accordance with conditions laid down by the Party to the Protocol that granted the exemption. However, this prohibition shall not apply to the transfer of goods between different establishments of EUTELSAT. 7) Les marchandises exonérées en vertu des dispositions du présent article ne doivent pas ˘tre cédées, louées ou pr˘tées, ∫ titre temporaire ou permanent, ni vendues, ∫ moins que ce ne soit ∫ des conditions fixées par la Partie au Protocole qui a accordé l’exonération. Strony niniejszego protoko∏u nie sà zobowiàzane do zwalniania z podatku dochodowego rent i emerytur p∏aconych by∏ym cz∏onkom personelu. 2) Salaries and emoluments paid by EUTELSAT to staff members shall be exempt from income tax from the date upon which such staff members have begun to be liable for a tax imposed on their salaries and emoluments by EUTELSAT for the latter’s benefit. Parties to the Protocol may take these salaries and emoluments into account for the purpose of assessing the amount of taxes to be applied to income from other sources. Zwolnienie to nie wyklucza dobrowolnego uczestnictwa w krajowym systemie ubezpieczeƒ spo∏ecznych, zgodnie z ustawodawstwem Strony protoko∏u, której to dotyczy. Strony Protoko∏u nie sà równie˝ zobowiàzane do p∏acenia Êwiadczeƒ w ramach syste- 3) Provided that the staff members are covered by a social security scheme of EUTELSAT providing adequate benefits, EUTELSAT and its staff members shall be exempt from all compulsory contributions to national social security schemes, subject to agreements to be concluded with the Party to the Protocol concerned in accordance with Article 21 of this Protocol or subject to other relevant provisions in force in the territory of that Party to the Protocol. This exemption does not preclude any voluntary participation in a national social security scheme in accordance with the law of the Party to the Protocol concerned. b)immunity from civil and administrative jurisdiction and execution as enjoyed by diplomatic agents, and full immunity from criminal jurisdiction; however, these immunities shall not apply in respect of a civil action by a third party for damage arising from an accident caused by a motor vehicle or other means of transport belonging to or driven by him, or in respect of a traffic offence involving such a vehicle and committed by him, subject to sub-paragraph

The Director General shall inform a Party to the Protocol whenever a staff member or expert takes up or relinquishes his duties in the territory of that Party. Furthermore, the Director General shall regularly notify all Parties to the Convention of the names and nationalities of the staff members to whom the provisions of Article 9 of this Protocol apply. When concluding written contracts, other than those concluded in accordance with the staff regulations or those in which the Director General has expressly waived the immunity of EUTELSAT from jurisdiction, EUTELSAT shall provide for arbitration. The arbitration clause shall provide a means of establishing the law and procedure applicable, the composition of the tribunal, the procedure for the appointment of the arbitrators and the seat of the tribunal. The execution of the arbitration award shall be governed by the rules in force in the State in whose territory the award is to be executed.
