Podaje si´ niniejszym do wiadomoÊci, ˝e na podstawie ustawy z dnia 18 maja 2005 r. o upowa˝nieniu do ratyfikacji Konwencji mi´dzy Rzàdem Rzeczypospolitej Polskiej a Rzàdem Królestwa Szwecji w sprawie unikania podwójnego opodatkowania i zapobiegania uchylaniu si´ od opodatkowania w zakresie podatków od dochodu, podpisanej w Sztokholmie dnia 19 listopada 2004 r. W imieniu Rzeczypospolitej Polskiej PREZYDENT RZECZYPOSPOLITEJ POLSKIEJ podaje do powszechnej wiadomoÊci: W dniu 7 kwietnia 2005 r. zosta∏a podpisana w Nairobi Umowa mi´dzy Rzàdem Rzeczypospolitej Polskiej a Programem Narodów Zjednoczonych do spraw Osiedli Ludzkich w sprawie ustanowienia w Rzeczypospolitej Polskiej Biura UN-Habitat, w nast´pujàcym brzmieniu: Dziennik Ustaw Nr 26 — 1114 — Poz. 195 UMOWA AGREEMENT mi´dzy Rzàdem Rzeczypospolitej Polskiej a Programem Narodów Zjednoczonych do spraw Osiedli Ludzkich w sprawie ustanowienia w Rzeczypospolitej Polskiej Biura UN-Habitat, podpisana w Nairobi dnia 7 kwietnia 2005 r. between the Government of the Republic of Poland and the United Nations Human Settlements Programme on establishment of a UN-Habitat Office in the Republic of Poland Rzàd Rzeczypospolitej Polskiej, zwany dalej „Rzàdem” i Program Narodów Zjednoczonych do spraw Osiedli Ludzkich, zwany dalej „UN-Habitat”, a ∏àcznie zwane „Stronami”, The Government of the Republic of Poland (hereinafter referred to as „the Government“), and the United Nations Human Settlements Programme (hereinafter referred to as „UN-Habitat“), (jointly referred to as „the Parties“), przekonane o potrzebie rozwijana szerokiej wspó∏pracy mi´dzynarodowej dla realizacji Deklaracji istambulskiej w sprawie osiedli ludzkich, Agendy Habitat oraz odpowiednich celów Deklaracji milenijnej Narodów Zjednoczonych zwiàzanych ze zrównowa˝onym rozwojem osiedli ludzkich, CONVINCED that there is a need to develop a wide international co-operation in order to implement the Istanbul Declaration on Human Settlements, Habitat Agenda and the relevant goals of the United Nations Millennium Declaration related to sustainable development of human settlements; pragnàc realizowaç przyj´tà przez UN-Habitat strategi´ regionalizacji, WILLING to implement the regionalization strategy adopted by UN-Habitat; przekonane, ˝e Biuro UN-Habitat w Rzeczypospolitej Polskiej przyczyni si´ do zwi´kszenia efektywnoÊci wspó∏pracy mi´dzynarodowej w zakresie odpowiedniego schronienia dla wszystkich ludzi oraz zrównowa˝onego rozwoju osiedli ludzkich w urbanizujàcym si´ Êwiecie, ze szczególnym uwzgl´dnieniem regionu Europy Ârodkowej i Wschodniej, CONVINCED that a UN-Habitat Office in the Republic of Poland will contribute to the effectiveness of the international co-operation in the field of shelter for all and sustainable development of human settlements in an urbanizing world, with particular focus on the region of the Central and Eastern Europe; zwa˝ywszy, ˝e Rzàd wyrazi∏ gotowoÊç wniesienia odpowiedniego wk∏adu finansowego i rzeczowego zwiàzanego z ustanowieniem Biura UN-Habitat w Rzeczypospolitej Polskiej, WHEREAS the Government has expressed readiness to make an appropriate financial and in-kind contribution for establishment of the UN-Habitat office in the Republic of Poland uzgodni∏y, co nast´puje: Have agreed as follows: Artyku∏ 1 Article 1 Przedmiot umowy Purpose of this Agreement

  1. UN-Habitat ustanowi Biuro w Warszawie, w Rzeczypospolitej Polskiej, na zasadach i warunkach okreÊlonych w niniejszej umowie.
  2. UN-Habitat shall establish an office in Warsaw, the Republic of Poland, under the terms and conditions set out in this Agreement.
  3. Biuro, o którym mowa w ust´pie 1, nosiç b´dzie nazw´ „Warszawskie Biuro ONZ-Habitat” (”The Warsaw UN-Habitat office”), zwane dalej „Biurem”.
  4. The Office referred to in paragraph 1 shall bear the name „The Warsaw UN-Habitat office“ („Warszawskie Biuro ONZ-Habitat“), (hereinafter referred to as „the Office“). Artyku∏ 2 Article 2 Status administracyjny Biura Administrative Status of the Office
  5. Biuro stanowiç b´dzie integralnà cz´Êç UN-Habitat i b´dzie podlegaç Dyrektorowi Wykonawczemu UN-Habitat.
  6. The Office shall constitute an integral part of UN-Habitat and shall be subject to the authority of the Executive Director of UN-Habitat.
  7. Organizacyjnie Biuro stanowiç b´dzie cz´Êç Dzia∏u Wspó∏pracy Regionalnej i Technicznej UN-Ha-
  8. Organizationally, the Office shall form part of the UN-Habitat Regional and Technical Cooperation Dziennik Ustaw Nr 26 — 1115 — Poz. 195 bitat i b´dzie administrowane przez Central´ UN-Habitat w Nairobi, w Kenii, lub w sposób okreÊlony przez Dyrektora Wykonawczego UN-Habitat. Division and shall be administered by UN-Habitat Headquarters in Nairobi, Kenya, or as determined by the UN-Habitat Executive Director. Artyku∏ 3 Article 3 Cele Biura Objectives of the Office Zgodnie z mandatem UN-Habitat, w tym w szczególnoÊci w zakresie realizacji Deklaracji istambulskiej w sprawie osiedli ludzkich, Agendy Habitat oraz odpowiednich celów Deklaracji milenijnej Narodów Zjednoczonych zwiàzanych ze zrównowa˝onym rozwojem osiedli ludzkich, dzia∏alnoÊç Biura ma na celu: Pursuant to the mandate of UN-Habitat, in particular regarding the implementation of the Istanbul Declaration on Human Settlements, the Habitat Agenda and of the relevant goals of the United Nations Millennium Declaration related to the sustainable human settlements development, the Office shall: 1) rozszerzenie i umocnienie wspó∏pracy Rzeczypospolitej Polskiej oraz innych paƒstw Europy Ârodkowej i Wschodniej z UN-Habitat oraz z innymi Agencjami, Programami i Funduszami Narodów Zjednoczonych; 1) widen and strengthen the co-operation of the Republic of Poland and other Central and East European States with UN-Habitat and other UN Agencies, Programmes and Funds; 2) zwi´kszenie mo˝liwoÊci dla zainteresowanych paƒstw Europy Ârodkowej i Wschodniej dost´pu do Êrodków rozwojowych w ramach Unii Europejskiej oraz Agencji, Programów i Funduszy Narodów Zjednoczonych oraz innych zewn´trznych donatorów; 2) increase the possibilities for interested Central and East European States to access development resources in the framework of the European Union and United Nations Agencies, Programmes and Funds, as well as other external donors; 3) promowanie uczestnictwa polskich oraz regionalnych ekspertów, naukowców i osób zarzàdzajàcych miastami w dzia∏alnoÊci UN-Habitat. 3) promote participation of Polish and regional experts, scientists and urban managers in UN-Habitat activities. Artyku∏ 4 Article 4 Zadania Biura The Functions of the Office
  9. Zgodnie z celami, o których mowa w artykule 3 niniejszej umowy, do zadaƒ Biura nale˝y:
  10. Pursuant to the objectives referred to in article 3 of this Agreement, the functions of the Office shall include: 1) koordynacja dla Europy Ârodkowej i Wschodniej programów i dzia∏aƒ zwiàzanych z realizacjà Deklaracji istambulskiej w sprawie osiedli ludzkich, Agendy Habitat oraz odpowiednich celów Deklaracji milenijnej Narodów Zjednoczonych; 1) coordinating Central and East European programmes and activities related to the implementation of Istanbul Declaration on Human Settlements, the Habitat Agenda and the relevant goals of the United Nations Millennium Declaration; 2) prowadzenie kampanii informacyjnych i wspierajàcych oraz innych dzia∏aƒ na rzecz promocji Deklaracji istambulskiej w sprawie osiedli ludzkich, Agendy Habitat oraz odpowiednich celów Deklaracji milenijnej Narodów Zjednoczonych; 2) conducting information and advocacy campaigns and other activities for the promotion of the Istanbul Declaration on Human Settlements, the Habitat Agenda and the relevant goals of the United Nations Millennium Declaration; 3) realizowanie projektów wspó∏pracy technicznej, Êwiadczenie us∏ug doradczych oraz u∏atwianie wymiany wiedzy i informacji; 3) implementing technical cooperation projects, providing advisory services and facilitating the exchange of knowledge and information; 4) promowanie kontaktów mi´dzy instytucjami sektora publicznego i prywatnego majàcych na celu rozszerzenie wspó∏pracy na rzecz realizacji zrównowa˝onego rozwoju osiedli ludzkich; 4) promoting contacts between public and private institutions aiming at widening the cooperation for the implementation of sustainable development of human settlements; 5) organizowanie krajowych, regionalnych i Êwiatowych warsztatów, seminariów i szkoleƒ w sprawach zwiàzanych z mieszkalnictwem i ze zrównowa˝onym rozwojem osiedli ludzkich; 5) organizing country, regional and global workshops, seminars and training on housing and sustainable development of human settlements; Dziennik Ustaw Nr 26 — 1116 — Poz. 195 6) reprezentowanie interesów UN-Habitat w Rzeczypospolitej Polskiej i w innych zainteresowanych paƒstwach Europy Ârodkowej i Wschodniej. 6) representing the interests of UN-Habitat in the Republic of Poland and in other interested Central and East European States.
  11. Strony mogà uzgodniç dodatkowe zadania Biura w trybie przewidzianym w artykule 15 niniejszej umowy.
  12. The Parties may agree upon additional functions of the Office pursuant to article 15 of this Agreement.
  13. Dyrektor Biura b´dzie przedk∏ada∏ Rzàdowi corocznie plany i sprawozdania dotyczàce dzia∏alnoÊci programowej i finansowej Biura. Rodzaje tych planów i sprawozdaƒ oraz terminy ich sk∏adania okreÊlone sà w aneksie do niniejszej umowy, stanowiàcym jej integralnà cz´Êç.
  14. The Director of the Office shall submit to the Government the annual work plans and reports concerning the substantive and financial activities of the Office. The type of plans, reports and deadlines for submission thereof have been set out in the Annex to this Agreement, which forms an integral part thereof. Artyku∏ 5 Article 5 Struktura organizacyjna Biura Organizational Structure of the Office Biuro b´dzie kierowane przez Dyrektora mianowanego przez Dyrektora Wykonawczego UN-Habitat. Dyrektor Wykonawczy UN-Habitat mo˝e przekazaç Dyrektorowi Biura okreÊlone uprawnienia i nak∏adaç obowiàzki, niezb´dne dla realizacji okreÊlonych w niniejszej umowie celów i zadaƒ Biura. The Office shall be managed by a Director appointed by the UN-Habitat Executive Director. The UN-Habitat Executive Director may delegate to the Director of the Office specific authorities and duties necessary for realization of the objectives and tasks of the Office set forth in this Agreement. Artyku∏ 6 Article 6 Personel Biura Personnel of the Office
  15. Rekrutacja oraz okreÊlenie warunków zatrudnienia i pracy dla cz∏onków personelu Biura, którzy sà cz∏onkami personelu UN-Habitat, dokonywane b´dà przez UN-Habitat zgodnie z odpowiednimi uregulowaniami Organizacji Narodów Zjednoczonych, w tym UN-Habitat.
  16. Recruitment and determination of the employment and work conditions of the UN-Habitat staff members of the Office shall be done by UN-Habitat, in accordance with relevant regulations of the United Nations, including UN-Habitat.
  17. Do cz∏onków personelu Biura rekrutowanego lokalnie b´dà mia∏y tak˝e zastosowanie przepisy prawne Rzeczypospolitej Polskiej dotyczàce warunków zatrudnienia oraz zabezpieczenia spo∏ecznego i podatku dochodowego od osób fizycznych.
  18. With regard to members of the personnel of the Office recruited locally the legislation of the Republic of Poland concerning conditions of employment, as well as social security and personal income tax, shall also be applicable.
  19. Wszyscy cz∏onkowie personelu Biura sà odpowiedzialni wobec Dyrektora Wykonawczego UN-Habitat.
  20. All the members of the personnel of the Office shall be accountable to the UN-Habitat Executive Director.
  21. Sk∏ad Biura okreÊlony jest w aneksie do niniejszej umowy.
  22. The composition of the Office has been laid out in the Annex to this Agreement. Artyku∏ 7 Article 7 Rada Doradcza Advisory Council
  23. Dyrektor Wykonawczy UN-Habitat mo˝e powo∏aç, w porozumieniu z Rzàdem, Rad´ Doradczà, zwanà dalej „Radà”, sk∏adajàcà si´ z przedstawicieli rzàdów paƒstw Europy Ârodkowej i Wschodniej, mo˝liwie na szczeblu ministerialnym, odpowiedzialnych za sprawy mieszkalnictwa i osiedli ludzkich.
  24. The UN-Habitat Executive Director may appoint, in consultation with the Government, an Advisory Council (hereinafter referred to as „the Council“), composed of representatives, preferably at the ministerial level, of interested Central and East European Governments, responsible for housing and human settlements.   25. Radzie przewodniczyç b´dzie przedstawiciel paƒstwa, w którym znajduje si´ siedziba Biura.
  26. The Council shall be chaired by the representative of the State hosting the seat of the Office.
  27. Rada b´dzie organem konsultacyjno-doradczym w zakresie programu i kierunków dzia∏ania Biura.
  28. The Council shall be a consultative-advisory body of the Office on programme and policy matters.
  29. Rada b´dzie odbywa∏a spotkania w terminach uzgodnionych przez Przewodniczàcego Rady z Dyrektorem Biura.
  30. The Council shall hold meetings on dates agreed by the Chairman of the Council with the Director of the Office. Artyku∏ 8 Article 8 Przywileje i immunitety Privileges and Immunities
  31. Konwencja dotyczàca przywilejów i immunitetów Narodów Zjednoczonych, zwana dalej „Konwencjà”, przyj´ta przez Zgromadzenie Ogólne Narodów Zjednoczonych w dniu 13 lutego 1946 r., do której Polska przystàpi∏a w dniu 8 stycznia 1948 r., b´dzie mia∏a odpowiednie zastosowanie do Biura, jego lokali, archiwów i korespondencji urz´dowej, majàtku, funduszy i aktywów, a tak˝e do cz∏onków personelu Biura, którzy sà cz∏onkami personelu UN-Habitat, oraz do funkcjonariuszy i ekspertów UN-Habitat przebywajàcych s∏u˝bowo na terytorium Rzeczypospolitej Polskiej.
  32. The Convention on the Privileges and Immunities of the United Nations (hereinafter referred to as „the Convention“), adopted by the General Assembly of the United Nations on 13 February 1946, to which Poland acceded on 8 January 1948, shall apply mutatis mutandis to the Office, its premises, archives and official correspondence, property, funds and assets, as well as to the UN-Habitat staff members of the Office, and to the UN-Habitat officials and experts on mission to the Republic of Poland.
  33. Przywileje i immunitety, o których mowa w ust´pie 1, b´dà przyznawane wy∏àcznie w interesie Narodów Zjednoczonych, w tym UN-Habitat, a nie dla osobistych korzyÊci. Sekretarz Generalny Narodów Zjednoczonych b´dzie mia∏ prawo i obowiàzek cofnàç immunitet w ka˝dym przypadku, w którym jego zdaniem immunitet ten sta∏by na przeszkodzie wymiarowi sprawiedliwoÊci i kiedy mo˝e on byç cofni´ty bez szkody dla celu, któremu mia∏ s∏u˝yç.
  34. The privileges and immunities referred to in paragraph 1 shall be accorded exclusively in the interest of the United Nations, including UN-Habitat, and not for the personal benefit. The Secretary General of the United Nations shall have the right and the duty to waive the immunity in any case where, in his opinion, the immunity would impede the course of justice and can be revoked without prejudice to the interest it was intended to serve.
  35. Dla cz∏onków personelu Biura rekrutowanego lokalnie przyznawane tylko b´dà wszelkie udogodnienia niezb´dne dla niezale˝nego wykonywania przez nich zadaƒ na rzecz UN-Habitat.
  36. Members of the personnel of the Office recruited locally shall only be accorded all facilities necessary for the independent exercise of their functions for the UN-Habitat. Artyku∏ 9 Article 9 Obowiàzek poszanowania ustaw i innych przepisów Rzeczypospolitej Polskiej Obligation to Respect the Laws and other Regulations of the Republic of Poland Bez szkody dla przyznanych im przywilejów i immunitetów, o których mowa w artykule 8, wszystkie osoby z nich korzystajàce zobowiàzane sà do poszanowania ustaw i innych przepisów Rzeczypospolitej Polskiej. Without prejudice to the privileges and immunities accorded to them, as referred to in article 8, all the persons benefiting from such privileges and immunities shall be obliged to respect the laws and other regulations of the Republic of Poland. Artyku∏ 10 Article 10 Wk∏ad finansowy Rzàdu Financial Contribution of the Government
  37. Rzàd przeka˝e UN-Habitat wk∏ad finansowy w wysokoÊci dwóch milionów czterystu tysi´cy dolarów amerykaƒskich (USD 2 400 000) w okresie pierwszych pi´ciu lat obowiàzywania niniejszej umowy, tj. do dnia 31 grudnia 2009 r., na pokrycie kosztów zwiàzanych z dzia∏alnoÊcià Biura oraz jego kosztów oso-
  38. The Government shall provide UN-Habitat with a financial contribution of two million four hundred thousand American dollars (USD 2,400,000) in the period of the first five years of this Agreement, namely till 31 December 2009 being in force for coverage of the costs connected with the activities of the Office Dziennik Ustaw Nr 26 — 1118 — Poz. 195 bowych i rzeczowych. W pierwszym roku wk∏ad ten wyniesie czterysta tysi´cy dolarów amerykaƒskich (USD 400 000), a w latach nast´pnych — w wysokoÊci pi´ciuset tysi´cy dolarów amerykaƒskich (USD 500 000) rocznie. Wk∏ad ten obejmuje 13 % kosztów wspierania UN-Habitat ponoszonych zgodnie ze standardowymi procedurami Organizacji Narodów Zjednoczonych. and its staff and non-staff costs. In the first year, the contribution shall amount to four hundred thousand dollars (USD 400,000), and in the next years, it shall amount to five hundred thousand dollars (USD 500,000) per year. The contribution covers the 13 % UN-Habitat support costs, in accordance with the standard procedures of the United Nations.
  39. Wk∏ad, o którym mowa w ust´pie 1, wp∏acany b´dzie na konto Fundacji UN-Habitat i Osiedli Ludzkich (United Nations Habitat and Human Settlements Foundation), zwanej dalej „Fundacjà”, utworzonej na podstawie rezolucji Zgromadzenia Ogólnego Narodów Zjednoczonych 3327 (XXIX), w sposób i na warunkach ustalonych w aneksie do niniejszej umowy.
  40. The contribution referred to in paragraph 1 shall be remitted to the account of the United Nations Habitat and Human Settlements Foundation (hereinafter referred to as „the Foundation“), established pursuant to resolution 3327(XXIX) of the General Assembly of the United Nations in the way and on conditions set forth in the Annex to this Agreement.
  41. Fundacja b´dzie administrowaç tym wk∏adem zgodnie z Regulaminem Finansowym Organizacji Narodów Zjednoczonych w zakresie, w jakim stosuje si´ on do Fundacji, ∏àcznie z postanowieniami dotyczàcymi wewn´trznego i zewn´trznego audytu.
  42. The Foundation shall administer the contribution in accordance with the Financial Rules and Regulations of the United Nations to the extent it applies to the Foundation, including the provisions concerning the internal and external audit.
  43. W przypadku osiàgni´cie przez Biuro, w wyniku prowadzonej przez nie dzia∏alnoÊci statutowej, samodzielnoÊci finansowej Rzàd i UN-Habitat przeprowadzà konsultacje co do mo˝liwoÊci zmniejszenia wk∏adu finansowego, o którym mowa w ust´pie
  45. If, as a result of its statutory activities, the Office attains a financial self-reliance, the Government and UN-Habitat shall carry out consultations as to the possibility of reduction of the financial contribution referred to in paragraph
  46. Artyku∏ 11 Article 11 Wk∏ad rzeczowy Rzàdu In-kind Contribution of the Government
  47. Rzàd udost´pni nieodp∏atnie, w mo˝liwie najkrótszym czasie od wejÊcia w ˝ycie niniejszej umowy, odpowiednie lokale na Biuro. Rzàd w miar´ potrzeby skonsultuje z UN-Habitat wewn´trznà aran˝acj´ tych lokali.
  48. The Government shall make available, free of charge, in the shortest time possible from the entry into force of this Agreement, appropriate premises for the Office. The Government shall consult on the lay out of the interior of the premises with UN-Habitat, if necessary.
  49. Rzàd b´dzie pokrywa∏ koszty zwiàzane z zajmowaniem, korzystaniem i utrzymaniem lokali, o których mowa w ust´pie
  50. Koszty te obejmujà op∏aty za: wynajem, bie˝àce sprzàtanie i us∏ugi dozorcy, elektrycznoÊç, ogrzewanie i klimatyzacj´, dostaw´ goràcej i zimnej wody, wywóz Êmieci oraz ochron´ lokali.
  51. The Government shall cover the costs connected with the occupation, use and maintenance of the premises referred to in paragraph
  52. The costs shall include: lease charges, current charges for cleaning and janitorial services, bills for electricity, heating and air-conditioning, hot and cold water supply, removal of wastes, charges for protection of premises.
  53. Rzàd zapewni poczàtkowe wyposa˝enie Biura w odpowiednià instalacj´ sanitarnà oraz sprz´t biurowy i Êrodki komunikowania: komputery i po∏àczenia dla faksu i poczty elektronicznej i w miar´ mo˝liwoÊci sprz´t zabezpieczajàcy te urzàdzenia. Przy nabywaniu wyposa˝enia brane b´dà pod uwag´ standardy wymagane przez UN-Habitat. Rzàd zapewni równie˝ samochód na potrzeby Biura. Bie˝àce op∏aty telekomunikacyjne Biura, a tak˝e koszty ubezpieczenia samochodu, jego utrzymania oraz koszty utrzymania wyposa˝enia, o którym wy˝ej mowa, ponoszone b´dà przez Biuro.
  54. The Government shall provide the initial equipment of the Office with an appropriate sanitary installation, office equipment and means of communication, computers and connections for fax and electronic mail and protection equipment, if possible. UN-Habitat required standards shall be taken into account in making the necessary procurement. The Government shall also provide a vehicle to serve the needs of the Office. Current telecommunication costs of the Office as well as the costs of insurance of the car, maintenance thereof, and the costs of maintenance of the equipment mentioned above, shall be covered by the Office. The premises, charges connected therewith and maintenance thereof as well the equipment of the Office and the means of transport referred to in paragraphs 1, 2 and 3 shall constitute the in-kind contribution of the Government, in addition to the financial contribution provided for by article 10 of this Agreement.

The financial contribution of the Government shall be remitted every year in the amount specified in article 10 paragraph 1 of the Agreement to the account of the Foundation referred to in article 10 paragraph 2 of the Agreement, in convertible currency, without any restrictions as to the use thereof, by 1 March of each year, except for the first year in which the contribution will be remitted depending on the date of entry the Agreement into force. Sixty days before the remittance date, UN-Habitat shall submit to the Government a request in that respect.
