(1)In these regulations, unless the context otherwise requires: "Act" means the Company Service Providers Act; "the Authority" means the Malta Financial Services Authority established in terms of the Malta Financial Services Authority Act. Interpretation. Cap. 529. Cap. 330.
(2)Words and expressions used in these regulations which are also used in the Act but which are not defined herein shall have the same meaning as in the Act. 3. *
(1)Any person intending to act as a company service provider, or hold himself out to act as such, in or from Malta shall, upon submission of an application to the Authority for authorisation in accordance with article 3A
(1)of the Act, pay to the Authority an application fee as established in the First Schedule: Provided that such application fee shall vary depending under which of the classes set out in the Schedule to the Act and, where applicable, under which of the thresholds set out in the rules such person would fall once authorised.
(2)Any person intending to act as a limited company service provider, or hold himself out to act as such, in or from Malta shall, upon submission of an application to the Authority in accordance with article 3A
(2)of the Act, pay to the Authority an application fee as established in the First Schedule.
(3)Any person, being licensed, registered or otherwise authorised to act as a company service provider or a limited company service provider by the relevant authority of an approved jurisdictio n, that inten ds to p rov ide or ho ld h imself out as providing company services by way of business in or from Malta shall, upon submission of a notification to the Authority in accordance with article 3
(5)(a) of the Act, pay to the Authority a notification fee as established in the First Schedule.
(4)Any person as referred to in sub-regulation
(3)in receipt of a written confirmation from the Authority in accordance with article 3
(5)(a) of the Act that intends to make changes with respect to the company services that it provides and, or its involvements *Vide article 9 of Legal Notice 89 of

- 2 [ S.L.529.01 COMPANY SERVICE PROVIDERS ACT (FEES) that would warrant a redetermination as to whether such person is to be considered an authorised person or a registered person for the purposes of this Act and any regulations made, and rules issued thereunder and, or under which of the classes set out in the First Schedule and, or the thresholds set out in the rules such person should fall, as applicable, shall, upon submission of a notification to the Authority in accordance with article 3
(5)(ba) of the Act, pay to the Authority a notification fee as established in the First Schedule.
(5)Any persons acting as a restricted company service provider in or from Malta shall, upon submission of a notification to the Authority in accordance with article 3B of the Act, pay to the Authority a notification fee as established in the First Schedule: Annual supervisory fees. - Provided that the provisions of this sub-regulation shall also apply to any such persons that are required to submit such a notification in accordance with article 20 of the Act. 4.*
(1)An authorised or registered person shall, subject to the provisions of sub-regulation
(2), pay to the Authority an annual supervisory fee as established in the Second Schedule, as applicable: Provided that such annual supervisory fee due by authorised persons shall vary depending under which of the classes set out in the Schedule to the Act and, where applicable, under which of the thresholds set out in the rules such person falls in terms of the determination made by the Authority in accordance with article 5(2A) of the Act: Provided further that the first annual supervisory fee due in accordance with this sub-regulation shall be prorated according to the period remaining between the date when a person is authorised or registered, as applicable, under article 5 of the Act and the date when the next annual supervisory fee is due in accordance with sub-regulation
(2).
(2)The first annual supervisory fee due in accordance with sub-regulation
(1)shall be paid to the Authority on the date when a person is authorised or registered, as applicable, under article 5 of the Act, and every annual supervisory fee following the first supervisory fee which is due in accordance with the said subregulation shall be paid to the Authority on the 31st January of each calendar year.
(3)Any person, being licensed, registered or otherwise authorised to act as a company service provider or a limited company service provider by the relevant authority of an approved jurisdiction, that has received a written confirmation from the Authority in accordance with article 3
(5)of the Act shall, subject to the provisions of sub-regulation
(4), pay to the Authority an annual *Vide article 9 of Legal Notice 89 of 2025. COMPANY SERVICE PROVIDERS ACT (FEES) [ S.L.529.01 supervisory fee as established in the Second Schedule, as applicable: Provided that such annual supervisory fee shall vary depending on the determination made by the Authority as to whether such person is to be considered an authorised person or a registered person for the purposes of the Act and any regulations made, and rules issued thereunder and, in the former case, under which of the classes set out in the First Schedule and, where applicable, the thresholds set out in the rules such person falls in terms of the Authority’s determination made in accordance with article 3
(5)(a) of the Act: Provided further that the first annual supervisory fee due in accordance with this sub-regulation shall be prorated according to the period remaining between the date when a person as referred to in the said sub-regulation receives a written confirmation from the Authority in accordance with article 3
(5)of the Act and the date when the next annual supervisory fee is due in accordance with sub-regulation
(4).
(4)The first annual supervisory fee due in accordance with sub-regulation
(3)shall be paid to the Authority on the date when a person as referred to in the said sub-regulation receives a written confirmation from the Authority in accordance with article 3
(5)of the Act, and every annual supervisory fee following the first supervisory fee which is due in accordance with the said subregulation shall be paid to the Authority on the 31st January of each calendar year.
(5)Where the Authority modifies a previous determination relating to a person as referred to in sub-regulation
(3)in accordance with the second proviso of article 3
(5)(ba) of the Act, or to the class and, or threshold under which an authorised person falls in accordance with the rules, such person shall pay to the Authority an annual supervisory fee as established in the Second Schedule, as applicable: Provided that such annual supervisory fee shall vary depending on the Authority’s determination, as modified, as to whether such person is to be considered an authorised person or a registered person for the purposes of the Act and any regulations made, and rules issued thereunder and which of the classes set out in the Schedule of the Act, and the thresholds set out in the rules, such person falls, as applicable: Provided further that the first annual supervisory fee due in accordance with this sub-regulation shall be prorated according to the period remaining between the date when such previous determination was modified and the date when the next annual supervisory fee is due in accordance with sub-regulation
(6).
(6)The first annual supervisory fee due in accordance with subregulation

- COMPANY SERVICE PROVIDERS ACT (FEES) determination as referred to in the said sub-regulation is modified, and every annual supervisory fee following the first supervisory fee which is due in accordance with the said sub-regulation shall be paid to the Authority on the 31st January of each calendar year. 5.*
(1)Notwithstanding the provisions of regulation 3, where an authorised person subsequently applies to the Authority for registration to act, or hold himself out to act, as a limited company service provider under the Act, the application fee due by such person in accordance with regulation 3 shall be reduced by twenty five per cent (25%).
(2)Notwithstanding the provisions of regulation 3, where a registered person subsequently applies to the Authority for authorisation to act, or hold himself out to act, as a company service provider under the Act, the application fee due by such person in accordance with regulation 3 shall be reduced by twenty five per cent (25%). (3)Where an authorised person intends to make changes with respect to the company services that it provides and, or its involvements that would warrant a redetermination by the Authority as to which of the classes set out in the First Schedule and, or the thresholds set out in the rules such person should fall, as applicable, such authorised person shall, upon the submission of a request to the Authority for such redetermination and the modification of its authorisation accordingly, pay to the Authority a modification fee of two hundred euro (€200). 6.†
(1)The fees established and due in terms of these regulations shall not be refundable.
(2)Without prejudice to regulation 4
(1),
(3)and
(5), the fees established and due in terms of these regulations shall not be prorated. 7.‡
(1)Notwithstanding the provisions of regulation 4
(2), where a person who was authorised under the Act prior to the coming into force of the Company Service Providers Act (Fees) (Amendment) Regulations, 2025 becomes a registered person prior to 1 January 2026, the first annual supervisory fee due by such person in accordance with regulation 4
(1)shall be paid to the Authority on 31 January 2026: Provided that notwithstanding the provisions of regulation 4
(1), the annual supervisory fee referred to in this sub-regulation shall not be prorated.
(2)Notwithstanding the provisions of regulation 4
(4), where the Authority determines, prior to 1 January 2026, that a person who was in receipt of a written confirmation from it in accordance with article 3
(5)of the Act prior to the cominginto force of the Company Service Providers Act (Fees) (Amendment) Regulations, 2025 shall be considered a registered person for the purposes of the *Vide article 9 of Legal Notice 89 of
